Name Description

Thomas Meredith

Mr. Thomas J. Meredith is Independent Chairman of the Board of Bazaarvoice Inc., since August 2011. He has served as a member of the board of directors since August 2010. Since 2004, Mr. Meredith has served as a general partner of Meritage Capital, L.P., an investment management firm he co-founded that specializes in multi-manager hedge funds. Mr. Meredith is also the Chief Executive Officer of private investment firm MFI Capital LLC, a position he has held since 2002. From March 2007 to April 2008, Mr. Meredith served as Acting Chief Financial Officer and Executive Vice President of Motorola, Inc., a provider of mobile communications products. Mr. Meredith served in a variety of senior executive positions at Dell Inc. between 1992 and 2001, including Chief Financial Officer, Managing Director of Dell Ventures and Senior Vice President of Business Development and Strategy. Prior to joining Dell, Mr. Meredith served as Vice President and Treasurer at Sun Microsystems, Inc. Mr. Meredith currently serves on the boards of directors of Motorola Mobility Holdings, Inc. and Brightstar Corp. and is an adjunct professor at the McCombs School of Business at the University of Texas at Austin. In the past five years, Mr. Meredith has also served on the boards of directors of Motorola, Inc. and Motive, Inc. Mr. Meredith holds a B.A. in political science from St. Francis University, a J.D. from Duquesne University and an L.L.M. in taxation from Georgetown University.

Gene Austin

Mr. Gene A. Austin has been appointed as President of Bazaarvoice, Inc., effective April 30, 2013. Mr. Austin most recently served as the President and Chief Executive Officer at Convio, Inc., until Convio’s acquisition by Blackbaud, Inc. in May 2012. Mr. Austin served as the Chief Executive Officer and as a member of the Board of Directors of Convio beginning in July 2003 and as President of Convio beginning in February 2008. From July 2001 to March 2003, Mr. Austin served as Vice President and General Manager of the Enterprise Data Management unit of BMC Software, Inc., a provider of enterprise management solutions. From 1999 to 2001, Mr. Austin served as Vice President and General Manager of Internet Server Products at Dell, Inc., a computer manufacturer. From 1996 to 1999, Mr. Austin served as Senior Vice President of Sales and Marketing at CareerBuilder, Inc., a software as a service company focused on internet based recruiting. Mr. Austin holds a B.S. in Engineering Management from Southern Methodist University in Dallas and an M.B.A. from the Olin School of Business at Washington University in St. Louis.

Stephen Collins

Mr. Stephen R. Collins is Chief Executive Officer, Director of Bazaarvoice Inc. As chief executive officer at Bazaarvoice, Stephen is responsible for guiding the company’s strategy and vision. While at Bazaarvoice, Stephen has served as chief financial officer, responsible for the finance and legal teams and providing strategic and operational leadership as a member of the executive leadership team. In addition to his role as CFO, Stephen has served as the chief innovation officer. Stephen has leadership and experience, particularly in developing and rapidly-growing markets. He entered the technology industry in 1997 as a member of the leadership team during the start-up and explosive growth phase at DoubleClick, Inc., recently acquired by Google for $3.1 billion. During his career in technology, Stephen has held the titles of CFO, CIO, COO, and CEO. Most recently, Stephen established Natchez Advisors, LLC to provide management advisory services and capital to early-stage technology companies based in Tennessee. As part of his Natchez Advisors activities, he served as interim CEO of the social commerce network start-up Moontoast, Inc., between May 2009 and April 2010. He is a member of the University of Alabama Lifetime Giving Society and a member of Culverhouse School of Commerce Board of Visitors. Stephen founded TriStar Cycling Team, a 501(c)3 non-profit competitive cycling organization devoted to the education and training of junior cyclists in the Southeast United States. Mr. Collins received a B.S. in accounting from the University of Alabama and is a C.P.A.

Brett Hurt

Mr. Brett A. Hurt is Vice Chairman of the Board of Bazaarvoice Inc. From May 1999 to April 2005, Mr. Hurt held various executive positions, including Chief Executive Officer, at Coremetrics, Inc., a marketing analytics SaaS provider for the e-commerce industry that he founded in 1999 and that was acquired by IBM in 2010. Mr. Hurt served on the board of directors at Coremetrics from May 1999 to February 2006. Prior to his time at Coremetrics, Mr. Hurt founded and was the Chief Executive Officer of BodyMatrix, LLC, an online retailer of sports nutrition products, and Hurt Technology Consulting, LLC, a software and web consulting firm. Mr. Hurt has also served as a systems analyst at Deloitte Consulting LLP. Mr. Hurt was named Ernst & Young Entrepreneur of the Year for Central Texas in 2009. Mr. Hurt holds a B.B.A in management information systems from the University of Texas at Austin and an M.B.A. in high-tech entrepreneurship from the Wharton School at the University of Pennsylvania.

James Offerdahl

Mr. James R. Offerdahl is appointed as the Chief Financial Officer of Bazaarvoice, Inc. He most recently served as the Chief Financial Officer and Vice President of Administration at Convio, Inc., a provider of on-demand constituent engagement solutions, from February 2005 until it was acquired by Blackbaud, Inc. in May 2012. From August 2001 to April 2004, Mr. Offerdahl was President and Chief Executive Officer of Traq-Wireless, Inc., a provider of on-demand mobile resource management software and services to enterprises. From 1998 to 2001, Mr. Offerdahl served as Chief Operating Officer and Chief Financial Officer of Pervasive Software, Inc., a developer and marketer of data management solutions for independent software vendors, and as Chief Financial Officer from 1996 to 1998. From 1993 to 1996, Mr. Offerdahl served as Chief Financial Officer and Vice President of Administration of Tivoli Systems, Inc., a developer and marketer of systems management software, which was acquired by International Business Machines in March 1996. Mr. Offerdahl holds a B.S. in Accounting from Illinois State University and an M.B.A. in Management and Finance from The University of Texas at Austin.

Marc Cannon

Mr. Marc Cannon has been appointed as Executive Vice President - Client Services of Bazaarvoice Inc., effective May 2, 2013. With more than 20 years of global consulting experience, Cannon most recently served as vice president of services at Blackbaud, where he led an organization of more than 400 consultants providing CRM strategy and implementation services for thousands of clients in the non-profit sector.

Ari Paparo

Mr. Ari Paparo has been appointed as Senior Vice President - Media Products of Bazaarvoice, Inc. effective January 14, 2013. Mr. Paparo is a six-year veteran of Google and DoubleClick, where he was the Director of Product Management at Google's DoubleClick business. Ari is well known in the online advertising community for his authorship of the VAST (Video Ad Serving Template) specification for online video and his development of an online gross ratings point (GRP) model for Nielsen. He is a frequent contributor to AdAge.com and other industry publications as well as a speaker at advertising industry conferences. Immediately prior to Bazaarvoice, Mr. Paparo was the Senior Vice President of Product Management for AppNexus, where he launched the digital advertising industry's first apps marketplace and helped the company grow more than 400 percent in 18 months.

Bryan Barksdale

Mr. Bryan C. Barksdale is General Counsel and Secretary of Bazaarvoice Inc. He has served as General Counsel since August 2010 and as Secretary since February 2011. Prior to joining the Company, Mr. Barksdale practiced corporate and securities law at Wilson Sonsini Goodrich & Rosati, Professional Corporation, from February 2005 to August 2010 where he represented Bazaarvoice from its inception in May 2005. Mr. Barksdale previously practiced corporate and securities law with Brobeck, Phleger & Harrison LLP and with Andrews Kurth LLP. Mr. Barksdale holds a B.A. in psychology from the University of Texas at Austin, an M.Ed. from the University of Mississippi and a J.D. from Washington & Lee University.

Ryan Robinson

Mr. Ryan D. Robinson is Chief People Officer of Bazaarvoice Inc., since April 2012. Prior to joining the Company, Mr. Robinson served from November 2011 to March 2012 as Vice President Human Resources at Hewlett-Packard Company, or HP, over the global technology and business process organization. From August 2008 to October 2011, Mr. Robinson served as Vice President Human Resources over HP’s global functions, including finance, information technology, legal, strategy and technology, and global business services. From May 2006 to July 2008, Mr. Robinson served as Vice President Human Resources for HP’s global information technology organization. Mr. Robinson previously served as Vice President Human Resources over talent management, leadership development and internal communications at Compaq Computer Corporation. Mr. Robinson holds a B.S. in organizational communications and an M.A. in human resource development from the University of Texas at Austin.

Abhishek Agrawal

Mr. Abhishek Agrawal is Independent Director of Bazaarvoice Inc., since May 22, 2012. Mr. Agrawal is a principal at General Atlantic, a global growth equity firm, where he has worked since 2006. Mr. Agrawal focuses on investments in the Internet and technology sectors and has been closely involved in many of General Atlantic’s Internet and digital media investments. Neeraj Agrawal

Mr. Neeraj Agrawal is Independent Director of Bazaarvoice Inc., since September 2007. He is a member of audit committee since November 2008. He is currently a general partner at Battery Ventures. Mr. Agrawal joined Battery Ventures in 2000 and became a general partner in May 2007. Prior to his time at Battery Ventures, Mr. Agrawal served as an operating executive at Sky TV Latin America, a News Corp. subsidiary. He has also worked as a management consultant at Booz Allen Hamilton Inc. He holds a B.S. in computer science from Cornell University and an M.B.A. from Harvard Business School.

Ms. Sydney L. Carey has been appointed as Independent Director of Bazaarvoice, Inc., effective April 4, 2012. She has served as executive vice president and chief financial officer of TIBCO Software, Inc. since January 2009 and has served in various capacities with TIBCO since January 2004. From February 2002 to January 2004, Ms. Carey was Chief Financial Officer of Vernier Networks. From December 2000 until February 2002, Ms. Carey was Chief Financial Officer of Pacific Broadband Communications. Dev Ittycheria

Mr. Dev C. Ittycheria is Independent Director of Bazaarvoice Inc., since January 2010. Mr. Ittycheria served as the Senior Vice President, President of Enterprise Service Management of BMC Software, Inc. from November 2008 to February 2010 and as Senior Vice President, Strategy and Corporate Development from April 2008 to October 2008. Prior to his time at BMC, Mr. Ittycheria was co-founder, President, Chief Executive Officer, and a member of the board of directors of BladeLogic, Inc. from August 2001 to April 2008, which was acquired by BMC in April 2008. Prior to founding BladeLogic, Mr. Ittycheria held several management positions in technology companies, including Senior Vice President and General Manager of the application service provider division of Breakaway Solutions, Co-founder, President and CEO of Applica Incorporated, and various senior positions in the data communications business of AT&T and Teleport Communications Group. Mr. Ittycheria currently serves on the board of directors of athenahealth, Inc. He holds a B.S. in electrical engineering from Rutgers University. Mr. Ittycheria was named the Ernst & Young Entrepreneur of the Year for New England in 2004.

Edward Keller

Mr. Edward B. Keller is Independent Director of Bazaarvoice Inc., since May 2006. Mr. Keller is the current Chief Executive Officer of Keller Fay Group LLC, a marketing research and consulting company dedicated to word-of-mouth marketing, which he co-founded and joined in December 2005. Mr. Keller’s career in marketing and media research spans more than 30 years. Prior to founding the Keller Fay Group, Mr. Keller served as Chief Executive Officer of market research firm RoperASW, which was acquired by NOP World Ltd. and then by GfK Custom Research North America, and previously as that company’s President and Chief Operating Officer. Mr. Keller is a former member of the board of directors of the Word-of-Mouth Marketing Association, where he is a past president of the board. He is also a past president of the Market Research Council and a former board member of the Advertising Research Foundation. Mr. Keller is also an author and frequent lecturer regarding word-of-mouth marketing. Mr. Keller holds a B.A. in communications from the University of Pennsylvania and an M.A. in communications from the Annenberg School for Communications at the University of Pennsylvania.

Christopher Pacitti

Mr. Christopher A. Pacitti is Independent Director of Bazaarvoice Inc., since August 2005. He is currently a general partner at Austin Ventures. Mr. Pacitti joined Austin Ventures as a partner in 1999 and became a general partner in 2001. Prior to his time at Austin Ventures, Mr. Pacitti was a vice president at TL Ventures and was also a co-founder and Chief Operating Officer of a technology company that developed chemical industrial applications. Mr. Pacitti currently serves on the boards of directors of a number of private companies and venture capital industry organizations. He holds a B.A. in economics from Johns Hopkins University.
