Name Description

Aubrey Patterson

 Mr. Aubrey B. Patterson, Jr., is Chairman of the Board of BancorpSouth Inc., and the BancorpSouth Bank. He served as the Chief Executive Officer from 1991 to 2012, Chief Executive Officer and President from 1990 to 1991, and President and Chief Operating Officer from 1983 to 1990. Mr. Patterson also serves on the Board of Directors of Furniture Brands International, Inc. (NYSE: FBN), a furniture manufacturer. In 2010, Mr. Patterson was named to the Board of Directors of The Financial Services Roundtable, a premier executive forum for leaders in the financial services industry. Mr. Patterson has held numerous positions in professional leadership, including service as Chairman of the American Bankers Association, President of the Mississippi Bankers Association, Chairman of the University of Mississippi Business Advisory Council and as Chairman of the Bankers Advisory Council of the Conference of State Bank Supervisors, a national organization that oversees state-chartered banking. Mr. Patterson has served as Chairman of the Community Development Foundation, North Mississippi Health Services, Inc. and the Mississippi Economic Council, the University of Mississippi Foundation, CREATE Inc. and the Mississippi Partnership for Economic Development. In 2004, Mr. Patterson was appointed to an 11-year term on the Mississippi Board of Trustees of the Institutions of Higher Learning.

James Kelley

 Mr. James V. Kelley is President, Chief Operating Officer, Director of BancorpSouth Inc. He has served as President and Chief Operating Officer since the company's merger with First United Bancshares, Inc. in 2000. Prior to the merger, Mr. Kelley served as Chairman, President and Chief Executive Officer of First United Bancshares. He was Chairman and Chief Executive Officer of First National Bank in El Dorado, Arkansas from 1985 to 2000. Mr. Kelley is a director of Murphy Oil Corporation (NYSE: MUR), Blue Cross/Blue Shield of Arkansas and North Mississippi Health Services, Inc. He has served on the company's Board of Directors since 2000.

James Rollins

 Mr. James D. Rollins, III, is Chief Executive Officer, Director of BancorpSouth Inc. Prior to that, he served as President and Chief Operating Officer of Prosperity Bancshares, Inc., headquartered in Houston, Texas, and director of Prosperity Bancshares from 2006 to 2012. Mr. Rollins served as Senior Vice President of Prosperity Bancshares from 2001 until 2006, and became President of Prosperity Bank in 2005. He served as Executive Vice President of Prosperity Bank from 2002 to 2004 and President of the Matagorda Banking Centers of Prosperity Bank from 1994 to 2002. From 1983 to 1994, Mr. Rollins worked for First State Bank and Trust Company in Port Lavaca and Bay City, Texas.

William Prater

 Mr. William L. Prater is Chief Financial Officer, Treasurer of BancorpSouth Inc. He is Executive Vice President, Chief Financial Officer and Cashier of BancorpSouth Bank since June 30, 2009. Mr. Prater joined the Company on September 1, 2008 and served as Executive Vice President until June 30, 2009. Prior to joining the Company, Mr. Prater most recently served as Executive Vice President of Finance at Regions Bank.

Cathy Freeman

 Mrs. Cathy S. Freeman is Executive Vice President, Corporate Secretary of Bancorpsouth Inc., and BancorpSouth Bank. Mrs. Freeman had served as First Vice President and Corporate Secretary of the Company and the Bank or Senior Vice President and Corporate Secretary of the Company and the Bank for at least one year prior to January 2008, when she was named Executive Vice President of the Company and the Bank.

James Hodges

 Mr. James Ronald Hodges is Executive Vice President of Bancorpsouth Inc. He is Vice Chairman and Chief Lending Officer of BancorpSouth Bank. Mr. Hodges had served as Regional and Area Loan Administrator for at least four years prior to April 2010, when he was named Senior Executive Vice President of the Bank and Deputy to the Company’s Chief Lending Officer. Mr. Hodges served in that capacity until September 2011, when he was named Executive Vice President of the Company and Vice Chairman and Chief Lending Officer of the Bank.

Gordon Lewis

 Mr. Gordon Ray Lewis is Executive Vice President of BancorpSouth Inc. He is Vice Chairman of BancorpSouth Bank since December 2007. Mr. Lewis had served as Louisiana/Texas Region President of BancorpSouth Bank for at least one year prior to December 2007.

W. James Threadgill

 Mr. W. James Threadgill, Jr., is Executive Vice President of BancorpSouth Inc. He is Vice Chairman of BancorpSouth Bank. He has been in these positions for at least the past five years.

Carol Waddle

 Ms. Carol Ann Waddle is Executive Vice President of Bancorpsouth Inc. She is Executive Vice President, Audit and Loan Review of BancorpSouth Bank. Ms. Waddle had served as Senior Vice President and General Auditor of the Company for at least three years prior to January 27, 2010, when she was named Senior Vice President of the Company and Senior Vice President, Audit and Loan Review of the Bank. Alan Perry

 Mr. Alan W. Perry is Director of BancorpSouth, Inc. He is an attorney with the law firm Forman Perry Watkins Krutz & Tardy LLP. Mr. Perry is a member of the Board of Trustees of Mississippi Institutions of Higher Learning and a Trustee of The Robert M. Hearin Foundation and The Robert M. Hearin Support Foundation, charitable foundations with the primary purpose of supporting colleges and universities in Mississippi. He is a former member of the Standing Committee on Rules of Practice and Procedure of the Judicial Conference of the United States and served as Law Clerk to Judge Charles Clark, United States Court of Appeals, Fifth Circuit.

James Campbell

 Mr. James E. Campbell, III, is Independent Director of BancorpSouth, Inc. He is the President and Chief Operating Officer of H+M Company, Inc., a company that provides engineering and construction-related services with aggregate annual sales. Mr. Campbell’s experience in retail distribution, institutional and heavy industrial projects in all areas of the United States provides him with insight into the areas of asset quality, particularly real estate development and construction risk, trust and brokerage, insurance and personnel.

Grace Clark

 Ms. Grace Clark is Independent Director of Bancorpsouth Inc. She has been a Director of North Mississippi Health Services, where she has served on the Quality Standards Committee, since 2007 and is a Partner of Borrowed Thyme, LLC, a catering and prepared foods business. Ms. Clark served as President of Healthcare Foundation of North Mississippi from 2001 to 2002 and United Way of North Mississippi from 2001 to 2002, and continues to serve on the Boards of Directors for both organizations. She has also served as the Chairman and Treasurer of the CREATE Foundation.

Hassell Franklin

 Mr. Hassell H. Franklin is Independent Director of BancorpSouth, Inc. He is the Chief Executive Officer and founder of Franklin Corporation, one of the privately owned furniture manufacturers in the United States. Wilbert Holliman

He served as the Chairman of the Board and Chief Executive Officer from 1996 to 2005 of Hancock Fabrics, Inc., a publicly held fabric retailer and wholesaler, and as the President and Chief Financial Officer of Hancock Fabrics from 1989 to 1996. In addition, Mr. Kirk has served as the Chairman of several non-profit community organizations, such as Community Development Foundation and CREATE, Inc. He also serves as a director of Health Link, Inc. and Acclaim, Inc.

Turner Lashlee

 Mr. Turner O. Lashlee is Independent Director of BancorpSouth Inc. He is is the Chairman of the Board of Lashlee, Inc., a general construction company. Mr. Lashlee has almost 50 years of bank board experience. Mr. Lashlee has been in the commercial and industrial construction business for over 50 years and has served on the Board of Directors since 1992.

Guy Mitchell

 Mr. Guy W. Mitchell, III, is Independent Director of BancorpSouth, Inc. He is an attorney with the law firm Mitchell, McNutt & Sams, P.A. Mr. Mitchell has been active in the practice of law since 1972. He has continually served on the Board of Directors of his law firm since 1976. Mr. Nolan is also Managing Member of Munoco Company L.C., oil and gas exploration and production company. Mr. Nolan has served on the Board of Directors since the merger with First United Bancshares, Inc. in 2000, and had served on the Board of Directors of First United Bancshares since 1982.

W. Cal Partee

 Mr. W. Cal Partee, Jr., is Independent Director of BancorpSouth, Inc. He is a senior partner of Partee Flooring Mill, LLP, an oil and lumber production company, and has been responsible for its daily operation of business and timber and land investments for approximately 40 years.
