Biographies

Name Description

James Rollins

Mr. James D. Rollins, III, serves as Chairman of the Board and Chief Executive Officer of BancorpSouth, Inc. He has served as Chairman of the Board since April 2014 and Chief Executive Officer since November 2012. Prior to that, he served as President and Chief Operating Officer of Prosperity Bancshares, Inc., headquartered in Houston, Texas, and director of Prosperity Bancshares from 2006 to 2012. Mr. Rollins served as Senior Vice President of Prosperity Bancshares from 2001 until 2006, and became President of Prosperity Bank in 2005. He served as Executive Vice President of Prosperity Bank from 2002 to 2004 and President of the Matagorda Banking Centers of Prosperity Bank from 1994 to 2002. From 1983 to 1994, Mr. Rollins worked for First State Bank and Trust Company in Port Lavaca and Bay City, Texas. Mr. Rollins brings to the Board valuable banking knowledge from his years of service in the financial services industry, particularly his experience on the senior management team and as a director of a public bank holding company.

Chris Bagley

Mr. Chris A. Bagley is the President and Chief Operating Officer of the Company. He joined BancorpSouth earlier this year as an Executive Vice President, was previously a named executive officer and Chief Credit Officer of Prosperity Bancshares, Inc. in Houston, Texas. Chris Bagley has over 31 years of experience in commercial banking. He has served as a named executive officer at a publicly traded financial holding company, where he served on the 7 person executive committee which directed and oversaw all bank lending and operations. During his career, he has also served as a regional loan concurrence officer, a voting member of the senior loan committee, member of the operations and BSA risk committee(s), and was the lending liaison for the fair lending component of compliance exams. He has also served as a member of the board of directors for a publicly traded financial holding company. Prior to joining Prosperity Bank, he worked at both Texas Commerce Bank as a commercial lender and Bank of Almeda where he served in various key roles including, Internal Auditor, Compliance Officer, commercial lender, and ultimately as the as the bank’s Chief Lending Officer as well as serving on the bank and holding company board of directors. Bagley received a Bachelor of Business Administration from Stephen F. Austin State University and a Master of Business Administration from the University of Houston. He presently serves as an advisory board member of the University of Houston banking certificate program through the Bauer College of Business.

John Copeland

Mr. John G. Copeland is appointed as Senior Executive Vice President, Chief Financial Officer and Treasurer of the Company and the Bank effective June 1, 2017. He has more than 35 years of executive management experience with regional financial institutions. Prior to joining the Company and the Bank, Mr. Copeland served as the Executive Vice President and Chief Financial Officer of Evolve Bank & Trust, a privately-held bank headquartered in Memphis, Tennessee, from 2014 to 2017. Prior to joining Evolve, Mr. Copeland served as the Chief Financial Officer of First M&F Corporation from 2004 to 2014, First United Bancshares from 1999 to 2000, and a subsidiary of Union Planters Corporation from 1991 to 1999. Mr. Copeland received a Bachelor of Business Administration in Accounting from Memphis State University. He is a Certified Public Accountant licensed in the State of Tennessee and a member of the American Institute of Certified Public Accountants and the Tennessee Society of Certified Public Accountants.

Cathy Freeman

Mrs. Cathy S. Freeman serves as Senior Executive Vice President and Chief Administrative Officer since 2014. Prior to that, she served as Executive Vice President of the Company and the Bank for at least the past five years. Most recently, Mrs. Freeman was promoted to Senior Executive Vice President.

Jeffrey Jaggers

Mr. Jeffrey W. Jaggers is the Senior Executive Vice President and Chief Information Officer of the Company. He was promoted to Senior Executive Vice President and Chief Information Officer effective January 2, 2017 upon Mr. Threadgill’s retirement. Prior to being promoted Mr. Jaggers served as Executive Vice President and Chief Information Officer starting in 2012. In 2012, Mr. Jaggers served as Senior Vice President of Operation Administration.

Charles Pignuolo

Mr. Charles J. Pignuolo serves as Senior Executive Vice President and General Counsel of BancorpSouth, Inc., and BancorpSouth Bank ., a subsidiary of BancorpSouth, Inc. previously practiced law at Devlin and Pignuolo, P.C. since 1981 and focused his practice on construction law, real estate, bank lending and mortgage lending in both transactional and litigation matters as well as mediation and arbitration. His experience includes class action litigation for mortgage lenders, litigation and arbitration for builders, mortgage compliance matters, creation of and litigation for ten-year builder warranty programs, contract drafting for builders and developers and other business matters for clients in the building, real estate and lending industries. Mr. Pignuolo is rated AV Preeminent by Matindale Hubbell, the highest ranking possible. He is a Texas Bar Foundation Life Fellow and has served on various committees for the Texas Association of Builders and the Texas Mortgage Bankers Association. Mr. Pignuolo was counsel of record for the prevailing parties in the case of O’Sullivan v. Countrywide Home Loans, Inc., a class action involving RESPA Section 8 violations and Texas State Unauthorized Practice of Law violations. He also represented the winning party in three Appellate Court actions under the Texas Residential Construction Liability Act. Mr. Pignuolo represented the builders association (or their subsidiaries) for Houston, Dallas, Fort Worth, San Antonio and Austin in the HOW Limited Warranty Receivership litigation in both Virginia and Texas. Mr. Pignuolo has represented clients on matters throughout the United States and in Europe.

James Hodges

Mr. James Ronald Hodges is no longer Senior Executive Vice President and Chief Credit Officer effective October 6, 2017. Mr. Hodges had served as Regional and Area Loan Administrator for at least two years prior to April 2010, when he was named Senior Executive Vice President of the Bank and Deputy to the Company’s Chief Lending Officer. Mr. Hodges served in that capacity until September 2011, when he was named Executive Vice President of the Company and Vice Chairman and Chief Lending Officer of the Bank. Most recently, Mr. Hodges was promoted to Senior Executive Vice President and Chief Credit Officer in 2014.

Gus Blass

Mr.Gus J. Blass III serves as an Independent Director of BancorpSouth, Inc. He is the General Partner of Capital Properties, LLC, an investment management company with which he has been associated for over 30 years. Mr. Blass has served on the boards of directors for public, non-public as well as non-profit organizations. Mr. Blass qualifies as an “audit committee financial expert” as defined under Securities and Exchange Commission regulations. Mr. Blass brings business knowledge and experience in real estate development to the Board. He also possesses significant and important institutional knowledge and an understanding of financial services industry issues through his service as a director of BancorpSouth Bank.

Shannon Brown

Mr. Shannon A. Brown is an Independent Director of BancorpSouth, Inc. He is the Senior Vice President, Chief Human Resources and Diversity Officer for FedEx Express, a wholly owned subsidiary of FedEx Corporation, the largest express transportation company in the world. Mr. Brown has been associated with FedEx for more than 30 years. Prior to holding his position at FedEx Express, Mr. Brown was the Senior Vice President, Human Resources with FedEx Ground from 2005 to 2008. Mr. Brown brings to the Board valuable practical business skills, as shown in his career advancement at FedEx from package handler to his current role as Senior Vice President, and Chief Human Resources and Diversity Officer. Mr. Brown also possesses extensive leadership and development skills, as well as expertise in recruitment, employee benefits and compensation. He also possesses an understanding of financial services industry issues through his service as a director of BancorpSouth Bank.

James Campbell

Mr. James E. Campbell, III, is Independent Director of BancorpSouth, Inc. He is the Chief Executive Officer of H+M Company, Inc., a company that provides engineering and construction-related services with aggregate annual sales of $500 million and employs over 600 individuals. Mr. Campbell’s experience in retail distribution and institutional and heavy industrial projects in all areas of the United States provides him with insight into the areas of asset quality, particularly real estate development and construction risk, trust and brokerage, insurance and personnel. Mr. Campbell brings executive decision-making and risk assessment skills to the Board as a result of his experience in the construction industry. His experience in real estate development and construction is especially important in light of the composition of our loan portfolio. He also possesses significant and important institutional knowledge and an understanding of financial services industry issues through his service as a director of BancorpSouth Bank.

Deborah Cannon

Ms. Deborah M. Cannon is a Independent Director of BancorpSouth, Inc. She is the former President and Chief Executive Officer of Houston Zoo, Inc. from 2005 to 2015. From 1974 to July 2004, Mrs. Cannon served in a number of different positions with Bank of America, including as Executive Vice President and President of the Houston Region. Mrs. Cannon qualifies as an “audit committee financial expert” as defined under Securities and Exchange Commission regulations. Mrs. Cannon brings to the Board valuable banking knowledge from her years of service in the financial services industry. She also brings valuable leadership and civic involvement to the Board through her service as a director of BancorpSouth Bank.

Warren Hood

Mr. Warren A. Hood, Jr., serves as an Independent Director of BancorpSouth, Inc. He has served and continues to serve on numerous community and philanthropic boards. Mr. Hood is currently the Chairman and Chief Executive Officer of Hood Companies, Inc., a corporation with 60 manufacturing and distribution sites throughout the United States, Canada, and Mexico. Mr. Hood qualifies as an “audit committee financial expert” as defined under Securities and Exchange Commission regulations. Mr. Hood brings a wealth of governance and strategic planning experience, as well as skills navigating financial statements and financial disclosure issues, gained through his service on the board and the audit committee of another New York Stock Exchange listed company. He also possesses significant and important institutional knowledge and an understanding of financial services industry issues through his service as a director of BancorpSouth Bank.

Keith Jackson

Mr. Keith J. Jackson serves as an Independent Director of Bancorpsouth Inc. He is the President of Positive Atmosphere Reaches Kids, a non-profit organization founded by Mr. Jackson in 1993 that is headquartered in Little Rock, Arkansas, and works with at-risk youth to provide positive reinforcement for success. Mr. Jackson brings valuable leadership and civic involvement to the Board. He also possesses significant and important institutional knowledge and an understanding of financial services industry issues through his service as a director of BancorpSouth Bank.

Larry Kirk

Mr. Larry G. Kirk serves as an Independent Director of BancorpSouth, Inc. He served as the Chairman of the Board of both publicly held and non-profit organizations. Mr. Kirk currently serves as Chairman of the Audit Committee, a position he has held since 2003. Mr. Kirk qualifies as an “audit committee financial expert” as defined under Securities and Exchange Commission regulations. Mr. Kirk brings financial expertise and public accounting knowledge to the Board. He also possesses practical business experience as the former Chief Financial Officer and then Chief Executive Officer of a public company. He also possesses significant and important institutional knowledge and an understanding of financial services industry issues through his service as a director of BancorpSouth Bank.

Guy Mitchell

Mr. Guy W. Mitchell, III, serves as an Independent Director of BancorpSouth, Inc. He is an attorney with the law firm Mitchell, McNutt & Sams, P.A. Mr. Mitchell has been active in the practice of law since 1972. During the course of his career, Mr. Mitchell has advised numerous corporate clients concerning the risks involved in the operation of their businesses, industries, partnerships and associations. In his previous directorships Mr. Mitchell’s duties were in the areas of analyzing financial results of operations, setting budgets, reviewing and approving compensation plans, and risk assessments. Mr. Mitchell represented the City of Tupelo, Mississippi as general counsel for over 30 years. Mr. Mitchell brings to the Board an extensive background in law, executive decision making and risk assessment skills resulting from his experience as an attorney and as a board member of numerous companies and charitable organizations. He also possesses significant and important institutional knowledge and an understanding of financial services industry issues through his service as a director of BancorpSouth Bank.

Alan Perry

Mr. Alan W. Perry is an Independent Director of BancorpSouth, Inc. He is an attorney with the law firm Bradley Arant Boult Cummings, LLP. Prior to February 2015, Mr. Perry was a member of the law firm Forman Perry Watkins Krutz & Tardy LLP for 28 years. Mr. Perry serves on the boards of two charitable foundations with the primary purpose of supporting colleges and universities in Mississippi. He is a former member of the Standing Committee on Rules of Practice and Procedure of the Judicial Conference of the United States and served as Law Clerk to Judge Charles Clark, United States Court of Appeals, Fifth Circuit. Mr. Perry brings a wealth of legal, governance and risk management skills to the Board, gained both as a board member and as an attorney representing corporate boards. He also possesses significant and important institutional knowledge and an understanding of financial services industry issues through his service as a director of BancorpSouth Bank.

Thomas Stanton

Mr. Thomas R. Stanton is an Independent Director of BancorpSouth, Inc. He has served as Chief Executive Officer of ADTRAN, Inc. since 2005 and Chairman of the Board since 2007. Prior to joining ADTRAN, Inc., he served as an executive for Transcrypt International, Inc. and held several senior management positions with the E. F. Johnson Company. Mr. Stanton brings technological experience to our Board as the Chairman and Chief Executive Officer of a public company. He also possesses important institutional knowledge and an understanding of financial services industry issues through his service as a director of BancorpSouth Bank.
