Name Description

Douglas Oberhelman

Mr. Douglas R. Oberhelman is Chairman of the Board, Chief Executive Officer of Caterpillar Inc. Prior to his current position, Mr. Oberhelman served as Vice Chairman and Chief Executive Officer-Elect and as a Group President of Caterpillar Inc. Other current directorships: Eli Lilly and Company. Other directorships within the last five years: Ameren Corporation. Mr. Oberhelman has been a director of the Company since 2010.

Bradley Halverson

Mr. Bradley M. Halverson is Group President, Chief Financial Officer of Caterpillar Inc., since January 1, 2013. Mr. Halverson was elected to his current position as a Vice President of the Company in 2010 with responsibility for the Finance Services Division. As Vice President, his primary responsibilities included management and oversight of the accounting, finance, treasury and tax functions of the Company, reporting directly to Mr. Rapp. During his 25 year career, Mr. Halverson has held a number of positions with increasing responsibilities. After gaining auditing and tax experience with the former Price Waterhouse firm (now PricewaterhouseCoopers LLP), he joined the Company in 1988 as an accountant. In 1993, he moved to Geneva, Switzerland, as a strategy and planning consultant with Caterpillar Overseas, S.A. (“COSA”), and in 1995 was named the Controller for COSA with responsibility for financial reporting in EAME. Following Mr. Halverson’s return to the United States in 1996, he became the General Accounting & Finance Systems Manager, and from 1998 to 2002, he was the Business Resource Manager for the Company’s Engine Division. He was the Corporate Business Development Manager before becoming the Company’s Corporate Controller in December 2004, a position which he held until his election as Vice President for the Finance Services Division.

Stuart Levenick

Mr. Stuart L. Levenick is Group President - Customer and Dealer Support of Caterpillar Inc. He has administrative responsibility for Customer and Dealer Support for Caterpillar Inc., which includes Europe-Africa-Middle East, Americas and Asia Pacific Distribution divisions, Remanufacturing and Components, Customer Services Support and Parts Distribution and Logistics. Levenick brings a background in marketing and general management as well as broad global experience from the United States, Canada, Russia, Asia Pacific and Japan. Levenick joined Caterpillar as a sales and marketing development representative in 1977. After serving in various management positions in marketing, commercial management and product source planning, he became a division manager in 1989, regional manager for Cat Asia Pte. Ltd. in 1995 and general manager for company operations in the Commonwealth of Independent States (CIS) in 1998. Prior to becoming group president, he served as vice president of Caterpillar's Asia Pacific Division and chairman of Shin Caterpillar Mitsubishi Ltd. (SCM), formerly a Tokyo, Japan-based joint venture between Caterpillar and Mitsubishi Heavy Industries Ltd., now Caterpillar Japan Ltd. (CJL). Levenick graduated from the University of Illinois with a Bachelor of Science degree in forestry and is a Sloan Fellow with a Master of Science degree in management from the Massachusetts Institute of Technology.

Edward Rapp

Mr. Edward J. Rapp is Group President - Construction Industries of Caterpillar Inc. since January 1, 2013. He has responsibility for the Finance Services Division, Human Services Division, Global Information Services Division, Global Purchasing Division and Financial Products Division, as well as Strategy & Business Development, Corporate Auditing and Investor Relations. Since joining Caterpillar as a pricing analyst in 1979, Rapp has held positions related to pricing, production scheduling, marketing, dealer development, manufacturing and product development. In 1987, he transferred to the North American Commercial Division where he held positions in Planning Support and as district manager of the San Francisco district. He later transferred to Johannesburg, South Africa, as area manager and then on to Geneva, Switzerland, where he was the department manager in Building Construction Products, and Europe Region Manager. In 2000, Rapp became an Officer of Caterpillar as the vice president of the Europe-Africa-Middle East (EAME) Marketing Division. Prior to becoming a group president in 2007, Rapp served as vice president of Caterpillar's Building Construction Products (BCP) Division, based in Cary, N.C. Rapp has a B.A. in finance from the University of Missouri-Columbia and is a graduate of the University of Illinois Executive Development program. He is a member of the board of directors of FMGlobal and Junior Achievement (J.A.) USA. Rapp is also a member of the University of Missouri College of Business Strategic Development Board.

D. James Umpleby

Mr. D. James Umpleby III is Group President - Energy & Power Systems of Caterpillar Inc., since January 1, 2013. He was elected to his current position as a Vice President of the Company and President of Solar Turbines Incorporated (“Solar”), in 2010. During his 32 year career, Mr. Umpleby has held a number of positions with increasing responsibilities. Mr. Umpleby joined Solar in 1980 as an associate engineer and over the next fifteen years, he held various engineering and sales positions with responsibilities in the U.S. and Asia. In 1995, he became the Director of Power Systems Operations and Facility Manager of Solar’s Kearny Mesa gas turbine packaging facility. In 1997, he became a Solar Vice President with responsibility for customer services, followed by responsibilities as Vice President of Turbomachinery Products and Power Generation. In 2005, Mr. Umpleby assumed responsibilities as the General Manager, Global Services in the Product Support Division. He was named Solar’s Vice President for Oil and Gas in 2007, a position which he held until his election as Vice President of the Company and President of Solar.

Steven Wunning

Mr. Steven H. Wunning is Group President - Resource Industries of Caterpillar Inc. He has administrative responsibility for the Resource Industries Group, which includes Advanced Components and Systems Division, Diversified Products Division, Integrated Manufacturing Operations Division, Global Mining Division and Product Development and Global Technology Division. He is also responsible for manufacturing excellence through the Caterpillar Production System and the integration of the newly acquired Bucyrus International Inc. Since joining Caterpillar in 1973, Wunning has held numerous positions with increasing responsibility in the areas of quality, manufacturing, product support and logistics. In 1987, he was one of the first employees in the newly formed subsidiary Caterpillar Logistics Services, Inc. (Cat Logistics), which was established to leverage Caterpillar's by providing logistics services to other companies. He became vice president of Cat Logistics in 1990 and president in 1994. In 1998, Wunning was named corporate vice president with responsibility for the Logistics and Product Services Division. In 2000, he became corporate vice president with responsibility for Cat Logistics, which combined all of the internal Caterpillar and external client logistics operations into a single unit. In 2004, the Caterpillar Board of Directors named Wunning to group president. Wunning has a bachelor's degree from the University of Missouri Rolla - now Missouri University of Science and Technology - and an Executive MBA from the University of Illinois.

James Buda

Mr. James B. Buda is Executive Vice President - Law and Public Policy of Caterpillar Inc. Mr. Buda joined Caterpillar in 1987 as an attorney in the legal department. He has served in a number of senior corporate attorney positions and was named Associate General Counsel in 1996. In 1999, Buda assumed the position of Associate General Counsel for the Legal Services Division in the United Kingdom legal office. He has held his current position since 2001. Mr. Buda has a Bachelor's degree from Ball State University, a Law Degree from the University of Notre Dame and completed a Harvard University executive program. Ms. Jananne A. Copeland is Chief Accounting Officer of Caterpillar Inc. She served as Corporate Controller of the company until Dec. 13, 2012.
