Name Description

P. Strone Macpherson

Mr. P. Strone S. Macpherson is Non-Executive Chairman of the Board of Close Brothers Group PLC. Strone was appointed a director in March 2003, senior independent director in 2004, deputy chairman in 2006 and chairman in June 2008. He is chairman of the Nomination and Governance Committee. Strone is also chairman of British Empire Securities and General Trust plc, a governor of Heriot-Watt University and a trustee of the King’s Fund. Formerly he was a director of Flemings, chairman of Tribal Group plc and of JP Morgan Smaller Companies Investment Trust plc, executive deputy chairman of Misys plc and a non-executive director of AXA UK plc and of Kleinwort Benson Private Bank Limited.

Preben Prebensen

Mr. Preben Prebensen is Chief Executive, Executive Director of Close Brothers Group PLC. Preben was appointed to the board as chief executive in April 2009 when he joined Close Brothers. Preben previously spent his career in a number of senior positions at JP Morgan over 23 years, as well as being chief executive of Wellington Underwriting plc from 2004 to 2006, and then chief investment officer and a member of the group executive committee at Catlin Group Limited.

Tazim joined Close Brothers in July 2009 as Group Head of Corporate Development with responsibility for strategy analysis, development initiatives and group acquisitions and disposals. She previously held similar roles at Royal Bank of Scotland Group, General Electric and Misys helping each of these businesses grow across Europe and the US, mainly through acquisition. Prior to that she worked at West LB, having started her professional career at Ernst and Young.

Oliver Corbett

Mr. Oliver R. P. Corbett has been appointed as Independent Non-Executive Director of Close Brothers Group Plc., with effect from 3 June 2014. Oliver Corbett was group chief financial officer of LCH.Clearnet Group Limited until May 2014 and has been a non-executive director of Rathbone Brothers plc since March 2006. He is a Chartered Accountant and worked for SG Warburg, Phoenix Securities (later Donaldson Lufkin Jenrette) and Dresdner Kleinwort Wasserstein, where he was managing director of investment banking. He was group finance director of Novae Group plc from October 2003 to November 2012.

Mr. Geoffrey M. T. Howe is Independent Non-Executive Director of Close Brothers Group PLC. Geoffrey was appointed a director in January 2011. Geoffrey is chairman of Nationwide Building Society and of Jardine Lloyd Thompson Group plc. Formerly he was chairman of Railtrack plc, a non-executive director of Investec plc and of JP Morgan Overseas Investment Trust plc, a director of Robert Fleming Holdings Limited and a managing partner of Clifford Chance.

Lesley Jones

Ms. Lesley Jones has been appointed as Independent Non-Executive Director of the Company effective December 23, 2013. She has also been appointed as the member of the Remuneration, Audit, Risk and Nomination and Governance Committees. Lesley Jones is currently Group Chief Credit Officer of Royal Bank of Scotland plc, a role she has held since 2008 and from which she will be retiring at the end of January 2014. She has extensive banking experience, having held several line management positions within Citigroup from 1978 to 2008. From 2010 to 2011, Lesley was also a non-executive director of Rowan Drilling Norway ASA (formerly Skeie Drilling ASA).

Bridget Macaskill

Ms. Bridget Ann Macaskill has been appointed as Independent Non-Executive Director of Close Brothers Group plc., effective November 21, 2013. She has extensive investment management experience, most recently at First Eagle Investment Management LLC an independent, privately owned asset management firm with $85 billion in long only and hedge fund assets where she is President and Chief Executive Officer.
