Name Description

Hanson Sindowe

Mr. Hanson Sindowe has served as Non-Executive Chairman of the Board of Copperbelt Energy Corporation PLC since October 2006. He has over 25 years of experience in the mining industry. He has experience at senior management level, having previously worked as General Manager of ZCCM Power Division and Managing Director of Zambia Railways. He holds a degree in Electrical Engineering from the University of Zambia. He also holds senior management certificates from Penn State University (USA) and Ashridge College of Management (United Kingdom). He led the Zam-En team in the acquisition of the controlling interest in CEC in 2006. He sits on the following boards: Batoka Energy Holding Limited, Green Trade Limited, Zambia Energy Corporation (Ireland) Limited, Zambia Energy Corporation Limited, Madison General Insurance Company Zambia Limited, CEC Liquid Telecommunications Limited, Realtime Technology Alliance Africa Limited, Sinazongwe Energy Corporation Limited and CEC Kabompo Hydro Power Limited. He also serves as Chairman of the Nominations Committee, Member of the Investment Committee, and Member of the Executive Committee of the Company.

Munakupya Hantuba

Mr. Munakupya (Muna) Hantuba serves as Non-Executive Vice Chairman of the Board of Copperbelt Energy Corporation PLC. He started serving as Non-Executive Director of the Company on March 2008. He is an Economist, and has been Chief Executive Officer of African Life Financial Services for the last eight years. Prior to that, he worked for Anglo America Corporation as well as the Meridien Bank. He has experience in the financial sector, and serves on a number of Boards, including that of Lafarge Plc, Farmers House, Aflife, Holiday Inn, Dunavant Cotton, PSPF Board, Zamanglo Prospecting and Sinyuka. He holds a Bachelors degree in Economics from the University of Zambia, and a Masters of Business Administration degree from the Stirling University, the United Kingdom. He also serves as Chairman of the Executive Committee, Member of the Safety, Health and Environment Committee, Chairman of the Investment Committee, and Member of the Nominations Committee of the Company.

Mutale Mukuka

Mr. Mutale Mukuka has served as Chief Financial Officer of Copperbelt Energy Corporation PLC since August 2014. Prior to this, he served as CFO for subsidiary CEC Africa Investments Limited, and also as Regional Head - West Africa, based in Abuja, Nigeria. He led the business development and financing transactions for acquisition of equity interest in the Abuja Electricity Distribution Company and North South Power. Other senior positions he has held within the Group include that of Director - Corporate Finance, Manager Corporate Finance and Business Planning Head, all at CEC Plc. As CFO, he is responsible for driving financial strategy, financial operations and control as well as overseeing statutory reporting across several jurisdictions. Mutale has over 15 years of experience covering a number of industries in project development, corporate finance, tax planning, project structuring, financial reporting and control. He started his career in audit, and joined CEC Plc in 2003, having previously worked for the Zambia Revenue Authority. He is a qualified UK Chartered Management Accountant and a Fellow of the Zambia Institute of Chartered Accountants.

Michael Tarney

Mr. Michael John Tarney serves as Non-Executive Director, Managing Director of CEC Africa within Copperbelt Energy Corporation PLC. He has served as Non-Executive Director of the Company since October 2006. He is a founding Member of Zam-En, prior to which he was Financial Controller for International Operations at National Grid responsible for operations in Europe, Africa and North America. He was seconded from National Grid as Chief Financial Officer of the Company from 1999 until 2001. During this period, he managed the formation of the Company’s Pension Trust Scheme, and developed the Chambishi extension project. Subsequently, he was involved in the development and management of power and infrastructure projects in a number of different countries. Before joining National Grid, he worked for PricewaterhouseCoopers as Audit Manager, Deloitte & Touche as Management Consultant and Marconi Plc as Financial Controller for the international business. He holds a degree in Engineering from the University of Cambridge, and is a Chartered Accountant. He also serves as Member of the Executive Committee, Member of the Remuneration and Employee Development Committee, Member of the Safety, Health and Environment Committee, Member of the Investment Committee, and Member of the Risk Committee of the Company.

Christopher Nthala

Mr. Christopher Nthala has served as Chief Operating Officer of Copperbelt Energy Corporation PLC since 2013. Christopher was appointed Chief Operating Officer for CEC in early 2013, to head the Operations Directorate and is responsible for management of all operations aspects of the power system (system operations, system maintenance, emergency power, system safety). He has over 20 years’ experience in the Zambian electricity supply industry, having held various portfolios, up to Director for Generation and Transmission, at ZESCO Ltd. He has also served as Manager for the power distribution network at Kansanshi Mine in North-Western Zambia, a subsidiary of First Quantum Minerals. Christopher has been involved with the Southern African Power Pool (SAPP) activities for many years and even served as Chairman of the Management Committee.

Owen Silavwe

Mr. Owen I. Silavwe has served as Managing Director, Executive Director of Copperbelt Energy Corporation PLC since August 20, 2014. He started serving as Managing Director – Operations within the Company on the earlier part of 2013. Prior to his current role, he served as the Chief Operating Officer for the Company from March 2012. Owen has previously held the position of Commercial Director responsible for organic business development and other commercial aspects of the Company’s Operations division. Having served in various positions within CEC, including System Planning Engineer, Projects Engineer, Projects Manager and Business Development Manager, Owen rose through the ranks to his current position. He has been one of the main contributors to reforming contractor procurement processes in CEC as well as financing and implementation structures of organic business growth projects. Owen holds a Bachelor of Electrical Engineering degree from the University of Zambia and a Master of Science in Power Engineering from Chalmers University of Technology, Gothenburg. He also serves as Member of the Executive Committee, Member of the Remuneration and Employee Development Committee, and Member of the Safety Health and Environment Committee, and Member of the Risk Committee of the Company.

Titus Mwandemena

Mr. Titus Chongo Mwandemena serves as Chief Commercial Officer of Copperbelt Energy Corporation PLC. Titus leads the Account Management and Business Development team. He has experience in the Zambian electricity supply industry, encompassing operation and maintenance of high voltage transmission lines and substations. His experience includes investment planning for transmission systems and substations, international competitive bidding, project management and business development. Titus has a Bachelor of Engineering degree from the University of Zambia and a Master of Business Administration degree (Management of Financial Institutions and Portfolio Management) from the Copperbelt University.

John Simachembele

Mr. John Simachembele serves as Human Resources Director of Copperbelt Energy Corporation PLC. John Simachembele is a strong HR generalist with over 20 years quality Human Resources management and consultancy experience and accomplishment across a number of top-tier national and multinational companies. John has a track record of developing strategy-led HR agenda, policies and initiatives, gaining line support and providing effective support in their execution. John’s key areas of competency include performance management, organization and talent development and change management. As a consultant, he has executed and managed several high-profile assignments both in Zambia and the sub-region. Amongst the positions he has previously held are Industrial Engineer (ZCCM), HR Manager (Stanbic Bank) and HR Consultancy Services Manager (PricewaterhouseCoopers). Prior to joining CEC as HR Director in May 2015, John held the position of Senior Human Resources Manager at MTN Zambia Limited. John holds an MBA from the University of Strathclyde and M Sc in Human Resources Management from Heriot-Watt University and is a Fellow of the Zambia Institute of Human Resources Management.

Aaron Botha

Mr. Aaron Botha serves as Chief Projects Officer of Copperbelt Energy Corporation PLC. He worked as Projects Director prior to taking up this appointment, and was responsible for managing and implementing the Company's short term and long term capital projects. He performed as Head of the Electro-Technical Department covering Metering, GTA Controls and Protection, Energy Management Department, Engineering Services Department and System Maintenance Department. He has over 10 years of experience at senior management level, having been responsible for various engineering and operational requirements of the high voltage and distribution system in ZCCM and CEC. He is a Chartered Engineer, and holds a Bachelor of Engineering degree in Electrical Engineering from the University of Zambia and a BTEC Diploma in Industrial Measurements and Control from the Bolton Institute of Technology of the Bolton University. He has also attended courses in Instrumentation and Electricity Pricing at Foxboro Training Centre and Stellenbosch University, respectively.

Julia Chaila

Ms. Julia C. Z. Chaila serves as Company Secretary / Chief Legal Counsel of Copperbelt Energy Corporation PLC. She has experience in the legal profession, and has held several senior positions in both the private and public sector. Companies and institutions she has worked for in the past include Prices and Incomes Commission of Zambia, the Zambia Privatization Agency, Kitwe City Council and RMA Chongwe and Company. Prior to joining the Company, she was Management Head of ZCCM's Legal Services Department. She earned her Bachelor of Laws degree from the University of Zambia. She is Advocate of the High Court and Supreme Court for Zambia and Chartered Arbitrator under the Chartered Institute of Arbitrators in the United Kingdom. She attended the Development Lawyers Course at the International Development Law Organization in Italy, and the Executive Interchange Management Program under the Graduate School of Management at Monash University.

Reynolds Bowa

Mr. Reynolds C. Bowa has served as Non-Executive Director of Copperbelt Energy Corporation PLC since November 21, 2012. Reynolds represents ZCCM-IH on the CEC Board. He joined the CEC Board in the year 2012. Reynolds currently owns and manages an oil marketing company, Petrotech Oil Corporation Limited. Reynolds has over 27 years of engineering experience at senior management level in organizations that include ZCCM, Zambia Airways and the Caltex Oil Corporation. He is a Fellow of the Engineering Institution of Zambia (FEIZ), and serves on the Engineering Registration Board. He also serves as Member of the Executive Committee and Member of the Business Development Committee of the Company. He also served as Member of the Executive Committee, Member of the Investment Committee, and Member of the Risk Committee of the Company.

Mrs. Mildred T. Kaunda has served as Non-Executive Director of Copperbelt Energy Corporation PLC since November 6, 2013. Mildred is the founder and principal consultant of a communications firm, Cutting Edge PR. She focuses on the ongoing sustainability of the agency, creates strategic communication frameworks for the client’s campaigns and oversees all client service. She is a results-oriented senior executive with over 24 years experience in media relations, positioning strategies, branding & integrated marketing communication plans and financial services. Mildred has worked in various international financial institutions (including Investec, Standard Corporate and Merchant Bank, East and African Development Bank, Meridien Bank and Deloitte) in Kenya, South Africa and Zambia. She is a Chartered Public Relations Practitioner of the Public Relations Institute of Southern Africa, a senior member of the International Public Relations Association (IPRA) as well as a member of the Zambia Public Relations Association and the Public Relations Society of America. Mildred was elected in January 2010 as the IPRA Council Member and National Chair for Zambia for a two-year term. She was a member of the interim founding committee that launched the Zambia Public Relations Association in May 2010. She is a board member of the American Chamber of Commerce in Zambia and is a Representative Director for ZCCM-IH Plc. Mildred is a holder of a Bachelor of Arts (Cum Laude) and MBA (Melbourne Business School, University of Melbourne, Australia). She has served as Member of the Audit Committee of the Company since November 26, 2013. She also serves as Member of the Remuneration and Employee Development Committee of the Company. Abel Mkandawire

Mr. Abel Mkandawire has served as Non-Executive Director of Copperbelt Energy Corporation PLC since October 2006. He has worked for Behrens Limited, where he has been serving as Chairman since 1980. Prior to joining Behrens Limited, he worked for ZESCO Limited from 1972, holding a number of roles within the company including General Manager. He is a Fellow of the Institution of Electrical Engineers in the United Kingdom. He also serves as Chairman of the Remuneration and Employee Development Committee, Member of the Safety, Health and Environment Committee, and Member of the Nomination Committee of the Company.

Ronald Tamale

Mr. Ronald Tamale has served as Non-Executive Director of Copperbelt Energy Corporation PLC since March 18, 2014. Ronald is Director, Africa Private Equity of Standard Chartered Private Equity since September 2011. He heads the East African and SADC business, excluding South Africa. An experienced professional with 12 years’ progressive experience in principal investing, investment banking and investment management, Ronald has a demonstrated track record of performance and leadership in global firms in the US and in more than 10 African countries. Ronald is also an executive of Standard Chartered Bank’s US $4.5 billion Principal Finance Division tasked with originating, evaluating, investing and managing private equity assets across emerging markets. He has previously worked at Goldman Sachs and Co; first in its Investment Management Division where he provided investment and wealth management solutions to high net worth clients and was part of the team that managed over US $6 billion worth of assets for high net worth clients. Later, from 2005 to 2008, in the Investment Banking Division, providing strategic advice and executing strategic transactions for consumer and retail businesses. A graduate of Stanford Business School (Master of Business Administration) and Pomona College where he earned his Bachelor’s Degree in Economics, Ronald was appointed to the CEC board in March 2014. He serves on the boards of two portfolio companies and founded the SCPE/African Leadership Academy Sponsorship Program, raising over US $70,000 in four years. He is Member of the Executive Committee, Member of the Audit Committee, Member of the Investment Committee, and Chairman of the Risk Committee of the Company.

Kanad Virk

Mr. Kanad Singh Virk has served as Non-Executive Director of Copperbelt Energy Corporation PLC since March 18, 2014. He is a Managing Director in Standard Chartered Private Equity, based in Singapore and serves as Co-Head of the Energy, Resources and Infrastructure (ERI) team. He is responsible for executing transactions and managing ERI-related investments as well as private equity investments in Africa and Middle East/North Africa. He also serves as the COO for the $660 million Standard Chartered IL&FS Asia Growth Infrastructure Fund, a pan-Asian infrastructure fund with eight investments in China, India and Malaysia. Prior to joining SCB in 2008, Kanad spent 10 years at Goldman Sachs, first in the Asia Mergers & Acquisitions (M&A) Group and then in US M&A. In 2003, he moved to Goldman’s Private Wealth Management Group (PWM) as COO of PWM Asia and later served in the COO role for PWM Europe, Middle East & Africa. Prior to joining Goldman Sachs, he worked as an M&A and Energy Project Finance lawyer at Cravath, Swaine & Moore and Skadden Arps. Kanad received a JD (magna cum laude) from the University of Minnesota Law School and a BA from Pomona College. He is Member of the Remuneration and Employee Development Committee, Member of the Audit Committee, and Member of the Investment Committee of the Company.

Joe Chisanga

Mr. Joe M. Chisanga has served as Independent Non-Executive Director of Copperbelt Energy Corporation PLC since July 25, 2014. A chartered management accountant with over 40 years of experience, Joe has vast exposure locally and regionally; having served different companies in various capacities as, among others, Financial Controller, Company Secretary, Internal Auditor and Management Accountant. He is past president of the Zambia Institute of Chartered Accountants (ZICA) and the Chartered Institute of Management Accountants (CIMA) Zambia Branch. He has held various board directorships and chaired boards of a number of companies in Zambia. As a member of the board of the Zambia Revenue Authority from 1993 to 1999, Joe was an instrumental member of the team that restructured Customs and Excise and Value Added Tax (VAT), creating the VAT Division structure. He is a Fellow of the Chartered Institute of Management Accounts, the Chartered Global Management Accounts and the Zambia Institute of Chartered Accountants. He is also a Fellow of the Institute of Directors of Zambia and a member of the Institute of Directors of Southern Africa. He holds membership to several other professional institutions and has several professional qualifications. Joe is founder, Chairman and Managing Consultant of Fidelity Consultancy Services Limited; founder and Managing Partner of JM Chisanga & Company; and Chairman and Managing Director of Pakabuta Investments Limited. Sixtus Mulenga

Dr. Sixtus Mulenga has served as Independent Non-Executive Director of Copperbelt Energy Corporation PLC since July 25, 2014. Dr. Mulenga is a Mining-Geologist with over 35 years’ mining industry experience both in Zambia and in the global mining industry, who has held senior corporate executive management positions over the last 20 years. He formerly served as Vice President in charge of Mineral Resources, Safety, Occupational Health, Environment and Quality Assurance at Konkola Copper Mines Plc and was General Manager – Corporate for Albidon Zambia Ltd – the first nickel mine in Zambia. Other past roles include Group Consulting Hydro-Geologist at Zambia Consolidated Copper Mines Ltd and Chief Geologist of Konkola and Nchanga Mines respectively. He has been a key member of major mining developments in Zambia. He is a founding Member of the Zambia Extractive Industry Transparency Initiative (EITI) Council and a member of the Mining Advisory Committee (MAC) of the Ministry of Mines, Energy and Water Development. He has provided mining consultancy and technical advisory services to the Zambian Government and the World Bank. He also serves on the local boards of several international companies including Murray and Roberts Cementation Zambia Ltd, Mopani Copper Mines Plc (representing ZCCM-IH), Kagem Emerald Mining Ltd (representing the Government of Zambia) and AEL Zambia Plc. He has a PhD in Geology, a Master of Science in Geology and DIC in Engineering Geology, all from the University of London in the U.K. – Imperial College of Science Technology and Medicine, Royal School of Mines; and a BSc (Hons) Geology CNAA from the Polytechnic of North London (now University of North London). He is a member of several professional institutions including Fellow of the Geological Society of London.
