Name Description

Ami Erel

 Mr. Amiram Erel served as Chairman of Board of Directors of Cellcom Israel Ltd since 2005. Mr. Erel has served as President and Chief Executive Officer of Discount Investment Corporation Ltd. since 2001. From March to December 2007, Mr. Erel also served as the Chief Executive Officer of NetVision Ltd., where he served prior to March 2007 and continues to serve from January 2008, as Chairman of the board of directors. From 1999 to 2001, he served as President of Elron Electronic Industries Ltd., where he continues to serve as a member of the Board of Directors and also served, until January 2007, as its Chairman of the board of directors. From 1997 to 1999, he served as President and Chief Executive Officer of Bezeq – The Israeli Telecommunications Corporation Ltd. Mr. Erel also serves as the Chairman of the boards of directors of Koor Industries Ltd. and Makhteshim-Agan Industries Ltd. and as a member of the boards of directors of other IDB group companies. Mr. Erel has served as the chairman of the executive committee of the Manufacturers Association of Israel from 2005 to 2009 and since September 2009 he has served as the chairman of the Israel Export & International Cooperation Institute. Mr. Erel holds a B.Sc. in Electronics Engineering from the Technion, Israel Institute of Technology.

Nir Sztern

 Mr. Nir Sztern serves as Chief Executive Officer at Cellcom Israel Ltd. since January 1, 2012. Mr. Sztern has served as the Chief Executive Officer of Netvision Ltd. (which was recently merged into a wholly owned subsidiary of the Company), since 2010. From 2008 to 2010 he served as deputy CEO of Pelephone Communication Ltd., an Israeli cellular operator and one of the Company's competitors, and from 2002 to 2008 as Pelephone's vice president of marketing. Yaacov Heen

 Mr. Yaacov Heen serves as Chief Financial Officer at Cellcom Israel Ltd since September 21, 2009. Mr. Heen served as head of Economic Department since 2006, responsible for budget, financial analysis, cost accounting and control over performance. From 2002 to 2006 he served as head of pricing and business research department. Eliezer Ogman

 Ms. Ronit Baytel has served as Independent / External Director of Cellcom Israel Ltd. since 2007. Ms. Baytel is a Director in the Finance Department of Ormat Technologies, Inc., a company listed on the NYSE, in charge of SOX internal controls in the preparation of financial statements and tax and special projects.
