Name Description

Amiram Erel

Mr. Amiram Erel served as Chairman of Board of Directors of Cellcom Israel Ltd since 2005. Mr. Erel has served as President and Chief Executive Officer of Discount Investment Corporation Ltd. since 2001. From March to December 2007, Mr. Erel also served as the Chief Executive Officer of NetVision Ltd., where he served prior to March 2007 and continues to serve from January 2008, as Chairman of the board of directors. From 1999 to 2001, he served as President of Elron Electronic Industries Ltd., where he continues to serve as a member of the Board of Directors and also served, until January 2007, as its Chairman of the board of directors. From 1997 to 1999, he served as President and Chief Executive Officer of Bezeq – The Israeli Telecommunications Corporation Ltd. Mr. Erel also serves as the Chairman of the boards of directors of Koor Industries Ltd. and Makhteshim-Agan Industries Ltd. and as a member of the boards of directors of other IDB group companies. Mr. Erel has served as the chairman of the executive committee of the Manufacturers Association of Israel from 2005 to 2009 and since September 2009 he has served as the chairman of the Israel Export & International Cooperation Institute. Mr. Erel holds a B.Sc. in Electronics Engineering from the Technion, Israel Institute of Technology.

Nir Sztern

Mr. Nir Sztern serves as Chief Executive Officer at Cellcom Israel Ltd. since January 1, 2012. Mr. Sztern has served as the Chief Executive Officer of Netvision Ltd. (which was recently merged into a wholly owned subsidiary of the Company), since 2010. From 2008 to 2010 he served as deputy CEO of Pelephone Communication Ltd., an Israeli cellular operator and one of the Company's competitors, and from 2002 to 2008 as Pelephone's vice president of marketing. From 2001 to 2002 he served as vice president of marketing and sales of Barak 013, a long distance operator (which was later merged into Netvision Ltd.) and from 1999-2001 as head of Barak's marketing department. From 1994 to 1999 Mr. Sztern served as head of the Company's private sector marketing department. Mr. Sztern holds a B.A. in Economics and Business Administration from the Tel Aviv University and an M.B.A. in Business Administration, from the Israeli branch of the University of Manchester.

Shlomi Fruhling

Mr. Shlomi Fruhling serves as Chief Financial Officer of Cellcom Israel Ltd since September 2013. Mr. Fruhling served as vice president of Discount Investment Company Ltd., or DIC, from 2012. From 2008 to 2011 he served as VP Strategy and Finance of 013 Netvision Ltd. (presently the Company's subsidiary). From 2005 to 2008, Mr. Fruhling has served as head economist of DIC. Mr. Fruhling holds a B.A. in economics and business administration from the Tel-Aviv Management College.

Ron Shvili

Mr. Ron Shvili is Chief Technology Officer of Cellcom Israel Ltd as of November 1, 2013. Mr. Shvili has been an Entrepreneur in the field of cyber security since the beginning of 2013, when he retired from the Israeli Defense Forces. From 1990 to 2012, Mr. Shvili held various managerial and technological positions in the IDF and the Israeli Ministry of Defense. Mr. Shvili holds B.Sc and M.Sc in Electrical engineering from Tel-Aviv University.

Jack Oster

Mr. Jack Oster serves as Vice President of Information Technology of Cellcom Israel Ltd since November 2012. Prior to his current appointment, from 2007 to November 2012, Mr. Oster served as senior director of global delivery centers and global shared services centers as part of global IT management team of Teva Pharmaceutical Industries Ltd. Mr. Amos Maor serves as Vice President of Sales and Services at Cellcom Israel Ltd. since February 1, 2012. He has served as Vice President of Operations and Supply Chain of Cellcom Israel Ltd since 2004. From 2002 to 2004, Mr. Maor served as manager of Supply Chain of Elite Industries Ltd., and from 2000 to 2002, he served as manager of Elite’s sales division headquarters. Yoni Sabag

From 1993 to 1996, he served as senior advisor to the Minister of Communications. Mr. Bartov holds an L.L.B. from the Hebrew University in Jerusalem.

Keren Shtevy

Ms. Keren Shtevy serves as Vice President of Business Customers at Cellcom Israel Ltd since March 2011. Ms. Shtevy served as Netvision's vice president of private customers from 2004 to 2011 and from 2011 as general vice president. From 1998 to 2004, she served at various positions in Netvision, from 1999 in various management positions, in charge of sales and customer service for private customers. Ms. Shtevy holds a B.A. in economics and communications from the Haifa University.

Liat Menahemi-Stadler

Ms. Liat Menahemi-Stadler serves as General Legal Counsel and Corporate Secretary at Cellcom Israel Ltd. since 2006. From 2000 to 2006, Ms. Menahemi Stadler served as head of the technology and general purchasing division of legal department. She has been a member of legal department since 1998. Galit Tuchterman

Ms. Galit Tuchterman serves as Spokeswoman and Public Relations Manager Cellcom Israel Ltd since 2003. From 1997 to 2002, Ms. Tuchterman was a spokesperson with the Rani Rahav Public Relations office responsible for customers in the areas of Telecommunications, Capital Markets and Retail. Ms. Tuchterman was also made Deputy CEO of Rani Rahav. Prior to this, Ms. Tuchterman was the Marcom manager of Padani Jewlers Ltd for 10 years.

Haim Gavrieli

Mr. Haim Gavrieli served as Member of Board of Directors of Cellcom Israel Ltd since August 18, 2008. Mr. Gavrieli has served as the Chief Executive Officer of IDB Holding Corporation Ltd. since 2009 and also as Executive Vice President of IDB Development Corporation Ltd. since 2006. He also serves as a member of the boards of directors of Discount Investment Corporation Ltd., Koor Industries Ltd., Makhteshim-Agan Industries Ltd., NetVision Ltd., Clal Finance Ltd., other IDB group companies and various private companies. Edith Lusky

Ephraim Kunda
