Name Description

Kerry Roxburgh

Mr. Kerry C.D. Roxburgh is the Non-Executive Independent Chairman of the Board at Charter Hall Group. He joined the Charter Hall Board in August 2005 and became Chairman in October 2005. Kerry is a Practitioner Member of the Stockbroker Association of Australia and holds positions on the boards of several listed and unlisted companies. Currently, Kerry is the lead independent Non-Executive Director of Ramsay Health Care Ltd, a Non-Executive Director of the Medical Indemnity Protection Society and of MIPS Insurance Ltd. He is Chairman of Tyro Payments Ltd and of Tasman Cargo Airlines Ltd. He is also the Deputy Chairman of Marshall Investments Pty Ltd. Kerry is also a member of the Advisory Boards of AON Insurance and of Built Pty Ltd. In 2000, Kerry completed a three year term as CEO of E*TRADE Australia (a business that he co-founded in 1997), becoming its Chairman until June 2007, when it was acquired by the ANZ Bank. Prior to this, he was an Executive Director of Hong Kong Bank of Australia Group where for 10 years from 1986, he held various positions including Head of Corporate Finance and Executive Chairman of the group’s stockbroker, James Capel Australia. Until 1986, Mr Roxburgh was in practice for more than 20 years as a Chartered Accountant. Kerry holds a Bachelor of Commerce degree, and an MBA.

Paul Altschwager

Mr. Paul Altschwager is Group Chief Financial Officer of Charter Hall Group since December 20, 2011. A chartered accountant, he has over 20 years of experience across corporate finance, capital management, mergers and acquisitions, financial policy, treasury, risk management and operations finance. He held a number of senior financial roles for organizations including Qantas Airways Ltd and Southcorp Holdings Ltd. He has a Graduate Diploma of Applied Finance and Investment from the Securities Institute of Australia, a Master of Applied Finance from Macquarie University, Australia, and a Bachelor of Economics from the University of Adelaide, Australia.

Tracey Jordan

Ms. Tracey Jordan has been Group General Counsel and Company Secretary of Charter Hall Group since January 29, 2013. She has more than 24 years' experience in real estate and funds management, with knowledge of real estate transactions, structuring, funds management, compliance and corporate governance. Prior to joining Charter Hall, she was National Manager of Unlisted Property Funds and Senior Legal Counsel at Stockland. She was also a Senior Associate for King & Wood Mallesons in their Canberra office in the Property and Projects division from 1999 to 2005. She is a Solicitor of the Supreme Court of NSW, and has been admitted to the Supreme Court of the Australian Capital Territory and the High Court of Australia. She holds a Bachelor of Arts and Bachelor of Laws from the University of Sydney.

David Harrison

Mr. David Harrison is Joint Managing Director and Executive Director of Charter Hall Group. He joined the Charter Hall Board as Joint Managing Director on August 30, 2006. He is a member of the Group’s Valuation Committee and Investment Committee, and holds various roles for Charter Hall related entities. He has over 25 years of property industry experience. He is jointly responsible for all aspects of the Charter Hall business, with specific focus on investment management, corporate transactions and property investment activities. He also contributes to investment origination, capital raisings and structuring of transactions. He is directly responsible for overseeing the operation of the investment management divisions, including the listed REITs, wholesale unlisted and retail unlisted divisions, together with investor relations. He is a Director of responsible entities Charter Hall Retail Management Limited, Charter Hall Office Management Limited, and Charter Hall Direct Property Management Limited.

David Southon

Mr. David Southon is Joint Managing Director and Executive Director of Charter Hall Group. As a co-founder of Charter Hall, he joined the Charter Hall Board as Joint Managing Director in August 2006. He is a member of the Group's Valuation Committee and Investment Committee, is Chair of the Diversity Committee, and holds various roles for Charter Hall related entities. He has over 25 years of property industry experience. He is jointly responsible for all aspects of the Charter Hall business, and is primarily responsible for overseeing wholesale opportunistic funds, the operation of the development services division, project origination, project strategy and the formulation and implementation of Group’s strategy. He is a Director of responsible entities Charter Hall Retail Management Limited, Charter Hall Office Management Limited, and Charter Hall Direct Property Management Limited, and is a member of the opportunistic Funds’ Investment Committees.

Cedric Fuchs

Mr. Cedric Fuchs is Executive Director of Charter Hall Group. He previously also held this post from April 6, 2005 until his resignation on November 24, 2011. He is a co-founder of Charter Hall with over 40 years of experience in the fields of property investment, development and financial services. He is a member of the Investment Committee for all of Charter Hall’s wholesale and retail property funds. Prior to co-founding Charter Hall in 1991, he worked with the Heine Group’s property arm (now part of ING) and Leighton Properties where he was involved in the development and investment activities of those companies. He holds a diploma in Business Management.

Natalie Devlin

Ms. Natalie Devlin is Head of People at Charter Hall Group. In her role as Head of People, she is responsible for building the Company's Human Resources function focusing on people strategy, capability, culture and organisational design. She has over 15 years human resources experience and prior to joining the Company, she was the Head of People and Development at Valad, where she established the human resources function. Her role involved strategy development, organisation design, process re-engineering, risk management and cultural change. Prior to this, she worked with Wolters Kluwer, a multinational business information company of over 600 employees, in a role that included change management, integration of acquisition businesses and the establishment of a Shared Services Centre in Malaysia. She has a Bachelor of Arts in Law and Psychology plus a Postgraduate Diploma in Human Resource Management for which she received a Dean's List Award.

Scott Dundas

Mr. Scott Dundas is Fund Manager - Charter Hall Retail REIT under Charter Hall Group. After initially managing the REIT's property assets between 1998 and 2000, he has been responsible for sourcing and implementing the majority of the REITs capital transactions in markets including the United States, Europe, New Zealand and Australia including the recycling of capital back into the Australian market. He is also responsible for managing the REIT's annual Valuation process. He joined the former Macquarie Countrywide Trust in November 1998 as Senior Portfolio Manager and was promoted to Chief Investment Officer in 2001 and Fund Manager in 2012. He was also a Divisional Director of Macquarie Capital and a Director of Macquarie Asset Services Ltd. Prior to joining Macquarie, he was the State Real Estate Manager for Coles Supermarkets and Coles Myer Limited in New South Wales. He has also held senior positions in a range of organisations including Director of Chesterton International and in various New South Wales Statutory Authorities. He is a Barrister of the Supreme Court of New South Wales, a Registered Valuer and Licensed Real Estate Agent. He has a Bachelor of Laws (LLB) from University of Technology (Sydney, Australia) a Diploma in Valuation of Real Estate and is an Associate of the Australian Property Institute (AAPI).

Andrew Glass

Mr. Andrew Glass is Head of Wholesale Pooled Funds at Charter Hall Group. He has over 20 years of experience in the Australian public and private real estate markets. He is responsible for managing and monitoring investment activity (both acquisition and divestments) to ensure that all funds meet their investment objectives and to assist Fund Managers in optimising portfolio construction. Prior to joining Charter Hall in 2009, he was head of Australian investment for GIC Real Estate, Singapore for seven years. He has sourced and closed approximately AUD 4.6 billion of direct and indirect real estate transactions throughout Australia and Asia over the last five years. He has also worked for Macquarie Bank and Salomon Brothers in real estate financing roles. He holds a Bachelor of Commerce (Hons) from the University of New South Wales, Australia.

Nick Kelly

Mr. Nick Kelly is Head of Investor Relations at Charter Hall Group. He joined Charter Hall in 2006. Prior to this, he worked at Mercer Investment Consulting managing the firm's property research advisory service, where he held the position of Principal and Head of Property Research. At Mercer, he was responsible for reviewing and rating the entire property fund industry including core, value added and opportunistic unlisted funds, in addition to full coverage of active Australian and global property securities managers. Prior to Mercer, he worked at a Melbourne based commercial/industrial real estate firm. He holds a Business Degree (Land Economy), Graduate Diploma in Applied Finance and Investment and a Masters Degree in Finance.

Richard Stacker

Mr. Richard Stacker is Head of Direct - Charter Hall Direct Property at Charter Hall Group. He is the Head of Charter Hall's unlisted retail funds. He has over 21 years experience in accounting, risk management, real estate finance and real estate funds management. Prior to joining Charter Hall, he was a Division Director of Macquarie Group and Chief Executive Officer of Macquarie Direct Property Management Limited. Previous to that, he was a General Manager with Lend Lease Corporation Limited and a senior manager with PricewaterhouseCoopers. He is a member of The Institute of Chartered Accountants in Australia.

Adrian Taylor

Mr. Adrian Taylor, CPA, is Head of Wholesale Partnerships - Charter Hall Office Trust at Charter Hall Group. He sets the overall strategy and objectives for the Charter Hall Office Trust in conjunction with the Investment Committee and guides the portfolio management, capital transactions, capital management, marketing and trust management teams to execute the Trust's strategy. He has been involved in the development of the Trust over the past 15 years. He has been involved in structured debt, equity and hybrid capital raisings, and the vehicle's overall financial management. Previously, as the Trust's chief investment officer, he was responsible for acquisition and disposal assessment of $10 billion of commercial office properties per year. He also has joint venture experience in Australia and the United States. He is a certified practising accountant. He holds a BBus from Monash University, Australia, is a Fellow of the Financial Services Institute of Australasia and is involved in various property industry groups including the Property Council of Australia. Prior to joining the Company, he was an executive director of Macquarie Capital Funds Limited. He is a member of Charter Hall's Executive Committee.

David Clarke

Peter Kahan

Mr. Peter Kahan is a Non-Executive Director of Charter Hall Group. He joined the Charter Hall Board on October 1, 2009, following an investment in Charter Hall by The Gandel Group. He is the Deputy Chairman and a director of Gandel and has over 18 years of property and funds management experience. He joined Gandel in 1994, became the Group’s Finance Director in 2001 and was CEO from 2007 to 2012. Prior to this, he worked as a Chartered Accountant and held senior financial roles in various industry sectors. He holds Bachelor of Commerce and Bachelor of Accountancy degrees and is a member of the Institute of Chartered Accountants Australia and the AICD.

Anne Brennan

Ms. Anne Bernadette Brennan is an Independent Non-Executive Director of Charter Hall Group. She joined the Charter Hall Board in October 2010, and is presently the Chair of the Remuneration and Human Resources Committee. She was Chairman of Audit, Risk and Compliance Committee. With over 25 years professional experience, she has held a variety of senior management and executive roles in corporates and professional services firms. She has particular knowledge in mergers and acquisitions, financial management, treasury, audit, risk management, tax, investor relations and ASX and statutory reporting. She is currently a Director of Argo Investments Ltd, Echo Entertainment Ltd, Myer Holdings Ltd and Nufarm Ltd. She holds a Bachelor of Commerce (Hons), is a Fellow of the Institute of Chartered Accountants Australia, and is a Fellow of the AICD.

David Deverall

Mr. David Michael Deverall is a Non-Executive Independent Director at Charter Hall Group. He joined the Charter Hall Board on May 7, 2012. He is the Chairman of Audit, Risk and Compliance Committee, and Member of Nomination Committee. David is also CEO of Hunter Hall International Limited and Managing Director of Deverall Advisory, a consulting firm which provides strategic and corporate advice to CEOs and boards in the wealth management industry. Prior to this, David was the Managing Director and CEO of Perpetual Limited for eight years and during this time he was also Chairman of the peak wealth management industry body, The Financial Services Council. David has experience in financial services, funds management and strategy, having also been Group Head of Funds Management and Head of Strategy at Macquarie Group. David holds an MBA and a Bachelor of Engineering (Mechanical), and is a member of the Australian Institute of Company Directors.

Philip Garling

Mr. Philip (Phil) Stuart Garling is Non-Executive Independent Director of Charter Hall Group since February 26, 2013. He has over 35 years' experience in property and infrastructure, development, operations and asset and investment management. Mr. Garling currently serves as a director of Networks NSW, Downer EDI Limited and Water Polo Australia. He is also Chairman of Australian Renewable Fuels. He holds a Bachelor of Building from the University of New South Wales and has completed the Advanced Management Program at the Australian Institute of Management and the Advanced Diploma at the Australian Institute of Company Directors. He is a Fellow of the Australian Institute of Company Directors, Australian Institute of Building and Institution of Engineers, Australia.

Colin McGowan

Mr. Colin McGowan is an Independent Non-Executive Director of Charter Hall Group. He joined the Charter Hall Board on April 6, 2005, and is presently the Chair of the Group’s Valuation Committee, and is a member of the Remuneration and Human Resources Committee, the Nomination Committee, and the Group’s Investment Committee. He was formerly CEO of the listed AMP Diversified Property Trust, Executive Vice President of Bankers Trust (AUS), founding Fund Manager of the BT Property Trust and founding Fund Manager of Advance Property Fund. He is a qualified valuer, a Fellow of the Australian Property Institute and a Senior Fellow of Finsia.
