Name Description

Gil Shwed

 Mr. Gil Shwed has served as Chairman of the Board and Chief Executive Officer of Chech Point Software Technologies Ltd. since 1998. He is one of the founders of Check Point Software Technologies Ltd. and has been performing as Chief Executive Officer of the Company since 1993. He has been Board Member of the Company since 1993. Mr. Shwed also served as President of the Company until 2001. He has received several awards for his achievements and industry contributions, including an honorary Doctor of Science from the Technion - Israel Institute of Technology, the World Economic Forum’s Global Leader for Tomorrow for his commitment to public affairs and leadership in the areas beyond immediate professional interests, and the Academy of Achievement’s Golden Plate Award for his contribution to business and technology. He chairs two non-profit education organizations: Chairman of the Board of Trustees of the Youth University of Tel Aviv University and Chairman of the Board of Directors of Yeholot Association.

Marius Nacht

 Mr. Marius Nacht has been Vice Chairman of the Board of Check Point Software Technologies Ltd. since 2001. He is one of the Company's founders. He has been Board Member of the Company since 1993. From 1999 until 2005, he also served as Senior Vice President of the Company. Mr. Nacht earned a B.Sc. degree (cum laude) in Physics and Mathematics from the Hebrew University of Jerusalem in 1983, and an M.Sc. degree in Electrical Engineering and Communication Systems from Tel Aviv University in 1987.

Jerry Ungerman

 Mr. Jerry T. Ungerman has been Vice Chairman of the Board of Directors of Check Point Software Technologies Ltd. since 2005. He is responsible for managing the Company's partner and customer relations. From 2001 until 2005, Mr. Ungerman served as President, and from 1998 until 2000, as Executive Vice President of the Company. Prior to joining the Company, Mr. Ungerman accumulated more than 30 years of high-tech sales, marketing and management experience at Hitachi Data Systems (HDS). He began his career with IBM after earning a Bachelor degree in Business Administration from the University of Minnesota.

Tal Payne

 Ms. Tal Payne has been Chief Financial Officer of Check Point Software Technologies Ltd. since June 2008. She is responsible for the Company's all worldwide financial management, including investor relations, planning, reporting, financial and risk management, logistics and legal affairs. Prior to joining the Company in 2008, she was Chief Financial Officer at Gilat Satellite Networks, Ltd., a position she held from 2005. During her tenure at Gilat, she was fully responsible for the strategic planning, developments and leadership of the entire corporate finance organization, and held the role of Vice President of Finance for over five years. Ms. Payne led the company’s public offerings, capital restructurings and other transactions. Before joining Gilat, she was employed at Kesselman & Kesselman PricewaterhouseCoopers. Ms. Payne holds a Bachelor of Arts degree in Economics and Accounting, and an Executive MBA degree from Tel Aviv University. She is also a Certified Public Accountant.

Amnon Bar-Lev

 Mr. Amnon Bar-Lev is performing as Vice President of Global Field Operations of Check Point Software Technologies Ltd. He is responsible for worldwide sales, global partner programs, business development and technical services of the Company. Mr. Bar-Lev joined the Company in 2005. He has more than 15 years of high-tech sales, marketing and management experience. Prior to joining the Company, he was founder and Chief Executive Officer of Xpert Integrated System Ltd., a provider of security, business-continuity and Infrastructure platforms and solutions. Before forming Xpert, Mr. Bar-Lev began his career in the Israeli Air Force, where he held several positions within the operational and administration units. Mr. Bar-Lev holds a Bachelor of Arts degree in Computer Science (HONS) and Management (HONS) from Tel Aviv University.

Juliette Sultan

 Ms. Juliette Sultan has been Vice President of Global Marketing of Check Point Software Technologies Ltd since 2008. She leads the Company's worldwide marketing efforts, and is responsible for articulating the Company's vision, product solutions, technology innovations and business purpose to customers, partners, media and analysts around the globe. Ms. Sultan is a technology expert, and has 18 years of experience in the Silicon Valley. Prior to joining the Company in 2008, she was General Manager of Information Discovery and Delivery, and Vice President of Worldwide Marketing at Business Objects. During her tenure, she was responsible for the planning, product definition, marketing and go-to market strategy of the company's core product line. Before joining Business Objects, Ms. Sultan was Senior Vice President of Product and Channel Marketing at Computer Associates. She also worked in Oracle Corporation from 1997 until 2003, serving in strategic roles, including Vice President of Industry Solutions, Vice President of Product Strategy and Senior Director of Product Management within the Application Development Division. Ms. Sultan holds an MBA degree from Harvard Business School of Harvard University, and a degree from Ecole Superieure de Commerce de Paris (E.S.C.P.) in Paris, France.

Dorit Dor

 Dr. Dorit Dor is Vice President of Products at Check Point Software Technologies Ltd. She manages all product definition and development functions for the Company. Her core responsibilities include leading the Company's product management, research and development (R&D) and quality assurance initiatives from concept to delivery. Since joining the Company in 1995, Dr. Dor has served in several roles in the R&D organization. She has been instrumental to the organization's growth and managed many product releases. Dr. Dor holds a Ph.D. degree and an M.Sc. degree in Computer Science from Tel Aviv University, in addition to her Bachelor of Science degree (cum lade). She has published several scientific journals for her research on graph decomposition, median selection and geometric pattern matching in d-dimensional space. In 1993, she won the Israel National Defense Prize.

Dan Propper

 Mr. Dan Propper has been Independent Director of Check Point Software Technologies Ltd. since 2006. He is Chairman of the Board of the Osem Group. He served as Chief Executive Officer of Osem for 25 years until April 2006. In addition to his role at Osem, from 1993 until 1999, Mr. Propper also served as President of the Manufacturers’ Association of Israel, an independent umbrella organization representing industrial enterprises in Israel, and as Chairman of the Federation of Economic Organizations in Israel, which unites economic and business organizations that represents all business sectors in Israel. Mr. Propper has received accolades for his contributions to the Israeli industry and economy, including an honorary Doctorate from the Technion - Israel Institute of Technology in 1999. Mr. Propper serves as a member of the boards of the First International Bank of Israel, Delta Galil Industries Ltd., Osem Investments Ltd., and a number of private companies, including Tivall Ltd. and Sabra Salads Ltd., subsidiaries of Osem. He is also a Member of the Board of the Technion, the Weizmann Institute of Science and Ben-Gurion University in Israel, and of the Executive Committee of Tel Aviv University. Mr. Propper earned a B.Sc. degree (summa cum laude) in Chemical Engineering and Food Technology from the Technion - Israel Institute of Technology.

David Rubner

 Mr. David Rubner has been Independent Board Member of Check Point Software Technologies Ltd. since 1999. He also acts as Member of the Audit and Nominating Committees of the Company. He is Chairman and Chief Executive Officer of Rubner Technology Ventures Ltd., a venture capital firm, and is a general partner in Hyperion Israel Advisors Ltd., a venture capital fund. Prior to starting Rubner Technology Ventures, Mr. Rubner served as President and Chief Executive Officer of ECI Telecommunications Ltd. Prior to this appointment, he held various management positions in ECI Telecom. Mr. Rubner serves on the Boards of Directors of Elbit Imaging Ltd., Messaging International Ltd., and a number of private companies. He is also a member of the Board of Trustees of Bar-Ilan University and Shaare Zedek hospital, and Chairman of the Petach-Tikva Foundation. Mr. Rubner holds a BSc degree in Engineering from Queen Mary College, University of London, and an M.Sc. degree in Electrical Engineering from Carnegie Mellon University. He received the Industry Prize in 1995.

Tal Shavit

 Dr. Tal Shavit has been Independent Board Member of Check Point Software Technologies Ltd. since June 2000. She also acts as Member of the Nominating Committee of the Company. She is an organizational consultant specializing in international collaboration between Israeli and American companies, consulting in the management of cultural differences in order to forge effective collaboration. Her work with various management teams includes a defining of organizational culture as the engine of the company’s activities. She consults to companies undergoing structural change with emphasis on organizational growth through effective mergers and acquisitions and a redefining of management roles in order to meet market changes.

Yoav Chelouche

 Mr. Yoav Z. Chelouche has been Independent Outside Director of Check Point Software Technologies Ltd. since July 2006. He also acts as Member of the Audit Committee of the Company. Mr. Chelouche has been Managing Partner of Aviv Venture Capital since August 2000. Prior to joining Aviv Venture Capital, he served as President and Chief Executive Officer of Scitex Corp. from December 1994 until July 2000. From August 1979 until December 1994, he held various managerial positions with Scitex, including Vice President (VP) of Strategy and Business Development, VP Marketing and VP Finance for Europe. Mr. Chelouche is Chairman of the Board of Dmatek Ltd. and Rosetta Genomics Ltd., and a member of the Board of Directors of a number of private companies. He is also Chairman of Taasiyeda, an Israeli nonprofit organization that promotes the development of leadership and technology skills in children. Mr. Chelouche earned a B.A. degree in Economics and Statistics from Tel Aviv University, and an MBA degree from INSEAD University in Fontainebleau, France.

Irwin Federman

 Mr. Irwin Federman has been Independent Outside Director of Check Point Software Technologies Ltd since 2000. He has been Board Member of the Company since November 1995. He also acts as Member of the Audit, Compensation and Nominating Committees of the Company. Mr. Federman has been a General Partner of United States Venture Partners, which is a venture capital firm, since 1990. He serves as a director of SanDisk Corp. and for Mellanox Technologies Ltd. as well as for a number of private companies. Mr. Federman received a B.Sc. degree in Economics from City University of New York at Brooklyn College.

Guy Gecht

 Mr. Guy Gecht has been Independent Outside Director of Check Point Software Technologies Ltd. since 2006. He also acts as Member of the Audit and Compensation Committees of the Company. Mr. Gecht has been Chief Executive Officer and Chairman of the Board of Electronics For Imaging, Inc. (EFI) since January 2000.
