Dorothea Fonseca Furquim Werneck

Ms. Dorothea Fonseca Furquim Werneck serves as Chairman of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG. She is also Secretary of Development for the State of Minas Gerais. She was Brazil’s Minister of Industry, Trade and Tourism in from 1995 to 1996 and Employment Minister between 1989 and 1990. She was Senior Manager of the Export promotion agency Apex from 1990 to 1992, Executive Secretary of the Finance Ministry in 1992, National Economy Secretary from 1991 to 1992, Economic and Social Planning Secretary between 1988 and 1989, Employment and Salaries Secretary between 1985 and 1988; and Member of the Technical Staff of IPEA from 1975 to 2003. Among other posts she has also been Director of the National Quality Awards Foundation and Member of the Councils of Funcex and AEB from 1999 to 2005. Between 1983 and 1984 she lectured at the Training Course for Diplomats at the Rio Branco Institute and between 1978 and 1980 at the Industrial Economics Institute and the Economics and Management Department of Rio de Janeiro Federal University. She has a Master of Arts degree in Economics from the Boston College, the United States. She also attended the Doctorate Course at that college, and a Master’s degree course at the Postgraduate School of Fundacao Getulio Vargas.

Djalma Bastos de Morais

Mr. Djalma Bastos de Morais has served as Member of the Executive Board, Chief Executive Officer (CEO) and Vice Chairman of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG since May 25, 2005. He has served as Member of the Executive Board and CEO of the Company since January 14, 1999. He also served as Acting Chairman of the Board of Directors of the Company between May 30, 2008 and April 29, 2009. Since July 2002, he has been CEO of Empresa de Infovias SA. From January 1999 to December 2004, he was CEO of Gasmig. From May 1999 to August 2001, he was CEO of Empresa de Infovias SA. From 1995 to 1998, he was Vice-President of Petrobras Distribuidora SA. From 1993 to 1994, he served as Brazilian Minister of Communications. He has also held various other positions, such as CEO of Telecomunicacoes de Minas Gerais SA—Telemig; Manager of Telecomunicacoes Brasileiras SA—Telebras; Chief Operating Officer of Telecomunicacoes de Mato Grosso—Telemat; Chief Operating Officer of Telecomunicacoes do Amazonas—Telemazon; and Manager of Telefonica Municipal SA—Telemusa. He holds a degree in Engineering from Instituto Militar de Engenharia (IME), and completed additional post graduate studies in Telephony and Computers at the same institute.

Arlindo Porto

Mr. Arlindo Porto Neto has served as Member of the Executive Board and Deputy Chief Executive Officer of Companhia Energetica de Minas Gerais CEMIG since May 26, 2009. Since 2004, he has served as Vice President of Development of Minas Gerais - CODEMIG. He was Senator of the Republic by the State of Minas Gerais from 1995 to 2003. He also held the post of Minister of Agriculture and Supply from 1996 to 1998. From 1991 to 1994, he was Deputy Governor of the State of Minas Gerais. He was also Mayor of Patos de Minas from 1983 to 1988. He graduated in Business Administration and Accounting Sciences from Universidade Federal de Uberlandia-UFU.

Luiz Fernando Rolla

Mr. Luiz Fernando Rolla has served as Chief Financial and Investor Relations Officer and Member of the Executive Board of Companhia Energetica de Minas Gerais CEMIG since January 9, 2007. He joined the Company in 1974. He became the Company’s Investor Relations Manager in 1986. As Investor Relations Manager, he was responsible for the formulation and implementation of CEMIG's investor relations strategy beginning in 1986, including the structuring of the Level I and II ADR programs in 1993 and 2001, share sale transactions, prospectuses, investor presentations, road-shows, CVM registrations, detailed corporate governance matters, stockholders' meetings, shareholder services, the Annual Report, earnings releases and conference calls, market analyst meetings, and presentations at many of the emerging markets conferences in the last 15 years. He earned a degree in Electrical Engineering from Universidade Federal de Minas Gerais in 1974, and attended several specialization courses.

Fernando Henrique Schueffner

Mr. Fernando Henrique Schueffner Neto has served as Chief Business Development Officer, Member of the Executive Board of Companhia Energetica de Minas Gerais CEMIG since 2010. Previously, he was Member of the Executive Board and Chief Energy Distribution and Commercialization Officer at the Company starting from April 29, 2009. He also served as Member of the Executive Board and Chief Energy Generation and Transmission Officer of the Company between January 9, 2007 and April 29, 2009. He has also held numerous public and educational responsibilities: Lecturer in Electrical Engineering at Pontificia Universidade Catolica (PUC) of Minas Gerais; Member of the Council of CREA, the Engineers and Architects’ Association of Minas Gerais, from 1999 to 2001; Member of the Council of the Minas Gerais Society of Engineers – since March 2005; Member of the Board of Directors of the Brazilian National Electricity Operating System (ONS), since 2008; and President of the Investment Club of the Employees of Cemig (Clic), from 2002 to 2005. He received a degree in Electrical Engineering from Universidade Catolica de Minas Gerais in 1982, a Master’s degree in Automation and Control from Universidade Estadual de Campinas (Unicamp) in 1984, and a Masters of Business Administration degree from Instituto Brasileiro de Mercado de Capitais (IBMEC) in 2000. He has participated in numerous executive education programs, including the Finance for Executives program of Insead (France).

Maria Celeste Morais Guimaraes

Ms. Maria Celeste Morais Guimaraes serves as Chief Legal Officer, Member of the Executive Board of Companhia Energetica de Minas Gerais CEMIG. She was Auditor-General of the State of Minas Gerais from 2003 to 2010; Member of the Corporate Governance Committee of Minas Gerais State from 2008 to 2010; Member of the Council of Social Support Organizations from 2005 to 2010; President of the Council of Inspectors-General of the Minas Gerais State Administration (Conrege) between 2004 and 2010’ and President of the National Council of Internal Inspection Bodies of Brazilian States and the Federal District (Conaci) from 2007 to 2009. She has a degree in Accounting and Management from Pontificia Universidade Catolica de Minas Gerais, a Law degree and a Doctorate in Law from Universidade Federal de Minas Gerais, with specialization in Commercial Law.

Jose Raimundo Dias Fonseca

Mr. Jose Raimundo Dias Fonseca serves as Chief Commercial Officer and Member of the Executive Board of Companhia Energetica de Minas Gerais CEMIG. He has been Member of the Council of CCEE – the Brazilian National Electricity Trading Chamber; and Vice-president of Abraceel, the Brazilian Association of Electricity Traders. He joined Cemig in 1982, holding varied posts from Engineer to Control and Settlement Officer for Electricity Trading Transactions. From 2007 to 2011, he was General Manager for Wholesale Electricity Transactions. He lectures in Electrical Equipment at the postgraduate course in Maintenance engineering at the PUC University of Minas Gerais. He has a degree in Electrical Engineering from Universidade Federal de Juiz de Fora. He has completed a specialization course in Maintenance Engineering at the Federal Engineering School of Itajuba (Fupai/Efei); a post graduate course in Strategic Business Management of Fundacao Getulio Vargas; and a specialization course in Management of Electric Power Utilities at the Stockholms Universitet.

Ricardo Jose Charbel

Mr. Ricardo Jose Charbel has served as Chief Distribution and Commercialization Officer and Member of the Executive Board of Companhia Energetica de Minas Gerais CEMIG since November 23, 2012. Previously he was Cemig’s General Manager for Distribution and Expansion Planning, as well as Studies and Projects, in the period between 2010 and 2012. Moreover, he acted as a Manager and an Executive Coordination General Manager for the Light for Everyone (Luz Para Todos) distribution expansion program from 2007 to 2010. He was also Customer Relationship Manager, and Division Manager, from 1999 to 2007. He started his career with Cemig working as a Systems Analyst and Engineer from 1983 to 1990. Mr. Charbel has a degree in Electrical Engineering from Pontificia Universidade Catolica de Minas Gerais, and a degree in Electricity Distribution Maintenance and Operation Engineering from Universidade Presbiteriana Mackenzie de Sao Paulo. Moreover, he gained post graduate degrees in Data Processing at Universidade Federal de Minas Gerais (UFMG), and an Executive MBA from Ibmec.

Luiz Henrique de Castro Carvalho

Mr. Luiz Henrique de Castro Carvalho has served as Member of the Executive Board and Chief Energy Generation and Transmission Officer of Companhia Energetica de Minas Gerais CEMIG since May 26, 2009. He began his career at CEMIG as Support Analyst in the Software and Support Group in March 1984, and since then has been Joint Leader, Group Leader and Manager in the Personal IT Terminal Users Support Division, Assistant in the IT Support Department, Superintendent of Telecommunications and IT, Superintendent for Material, Logistics and Services, Superintendent of Material and Services, among others. He also serves as Director of Horizontes Energia SA, Member of the Board of Directors of Central Termeletrica De Cogeracao SA, and substitute Member of the Board of Directors of CGET and Central Hidreletrica Pai Joaquim SA. He earned a degree in Electrical Engineering from Universidade Federal de Minas Gerais in July 1982, and a postgraduate degree in Systems Analysis, with specialization in Mainframe Support, from Universidade Federal de Minas Gerais in July 1983. In February 2000, he also concluded an International Executive Masters of Business Administration degree in Business Administration and Information Technology Management from Fundacao Getulio Vargas (FGV).

Jose Carlos de Mattos

Mr. Jose Carlos de Mattos has served as Chief Officer for the Gas Division and Member of the Executive Board of Companhia Energetica de Minas Gerais CEMIG since November 23, 2012. Prior to this, he served as Chief Energy Distribution and Commercialization Officer and Member of the Executive Board of the Company till November 23, 2012. He was also the Company’s New Business Development Officer between 2009 and 2010. He is Chief Executive Officer of Gasmig. From 2004 to 2007, he was Chief Executive Officer of Previminas. In 2003 and 2004, he was Financial Director of Codemig. From 1983 to 1992, he was Regional Superintendent of the Federal Savings Bank (Caixa Economica Federal) in the states of Sao Paulo, Rio de Janeiro and Minas Gerais, and was also Financial Director of the Federal Savings Bank from 1992 to 1994. From 1992 to 1994, he was Director of BIAPE – the Inter-American Savings and Loan Bank. From 1995 to 1996, he was Vice-President of Bemge – the State Bank of Minas Gerais. He received a degree in Literature from Centro Universitario de Belo Horizonte Uni-BH in 1972.

Luiz Henrique Michalick

Mr. Luiz Henrique Michalick serves as Member of the Executive Board and Chief Institutional Relations and Communication Officer of Companhia Energetica de Minas Gerais CEMIG. He joined Cemig in 1985, working as Journalist and as General Manager for Press, Public Relations and Advertising, before becoming General Manager for Corporate Communications in 2003. In his career in print media, he was Journalist in the Belo Horizonte office of the Folha de Sao Paulo newspaper from 1979 to 1985; Press Officer for the Dom Cabral Foundation in from 1984 to 1985; Director of the Union of Professional Journalists of Minas Gerais State between 1985 and 1987; and worked as Economics Editor in the Estado de Minas newspaper from 1986 to 1987. He founded the Corporate Platform of the Reputation Institute in Brazil, and since 2006 has been Cemig’s representative in that organization. He has a degree in Journalism from Pontificia Universidade Catolica de Minas Gerais.

Frederico Pacheco de Medeiros

Mr. Frederico Pacheco de Medeiros serves as Member of the Executive Board and Chief Corporate Management Officer of Companhia Energetica de Minas Gerais CEMIG. He acted as Legal Advisor to the Minas Gerais State Court of Appeal from 1989 to 1998, and was Parliamentary Secretary of the House of Representatives of the Brazilian Congress from 1993 to 2002. He was Deputy Secretary of State of Minas Gerais from 2003 to 2008, and General Secretary to the Governor of Minas Gerais between 2008 and 2010. He earned a Law degree from Universidad Federal de Minas Gerais in 1992.

Saulo Alves Pereira

Mr. Saulo Alves Pereira Jr. serves as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG. He began his career as an intern in the Operations Center of Cemig in 1993. In 1995, he joined Construtel Projetos e Construcoes Ltda, as Engineer in planning and budget coordination of works, and in 1998 he took over as General Manager of its Business Unit in Bahia. In 2000, he joined the Andrade Gutierrez group Principal Manager of telecoms contracts for Construtora Andrade Gutierrez in Rio de Janeiro state. Since 2004, he has been Sales Director of Construtora Andrade Gutierrez, developing new business focused on the electricity sector. Since 2007, he has also worked in Andrade Gutierrez Concessoes actively participating in the group’s consolidation in the electricity sector. He has a degree in Electrical Engineering from Pontificia Universidade Catolica de Minas Gerais. He has also completed post graduate studies in Works and Services Budget Planning from the same university, and has a degree in Business Administration from Universidade Federal de Bahia and a Masters of Business Administration in Corporate Management from Fundacao Dom Cabral.

Eduardo Borges de Andrade

Mr. Eduardo Borges de Andrade serves as Member of the Board of Companhia Energetica de Minas Gerais CEMIG. He began his career with Andrade Gutierrez in 1961, holding various posts. In 1969, he became Director of Works, and in 1973 Director of Operations. From 1978 to 2001, he was Chief Executive of the Andrade Gutierrez Construction Company, managing its activity in the infrastructure investments sector since 2001. He is Member of the Board of Directors of Andrade Gutierrez and Chairman of the Boards of Andrade Gutierrez Concessoes, Companhia de Concessoes Rodoviarias (CCR) and Administradora Sao Miguel. He has a degree in Civil Engineering from Universidade Federal de Minas Gerais, and completed post graduate studies in Financial Administration at Fundacao Getulio Vargas.

Ricardo Coutinho de Sena

Mr. Ricardo Coutinho de Sena serves as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG. He worked at M. Roscoe SA in several posts, from 1972 to 1981. In 1981, he joined Andrade Gutierrez, where he was Head of the Budgets Department until 1993. From 1993, he was General Manager of the New Business Unit, managing an activity which consolidated its portfolio in public infrastructure services. Since 2000, he has been Chief Executive Officer of Andrade Gutierrez and also Member of its Board of Directors. He represents AGC on the Boards of Directors of CCR, Domino, Quiport and ABCR. He has a degree in Civil Engineering from Universidade Federal de Minas Gerais and completed post graduate studies in Financial Administration from Fundacao Getulio Vargas of Rio de Janeiro.

Joaquim Francisco de Castro

Mr. Joaquim Francisco de Castro Neto serves as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG. He was Chief Executive Officer of Unibanco – Uniao de Bancos Brasileiros SA from 1974 to 2004 and Member of its Board of Directors from 2004 to 2008. From 2008 to 2010, he was Chairman of the Board of Directors of Magazine Luiza. From 2008 to 2010, he was Chairman of the Board of Directors of Redecard SA and, from 2008 to 2011, he was Member of the Board of Directors of ABodyTech. He has a degree in Business Administration from Fundacao Getulio Vargas.

Otavio Marques de Azevedo

Mr. Otavio Marques de Azevedo serves as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG. He has served as President of Telemig, Vice-President of Telebras and President of Telemar. He has also been Chairman of the Board of Pegasus Telecom and Chairman of the Council of Anatel. He is Chief Executive Officer of Andrade Gutierrez Telecomunicacoes Ltda, Executive President of Andrade Gutierrez SA, Chairman of the Board of Directors of Tele Norte Leste Participacoes SA, Controlling Stockholder of the OI group, and of CTX, Controlling Stockholder of Contax; and Member of the Board of Directors of Tele Norte Leste Participacoes SA, the Strategic Council of Fiemg, the Governing Council of the Commercial Association of Rio de Janeiro (ACRJ), the Governing Council of the Sao Paulo State Industries Association (Fiesp) and the Board of Directors of Contax Participacoes SA. He has a degree in Engineering from Pontificia Universidade Catolica de Minas Gerais obtained in 1974, and completed post graduate studies in Economic Engineering at Universidade Federal de Minas Gerais and in Strategic Planning at Fundacao Getulio Vargas.

Fuad Jorge Noman

Mr. Fuad Jorge Noman Filho serves as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG. Previously, he has served as Chief Officer for the Gas Division and Member of the Executive Board of the Company since January 3, 2011. He has been Member of the Board of Directors of Marcopolo SA since 2008. He acted as Member of the Board of Directors of Banco de Desenvolvimento de Minas Gerais (BDMG) from 2007 to 2011. Till 2010, he was State Secretary of Finance in Minas Gerais. He graduated in Economics from Centro de Ensino Unificado de Brasilia (Ceub) and has a post graduate degree in Economic Programming at and Budgetary Performance at Universidade de Brasilia.

Joao Camilo Penna

Mr. Joao Camilo Penna has served as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG since April 25, 2008. He served as Finance Secretary of Minas Gerais State from March 1975 to March 1979, as Brazil's Trade and Industry Minister in the Figueiredo government from March 1979 to August 1984, and was Chairman of Furnas Centrais Eletricas from May 1985 to August 1989. From 1990, he was Consultant and Member of Boards of organizations such as Mannesmann, the Dom Cabral Foundation, Copersucar, Companhia Siderurgica do Para, Companhia Forca e Luz Cataguazes Leopoldina, Biobras, Copasa, and the Minas Gerais Industries’ Federation (Fiemg). From 1984 to 1992, he was Member of the Board of Directors of Itaipu Binacional, and Chairman of the Board of the Horizontes Institute at Atech–Sivam. At Coopers and Lybrand, he was President of the Supervision Committee of the Brazilian Industry Competitiveness Study. In 2002, he was Consultant in the preparation of the study Minas Gerais in the 21st Century, an initiative of the Minas Gerais Development Bank (BDMG), and President of the organization Economy and Energy – E&E. He was Member of the President of the Republic’s Ethics Committee from September 2000 to March 2005, and from April 2004 to April 2005 was Member of the Public Ethics Committee of the Minas Gerais State government. He earned his degree in Engineering in 1948 from Universidade Federal de Minas Gerais.

Wando Pereira Borges

Mr. Wando Pereira Borges has served as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG since December 18, 2012. From 1962 to 1966 he was Chief Economist of the Projects Department of the Minas Gerais Development Bank (BDMG); from 1967 to 1969 he was a special advisor to the Director-General of DNER, the Brazilian National Highways Department; and from 1969 to 1970 he was a Consultant to the World Bank in Chile and in Washington. In 1970–1976 he was a director of TRNSCON++, a Brazilian transport consultancy. In 1977–1979 he was Chief Executive Officer (CEO) of Digibras. In 1979–1982 he was General Secretary of the Brazilian Transport Ministry. From 1982 to 1984 he was CEO of GEIPOT – Empresa Brasileira de Planejamento de Transportes. From 1984 to 1992 he was consultant to Cia do Jari, Caemi and subsidiaries. From 1993 to 1995 he was Transport Consultant and Director of ABCE, the Brazilian Engineering Consultants’ Association. In 1995 and 1996 he was an advisor to the Mining and Energy Committee of the Chamber of Deputies, the Brazilian lower house of Congress. From 1997 to 1999 he was Planning, Industry and Trade Secretary for the city of Patos de Minas; from 2000 to 2001 he was a consultant to the Brazilian National Transport Federation (CNT). Since 2002 he has worked as a consultant for transport projects and for holders of highway concessions. From 2008 to 2010 he was a member of the Board of Directors of Bozel Mineracao SA; from 2008 to 2009, he was CEO of Eleja – Eletrica Jacui SA; from 2008 to 2009 he was Administrator of Powerbras Energia Holding Ltda. He has a degree in Economics and Business Administration from Universidade Federal de Minas Gerais (UFMG), and completed postgraduate studies at Fundacao Getulio Vargas in Rio de Janeiro, and at Yale University, the United States.

Francelino Pereira dos Santos

Mr. Francelino Pereira dos Santos has served as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG since February 27, 2003. He was Minas Gerais' State Senator from 1995 to 2002 and Governor of Minas Gerais from 1979 to 1983. He was also Congressional Representative for four successive terms from 1963 to 1979 and Alderman for the city of Belo Horizonte from 1951 to 1954. From 1961 to 1966, he was Chief of Cabinet of the Minas Gerais State Secretary of Internal Affairs and Justice, Chief of the Minas Gerais State General Management Department and Chief Counselor for Municipalities Affairs of the Cabinet of the Governor. From 1985 to 1990, he was Vice President of management of Banco do Brasil SA and Chief Executive Officer of Acesita from October 1983 to August 1984. He was also Professor and Director of the Municipal Accounting High School in Belo Horizonte from 1955 to 1959. He earned a degree in Law from the Law School of Universidade Federal de Minas Gerais in 1949.

Paulo Roberto Reckziegel Guedes

Mr. Paulo Roberto Reckziegel Guedes serves as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG. He began his career as Technical Assistant with M. Roscoe in 1982 and worked for Construtora Sultepa SA from 1983, as Assistant Engineer, and Supervisory Engineer, until 1991, when he became Operational General Manager of the Conesul Consortium for Construtora Sultepa. From 1993 to 1999, he was Project Manager at Construtora Andrade Gutierrez and since 2000 has been Director of Andrade Gutierrez Concessoes (AGC). He represents AGC on the Boards of Directors of CCR, Domino, Waterport and Companhia Operadora de Rodovias SA. He received a degree in Civil Engineering from Universidade Federal de Rio Grande do Sul in 1983, and completed an MBA from Fundacao Dom Cabral in 1997.

Mr. Arcangelo Eustaquio Torres Queiroz has served as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG since December 10, 2009. He has been with Cemig since 1988, and is a Visual Communication Specialist and Technical Administrator. He is currently Director of Sindieletro – the Minas Gerais Electricity Industry Workers' Union; Member of Cemig's Integrated Health Administration Committee (Prosaude), and Member of Cemig's Careers and Remuneration Committee. He graduated in History from Centro Universitario de Belo Horizonte - Uni-BH in 1992.

Guy Maria Villela Paschoal

Mr. Guy Maria Villela Paschoal has served as Member of the Board of Directors of Companhia Energetica de Minas Gerais CEMIG since April 29, 2009. He worked at Cemig for 28 years, where he served as Chairman of the Board. He holds a degree in Mechanical and Electrical Engineering from Universidade Federal de Minas Gerais.
