Name Description

Jeffrey Marcus

Mr. Jeffrey A. Marcus is Non-Executive Chairman of the Board of the Company. Mr. Marcus joined Crestview Partners, a private equity firm, in 2004, and currently serves as head of the Crestview Partners’ media and communications investment strategy. Prior to joining Crestview Partners, Mr. Marcus served in various positions in the media and communications industry, including as President and Chief Executive Officer of AMFM Inc. (formerly Chancellor Media Corporation), one of the nation’s largest radio broadcasting companies, and as founder and chief executive officer of Marcus Cable Company, a privately-held cable company. Mr. Marcus is currently a director of Camping World/Good Sam Enterprises, and NEP Group, Inc. In the last five years, Mr. Marcus also served as a director of Charter Communications, Inc. and DS Services of America, Inc.

Mary Berner

Ms. Mary G. Berner has been appointed as Chief Executive Officer of the Company, effective October 13, 2015 . She is among the most highly accomplished executives in the media industry. Over more than three decades, she has established a track record of successfully leading media companies to drive financial performance and growth. In recognition of her work, Ms. Berner was named one of the Top Women in Media by Folio magazine in 2014. Prior to becoming Chief Executive of MPA in 2012, Ms. Berner served as Chief Executive Officer of Reader's Digest Association and a member of the board from 2007 to 2011, where she developed and executed a successful turnaround strategy, oversaw the restructuring of the company's acquisition-related debt (after which she and her team presided over the doubling of the company's stock price) and optimized its brands and assets including through the development of new digital revenue streams. Under her direction, the $2 billion global media and direct marketing company launched 83 websites and 31 mobile apps, and built Allrecipes into the world's largest food website. From November 1999 until January 2006 , she led Fairchild Publications, Inc., first as President and Chief Executive Officer and then as President of Fairchild and as an Officer of Conde Nast , when Fairchild became a division of Conde Nast Publications, Inc. Ms. Berner and her team led the company to unprecedented portfolio and financial growth - from 31 magazines and businesses in 1999 to more than 60 in 2006 - by growing profitability on core and "mature" properties, reorganizing underperforming but well-positioned businesses, creating sustainable line extensions of existing brands, and starting new businesses and magazines. In recognition of her outstanding performance, leadership and innovative excellence, Advertising Age named Ms. Berner "Publishin g Executive of the Year" in 2004.

Lewis Dickey

Mr. Lewis W. Dickey, Jr. is Vice Chairman of the Board of the Company., effective October 13, 2015 . He was Chairman, President and Chief Executive Officer. Mr. Dickey has served as Chairman, President and Chief Executive Officer since December 2000. Mr. Dickey was one of our founders and initial investors, and served as Executive Vice Chairman from March 1998 to December 2000. Mr. Dickey is a nationally regarded consultant on radio strategy and the author of The Franchise — Building Radio Brands, published by the National Association of Broadcasters, one of the industry’s leading texts on competition and strategy. Mr. Dickey also serves as a member of the National Association of Broadcasters Radio board of directors.

John Abbot

Mr. John F. Abbot has been appointed as Chief Financial Officer, Executive Vice President, Treasurer, Principal Financial and Accounting Officer of the Company, effective July 1, 2016. Prior to his service at Telx, which was sold to Digital Realty Trust in October 2015 for approximately $1.9 billion, Abbot was Executive Vice President and Chief Financial Officer of Insight Communications Company, Inc., a cable television business with over $1 billion of revenue. He worked as CFO at Insight for eight years, culminating with its acquisition by Time Warner Cable in 2012 for $3 billion. During the prior nine years, he worked in the Global Media and Communications Group of the Investment Banking Division at Morgan Stanley, where he was a Managing Director. Abbot began his career as an associate at Goldman, Sachs & Co., and also served as a Surface Warfare Officer in the U.S. Navy. He received a bachelor’s degree in Systems Engineering from the U.S. Naval Academy, an ME in Industrial Engineering from The Pennsylvania State University, and an MBA from Harvard Business School.

Richard Denning

Mr. Richard S. Denning is Senior Vice President, Secretary and General Counsel. Prior to joining the Company, Mr. Denning was an attorney with Dow, Lohnes & Albertson, PLLC (“DL&A”) within DL&A’s corporate practice group in Atlanta, advising a number of media and communications companies on a variety of corporate and transactional matters. Mr. Denning also spent four years in DL&A’s Washington, D.C. office and has extensive experience in regulatory proceedings before the FCC. Mr. Denning has been a member of the Pennsylvania Bar since 1991, the District of Columbia Bar since 1993, and the Georgia Bar since 2000. He is a graduate of The National Law Center, George Washington University.

Pierre Bouvard

Pierre C. Bouvard is Chief Marketing Officer of Cumulus Media Inc. Bouvard has over 25 years of experience in media research, purchaser targeting and advertiser ROI measurement as well as senior leadership roles in sales, marketing and operations, and was previously Senior Vice President of Sales for TiVo Research & Analytics, Inc. At TiVo Research, he led cross-media targeting and sales lift measurement engagements for Procter & Gamble, Comcast, Turner Broadcasting, and NBCU. As President of Sales for Arbitron Inc., Bouvard led the sales and marketing effort to launch Arbitron's Portable People Meter (PPM) and he created the out-of-home and custom research divisions. Earlier, Bouvard was Executive Vice President at Coleman Insights, a leading market research and consulting firm to the radio industry in the U.S. and in Europe. At Coleman, he helped launch the nation's first Hip Hop formats in Los Angeles and New York City and oversaw the programming and marketing strategies of dozens of successful major market radio stations. Bouvard holds a B.S. degree in Communications from Northwestern University. In 2007, he was named by MediaWeek Magazine as one of the 50 most indispensable executives shaping the future of media. He has served on the boards of Adify Inc. and TRA and is currently on the boards of the IRTS, a leading media charity in New York City, and the Library of American Broadcasting.

Ralph Everett

Mr. Ralph B. Everett is Independent Director of Cumulus Media Inc., since July 1998. From January 2007 until his retirement in January 2014, Mr. Everett served as the President and Chief Executive Officer of the Joint Center for Political and Economic Studies, a national, nonprofit research and public policy institution located in Washington, D.C. Prior to 2007, and for eighteen years, Mr. Everett had been a partner with the Washington, D.C. office of the law firm Paul Hastings LLP, where he headed the firm’s Federal Legislative Practice Group. He had previously worked in the U.S. Senate for more than a decade, including serving as a staff director and chief counsel of the Committee on Commerce, Science and Transportation. In 1998, Mr. Everett was appointed by President Clinton as United States Ambassador to the 1998 International Telecommunication Union Plenipotentiary Conference. In the same year, he led the U.S. delegation to the Second World Telecommunication Development Conference in Malta, joining participants from more than 190 nations. He is also a member of the Board of Visitors of Duke University Law School and serves on the boards of Independent Sector and The National Coalition on Black Civic Participation. In addition, Mr. Everett served on the board of Star Scientific, Inc. from December 2012 to December 2013.

Alexis Glick

Ms. Alexis Glick is an Independent Director of Cumulus Media Inc. Ms. Glick is currently the chief executive officer of GENYOUth Foundation, a non-profit organization dedicated to fighting childhood obesity, a position she has held since February 2011. Prior thereto, Ms. Glick served as Vice President of Fox Business News, which she helped launch and where she anchored various business news programs. Prior to joining Fox Business News in 2006, she was a correspondent and anchor for both NBC and CNBC. Earlier in her career, Ms. Glick was an executive at Morgan Stanley, where she headed floor operations at the New York Stock Exchange.

David Tolley

Mr. David M. Tolley is an Independent Director of Cumulus Media Inc., since January 31, 2011. Mr. Tolley is a private investor who previously was employed by Blackstone from 2000 until December 2011, most recently serving as Senior Managing Director. Prior to joining Blackstone, Mr. Tolley held a series of positions at Morgan Stanley & Co. He served as a director of Cumulus Media Partners, LLC from 2006 to August 2011, is currently a director of Beech Holdings LLC, and is the former Chairman of the board of directors of New Skies Satellites Holdings Ltd.
