John Marlay

 Mr. John Marlay has been Chairman of the Board of Cardno Ltd since August 14, 2012. He has management experience with companies such as Alumina Limited, Hanson PLC and Pioneer International Group. He is currently a Non-Executive Director of the Board of Incitec Pivot Ltd and Boral Ltd. He is the Independent Chairman of the Board of Tomago Aluminium Company. From 2002 to 2008, he held the position of Chief Executive Officer and Managing Director of Alumina Ltd. From 1995 to 2001, he held various senior management roles with Pioneer in Australia and the United Kingdom and subsequently with Hanson PLC. He also held senior positions with James Hardie and Esso Australia Limited.

Andrew Buckley

 Mr. Andrew D. Buckley has been Chief Executive Officer, Managing Director and Executive Director of Cardno Ltd since 1997. He has 30 years of experience in executive management, project management, design and implementation of engineering and development assistance projects. He has worked in the management, design and construction of mining, engineering and infrastructure projects in Australia, Africa, USA and Asia. He has worked in executive management roles in the engineering, construction and development assistance sectors since 1991. He holds a Bachelor of Engineering (Hons).  Dr. Trevor C. Johnson, Ph.D., has been Executive Director of Cardno Ltd since 1996. He is a Member of the Board's Audit, Risk & Compliance Committee. He has been an employee of the company for more than 25 years. He is a member of the Senior Executive team which assists the Managing Director in running the company. In his executive role as Director Corporate, he is responsible for a number of acquisitions, co-ordination and communication activities within the Group. He has more than 30 years of experience as a civil engineer and in the fields of hydraulics, water quality and environmental analysis. He remains involved in the company's operational activity. He holds a Bachelor of Engineering, a Master of Engineering Science and a Doctorate in Philosophy.  Mr. Michael Pearson, LLB, BA, ACIS, has been Joint Company Secretary of Cardno Ltd since September 24, 2009. He holds a Bachelor of Arts and a Bachelor of Laws. He is Associate of the Institute of Chartered Secretaries.

 Gen. (Retd.) Peter J. Cosgrove, AC, MC, has been Non-Executive Director of Cardno Ltd since March 26, 2007. He is a Member of the Nominations Committee. He is a Director of Qantas Airways Limited, Qantas Superannuation Limited, and Australian Rugby Union Limited. He is Chancellor of the Australian Catholic University and holds a number of prestigious memberships and appointments including being a member of the Trustee Board of the Commonwealth Superannuation Corporation. He was Chief of the Australian Defence Force from July 2002 until July 2005. In 1999, he was appointed as Commander of the International Forces in East Timor and helped the country transition to independence. He was awarded the Military Cross in Vietnam and he was appointed as a Companion of the Military Division of the Order of Australia, Companion of the New Zealand Order of Merit (CNZM) and Commander of the United States Legion of Merit. In 2001, he was the Australian of the Year. His qualifications include ndc (Ind), jssc, psc (United States), Dip Mil Stud, FAICD.

Tonianne Dwyer

 Ms. Tonianne A. Dwyer serves as a Non-Executive Director of Cardno Ltd since June 25, 2012. Ms. Dwyer is an Independent Non-Executive Director of DEXUS Property Group and DEXUS Wholesale Property Fund which is an unlisted property fund. She is a former Director of Quintain Estates and Development PLC. Her executive career included roles as Executive Director and Head of Funds Management at Quintain Estates and Development (2003-10), Director, Investment Banking with Societe Generale/SG Cowen/Hambros Bank in London (1987-2003), including a period being seconded to the Finance Division of UK Department of Health (1989-90) after working as a Barrister and Solicitor in Perth. Ms. Dwyer is a Graduate of the Australian Institute of Company Directors and has a Bachelor of Jurisprudence and a Bachelor of Laws, from the University of Western Australia, is admitted as a Barrister and Solicitor of the Supreme Court of Western Australia.

 Mr. Grant B. Murdoch has been appointed as a Non-Executive Director of Cardno Ltd effective on January 1, 2013. Mr. Murdoch is an Independent Non-Executive Director of ALS Limited. He is a Chartered Accountant with over 28 years of experience as a partner in audit and corporate finance with International accounting firms.

Anthony Barnes

 Mr. Anthony (Tony) Higson Barnes has been Independent Non-Executive Director of Cardno Ltd since July 31, 2008. He is Chairman of the Board's Audit, Risk & Compliance Committee and a Member of the Remuneration Committee. He was formerly the Chief Financial Officer of Zinifex Limited, an international mining, exploration and development company. He also held the position of Chief Executive Officer of Zinifex Limited for a period. He played a role in the IPO of Zinifex Limited in May 2004 and its subsequent restructure culminating in the merger with Oxiana Limited in July 2008 to form Oz Minerals Limited. He has financial experience following a career which included more than 32 years with BHP, both within Australia and Internationally. He is also a Director of the Victorian Rugby Union. He holds a Bachelor of Commerce degree.

Ian Johnston

 Mr. Ian J. Johnston has been Independent Non-Executive Director of Cardno Ltd since November 1, 2004. He is Member of the Board's Audit, Risk & Compliance Committee, the Remuneration Committee and the Nominations Committee. Following a career of nearly 25 years in the banking industry, he joined RBS Morgans in 1988 as Head of Corporate Finance and is now Chairman Corporate Finance and a Member of its advisory board. He is also a Director of Data #3 Limited and RBSM Foundation Limited. He is also a Member of the National Trust of Queensland Brisbane City Hall Conservation Appeal Committee and Rowland advisory board. His previous Board appointments include Symbiosis Group Limited and The Rock Building Society Limited. His qualifications include DipCM, GradDip App Fin & Inv, ASIA, ACIS, FAICD.
