Mr. Abe Schwartz has been appointed as Chairman of the Board of Covalon Technologies Ltd. effective December 6, 2012. Mr. Schwartz is the founder and President of Schwartz Technologies Corporation, which is actively involved in the financing, development and managing of healthcare and information technology companies. He has served as an advisor to the Covalon Board of Directors and is a shareholder of Covalon stock. Mr. Schwartz has held executive positions in various public and private companies, including among others, President and CEO of Cedara Software Corporation, a publicly-traded medical imaging company where he led a turnaround between 2002 and 2005. Mr. Schwartz worked closely at Cedara with Covalon's Chief Executive Officer, Brian Pedlar. |

Mr. Brian E. Pedlar is President, Chief Executive Officer, Interim Chief Financial Officer, Director of Covalon Technologies Ltd. He has been appointed as Interim Chief Financial Officer of the Company effective January 9, 2013. He has been member of the Board of Directors since January 14, 2010. Previously, Mr. Pedlar was President of Pedlar Ventures Limited, a private venture investment and consulting firm based in Oakville, Ontario. He has served in senior executive positions with public companies including temporary CFO, Cygnal Technologies Corp., October 2007; President, Cedara Software Corp., 2005 to 2006; Chief Financial Officer, Cedara Software Corp., 2004 to 2005; and Director of Finance, Cedara Software Corp., 2000 to 2004. Mr. Pedlar has also held senior executive positions with Merge Healthcare and IMAX Corporation. Mr. Pedlar holds a Bachelor of Science degree from Mount Allison University, a post-graduate diploma in Accounting from Wilfrid Laurier University and is a Canadian Chartered Accountant. |

Dr. Valerio DiTizio serves as Chief Scientific Officer of Covalon Technologies Ltd., since December 21, 2004. Dr. DiTizio is a co-inventor of Covalon technologies and a co-founder of the company. He has degrees in science from the University of Toronto as a Biochemistry Specialist. Dr. DiTizio completed his Master's degree in liposome drug delivery. His graduate research involved the application of polymer chemistry and drug delivery in pursuit of novel materials and processes that currently comprise the core of Covalon’s intellectual property. Dr. DiTizio holds several US and European patents. |

Mr. Martin C. Bernholtz is Independent Director of Covalon Technologies Ltd. He resigned as Independent Chairman of the Board of the company effective December 6, 2012. He has been a chartered accountant since 1983 and has held the position of Vice President Finance at Kerbel Group Inc., an integrated real estate developer, since 1988. He has served as a director and officer of various public, private and condominium corporations over the past 20 years. Mr. Bernholtz previously spent eight years with Laventhol & Horwath in the Litigation Support and Business Valuation area. Mr. Jeffrey Mandel serves as an Independent Director of Covalon Technologies Ltd., since August 24, 2011. He is currently President and CEO of Mitec Telecom Inc., a radio frequency products and solutions company (TSX- MTM). Mr. Mandel joined the Mitec Board in 2006 and has worked closely with both the board of directors and management over that time. He has been involved in the high-tech, communications, healthcare and retail industries throughout his 25 year career and has led capital development activities as well as identified and executed various commercialization strategies for companies for which he has been active. |

Dr. Murray Miller serves as an Independent Director of Covalon Technologies Ltd., since January 14, 2010. He is the managing director of Trillium Imaging Inc., which operates medical imaging centres in Mississauga and Toronto. He is a practicing radiologist in Mississauga and Toronto. He served as Chief Radiologist at the Queensway Hospital from 1996 to 1998, and has been an active member of the medical staff at Trillium Health Centre since 1988. Dr. Miller served on the Board of Trillium Health Centre from 2001 to 2005 and on the Trillium Health Centre Foundation Board from 2000 to 2006. He has been a consultant to the medical industry, including medical device manufacturers and medical imaging vendors. |
