Biographies

Name Description

David Dye

Mr. David A. Dye is Chairman of the Board, Chief Financial Officer, Treasurer, Secretary of Computer Programs and Systems Inc. He was appointed as Chairman of the Board of Directors in May 2006, and has served as Chief Financial Officer, Secretary and Treasurer since June 30, 2010. Mr. Dye began his career with CPSI in May 1990 as a Financial Software Support Representative. From that time until June 1999, he worked for CPSI in various capacities, including as Manager of Financial Software Support, Director of Information Technology and then as CPSI’s Vice President supervising the areas of sales, marketing and information technology. Mr. Dye served as CPSI’s President and Chief Executive Officer from July 1999 until May 2006, at which time he was appointed Chairman of the Board. Since July 2006, Mr. Dye has served as a director of Bulow Biotech Prosthetics, a company headquartered in Nashville, Tennessee that operates prosthetic clinics in the Southeastern United States. Mr. Dye was appointed to the position of Chief Financial Officer of CPSI on an interim basis on June 30, 2010 and has occupied the position on a permanent basis since February 25, 2011.

J. Boyd Douglas

Mr. J. Boyd Douglas is President, Chief Executive Officer, Director of Computer Programs and Systems Inc. He has served as President and Chief Executive Officer since May 2006. He was elected as a director in March 2002. Mr. Douglas began his career with the Company in August 1988 as a Financial Software Support Representative. From May 1990 until November 1994, Mr. Douglas served as Manager of Electronic Billing, and from December 1994 until June 1999, he held the position of Director of Programming Services. From July 1999 until May 2006, Mr. Douglas served as Executive Vice President and Chief Operating Officer.

Victor Schneider

Mr. Victor S. Schneider is Executive Vice President - Corporate and Business Development of Computer Programs and Systems Inc., since January 2013. Prior to his appointment as Executive Vice President – Corporate and Business Development, Mr. Schneider served as Senior Vice President – Corporate and Business Development since December 2005. Mr. Schneider is responsible for revenue generation efforts, customer relations, strategic growth initiatives and positioning, and market execution. Mr. Schneider began his career with the Company in June 1983 as Sales Manager. He served in that capacity until January 1997 when he was promoted to Sales Director. He served as Vice President–Sales and Marketing from July 1999 until December 2005.

Troy Rosser

Mr. Troy D. Rosser is Senior Vice President - Sales of Computer Programs and Systems Inc., since January 2012. previously served as Vice President – Sales since October 2005. Mr. Rosser is responsible for overseeing all of sales and marketing efforts. Mr. Rosser began his career with the Company in March 1989 as a Financial Software Support Representative. In 1992, Mr. Rosser was transferred to the Sales and Marketing division where he has worked in various positions, including Sales Manager and, from October 2000 until October 2005, Director of Sales.

Robert Hinckle

Mr. Robert D. Hinckle is Senior Vice President - Software Services of Computer Programs and Systems Inc., since January 2013. He served as Vice President–Software Services from October 2004 until January 2013. Mr. Hinckle is responsible for overseeing all aspects of the installation and support of software products. Since beginning his career with the Company in 1995 as a Financial Software Support Representative, Mr. Hinckle has worked in various positions in Software Services Division, including Team Manager, Assistant Director and Director of that division.

Michael Muscat

Mr. Michael K. Muscat, Jr., is Senior Vice President - Product Development Services of Computer Programs and Systems Inc., since March 2008. Mr. Muscat is responsible for overseeing all aspects of the development quality assurance/testing, documentation, and distribution of all application software. Mr. Muscat began his career with the Company in July 1996 as a Software Support Representative. Mr. Muscat then served as a Programmer and Manager of Outsourcing Services. From June 2002 to May 2006, Mr. Muscat served as the Director of Business Management Services and from May 2006 until March 2008 as the Vice President of Business Management Services.

James Britain

Mr. James B. Britain is Vice President - Finance, Controller of Computer Programs and Systems Inc., since March 2011. Mr. Britain is principal accounting officer. Mr. Britain began his career with the Company in September 2007 as Controller and served in that capacity until March 2011. Prior to his appointment as Controller, Mr. Britain was Controller of Azalea Aviation, Inc., a fixed base operator in Mobile, Alabama, from September 2006 until September 2007.

Pamela Phillips

Ms. Pamela S. Phillips is Vice President Financial Support of Computer Programs and Systems Inc., since January 2013. Ms. Phillips is responsible for overseeing the software support services the Company provide to customers of financial applications. Prior to her appointment as Vice President – Financial Support in January 2013, Ms. Phillips served as Director of Financial Support from November 2004 until January 2013. Ms. Phillips began her career with the Company in 1993 and has held various positions within Software Services division, including Software Implementation Team Manager, Education Manager, and Director of Financial Support.

Lyle Hutchison

Mr. Lyle E. Hutchison is Vice President - Sales of Computer Programs and Systems Inc., since October 2012. Mr. Hutchison is responsible for overseeing all of sales efforts directed towards new or prospective customers. Prior to his appointment as Vice President – Sales in October 2012, Mr. Hutchison served as Senior Sales Director since May 2011. Mr. Hutchison began his career with the Company in August 1990 and has held the positions of Sales Manager from August 2005 until June 2006, Sales Director from June 2006 until May 2011, and Senior Sales Director from May 2011 until October 2012.

Sean Nicholas

Mr. Sean C. Nicholas is Vice President - Sales of Computer Programs and Systems Inc., since October 2012. Mr. Nicholas is responsible for overseeing all of sales efforts directed towards established customers. Prior to his appointment as Vice President – Sales in October 2012, Mr. Nicholas served as Senior Sales Director since May 2011. Mr. Nicholas began his career with the Company in July 1993 and has held the positions of Sales Manager from January 1999 until October 2000, Marketing Director from October 2000 until October 2003, Sales Director from October 2003 until May 2011, and Senior Sales Director from May 2011 until October 2012.

J. Lamar Cowart

Mr. J. Lamar Cowart is Vice President - Implementation of Computer Programs and Systems Inc., since January 2013. Mr. Cowart is responsible for overseeing the implementation services the Company provide to those customers purchasing new applications. Mr. Cowart began his career with the Company in 1999 and has held various positions within Software Services division, including Project Manager from 2003 until 2004, Director of Implementation Services from 2004 until 2011, and Senior Director of Implementation Services from 2011 until January 2013.

Ms. Stephanie P. Durkac is Vice President - Clinical Support of Computer Programs and Systems Inc., since January 2013. Ms. Durkac is responsible for overseeing the software support services the Company provide to customers of the clinical applications. Prior to her appointment as Vice President – Clinical Support in January 2013, Ms. Durkac served as Director of Software Services since November 2003. Ms. Durkac began her career with the Company in 1994 and has held various positions within Software Services division, including Manager, Assistant Director, and Director.

J. Scott Littrell

Mr. J. Scott Littrell is Vice President - Information Technology Services of Computer Programs and Systems Inc., since January 2013. Mr. Littrell is responsible for overseeing all aspects of technical and hardware services. Mr. Littrell began his career with the Company in 2000 as a Technical Support Representative. Since that time, Mr. Littrell has served as ImageLink Support Representative from 2003 until 2004, R&D Analyst from 2004 until 2007, and most recently served as Director of Technical and Hardware Services from 2007 until January 2013.

Robert Smith

Mr. Robert D. Smith is Vice President - Product Development Services of Computer Programs and Systems Inc., since March 2008. Mr. Smith is responsible for overseeing all aspects of system programming and enhancements within Product Development division. Since Mr. Smith began his career with the Company in September 1993, he has served in the capacity of Technical Support Representative, Programmer, and Programming Manager. From January 2001 to May 2006, Mr. Smith served as the Director of Programming Services and from May 2006 to March 2008 as Vice President of Programming Services.

Charles Huffman

Mr. Charles P. Huffman serves as Independent Director of Computer Programs and Systems Inc. From August 2007 until his retirement in November 2008, Mr. Huffman served as Executive Vice President and Chief Financial Officer of EnergySouth, Inc., a public company specializing in natural gas distribution and storage. From December 2000 to July 2007, Mr. Huffman served as the Senior Vice President and Chief Financial Officer of EnergySouth, Inc. Mr. Huffman brings more than 28 years of experience as an officer of a public company, EnergySouth, Inc., including serving as the principal financial and accounting officer, which gives him a wide range of accounting, financial, capital markets and executive management experience that contributes greatly to the composition of the Board.

John Johnson

Mr. John C. Johnson serves as Independent Director of Computer Programs and Systems Inc. He has worked as a real estate appraiser for Courtney & Morris Appraisals, Inc. in Mobile, Alabama since September 2001. From December 1994 to January 1998, Mr. Johnson served as the President and Chief Operating Officer of Coopersmith, Inc., a regional wholesale bakery located in Mobile, Alabama. After chairing the transition team for the sale of Coopersmith, Inc. to Earthgrains Company from January 1998 to May 1999, Mr. Johnson retired from the bakery industry and worked for a brief time as the Business Manager of Saint Ignatius Church. Mr. Johnson is currently a director of the South Alabama Advisory Board of Regions Bank, which is a subsidiary of Regions Financial Corporation.

Ernest Ladd

Mr. Ernest F. Ladd, III, serves as Independent Director of Computer Programs and Systems Inc. From 1979 until his retirement in 1997, Mr. Ladd was employed by Dravo Corporation, a national producer and marketer of chemical products, serving most recently as its Executive Vice President, Finance and Administration from 1989 until 1994 and as its Executive Vice President, Chief Financial Officer from 1994 until his retirement in 1997. From April 1984 until April 2006, Mr. Ladd was a director of Regions Bank of Mobile, an operating division of Regions Bank, which is a subsidiary of Regions Financial Corporation. Mr. Ladd currently serves as a senior advisor to Taylor Companies, a private investment bank. Mr. Ladd’s experience as the principal financial officer of Dravo Corporation, which was a public company until 1998, as well as his business experiences with Regions Bank and Taylor Companies, give him a wide range of accounting, financial, capital markets and executive management experience and skills, which adds and insight to the Board.

W. Austin Mulherin

Mr. W. Austin Mulherin, III, serves as Independent Director of Computer Programs and Systems Inc. Since 1991, Mr. Mulherin has practiced law, handling a variety of litigation and business matters for public and private companies. He has been a partner in the law firm of Frazer, Greene, Upchurch & Baker, LLC since 1998. Mr. Mulherin’s 21 years of experience as a practicing attorney, during which period he has advised a number of public companies on a variety of issues, provides a unique and perspective to the Board.

William Seifert

Mr. William R. Seifert, II, serves as Independent Director of Computer Programs and Systems Inc. From 1994 through November 2006, Mr. Seifert served as Executive Vice President of AmSouth Bank. From the closing of the merger of AmSouth Bank and Regions Bank in November 2006 until June 2009, Mr. Seifert served as Executive Vice President of Regions Bank, which is a subsidiary of Regions Financial Corporation. He has held the position of Chairman of the South Alabama Advisory Board of Regions Bank since November 2006. During Mr. Seifert’s forty-year career in banking and financial services, he has served in numerous leadership roles, including with Regions Bank and its predecessor banks.
