Name Description

Jack Farber

Mr. Jack Farber is Chairman of the Board of CSS Industries Inc since 1979. From 1979 to May 1999, he was also President and Chief Executive Officer. Mr. Farber has served as one of directors since 1978.

Christopher Munyan

Mr. Christopher J. Munyan is President, Chief Executive Officer, Director of CSS Industries Inc., Since June 2010, he has also served as President of Berwick Offray LLC (“Berwick Offray”) and Cleo Inc subsidiaries. He served as Executive Vice President and Chief Operating Officer from October 2005 until June 2006. From 1999 until 2005, Mr. Munyan served as President of Berwick Offray. From 1993 to 1999, Mr. Munyan served Berwick Offray in various capacities, including Senior Vice President — Finance and Administration. Mr. Munyan has served as one of directors since 2006.

John Roselli

Mr. John M. Roselli is appointed as Chief Financial Officer, Executive Vice President - Finance of the Company effective February 20, 2017. Mr. Roselli has approximately twenty years of leadership experience in financial positions with Fortune 500 companies. For the past thirteen years, Mr. Roselli has served in various senior financial positions with TE Connectivity (NYSE: TEL) ("TE") and its former parent company Tyco International ("Tyco"), most recently serving as TE's Vice President of Finance/Chief Financial Officer for its $800 million global Sensor Solutions business unit. In such capacity, Mr. Roselli was responsible for all aspects of finance, including controllership, strategic planning and modeling, forecasting, budgeting, and operations finance for over twenty manufacturing sites. Prior to his most recent position, John had similar financial leadership roles for TE's Data Communications and Global Distribution business units. John began his tenure at Tyco as Director of Investor Relations and later served as TE's Vice President of Investor Relations following TE's spinoff from Tyco. Prior to Tyco/TE, John spent six years at Citigroup as an associate equity analyst. Mr. Roselli holds a B.A. from Shippensburg University and is a Chartered Financial Analyst.

William Kiesling

Mr. William G. Kiesling is Vice President - Legal and Human Resources and General Counsel of CSS Industries Inc., since August 2006. He served as Vice President and General Counsel from August 2005 until August 2006. From February 1995 to July 2005, Mr. Kiesling served in various legal capacities, including Vice President and Associate General Counsel, with ARAMARK Corporation, a provider of food, hospitality and facility management services and uniform and work apparel.

Harry Mullany

Mr. Harry J. Mullany, III., serves as Director of the Company. Mr. Mullany brings considerable executive leadership and management experience gained through his service as a senior executive with a variety of global mass market retailers and professional services providers. From November 2013 until August 2015, Mr. Mullany served as President of Toys R Us, Inc., a global toy and baby products retail company. He also served in various positions with Walmart Stores, Inc. between January 2006 and November 2010, including as its Executive Vice President and President North Business. From April 1988 until March 2002, Mr. Mullany served in various positions, including as President, with Genuardi's Family Markets, L.P., a regional supermarket chain acquired in 2000 by Safeway, Inc. From February 2011 until May 2013, Mr. Mullany also served as Chief Executive Officer of The ServiceMaster Company, Inc., a leading provider of essential residential and commercial services. He received his undergraduate degree in 1980, and his M.B.A. in 1981, from Temple University.

William Rulon-Miller

Mr. William L. Rulon-Miller is Director of the company. He has significant experience as a business leader, with over 35 years in the financial industry as an investment banker and venture capitalist. For over 30 years, Mr. Rulon-Miller was employed by the investment banking firm Janney Montgomery Scott, serving from 1982 to 2009 as either Director or Co-Director of the firm's Investment Banking Group, and from 2005 until 2009 as a member of the firm's Board of Directors. He also has served on the Board of Directors of numerous publicly-held and privately-held companies, including Metrologic Instruments, Inc., Destination Maternity Corporation, Intelligent Electronics, Inc., and The JPM Company. Mr. Rulon-Miller also served from February 2012 to February 2016 as the President of the non-profit organization Knowles Science Teaching Foundation. He received his undergraduate degree in 1970 from Princeton University, and his M.B.A. in 1976 from the Wharton School of the University of Pennsylvania.

Scott Beaumont

Mr. Scott A. Beaumont is Independent Director of CSS Industries Inc. He has been Chief Executive Officer, Lilly Pulitzer Group of Oxford Industries, Inc., an international apparel design, sourcing and marketing company, since December 2010. From 1993 to December 2010, he was Chairman and Chief Executive Officer of Sugartown Worldwide, Inc. (“Sugartown”), a designer, marketer and distributor of apparel, accessories and home fashions under the Lilly Pulitzer® trademark. In December 2010, Oxford Industries, Inc. acquired Sugartown, of which Mr. Beaumont was a co-founder. Mr. Beaumont has served as one of directors since 2005.

James Bromley

Mr. James H. Bromley is Independent Director of CSS Industries Inc. He is President and owner of Bromley Consulting Services, Inc., has been an independent consultant since 1996. From September 1996 to December 1997, he served as Chairman of our former Direct Mail Business Products Group and Vice Chairman of Rapidforms, Inc., formerly a subsidiary of CSS. He has served as one of our directors since 1989.

Robert Chappell

Mr. Robert E. Chappell serves as Independent Director of CSS Industries, Inc., effective September 25, 2012. Mr. Chappell is Chairman of The Penn Mutual Life Insurance Company, a mutual life insurance company providing life insurance and annuity products. He served as Penn Mutual’s Chief Executive Officer from April 1995 until February 2011 and as its President from January 2008 to March 2010. Mr. Chappell also serves on the board of directors of Quaker Chemical Corporation, a producer and marketer of formulated chemical specialty products and provider of chemical management services. He has served as one of directors since September 2012.

Elam Hitchner

Mr. Elam M. Hitchner, III, is Independent Director of CSS Industries, Inc. He was a partner in the law firm Pepper Hamilton LLP (“Pepper Hamilton”) from May 1992 to June 1999, and returned to the firm in January 2001 as a partner and subsequently as “of counsel” through 2004. Since 2005, he has provided consulting services to Pepper Hamilton, which provides legal services to CSS. Mr. Hitchner does not participate in the firm’s provision of legal services to CSS. From 1994 to 2011, Mr. Hitchner served as a director of Destination Maternity Corporation, a designer and retailer of maternity apparel, and from 2004 to 2012, he was a director of eResearch Technology, Inc., a provider of services and customizable medical devices to biopharmaceutical and healthcare organizations. He has been a member of Board since May 2013.

Rebecca Matthias

Ms. Rebecca C. Matthias is Independent Director of CSS Industries Inc. She served as President of Destination Maternity Corporation, a designer and retailer of maternity apparel, from 1982 until 2010. She also served as its Chief Operating Officer from 1993 until 2007, and as its Chief Creative Officer from 2007 until 2010. Ms. Matthias served as a director of Destination Maternity Corporation from 1982 until February 2011. She has served as a director of Penn Series Funds, Inc, an open-end, diversified management investment company, since September 2010. Ms. Matthias has served as one of directors since 2003.
