Name Description

Michael Grandin

Mr. Michael A. Grandin is Independent Chairman of the Board of Cenovus Energy Inc. He is also director of BNS Split Corp. II, a publicly traded investment company; and HSBC Bank Canada. He was Chairman and Chief Executive Officer of Fording Canadian Coal Trust, a publicly traded mining trust, from February 2003 to October 2008 when it was acquired by Teck Cominco Limited. He was President of PanCanadian Energy Corporation from October 2001 to April 2002 when it merged with Alberta Energy Company Ltd. to form Encana. Mr. Grandin served as Dean of the Haskayne School of Business, University of Calgary from April 2004 to January 2006.

Brian Ferguson

Mr. Brian C. Ferguson is President, Chief Executive Officer, Non-Independent Director of Cenovus Energy Inc. Mr. Ferguson became President & Chief Executive Officer when Cenovus was formed on November 30, 2009. Mr. eFrguson is responsible for the overall leadership of Cenovus’s strategic and operational performance. Prior to leading Cenovus, Mr. Ferguson was Executive Vice-President & Chief Financial Officer of Encana. His business experience includes a variety of areas in finance, business development, reserves, strategic planning, evaluations and communications. he is a Fellow of the Institute of Chartered Accountants of Alberta, a member of the Canadian Association of Petroleum Producers (CAPP) and participates on several CAPP committees, including the Oil Sands CEO Council, a member of the Canadian Institute of Chartered Accountants (CICA), a director and a member of the Canadian Council of Chief Executives and Chair of the Calgary Police Foundation. He previously served as Chairman of CICA’s Risk Oversight and Governance Board and on the board of CAPP, and is a former member of the Global Commerce Strategy Advisory Panel.

Ivor Ruste

Mr. Ivor M. Ruste is an Chief Financial Officer, Executive Vice President of Cenovus Energy Inc. From May 2006 to November 2009, Mr. Ruste held the following positions with Encana: Executive Vice-President, Corporate Responsibility & Chief Risk Officer effective May 2009; Executive Vice-President & Chief Risk Officer effective January 2008; Vice-President, Finance for the Integrated Oil Division effective January 2007; and Vice- President, Finance of the Corporate Finance Group effective May 2006. From February 2003 to April 2006, he was a partner and the Office Managing Partner for the Edmonton, Alberta office of KPMG LLP, as well as the Alberta Region Managing Partner for KPMG LLP. During this period, he was also a member of the Board of Directors of KPMG Canada and, from December 2003 to March 2006, he was Vice Chair of the Board of Directors for KPMG Canada.

Alan Reid

Mr. Alan Craig Reid is Executive Vice-President - Environment, Corporate Affairs, Legal & General Counsel of the company. Al is accountable for the company’s environment strategy and performance, as well as regulatory applications and compliance. He’s also accountable for ensuring Cenovus builds strong relationships and communicates effectively with our stakeholders including investors, government, media, the public, our employees and the communities where the company operates, including Aboriginal communities. Al is also accountable for Cenovus’s legal, Board and corporate secretarial matters. Prior to Al’s current role, he was Senior Vice-President of the company’s Christina Lake and Narrows Lake assets, where he was accountable for the overall development and operation of the two projects in northern Alberta. With more than 25 years in the oil and gas industry, Al has had a variety of roles including extensive regulatory, stakeholder and environmental experience. Al worked as a regulatory lawyer where he was active in matters before the Alberta Energy and Utilities Board, the National Energy Board and the Nova Scotia Offshore Petroleum Board. He joined Cenovus's predecessor company in 1999, and became Vice-President of Regulatory Services in 2003. Al has a Bachelor of Physical Education, a Bachelor of Science and a Bachelor of Law degree from the University of Calgary. He also holds an Executive MBA, with a focus on global energy, from the University of Calgary’s Haskayne School of Business. Al is a member of both the Law Society of Alberta and the Canadian Bar Association.

Harbir Chhina

Mr. Harbir S. Chhina is Executive Vice President - Oil Sands Development of Cenovus Energy Inc. Mr. Chhina became Executive Vice-President, Oil Sands on December 1, 2010. From November 2009 to November 2010, Mr. Chhina was Cenovus’s Executive Vice- President, Enhanced Oil Development & New Resource Plays. In 2009, Mr. Chhina held the following position with Encana: Vice-President, Upstream Operations, Integrated Oil Sands Division.

Judy Fairburn

Ms. Judy A. Fairburn is an Executive Vice President - Business Innovation of the Company., effective December 1, 2015. She is accountable for developing ground-breaking, cross-sector partnerships in areas of strategic importance to the company. Judy’s previous executive and senior leadership responsibilities include strategic planning, environment, portfolio management, corporate venture capital, refining, operations and technology development. She has extensive experience building partnerships within the industry and with other sectors. Trained as a chemical engineer and equipped with an MBA, Judy is well known for driving collaborative innovation in the Canadian petroleum industry. She was pivotal in leading the integration of environment into Cenovus’s business and in the creation of Canada’s Oil Sands Innovation Alliance – an unprecedented alliance of oil sands companies collaborating on technology and innovation to improve industry environmental performance. Judy serves as the Board Chair of Alberta Innovates – Technology Futures, which enables Alberta’s globally competitive and sustainable future through applied research and technology commercialization services to businesses in oil and gas, pipelines, environment, agriculture, forestry and information technology. She is also a Director for Sustainable Technology Development Canada as well as the Public Policy Forum, an organization focused on tackling Canada’s most complex challenges through constructive dialogue across all sectors. Judy has been named a Fellow of the Canadian Academy of Engineering and was also a recipient of Canada’s 2013 Clean16 award for leadership in advancing sustainable development in Canada

Jacqui McGillivray

Ms. Jacqui McGillivray is Executive Vice President - Safety & Organization Effectiveness of the company. She is accountable for maximizing our safety, people and organizational performance. This includes setting health and safety standards and systems, and championing our commitment to safety across the company. She’s also accountable for ensuring the people and processes across Cenovus are developed and managed in a way that supports our business strategy and reinforces our culture. Jacqui’s team enables sustainable improvements to create efficiencies and enhance performance in all areas of our business and also ensures our real estate and workplace requirements meet the ongoing needs of the business. Jacqui has a diverse background having worked in four different industries – packaged goods, technology, financial services and oil and gas. She joined Cenovus in 2012 as a Senior Vice-President and was responsible for developing and implementing human resource strategies across the company. She was also responsible for maximizing organization capacity and capability and enabling our leaders to effectively lead and manage change. Her prior role was Head of Global Human Resources with Talisman Energy where she led human resources strategy and planning, business partnering, total rewards, talent management, global mobility and talent acquisition. Previous to that, Jacqui held the position of Vice-President, Human Resources and Brand & Marketing for RBC Wealth Management, a global business of Royal Bank of Canada (RBC). Her experience also includes progressive leadership roles in Nortel and Unilever encompassing human resources, communications, marketing and sales. Jacqui has a Bachelor of Arts from the University of Western Ontario and an international MBA from Manchester Business School and McGill University.

Robert Pease

Mr. Robert William Pease is Executive Vice President - Corporate Strategy & President, Downstream of Cenovus Energy Inc. Since June 2, 2014. From February 2014 to May 2014, Mr. Pease was Vice President, Global Business Excellence, Supply & Trading of Shell Trading (US) Company, a corporation that acts as the single market interface for Royal Dutch Shell companies and affiliates in the U.S.; and from November 2008 until January 2014, he was President and Chief Executive Officer of Motiva Enterprises LLC, a leading refiner, distributer and marketer of fuels in the eastern and Gulf Coast regions of the U.S.

Drew Zieglgansberger

Mr. Drew Zieglgansberger is Executive Vice-President - Oil Sands Manufacturing of the company. Drew is accountable for the execution, production and operation of Cenovus’s oil sands assets. This includes the expansion of future phases at our oil sands projects and the company’s sustaining capital projects. Drew has more than 20 years of oil and natural gas experience in drilling, completions, stakeholder relations and managing capital projects and operations. He began his career as a drilling rig roughneck in the early 1990s and then ran his own oilfield services consulting company prior to joining one of Cenovus’s predecessor companies as a drilling coordinator at Foster Creek in 1999. Drew has an Advanced Executive Certificate from Queen's University and is a member of the Society of Petroleum Engineers and the Canadian Heavy Oil Association. He also has a Global Energy Executive MBA from the University of Calgary’s Haskayne School of Business.

Gary Molnar

Richard Marcogliese

Mr. Richard J. Marcogliese has appointed as Director of the company. He has worked for about four decades in the U.S. refining industry, including about 25 years with ExxonMobil, followed by about 10 years at Valero Energy Corp., he served as executive vice-president and chief operating officer from October, 2007, until his retirement in December, 2010. He owns 10,000 shares of Cenovus.

Rhonda Zygocki

Ms. Rhonda I. Zygocki has appointed as Director of the company. effective April 27. 2016. She worked for 34 years at Chevron, including as its executive vice-president of policy and planning from March, 2011, until her retirement in February, 2015. She owns no shares of Cenovus.

Patrick Daniel

Mr. Patrick D. Daniel is an Independent Director of Cenovus Energy Inc. He has been director of Canadian Imperial Bank of Commerce; and Chair of the North American Review Board of American Air Liquide Holdings, Inc., a subsidiary of a publicly traded industrial gases service company. Mr. Daniel served as a director of Enbridge Inc., a publicly traded energy delivery company from April 2000 to October 2012. During his tenure with Enbridge, he also served as President & Chief Executive Officer from January 2001 to February 2012 and as Chief Executive Officer from February 2012 to October 2012. He is also a member of the Association of Professional Engineers and Geoscientists of Alberta and chairs a campaign for the Alberta Cancer Foundation to build a new cancer hospital in Calgary.

Ian Delaney

Mr. Ian W. Delaney is Independent Director of Cenovus Energy Inc. Mr. Delaney is Chairman of The Westaim Corporation, a publicly traded investment company. Mr. Delaney served as a director of Sherritt International Corporation, a publicly traded diversified natural resource company that produces nickel, cobalt, thermal coal, oil and gas and electricity from October 1995 to May 2013. During his tenure with Sherritt, he also served as Chairman from November 1995 to May 2004, Executive Chairman from May 2004 to December 2008, Chairman and Chief Executive Officer from January 2009 to December 2011 and Chairman from January 2012 to May 2013 . Mr. Delaney also served as Chairman of UrtheCast Corp. (formerly Longford Energy Inc.), a publicly traded video technology development company, from August 2012 to October 2013 and as a director of Dacha Strategic Metals Inc., a publicly traded investment company focused on the acquisition, storage and trading of strategic metals from November 2012 to September 2014.

Steven Leer

Mr. Steven F. Leer is Independent Director of Cenovus Energy Inc. Mr. Leer is a lead director of Norfolk Southern Corporation, a publicly traded North American rail transportation provider; a lead director of USG Corporation (‘‘USG’’), a publicly traded manufacturer and distributor of high performance building systems; and a director of Parsons Corporation, a private engineering, construction, technical, and management services firm. Mr. Leer served as Chairman of Arch Coal, Inc. (‘‘Arch Coal’’), a publicly traded coal producing company, from April 2006 to April 2014, and served as a director of Arch Coal and its predecessor company from 1992. During his tenure with Arch Coal, he also served as Chief Executive Officer from July 1997 to April 2012 and President from July 1997 to April 2006. He is a member of the Board of Trustees of Washington University in St. Louis and he is a former director of the Business Roundtable and the National Association of Manufacturers.

Valerie Nielsen

Ms. Valerie A. A. Nielsen is Independent Director of Cenovus Energy Inc. She was a director of Wajax Corporation, a publicly traded industrial parts and service company, from June 1995 to May 2012. She was also a member and past chair of an advisory group on the General Agreement on Tariffs and Trade (GATT) and the North America Free Trade Agreement (NAFTA) regarding international trade matters pertaining to energy, chemicals and plastics from 1986 to 2002. She is also a past director of the Bank of Canada and of the Canada Olympic Committee. Ms. Nielsen is a member of the Association of Professional Engineers and Geoscientists of Alberta and the Canadian Society of Exploration Geophysicists, and has been awarded the designation of Fellow of Geoscientists Canada (FGC).

Charles Rampacek

Mr. Charles M. Rampacek is Independent Director of Cenovus Energy Inc. He is a director of Flowserve Corporation, a publicly traded manufacturer of industrial equipment; and Energy Services Holdings, LLC, a private industrial services company that was formed in 2012 from the combination of Ardent Holdings, LLC and another company. Mr. Rampacek previously served as Chair of Ardent Holdings, LLC, from December 2008 to July 2012. Mr. Rampacek also served as a director of Enterprise Products Holdings, LLC, the sole general partner of Enterprise Products Partners, L.P., a publicly traded midstream energy limited partnership from November 2006 to September 2011; and Pilko & Associates L.P., a private chemical and energy advisory company from September 2011 to February 2014. He serves on the Engineering Advisory Council for the University of Texas and the College of Engineering Leadership Board for the University of Alabama.

Colin Taylor

Mr. Colin Taylor is Independent Director of Cenovus Energy Inc. Mr. Taylor served two consecutive four-year terms as Chief Executive & Managing Partner of Deloitte & Touche LLP and then acted as Senior Counsel until his retirement in May 2008. Mr. Taylor is also a member of the Canadian Institute of Chartered Accountants and Fellow of the Institute of Chartered Accountants of Ontario.

Wayne Thomson

Mr. Wayne G. Thomson is Independent Director of Cenovus Energy Inc. He is a director of TVI Pacific Inc., a publicly traded international mining company; Chairman of Maha Energy Inc., a private North American oil and gas company; a director of Iskander Energy Corp., a private international oil and gas company; and Chairman and President of Enviro Valve Inc., a private company manufacturing proprietary pressure relief valves. Mr. Thomson served as Chief Executive Officer of Iskander Energy Corp. from November 2011 to August 2014. Mr. Thomson is a member of the Association of Professional Engineers and Geoscientists of Alberta.
