Name Description

Brian Semkowski

Mr. Brian J. Semkowski has been appointed as Chairman of the Board of Discovery Air Inc., effective December 13, 2012. He resigned as Independent Director of the Company, effective June 20, 2012. Mr. Semkowski will be responsible for all planning, operating and reporting activities of the Corporation. Mr. Semkowski holds an Honours Degree in Business Administration from the Ivey Business School at the University of Western Ontario.

Jacob Shavit

Mr. Jacob Shavit has been appointed as President, Chief Executive Officer of Discovery Air Inc., effective December 13, 2012. Mr. Shavit is a experienced global business leader and pilot who in his most recent role grew AGT International, a privately held multibillion-dollar network of companies, as its chief business officer. Mr. Shavit brings international experience to Discovery Air as he has managed a number of international projects, penetrated emerging markets and built public-private partnerships for many programs, both with foreign governments and commercial companies alike. He has also previously held CEO positions in entrepreneurial organizations in China and the United States, and possesses an aviation operations and military background. Mr. Shavit has been both a fighter jet and helicopter pilot with over 3,000 flight hours in both cockpits.

William Martin

Mr. William Martin has been appointed as the Chief Financial Officer of Discovery Air Inc. effective October 1, 2012. Mr. Martin is a chartered accountant and was the former CFO of Marsulex Inc. from 2006 until its sale in 2011. Mr. Martin brings over 25 years of experience to the role having also served as the Vice President of Finance at Toromont Industries and a partner at Ernst & Young LLP.

Raymond Henault

General (Retd.) Raymond Henault has been appointed as Director of Discovery Air Inc., effective 12 June 2012. General Henault retired in 2008 from a distinguished career in the Canadian Forces. During his operational flying career, General Henault served as a fighter pilot (CF-101 Voodoo and T-33), flight instructor (CT-134 Musketeer) and eventually as a helicopter pilot (CH-135 Twin Huey and CH-136 Kiowa), accumulating over 4,500 hours of flying time. General Henault held a number of command and staff positions, including commanding officer of 444 Tactical Helicopter Squadron, base commander of CFB Portage la Prairie, Manitoba, chief of staff joint operations, and Deputy Chief of the Air Staff. As Deputy Chief of the Defence Staff, or head of operations, General Henault's tenure was highlighted by the Canadian contribution to the Kosovo air and ground campaigns, and other United Nations and North Atlantic Treaty Organization (NATO) missions, including the stabilization force in Bosnia-Herzegovina. In June, 2001, he was promoted to his present rank and appointed Chief of the Defence Staff, a position he held until February, 2005, and a period marked by the terrorist attacks of Sept. 11, 2001, and the commitment of Canada's forces to Afghanistan. General Henault was elected as chairman of the NATO Military Committee by his NATO peers in November, 2004, and assumed his position at NATO Headquarters in Brussels in June, 2005. General Henault is a graduate of the Ecole Superieure de Guerre Aerienne (ESGA) in Paris, France, and Canada's National Defence College. He is also an honourary ancien of the NATO Defence College in Rome, Italy. He holds a bachelor of arts degree and an honourary doctorate of laws from the University of Manitoba, and an honourary doctorate of philosophy (military science) from the Royal Military College in Kingston, Ont.

David Jennings

Mr. David Jennings has been re-appointed as Director of Discovery Air Inc., effective June 20, 2012. He resigned as President, Chief Executive Officer of the Company, effective June 20, 2012. Mr. Jennings served as the Corporation's President and Chief Executive Officer since September 12, 2008. Prior to his appointment as Discovery Air's President and Chief Executive Officer, Mr. Jennings served as the Co-Chief Executive Officer of Top Aces Inc., a wholly-owned subsidiary of Discovery Air, which he co-founded with two other partners in 2001. During his time as President and Chief Executive Officer, Mr. Jennings restructured the Corporation's balance sheet, expanded its service offerings, and grew revenues and earnings. Mr. Jennings is credited for Discovery Air through a difficult period and establishing a solid foundation for future growth.

G. John Krediet

Mr. G. John Krediet is Director of Discovery Air Inc., since October 14, 2011. Mr. Krediet has more than 25 years' experience in and growing companies in the soft-drink and bottled water industries. Under his leadership, these companies made numerous acquisitions and experienced substantial growth, organically and through acquisitions. He is an active investor and is currently Chairman of C.F. Capital Management LLC, an investment company he founded in 1987. Mr. Krediet has served and continues to serve on several corporate boards. Earlier in his career, Mr. Krediet worked roles in Europe and the United States at G.E. Capital, Citibank and AmroBank. Mr. Krediet holds a Masters degree in Economics from the Erasmus University in Rotterdam.

Kenneth Rotman

Mr. Kenneth B. Rotman is Director of Discovery Air Inc., since October 14, 2011. Mr. Rotman has been the Co-Chief Executive Officer, Managing Director and a Director of Clairvest Group Inc. since June 2000. Prior to joining Clairvest, Mr. Rotman was employed by E. M. Warburg, Pincus & Co. He is the Chairman of Wellington Financial and currently sits on the board of directors of Clairvest Group Inc., Light Tower Rentals, Inc. and Peer 1 Networks. He previously served on the boards of Allied International Credit, Consoltex, Hudson Valley Waste Holding, Shepell-fgi, Signature Security, Sparkling Spring Water, Van-Rob, Voxcom, Western Co-Axial and Winters Bros. Waste Systems, all of which are former Clairvest Group portfolio companies. Mr. Rotman is also a board member of the University Health Network and Honest Reporting Canada, non-profit organizations. In addition, Mr. Rotman served as a director of NRI Industries Inc. when, on September 6, 2006, it and two of its subsidiaries (collectively, “NRI”) filed for protection under CCAA. On April 26, 2007, NRI exited from CCAA protection and had a receiver appointed to hold and distribute its assets. On April 27, 2007, NRI filed assignments into bankruptcy. Further, Mr. Rotman served as directors of Integral Orthopedics Inc. (“IOI”) until July 18, 2008 when a receiver was appointed under the Bankruptcy and Insolvency Act to sell the assets of IOI. Finally, Mr. Rotman served as director of Nexient Learning Inc. (“Nexient”) until June 5, 2009. On June 26, 2009, Nexient applied for creditor protection under the CCAA.

James Goodfellow

Mr. James L. Goodfellow is Independent Director of Discovery Air Inc., since October 24, 2008. He has over 40 years of experience in public accounting and providing assurance and advisory services, primarily to public companies. Mr. Goodfellow was a Vice-Chairman of Deloitte & Touche LLP prior to his retirement in May 2008 and was a member of that firm’s Board of Directors. He is a frequent speaker on issues related to financial reporting, corporate governance, securities regulation and audit committees. Mr. Goodfellow is a past chairman of the Canadian Institute of Chartered Accountants (CICA) Accounting Standards Board and is a co-author of several publications relating to audit committees and CEO/CFO certification. Mr. Goodfellow is a Chartered Accountant and was made a Fellow of the Ontario Institute of Chartered Accountants in 1986 for distinguished service to the profession. He is a director of Canadian Tire Corporation, Limited.

Alan Hibben

Mr. Alan Roy Hibben is Independent Director of Discovery Air Inc., since August 7, 2008. From 2009 to March 2011, he was a Partner with Blair Franklin Capital Partners, a financial advisory and investment management firm. As of March 2011, Mr. Hibben became Managing Director, RBC Capital Markets. He has had a wide-ranging career in financial services with experience in merger and acquisition advisory services. Mr. Hibben previously held the position of Head, Strategy & Development at RBC Financial Group. In this role, he was responsible for corporate strategy as well as merger, acquisition and development activities for the corporation. He was also Chief Executive Officer, RBC Capital Partners, the private equity investment arm of RBC Financial Group. He has held several positions with RBC Capital Markets in the past, including responsibility for senior client M&A coverage in the financial services and telecommunications sectors. He was previously a member of the Executive Committee of RBC Capital Markets. Mr. Hibben holds a Bachelor of Commerce degree from the University of Toronto and is a Chartered Accountant and a Chartered Financial Analyst. He is a certified director (ICD.D) of the Institute of Corporate Directors.

Joseph Randell

Mr. Joseph D. Randell is Independent Director of Discovery Air Inc., since August 7, 2008. Mr. Randell has been engaged in the airline industry since 1978, serving in increasingly senior positions with Eastern Provincial Airways and the Air Canada organization. He led the consolidation of Air Canada's regional airlines into Air Canada Jazz, of which he is currently the President and CEO.
