Name Description

John Roberts

Mr. John Stuart Hugh Roberts, CBE, is Non-Executive Chairman of the Board of Duet Group since February 25, 2011. He holds a LLB (Bachelor of Laws) from the University of Canterbury. He is Chairman of the Company’s Nominations Committee. He joined Macquarie in 1991 and is based in Sydney, Australia. He is Macquarie representative on each of the Responsible Entity and DIHL boards. Mr. Roberts is Executive Chairman of the Macquarie Funds Group and includes the activity of the Macquarie Infrastructure and Real Assets division (“MIRA”). He is on all Investment Committees or Board of Directors in MIRA to provide oversight and strategic direction to individual fund management executive teams. Previous roles within Macquarie include Head of Europe, Joint Head of Macquarie Capital Advisers and Global Head of Macquarie Capital Funds. Other directorships held by Mr. Roberts are MAp Airports Limited, Southern Cross Airports Corporation Holdings Limited and Macquarie Atlas Roads Limited. His former directorships include Macquarie International Infrastructure Fund Limited and Macquarie Infrastructure Company Inc.

David Bartholomew

Mr. David James Bartholomew is Chief Executive Officer of Duet Group. He was appointed CEO in February 2011 and has experience in the utilities sector. He is Director of each of DUET’s asset companies and has been a part of the Company’s senior executive team since joining DUET in 2006 as Chief Operating Officer. Prior to joining the DUET team, Mr. Barholomew was Director of Infrastructure at Hastings Funds Management for five years, during which time he was instrumental in the establishment and IPO of the Hastings Diversified Utilities Fund. He held senior management roles for a number of unlisted funds within the Hastings group and was responsible for fund and asset-company operating and financial outcomes in utilities, toll roads, ports, rail and forestry. His employment experience also includes Lend Lease, the Boston Consulting Group and BHP Minerals. He holds a Bachelor of Economics (Honours) from Adelaide University (1981) and a Masters of Business Administration from the AGSM (University of Sydney). He is Member of the Compliance Committee of the Company.

Jason Conroy

Mr. Jason Conroy is Chief Financial Officer of Duet Group. He was appointed CFO in June 2008 and has financial experience in the utilities and energy sector. He is Director of each of DUET’s asset companies and contributor to each of their Audit & Risk Committees and Finance Committees. Mr. Conroy is also responsible for developing and implementing DUET's capital management strategy, including debt refinancings and funding for growth opportunities across the Group. Prior to joining the DUET team, he worked for Origin Energy for three years where he was responsible for corporate finance and strategic transactions. Before Origin, he gained global corporate finance and investment knowledge from roles and projects in Australia, North America and Europe, including positions with Ernst & Young and KPMG. He holds a Bachelor of Commerce (Accounting) graduate, Master of Business Administration (MBA) and a Certified Practicing Accountant (CPA).

John Langoulant

Mr. John Leslie Langoulant has been Independent Non-Executive Chairman of DBNGP Holdings Pty Ltd since February 24, 2012. He holds a Bachelors degree from the University of Western Australia.

Nicholas Kuys

Mr. Nicholas (Nick) Kuys has been Head of Asset Management and Investor Relations of Duet Group since February 18, 2011. He joined the DUET team in February 2011 in the capacity as Head of Asset Management and Investor Relations. Prior to joining the Company, he held a similar position within Macquarie's Australasian focused unlisted infrastructure funds area, where he was Head of Investor Relations and Operations since 2007. His key responsibilities included investor relations, fund management, distribution planning, investor reporting, compliance and risk management oversight. Prior to Macquarie, he worked for Westpac Banking Corporation and as accountant in public practice for Deloitte and Touché in South Africa. He holds a Bachelor of Commerce (Accounting) graduate, a Master of Business Administration from the Australian Graduate School of Management and is Chartered Accountant (South Africa).

Leanne Pickering

Ms. Leanne Pickering has been Joint Company Secretary of Duet Group since 2006. She has over 10 years’ experience and a division director in Macquarie Capital Funds. She joined Macquarie in 2005 and is responsible for the legal and company secretarial function for a number of funds managed by the Macquarie Group. She is practising solicitor. Ms. Pickering holds a Bachelor of Economics and LLB (Bachelor of Laws) from Macquarie University.

Christine Williams

Ms. Christine Williams is Joint Company Secretary of Duet Group. She is practising solicitor and Executive Director in Macquarie Capital Funds. Ms. Williams was appointed to the position of Company Secretary in 2004. She has been Global Head of Legal of the Macquarie Infrastructure and Real Assets division since 1998, prior to which she performed a company secretarial/general counsel role at Bankers Trust. She has worked in the banking industry for over 25 years, including 15 years in funds management performing general counsel/company secretarial and compliance function for listed and wholesale infrastructure and other specialised funds managed by the Macquarie Group. She holds a Master of Arts and LLB (Bachelor of Laws) from the University of Sydney.

Philip Garling

Mr. Philip (Phil) Stuart Garling has been Non-Executive Director of Duet Group since February 25, 2011. He holds a Bachelor (Build) from the University of New South Wales. He is Fellow of the Institution of Engineers Australia and Associate Fellow of the Australian Institute of Management. He is Member of the Company’s Nominations Committee. He is AMPCH representative on Responsible Entity and DIHL boards. He has over 30 years experience in infrastructure, construction, development and investment. He recently retired from full time executive roles. He was formerly Global Head of Infrastructure at AMP Capital Investors for nine years and was also Chief Executive Officer (CEO) of Tenix Infrastructure. He was also long-term senior executive with Lend Lease Corporation, culminating in his role as CEO of Lend Lease Capital Services, the development capital and infrastructure investment and development arm of Lend Lease. He also spent two years in Singapore implementing the company’s Asian infrastructure strategy. He holds the Advanced Diploma from the Australian Institute of Company Directors and is Fellow of the Australian Institute of Building, Australian Institute of Company Directors and Institution of Engineers Australia. He also holds directorships in Australian Renewable Fuels, The Infrastructure Fund of India and the Asian Giants Infrastructure Fund.

Eric Goodwin

Mr. Eric Goodwin has been Independent Director of Duet Group since June 16, 2004. He holds a Bachelor of Engineering and is Member of the Institution of Engineers Australia. He joined the Lend Lease Group in 1963 as cadet engineer and, during his 42-year career with Lend Lease, held a number of senior executive and subsidiary board positions in their Australian operations. Mr. Goodwin has experience in design, construction and project management, general management and investment and funds management. He managed the MLC property portfolio during the 1980s and was founding fund manager of Australian Prime Property Fund. He is Director of Macquarie Global Property Fund Advisors, the GPT Group and Eureka Funds Management. He is also council member of the Aloysius College Council.

Michael Lee

The Hon. Michael Lee is Independent Director of Duet Group. He holds a Bachelor of Science and Bachelor of Engineering (Hons) and is Fellow of the Institution of Engineers Australia. He is electrical engineer. He served in the Australian Parliament for 17 years, and was Minister for Resources, Tourism, Communications and The Arts in the Keating Government. He is Chair of the NSW TAFE Commission Board (since 2008) and Director of MAp Group, Country Energy (appointed 2002), Superpartners (appointed 2009) and Communications Alliance Limited. He has previously served as Chairman of the Central Coast Campuses Board and as councillor of the City of Sydney and Member of the NSW Architects Registration Board. He is Member of the Audit and Risk Committee, Remuneration Committee and Nomination Committee of the Company.

Duncan Sutherland

Mr. Duncan Sutherland has been Independent Director of DUET Group since June 16, 2004. He holds a Bachelor of Arts and Master of Business. He has experience in the mining, metals and auto industries, where his focus areas included acquisitions and divestments, business analysis and corporate planning. Mr. Sutherland joined CRA Limited in 1980, and was most recently responsible for acquisitions and divestments and corporate strategy. After CRA merged with RTZ in 1995 to form Rio Tinto, he was appointed Managing Director, Energy Developments, responsible for business development and the management of acquisitions and divestments in the energy sector. During his career he has also worked overseas in the United States, Europe, Brazil and Argentina. Mr. Sutherland is currently Director of the responsible entities of the trusts comprised in the Macquarie Global Infrastructure Fund and Director of Haileybury College, Melbourne.

Ron Finlay

Mr. Ron Finlay is Non-Executive Independent Director of Duet Group. He holds an LLB (Bachelor of Laws) from the University of Sydney. He is Member of the Company’s Audit & Risk, Remuneration and Nominations Committees. He is Chairman of the Independent Board Committee, Re2. He is lawyer and Chief Executive of Finlay Consulting with over 37 years’ experience in property, construction, development and infrastructure projects including as project manager or facilitator of infrastructure projects in Australia and overseas for both public and private sector organizations (such as the Commonwealth Government Solar Flagships Program). He also holds directorship in Macquarie Generation, Independent Chairman on a number of Government and private sector Project Control Groups and Dispute Resolution Boards for projects (such as Brisbane’s New Parallel Runway Project and the Brisbane Legacy Way Project). Formerly Mr. Finlay was for six years chair of the New South Wales Transport Infrastructure Development Corporation.

Douglas Halley

Mr. Douglas (Doug) James Halley is Non-Executive Independent Director of Duet Group. He holds a Bachelor of Commerce and Masters of Business Administration in Finance from the University of New South Wales. He is Fellow of the Australian Institute of Company Directors and FTA. He is Chairman of the Company’s Audit & Risk Committee and Remuneration Committee, and Member of the Nominations Committee. He has held senior financial and general management positions for over 30 years and has skills in banking and industry in treasury, finance, business development, investor relations, restructuring, corporate strategy and acquisitions and divestments. His experience has been gained in executive positions at national or Asia Pacific level with Philips Electrical, Hill Samuel Australia, Rothschild Australia, Goodman Fielder, John Fairfax Holdings, Television & Media Services, IBM Global Services and Thomson Reuters. Since 2007 Mr. Halley has been focusing on advisory and non-executive board activities. He currently serves as Chairman of MIL Resources Limited, Aurora Community Television Limited, Chairman of Print & Digital Publishing Pty Limited (“Time Out Sydney”) and Chairman of the Advisory Board of Australian Enterprises Holdings Pty Limited. He previously held directorship in MIKOH Corporation Limited (1988 to 2010) Corum Group Limited (2009 to 2010).

Emma Stein

Ms. Emma Rachel Stein is Non-Executive Independent Director of Duet Group. She holds a Bachelor of Science Hons in Physics and a Masters of Business Administration (Manch). She is Member of the Company’s Audit & Risk, Remuneration and Nominations Committees. Her operational utilities experience includes energy retailing and asset management, international business operations, strategy development and implementation, acquisition integration and divestment. Prior to leaving the United Kingdom (UK) in 2003, she was UK Managing Director for French utility Gaz De France's energy retailing operations. She was also Non-Executive Director for Cofathec Heatsave Limited and Executive UK Board Director for Gaz de France Energy. Other current directorships held by Ms. Stein are with Clough Limited, Programmed Maintenance Group, Alumina Limited and Transpacific Industries Limited. She is also Member of University of Western Sydney's Board of Trustees and New South Wales Ambassador for the Guides. Formerly, she was Non-Executive Director of ARC Energy and of Merlin Petroleum Limited (Australian oil and gas exploration and production companies) and Transfield Services Infrastructure Fund.
