Name Description

Paolo Colombo

Dr. Paolo Andrea Colombo has served as Chairman of the Board of Enel SpA since May 2011. He also serves as Chairman of the Corporate Governance Committee of the Company. He graduated in Economics with honors from Universita Commerciale Luigi Bocconi in Milan on February 27, 1984. He has been Certified Chartered Accountant and Public Accountant since 1985. From 1989 to 2010, he was professor in Accounting and Financial Reporting at Bocconi University, where is currently lecturer in the Department of Accounting. Founding partner and Chief Executive Officer of Borghesi Colombo & Associati since 2006, an independent Italian-based consultancy firm that offers a full range of investment banking and corporate finance advice to domestic and international clients. He has served on the Board of Directors of numerous industrial and financial companies, including Eni, Saipem, Telecom Italia Mobile, Pirelli Pneumatici, Publitalia ’80 (Mediaset group), RCS Quotidiani, RCS Libri, RCS Broadcast and Fila Holding (RCS Mediagroup), Sias, Interbanca and Aurora (Unipol group). He was also Chairman of the Board of statutory auditors of Saipem, Stream and Ansaldo STS, and served on the board of statutory auditors of Winterthur and Credit Suisse Italy, Banca Intesa, Lottomatica, Montedison, Techint Finanziaria, HDPNet, and Internazionale F.C. He is currently Member of the Board of Directors of Mediaset and Versace as well as Chairman of the Board of statutory auditors of GE Capital Interbanca and Aviva Vita, and Member of the Board of statutory auditors of A. Moratti S.a.p.a. and Humanitas Mirasole.

Fulvio Conti

Mr. Fulvio Conti has served as Chief Executive Officer, General Manager and Director of Enel SpA since June 2005. From 1999 to May 2005, he was Chief Financial Officer of Enel SpA. Between May 2005 and June 2005, he served as Chief Executive Officer, Chief Financial Officer, General Manager and Director of the Company. He graduated in Business Economics from Universita degli Studi La Sapienza di Roma. In 1969 he joined the Mobil Group, where he held a number of executive positions in Italy and abroad and between 1989 and 1990 was in charge of finance for Europe. The head of the accounting, finance, and control department of Montecatini from 1991 to 1993, he subsequently was in charge of finance at Montedison-Compart (between 1993 and 1996), overseeing the financial restructuring of such Group. The general manager and chief financial officer of the Italian National Railways between 1996 and 1998, he also held important positions in other companies of such group (including Metropolis and Grandi Stazioni). Vice-chairman of Eurofima in 1997, in 1998 and 1999 he was General Manager and Chief Financial Officer of Telecom Italia, holding also in this case important positions in other companies of such group (including Finsiel, TIM, Sirti, Italtel, Meie and STET International). He is currently also Director of Barclays plc and AON Corporation as well as Deputy Chairman of Eurelectric and Director of National Academy of Santa Cecilia.

Luigi Ferraris

Mr. Luigi Ferraris has served as Head of Administration, Finance and Control and as Financial Reporting Officer of Enel SpA since June 2009. He was appointed Financial Reporting Officer in June 2006. On September 2010 he was also appointed Chairman of Enel Green Power. He previously was Head of Administration, Planning and Control within the Company. He obtained a Bachelors degree in Business Economics from Universita degli Studi di Genova and he joined Enel SpA in 1999 as Chief Financial Officer of Eurogen, Elettrogen and Interpower. Afterwards he held the positions of Head of Planning, Control, Administration and Services of the Infrastructure and Networks and Market Divisions, Group Controller and Vice President of the Administration, Planning and Control Area. He began his professional career in Price Waterhouse in 1988. Later he held several managerial positions in the area of Administration and Control, working for industrial companies such as Agusta, Piaggio VE and Sasib Beverage. From 1996 to 1999, he held the position of Europe Area Controller of Elsag Bailey Process Automation, a company belonging to the Finmeccanica Group. He was appointed Chairman of Enel Servizi and Enel Factor SpA. Moreover, he was appointed Director of Endesa SA, Enel OGK-5, Enel Distribuzione SpA, Enel Produzione SpA, Enel Ingegneria e Innovazione SpA and Enel Investment Holding BV. Previously, he has been a Director of WIND, Weather Investments, Avisio Energia SpA, Enel Viesgo Generacion SL, Electra di Viesgo Distribucion SL, Enel Energia SpA, Enel Energy Europe Srl, Enel Rete Gas SpA, Enel.si Srl, CISE, Sfera, Deval SpA, Enel Capital Srl, Enel Trade and Member of the Supervisory Board of Slovenske Elektrarne a.s. Furthermore he is a professor at the University Luiss Guido Carli of the Management Control Systems and Business Strategy courses.

Claudio Machetti

Mr. Claudio Machetti has served as Head of Group Risk Management Department of Enel SpA since June 26, 2010. He obtained a Bachelor degree in Statistics from Universita degli Studi di Roma La Sapienza in 1982. He obtained the Fulbright fellowship in Probability and Statistics in 1982. He started his career in 1983 at Banco di Roma. In 1987 he joined the Central Finance Department and in 1990 he became Head of Financial Analysts. In 1992 he joined Ferrovie dello Stato as Head of Financial Markets and in 1997 he became Head of the Finance Operations Department. He was Chief Executive Officer of Federcredit from 1997 to 2000. He was appointed Chairman of Enel Factor SpA, Enel New Hydro, Enel Reinsurance. He was Chairman of Fopen (Fondo Pensione Personale Enel) and of Fondenel (Fondo Pensione dei dirigenti Enel). He was appointed Director of Terna, Endesa, Enel Distribuzione, Enel Produzione, Enel Energia, Enel Ireland Finance, Enel Trade; Enel Capital, Enel Energy Europe.

Francisco De Borja Acha Besga

Massimo Cioffi

Mr. Massimo Cioffi has served as Human Resources and Organization Director of Enel SpA since July 2006. In 1999, he joined Enel SpA as Head of Organization, Planning and Resource Development, before becoming Personnel Manager in Terna in December 2003. He graduated in Political Economy from the Universita Commerciale Luigi Bocconi. He began his career at Olivetti, where he was Head of Human Resources Development and Organization from 1995 to 1997. In the two following years he served as Human Resources Manager in a division of the Italcementi Group. In 1999, he joined Enel SpA as Head of Organization, Planning and Resource Development, before becoming Personnel Manager in Terna in December 2003.

Marco Arcelli

Mr. Marco Arcelli has served as Executive Vice President of Upstream Gas Division at Enel SpA since June 2009. Previously he was Head of Business Development, Mergers and Acquisitions and Operations Support of the International Division from 2006 to 2009. From 2005 to 2006, he was General Director and Vice Chairman of the Board of Slovenske Elektrarne. From 2003 to 2005, he was President and Chief Executive Officer of Enel North America. From 2001 to 2003, he was Executive Assistant of the Chief Executive Officer of Enel SpA. Mr. Andrea Brentan serves as Director of Iberia and Latin America Division at Enel SpA. Francesco Buresti

Mr. Francesco Buresti serves as Director of Global Procurement of Enel SpA. He was Director of Distribution Purchasing (Grids and Market) of Enel SpA (2005-2007) and Consultant for industrial sectors at Accenture (1990-1998) and at McKinsey & Co (1998-2005), as well as a utilities consultant at McKinsey. Antonio Cardani

Mr. Antonio Cardani has served as Head of Global Business Services at Enel SpA since 2011. He was Head of Procurement and Services Department of Enel SpA from 2007 until 2011. He was Head of the Company's Audit Department from 2000 to 2007. He was Head of the Administration Department of Olivetti SpA from 1984 to 1995. Subsequently, he led the administration and financial department of Telemedia SpA from 1995 to 1997. Gianluca Comin

Mr. Gianluca Comin serves as Director of External Relations at Enel SpA. He joined Enel SpA in 2002. Previously, he was Media Liaison Director at Telecom Italia and Director of External Communications at Montedison. Between 1997 and 1998, he was spokesman for the Minister and Press Officer of the Ministry of Public Works. In the ten previous years he was economic and parliamentary editor of the Il Gazzettino newspaper. He was appointed President of the Italian Federation of Public Relations (FERPI) and Member of the Board of Civita. He has been part of public sector institutions such as the Communications Committee of the Ministry of Cultural Heritage, the Advertising and Communication Trends Commission of the Ministry of Economy and Finance, the Information Committee of the 2000 Jubilee Council Presidency and Member of the Consulting Committee for the Traffic, Road and Information on Road Safety Coordination Center. He is Executive Director of Enel Cuore Onlus. He teaches strategic communication and marketing at the Department of Economics of the Luiss University and in in several other Universities, also holding Masters on financial and institutional reporting.

Francesca Di Carlo

Ms. Francesca Di Carlo has served as Head of Internal Audit Department of Enel SpA since January 2008. She graduated in Economics and entered Enel SpA in September 2006 as Head of Corporate Strategy. Her professional career began in 1987 at the UBS Group (SG Warburg Group), where she worked, between London and Milan, until 1993, specializing in corporate finance operations of Italian companies and international groups. In 1994 she joined the Telecom Italia Group as Head of Investor Relations for Telecom Italia and Tim. In 1998 she became Head of Financial Planning, and the following year of Mergers & Acquisitions. From 2001 to 2006, she was Head of Corporate Development and Mergers & Acquisitions at Telecom Italia Group. As Chairman of Stream, she was responsible for completing the merger with Tele +, becoming a Director of Sky Italy, as a representative of Telecom Italia. As Chairman of Telespazio she took care of its sale to the Finmeccanica Group. In 2000 she won the M. Bellisario award, for Women and Finance.

Livio Gallo

Mr. Livio Gallo serves as Head of Infrastructure and Networks Division of Enel SpA. From 2004 to 2005, he was Executive Vice President of the Business Area Electric Network of Enel Distribuzione. From 2002 to 2004, he was Executive Vice President of Regulated Sales Area of Enel Distribuzione. From 1999 to 2001, he was Executive Vice President of the Sales Area of Enel’s Gencos. Before 1999, he was in Elsag Bailey Process Automation, a company of the Finmeccanica Group, as Area Vice President for Western Europe and Africa. He was also Member of the Group Executive Committee and the Board of Directors of several companies in Europe.

Gianfilippo Mancini

Mr. Gianfilippo Mancini has served as Director of Generation and Energy Management Division and Director of Market Division of Enel SpA since 2008. Between 2007 and 2008, he was Director of Generation and Energy Management Division of the Company. He graduated in Economics in Genoa and specialized in Business Administration at the Columbia University of New York. He covered positions in Olivetti’s audit and management control, both in Italy and abroad. In 1997, he began working as manager in Enel SpA, reaching the position of Head of Planning and Control. In 2003 he became Head of Fuel Management and, subsequently, of Energy Management.

Simone Mori

Mr. Simone Mori has served as Director of Regulatory, Environment and Innovation and Director of Carbon Strategy at Enel SpA since 2011. He served as Director of Regulatory and Environmental Management of Enel SpA from May 2007 until 2011. He graduated in Physics and received an Masters of Business Administration degree. He is in charge of regulation in Italy and abroad, as well as antitrust and environmental policies. Previously, he had been engaged in the Enel Holding, and was on the Board of Directors of Viesgo Generacion, Viesgo Distribucion and Viesgo Energia, Enel Group companies that operate in the Spanish market. He is Vice President of Assoelettrica, Chairman of the Assolombarda Energy Merchandise, President of the Energy Sector of the Industrial Union of Rome, Member of the Energy Commission of Confindustria and Member of the Board of Directors of CESI. His activities also include teachinges at the Faculty of Engineering of the Universita degli Stuidi di Roma La Sapienza.

Francesco Starace

Mr. Francesco Starace serves as Renewable Energies Division Director and Chief Executive Officer of Enel Green Power, subsidiary of Enel SpA. He holds a degree in Nuclear Engineering from the Politecnico di Milano. Before joining Enel SpA in 2000, he lived in Switzerland and was Head of all International Sales activities and Construction of CCGT and Turbogas plants of the ABB group, and later of ALSTOM. In Enel SpA, prior to his appointment, he was named Director of the Market Division. Prior to this, he headed the area of Electric Power for Businesses within the Generation and Energy Management Division since it was created.

Carlo Tamburi

Mr. Carlo Tamburi has served as Director of International Division of Enel SpA since 2008. From 2005 to 2006, he was Head of the Company's Services and Procurement Department and was Chief Executive Officer of Dalmazia Trieste. Previously, from 2002 to 2005, he headed Enel SpA's Mergers and Acquisitions Department. Prior to this he served as Director of the Company. He graduated in Statistics from Universita degli Studi di Roma La Sapienza in 1982 and he served for over 20 years in Citibank NA, IRI (Istituto per la Ricostruzione Industriale) and the Italian Ministry of Economy and Finance, before joining Enel SpA. He was also Chairman of the company Tirrenia di Navigazione and Member of the Board of Directors of several Italian companies, including Finmeccanica, Alitalia and Wind.

Livio Vido

Mr. Livio Vido has served as Director of the Engineering and Research Division of Enel SpA since 2008. He is responsible for the management of all the engineering and construction activities for thermal, nuclear and innovative power plants within the Enel Group. Before joining the Enel Group, he had worked for engineering companies in several sectors, energy, petrochemical, transportation and maintenance, as Managing Director and Chief Executive Officer. He has a mechanical engineering background and has been a Member of several Board of Directors of Italian companies.

Claudio Sartorelli

Mr. Claudio Sartorelli serves as Director of the Corporate and Legal Secretariat and Board Secretary of Enel SpA. From December 1996 to May 1999 he served also as Director of Enel SpA's Corporate and Legal Secretariat. He is a lawyer and has spent his entire career in the Enel SpA Group. Hired by the Legal Department in 1970, he became an Executive in 1979. Since 1983, he has held the position of Chief of Coordination and Legislative-Contractual Support at the Department of Supplies and Tenders and, from June 1992 to July 1996, he served as Secretary of the Committee on Enel's Corporate Holdings.

Lorenzo Codogno

Mr. Lorenzo Codogno has served as Non-Executive Director of Enel SpA since June 2008. He also serves as Member of the Audit and Corporate Governance Committees of the Company. After studying at the Universita degli Studi di Padova, he continued his studies in the United States, where he earned a Masters degree in Finance from Syracuse University, New York in 1987. He was formerly a Deputy Manager of Credito Italiano (currently UniCredit), where he worked in the Research department. From 1995 to 2006, he worked for Bank of America where he served as Managing Director, Senior Economist and Co-Head of economic analysis in Europe. In 2006 he joined the Ministry of Economy and Finance, where he is currently General Director of the Treasury Department and Head of Economic and Financial Analysis and Planning Directorate. He is Chairman of the European Union’s Economic Policy Committee, as well as to the OECD’s Economic Policy Committee and Working Party 1, where he has been deputy chairman since October 2007. He was Chairman of the Lisbon Methodology Working Group from November 2006 to January 2010. Before joining the Ministry, he has been Economic Commentator on the main international economic and financial networks. He was Director of MTS from 1999 to 2003 and he is currently Member of the Administrative Committee of ISAE (an economic research institute), Member of the Scientific Committee of the Masi Foundation and Member of the Board of Directors of University Foundation Economia Tor Vergata CEIS.

Fernando Napolitano

Dr. Fernando Napolitano has served as Non-Executive Director of Enel SpA since 2008. Prior to his appointment he served as Non-Executive Independent Director of the Company from May 2002 until 2008. He also serves as Chairman of the Remuneration and Member of the Corporate Governance Committees of the Company. He graduated in Business Economics in 1987 from the Universita degli Studi di Napoli Federico II. He completed his studies in the United States, earning at first a Masters degree in Management at Polytechnic University in New York and later the Advanced Management Program at Harvard Business School. He began his career by working in the Marketing Division of Laben (Finmeccanica Group) and then of Procter & Gamble Italia. In 1990 he joined the Italian office of Booz Allen Hamilton (now named Booz & Company Italia), where he was appointed Partner and Vice Chairman in 1998. Additionally, he was appointed Chief Executive Officer of Booz & Company Italia. From November 2001 to April 2006, he served in the Committee for Surface Digital Television instituted by the Communications Ministry. From July 2002 to September 2006, he was Director of the Italian Centre for Aerospace Research. He served as Data Service Director from May 2007 to October 2008.

Alessandro Banchi

Dr. Eng. Alessandro Banchi has served as Non-Executive Independent Director of Enel SpA since May 2011. He also serves as Member of the Remuneration Committee of the Company. He also serves as Chairman of the Related Parties Transactions Committee of the Company. He graduated in Chemical Egineering from Universita degli Studi di Bologna in 1969. In 1971 he began his career in the pharmaceutical industry. In 1973 he joined the Italian branch of the chemical and pharmaceutical multinational Boehringer Ingelheim, holding a number of managerial positions in Italy and abroad before serving as country manager for Italy between 1992 and 1999. Subsequently, from 2000 to 2008, he was Chief Executive Officer of the Boehringer Ingelheim Group’s Pharma Marketing and Sales, which operates worldwide, and in 2004 also assumed the role of Chairman of the related executive committee. In 2009 he left the Boehringer Ingelheim Group to work as Consultant in the pharmaceutical field. An Official of the Italian Republic, he has held offices in Italian and foreign associations in the chemical and pharmaceutical industry. Among other positions, he has served as president of the AESGP and the ANIFA (respectively, the European and Italian associations of the self-medication industry) and as Member of Federchimica’s board of governors and Farmindustria’s executive committee, as well as of the G10 of the European Commission in Brussels.

Mauro Miccio

Dr. Mauro Miccio has served as Non-Executive Independent Director of Enel SpA since May 2011. He also serves as Member of the Audit and Corporate Governance Committees of the Company. Additionally, he served as Director of the Company between May 2002 and 2005. He served as Member of the Board of Directors of Ente Cinema SpA from 1993 to 1996. He was Member of the Board of Directors of RAI SpA from 1994 to 1996, Chairman of FERPI from 1994 to 2000, Chairman of the Board of Directors of Cinecitta Multiplex SpA from 1997 to 2000 and Director of AS Roma from 1997 to 2000. Moreover, he was Chairman of Rugby Roma from 1999 to 2000, Chief Executive Officer of Agenzia della Moda from 1998 to 2001 and Member of the Board of Directors of ACEA SpA from 2000 to 2002. He has served as Chief Executive Officer of Eur SpA, Member of the Steering and Executive Committees of the Association of Industrialists in Rome and Vice Chairman of the Italian Small Industry Association. He has experience as Chairman of ICI (Corporate Communication Association). He graduated in Law from Universita degli Studi di Roma La Sapienza in 1978.

Pedro Solbes Mira

Mr. Pedro Solbes Mira has served as Non-Executive Independent Director of Enel SpA since May 2011. He also serves as Member of the Remuneartion Committee of the Company and as Member of the Related Parties Transactions Committee of the Company. After graduating in Law from the Universidad Complutense de Madrid and obtaining a doctorate in Political Science in the same University, he completed studies on European Economics in the Universite Libre de Bruxelles. He joined the civil service in 1968 as an official at the Spanish Ministry of the Economy and Trade and subsequently has held prestigious positions at Spanish and EC institutions. In particular, in Spain from 1986 to 1991, he was Deputy Minister of Foreign Affairs, with responsibility for relations with the European Community, and from 1991 to 1993 Minister of Agriculture, Food, and Fisheries, while from 1993 to 1996 and from 2004 to 2009, he was Minister of Economic and Financial Affairs. With regard to the European Community, from 1999 to 2004, he was Commissioner of Economic and Monetary Affairs. Elected to the Spanish Parliament in 1996 and 2007, he left the Parliament in 2009. He is currently Chairman of the Supervisory Board of the EFRAG (European Financial Reporting Advisory Group), Member of the Conseil de Garants of Notre Europe, Chairman of the Executive Committee of FRIDE (a private Spanish foundation focused on foreign relations), and President of the Spanish section of the Hispano-Chinese Forum. Previously to be appointed as Minister he became Member of the Board of Directors of several Spanish companies as a representative of public capital.

Angelo Taraborrelli

Mr. Angelo Taraborrelli has served as Non-Executive Independent Director of Enel SpA since April 29, 2011. He also serves as Member of the Audit Committee and as Member of the Related Parties Transactions Committee of the Company. After graduating in Law with full marks from the Universita degli Studi di Siena in 1971, he earned a Masters degree in the Economics of Hydrocarbons from the Scuola Superiore Enrico Mattei. He began his career in 1973 at Eni, where he subsequently held a number of managerial positions before becoming in 1992 the head of planning and control at Saipem. Then, at the parent company, he became first (in 1996) the deputy head of strategic control and upstream development and gas and later (in 1998) the deputy head of planning and industrial control. Subsequently he held the office of Deputy Chairman of Snamprogetti (from 2001 to 2002) and Chief Executive Officer for the commercial activities of AgipPetroli (2002). Following the absorption of the latter company by the parent company, at the beginning of 2003 he was appointed Deputy Chief Operating Officer for marketing in the Refining & Marketing Division. From 2004 to 2007, he was Chief Operating Officer of Eni, with responsibility for the Refining and Marketing Division, while from 2007 to 2009 he was the Chief Executive Officer and Chief Operating Officer of Syndial. In 2009 he left Eni to work as a consultant in the oil industry and was appointed distinguished associate of Energy Market Consultants, a London-based oil consultancy, in 2010.

Gianfranco Tosi

Prof. Gianfranco Tosi has served as Non-Executive Independent Director of Enel SpA since May 2002. He also serves as Chairman of the Audit Committee of the Company and as Member of the Related Parties Transactions Committee of the Company. He graduated in Mechanical Engineering from Politecnico di Milano in 1971. Since 1972 he has held a number of positions at the same institute, becoming Professor of iron metallurgy in 1982 and from 1992 also giving the course on the technology of metal materials (together with the same position at the University of Lecco).The author of more than 60 publications, he has been involved in scientific activities. He was Member of the Board of Directors of several companies and consortia, he has also held positions in associations, including the Vice-Presidency of the Gruppo Giovani Federlombarda (with duties as regional delegate on the Comitato Centrale Giovani Imprenditori instituted within the Confindustria) and the office of Member of the Executive Committee of the Unione Imprenditori of the Province of Varese. From December 1993 to May 2002, he was Mayor of the city of Busto Arsizio.
