Name Description

Niles Helmboldt

Mr. Niles E. Helmboldt has been Non-Executive Chairman of the Board of Equator Resources Ltd since January 14, 2013. He was first appointed to the Board on June 14, 2011. He began his business career in 1965 at Citibank NA in New York and Panama. In 1967, he was assigned for five years to The Bank of Monrovia. In 1971, he formed Helmboldt & Company and subsequently after three years, formed First International Leasing Limited. In 1975, he founded Equator Bank Limited. From 1975 to 1988, he was President and Chief Executive Officer and Director of Equator Holdings Limited. He joined with private African and international investors to establish AMCL Limited in 1989. Until its acquisition by Banque National de Paris, he was a Director and member of the executive committee of Societe Internationale Financiere pour les Investissements et le Developpement en Afrique (SIFIDA Investment Company) Geneva. He is former Member of the Council on Foreign Relations, a member of the Bretton Woods Committee, and former Member of the Council of the Overseas Development Council. In 1996, he co-founded Modern Africa Growth & Investment Company. He served as its Chairman of the Executive and Finance Committees through 2004. He also served as Chairman of African Broadcast Network (UK and South Africa), Afsat Communications Limited (UK and Kenya), and Warsun International Telecommunications. He was also Director of Cora de Comstar Cellular and Liquid Africa. In 2004, he joined AmLib United Minerals Inc and became its Chairman in late 2007 and CEO from February 2008 and resigned in May 2009. He received a Bachelor of Arts degree in History and Government from Boston University, the United States, in 1963, and a Bachelor of International Management from the American Graduate School of International Management (now Thunderbird School of Global Management), the United States, in 1965.

Ross Kestel

Ms. Ross Kestel has been Secretary of Equator Resources Ltd since December 19, 2012. She served as Non-Executive Director since June 14, 2011. She is a qualified Certified Practising Accountant and is a Corporate Compliance Adviser with NKH Capital. Ms Kestel’s previous experience is in management accounting for a financial institution and property development. Her core areas of competencies are in Public listed and unlisted company secretarial, administration and governance and ASIC and ASX reporting. She has knowledge of listed and non-listed companies’ secretarial requirements, document drafting experience and corporate governance issues.

Neville Cridge

Mr. Neville (Nev) Cridge has been Non-Executive Director of Equator Resources Ltd since May 2, 2013. He is the Managing Director of Powerhouse Holdings Pty Ltd since 2003 and NLC Linehaul Pty Ltd since 2008, both privately owned companies involved with the Transport and Logistics industries in Australia. He is also a qualified financial Planner with over fifteen (15) years experience in finance. In that time, he has worked as an equities adviser in Australia with a number of stockbroking firms and has assisted many private and public companies with their capital raising requirements. Mr. Cridge was an Authorised Representative with Cunningham Securities Pty Ltd and a shareholder of Australian Financial Securities Pty Ltd both Licensed Securities Dealers, and has fulfilled underwriting positions from seed capital, IPO and placement investments with a range of public companies. He was previously a director of Buyshop Ltd, an ASX listed company. In his role in raising capital, Mr. Cridge has raised funds on IPO for a number of listed companies, such as International Goldfields Ltd, Queste Communications Ltd, Fast Scout Ltd, RP Data, and Regal Petroleum to name a few.

Robert Marusco

Mr. Robert (Rob) Marusco, CPA, has been Non-Executive Director of Equator Resources Ltd since December 19, 2012. He served as Company Secretary since August 29, 2011. He is Director of NKH Capital, Mr. Marusco has business advisory experience in association with clients in the resources sector, property development, hospitality services, financial services, agribusiness, retail, manufacturing and wholesale businesses having developed a number of business management models and systems. Mr. Marusco has experience and operational knowledge in relation to capital raising support and facilitation, secretarial, governance, due diligence, reconstruction and recapitalization activities, mergers, acquisitions, market take-over bids and compliance dealing with the ASX, ASIC and other authorities for both ASX listed public and private corporations.. Mr. Marusco also fulfils board roles for a number of public and private companies as non-executive director and company secretary along with compliance committee positions. He holds a Bachelor of Business degree.

Michael Roberts

Mr. Michael Roberts has been Non-Executive Director of Equator Resources Ltd since July 15, 2013. He is a professional director with international experience in natural resources and investment banking. He has a record as a CEO and as an investor in public and private companies. He is currently Chairman of the BioWatt Group of companies as co-founder and part owner of BioWatt that is focused on producing biogas from industrial and municipal derived organic waste. He was also the Group Chief Executive Officer of Parkview Group companies based in UK; Chief Financial Officer of Hong Kong Parkview Group and also spent time with Merchant Banks located in Hong Kong and London. Mr. Roberts holds a Masters degree in Natural Sciences Tripos from Cambridge University.

Charles Waterman

Mr. Charles E. Waterman has been Non-Executive Director of Equator Resources Ltd since December 19, 2012. He is President, Chief Executive Officer, and founding Member of Jefferson Waterman International. At JWI, Mr. Waterman oversees operations and directly manages client representation, particularly those related to his areas of special knowledge. These include Africa and the Middle East, as well as petroleum and mineral resources. He is currently Chairman, the President, or Member of the Board of Directors of a number of companies in the United States and abroad. Prior to founding JWI, Mr. Waterman also held several senior positions in the US Central Intelligence Agency.
