Name Description

Alexandre Goncalves Silva

Mr. Alexandre Goncalves Silva serves as Independent Chairman of the Board of Directors of Embraer SA. He has a 40-year career, including 22 as Chief Executive Officer (CEO) in several companies. He was CEO of GE in Brazil from 2001 to 2007. He serves on the Board of various companies, including PDG Realty SA Empreendimentos e Participacoes, Equatorial Energy SA, Fibria Celulose SA and Alupar Investimento SA, Pro-Bono Advice AMCHAM Brazil and the Foundation of Maria Cecilia Souto Vidigal. He holds a Bachelor of Science degree in Mechanical Engineering from PUC Rio de Janeiro.

Frederico Pinheiro Fleury Curado

Mr. Frederico Pinheiro Fleury Curado has served as President, Member of the Executive Board and Chief Executive Officer of Embraer SA since April 23, 2007 and, as of April 14, 2012, will also be Interim Vice President for Finance and Investor Relations of the Company. He served as Member of the Executive Board and Executive Vice President for Airline Market of the Company from August 1998 to April 2007 and as Member of the Executive Board and Executive Vice President for Planning and Organizational Development of the Company from 1995 to August 1998. Prior to that, he held several different positions within the Company in the areas of manufacturing, procurement, information technology and subcontracts. He has been awarded the Medal of Aeronautical Merit by the Brazilian government and the Medal of Merit by the Brazilian Association of Military Engineering. He holds a Bachelor’s degree in Mechanical Aeronautical Engineering from Instituto Tecnologico de Aeronautica ITA and also an MBA degree from Universidade de Sao Paulo.

Hermann Heinemann Wever

Mr. Hermann Heinemann Wever has served as Independent Vice Chairman of the Board of Directors of Embraer SA since April 29, 2009. He has been Independent Member of the Board of Directors of the Company since 2006. He started his career at the industrial division of General Electric, where he successively spearheaded the lighting, domestic appliances and heavy equipment divisions. In 1979, he implemented a joint venture between General Electric and Villares (Vigesa). In 1980, he joined Siemens do Brasil as Vice-President of the Energy Division. In 1987, he was appointed Siemens' Chief Executive Officer, a position he held until his retirement in 2001. He was President of the Consulting Board of Siemens Ltda from 2001 to 2009. He is President of Wever Assessoria Empresarial. He has been awarded Ordem do Rio Branco from the Brazilian Ministry of Foreign Affairs and the Cross of the Order of Merit from the Federal Republic of Germany. He earned degrees in Civil and Electrical engineering from Mackenzie University and a postgraduate degree in Business Administration from Fundacao Getulio Vargas.

Artur Aparecido Valerio Coutinho

Mr. Artur Aparecido Valerio Coutinho has served as Member of the Executive Board and Executive Vice-President for Operations of Embraer SA since April 2010. Before that, he was Executive Vice-President for Procurement and Industrial Operations of the Company since March 2005. From January 2003 to March 2005, he was Embraer's Vice-President responsible for marketing, sales and customer support activities in North America. From February 2000 to December 2002, he was the Company's Vice-President for Customer Service. Prior to that, he held several different positions at Embraer in the areas of marketing, training and quality control and began his career as Embraer's Treatment and Stamping Division Manager in 1988. Prior to joining the Company, he was Member of the Board of Directors of Engex SA, specialized in transmission systems for vehicles and equipment for the prospection and exploration of oil, and the Production Director of Engesa - Engenheiros Especializados AS. He has a degree in Mechanical Engineering from Instituto Tecnologico de Aeronautica-ITA and holds a Master's degree in Management from Instituto de Pesquisas Espaciais-INPE.

Jose Antonio de Almeida Filippo

Mauro Kern

Mr. Mauro Kern Jr. has served as Member of the Executive Board and Executive Vice President for Engineering and Technology of Embraer SA since May 2011. In April 2010, he was appointed Embraer's Executive Vice-President for New Programs, Airline Market and, prior to this position, he had served as Embraer's Executive Vice-President for the Airline Market since April 2007. He has been a Member of the Executive Board of the Company since 2007. He joined Embraer in 1982 as System Engineer and he worked on the landing gear project of the military aircraft AMX. In 1984, he joined EDE – Embraer Equipments Division, a company specialized in landing gear and hydraulic equipments, a company where he worked for 11 years in different departments as engineering, marketing, sales and customer support. In 1999, he joined the Program Management Office of the Embraer 170/190 program as its Chief Engineer and Program Manager. In April 2004, he was appointed the Senior General Manager of the EMBRAER 170/190 program. In July 2005, he was appointed Embraer's Vice-President of Airline Market Programs. He gained a Bachelor's degree in Mechanical Engineering from Universidade do Rio Grande do Sul-UFRGS in 1982.

Flavio Rimoli

Mr. Flavio Rimoli has served as Member of the Executive Board and Executive Vice President and General Counsel of Embraer SA since April 2007. He also served as Vice President for Legal Affairs of the Company from 2005 to April 2007. He has been working at Embraer for more than 29 years, having occupied different positions, particularly in the industrial and commercial areas. He was the Company's Senior General Manager for Contracts for the commercial aviation market for many years and Senior Vice-President for Commercial Aviation Market from 2002 to 2005. He is also Officer or Member of the Board to several subsidiaries of the Embraer Group. He holds a Bachelor's degree in Mechanical Engineering from Escola de Engenharia Industrial de Sao Jose dos Campos obtained in 1981, a Bachelor's degree in Law from Universidade do Vale do Paraiba obtained in 200 and specialization degrees in Operational Research and Corporate Law from ITA and Fundacao Getulio Vargas, respectively.

Paulo Cesar de Souza e Silva

Mr. Paulo Cesar de Souza e Silva has served as Member of the Executive Board and the Executive Vice President for Business Airline Market of Embraer SA since April 2010. He joined Embraer SA in October 1997, as Sales Financing Vice President for both civil and defense markets. He has over 24 years experience in the bank industry serving in a number of executive positions with international financing institutions. Prior to joining Embraer SA, he was Vice President in the Latin American group at Westdeutsche Landesbank in New York. He is a graduate of Mackenzie University with a Bachelor of Arts degree in Economics. He also received an MBA in Finance from Universite de Lausanne.

Jackson Schneider

Mr. Jackson Schneider is Executive Vice President of People, Institutional Relations, and Sustainability and Member of the Executive Board of Embraer SA. He started his professional career with the Brazilian Government. In the private sector, he was Adjunct Director of Corporate Relations of Unilever and Vice President of Human Resources, Legal Relations, and Corporate Affairs of Mercedes Benz do Brasil. In addition, he was President of ANFAVEA and ABIPLA (Brazilian Association of Manufacturers of Cleaning Products, and Related Items), as well as a Member of the Board of Contributors of the Ministry of Finance. Currently, he is Vice President of the Federation of Industries of the State of Sao Paulo, Board Member of the Biennial Foundation of Sao Paulo, of Investe Sao Paulo, of the Ayrton Senna Institute, of AACD (Crippled Children Association), and FECOMERCIO/CERT, as well as others. He graduated from Universidade de Brasilia. He holds a Master of Business Administration degree from Business School Sao Paulo.

Luiz Carlos Siqueira Aguiar

Mr. Luiz Carlos Siqueira Aguiar has served as Member of the Executive Board, Executive Vice President and Chief Executive Officer, Embraer Defense and Security of Embraer SA since January 1, 2011. He was the Company's Chief Financial Officer from January 2009 to December 2010. Between January 2006 and January 1, 2009, he served as Member of the Executive Board and Executive Vice President for Defense Market and Governmental Aviation products and systems' marketing, sales and contract administration of the Company. From February 2003 to December 2005, he was appointed to represent Previ on the Board of Directors of various companies, including Embraer SA. From April 2004 to 2005, he was appointed to represent PREVI on the Board of Directors of Embraer. He was Member of Board of Directors of SBCE from May 2001 to February 2003 and, since 2003, he is Vice-Chairman of the Board of CPFL and Member of the Finance Committee of CVRD. He was Director of Banco do Brasil from August 2000 to February 2003 and Manager of Banco do Brasil in New York from February 1997 to August 2000. Arno Hugo Augustin

Mr. Arno Hugo Augustin Filho serves as Member of the Board of Directors of Embraer SA. Since 2007, he has served as Secretary of the Brazilian Federal Treasury, and before that, he was Secretary General of the Workers’ Party in the State of Rio Grande do Sul from 2005 to 2007. During 2003 and 2004, he occupied the positions of Assistant Executive Secretary of the Ministry of Finance and Chairman of the Board of Directors of Caixa Economica Federal and Banco da Amazonia SA – BASA. From 1999 to 2003, he acted as Secretary of Finance for the State of Rio Grande do Sul and Chairman of the Board of Directors of Banrisul. From 1985 to 1998, he held the following positions, among others: Secretary of Finance of the Municipality of Porto Alegre, Economic Advisor to the Mayor, responsible for the budget of the Municipality of Porto Alegre, Advisor to the Workers’ Party Caucus, Advisor to the Finance Committee of the State Constitutional Convention, Technical Assistant and Assistant General to the Workers’ Party Caucus in the General Assembly of Rio Grande do Sul, and External Public Auditor for the Audit Court of the State of Rio Grande do Sul. He graduated in 1983 from Universidade Federal do Rio Grande do Sul and received a Master’s degree in Economics from Pontificia Universidade Catolica do Rio Grande do Sul in 2007.

Aprigio Eduardo de Moura Azevedo

Mr. Aprigio Eduardo de Moura Azevedo serves as Member of the Board of Directors of Embraer SA since April 2010. He was Chief of Sections of Doctrine and Education of Air Force Unities, Assistant to the Commander of the School of Officers Specialists of the Brazilian Air Force, Assistant of the Section of Operations of the Transport Air Command, Official of the Office of the Ministry of the Brazilian Air Force. He was also Commander of the Group of Special Transport, Chief of the Commission of Coordination of the Protection System of the Amazon region, General Office of Strategic Affairs and Finance of the Brazilian Air Force, Chief of the Brazilian Air Force Procurement Commission in Washington, Chief of the Section Logistics Protection of the General Staff of the Brazilian Air Force and President of the Coordinating Commission of the Aircraft Combat Program, among others. He participated in the Instructor Academic Course; Improvement of Officers Course; Course of Command and State; Course of High Studies of Politics and Strategy; and post graduation in Management of Human Resources, at Pontificia Universidade Catolica do Parana.

Sergio Eraldo de Salles Pinto

Mr. Sergio Eraldo de Salles Pinto has served as Member of the Board of Directors of Embraer SA since April 29, 2009. He also serves as Executive Member of the Board of Directors of Cia Bozano and Bozano Holdings since 2000, being responsible for the administration of its funds through several financial instruments. From 1988 to 2000, he served in various companies of the Banco Bozano, Group, Simonsen SA. He gained degrees in Economics and Electrical Engineering from Centro Universitario de Brasilia-CEUB and Universidade de Brasilia UnB, respectively. He also obtained a Master’s degree in Economics from Fundacao Getulio Vargas and a Master’s degree in Administration from Universidade Catolica do Rio de Janeiro-PUC.

Claudemir Marques de Almeida

Mr. Claudemir Marques de Almeida has served as Member of the Board of Directors of Embraer SA since 2004. He has been working for the Company since 1987 and holds the position of Quality Controller. He also served as Member the Board of Directors of the Company between January 1995 and April 2001. He is Representative of the Company’s non-shareholder employees.

Israel Vainboim

Mr. Israel Vainboim has served as a Member of the Board of Directors of Embraer SA since April 29, 2009. He is also Member of the Board of Directors of Itau Unibanco Multiplo SA, Souza Cruz SA, Cia. lochpe-Maxion, the Museu de Arte Moderna de Sao Paulo (Museum of Modern Art of Sao Paulo), the alumni association of the Federal University of Rio de Janeiro and the Albert Einstein Hospital in Sao Paulo. He is Vice Chairman of the Board of Directors of the House of Culture of Israel in Sao Paulo and Member of the International Advisory Council of the General Atlantic Partners located in New York. Mr. Vainboim was also Chairman of Unibanco-Uniao de Banco Brasileiros SA from 1988 to 1992, Chairman of Unibanco Holdings SA from 1994 to 2007 and Chairman of the Board of Directors and Chairman of the Audit Committee of Unibanco Holdings SA from 2007 until February 2009. He gained a degree in Mechanical Engineering from Universidade Federal do Rio de Janeiro and has an MBA from Stanford University.

Satoshi Yokota

Mr. Satoshi Yokota has served as Member of the Board of Directors of Embraer SA since 2011. He previously served as Member of the Executive Board and Executive Vice President for Strategic Planning and Technology Development of the Company from 2007 to January 1, 2009. He is an electrical engineer trained at the Technological Institute of Aeronautics in 1964. He held several positions at Embraer from 1970 to 2008 as Assistant Director of Programs and Commercial Contracts, Executive Vice President of Engineering and Development, Vice President Industrial and finally to Executive Vice President of Strategic Planning and Technological Development. He was Chairman of the Board of ELEB - Embraer Liebherr SA of Brazil from 2000 to 2008 and consultant of Embraer from 2009 to 2011. He is Director of TPI, the Contec Fiesp, Parque Tecnologico Association SJC, Chairman of Ipplan-Institute for Research, Planning and Administration and Member of the Board of Jacto Equipamentos Agricolas.

Samir Zraick

Mr. Samir Zraick has served as Member of the Board of Directors of Embraer SA since 2006. He was Chief Financial Officer of Cia Vale do Rio Doce-CVRD and Head of its Affiliate from the United States between 1971 and 1986. He was also Member of the Board of Directors of CVRD in 2000 and served as Special Advisor and Member of CVRD’s Strategic Committee from 2001 to 2004. He was Chief Financial Officer and Vice President for Business Development of Caemi Mineracao e Metalurgia SA from 1986 to 1998. He was Member of the Board of Directors and Chairman of the Marketing Committee of Quebec Cartier Mining, in Montreal, Quebec, from 1990 to 1999. He served as Member of the Board of Directors of Canico Resources in Vancouver, British Columbia from July 2004 to March 2006. At the moment, he also serves as Member of the Boards of Directors of Mineracao e Metalicos SA - MMX, MPX Energia SA, LLX Logistica SA and OSX Brasil SA. He obtained a Doctorate in Philosophy degree from Universite de Paris in 1970, a Masters degree in Electronic Engineering from Delft University in 1966 and a degree in Engineering from Pontificia Universidade Catolica do Rio de Janeiro in 1964.

Vitor Paulo Camargo Goncalves

Mr. Vitor Paulo Camargo Goncalves has served as Independent Member of the Board of Directors of Embraer SA since April 26, 2011. He joined the Bank of Brazil in 1976 and has served as Director of the Previ Investments, Tax Advisor and Director Board. During his professional career, he has served on the Boards of Directors in Paranapanema SA, Petroflex SA, Invepar SSA and Kepler Weber SA. He is Member of the Board of ABRAPP - as representative of PREVI, president of ICSS, Member of the BOard of ANABB - National Association of Employees of Banco do Brasil. Mr. Joao Cox Neto has served as Independent Director of Embraer SA since April 26, 2011. He heads the Cox Investments & Advisory. He was Member of the Board of Directors of some companies in different countries (Brazil, Argentina, Holland and Israel), and served as Advisor to CRSFN - Appeals Council of the National Financial System, the Board of ABRASCA (Brazilian Association of Listed Companies) and IBRI (Brazilian Institute of Investor Relations). Josue Christiano Gomes da Silva

Mr. Josue Christiano Gomes da Silva has served as Independent Member of the Board of Directors of Embraer SA since April 26, 2011. He is President of the Society of Northern Minas Fabrics - Coteminas.
