Name Description

William Ford

Mr. William Clay Ford, Jr., is Executive Chairman of the Board of Ford Motor Company. Mr. Ford has held a number of management positions within Ford, including Vice President — Commercial Truck Vehicle Center. Mr. Ford was Chair of the Finance Committee from 1995 until October 2001 and was elected Chairman of the Board of Directors in January 1999. He served as Chief Executive Officer of the Company from October 2001 until September 2006 when he became Executive Chairman. Mr. Ford is also Vice Chairman of the Detroit Lions, Inc., Chairman of the Detroit Economic Club, and trustee of the Henry Ford Museum. He also is a member of the boards of Business Leaders for Michigan and Henry Ford Health System.

Mark Fields

Mr. Mark F. Fields is President, Chief Executive Officer and Director of Ford Motor Company., since July 1, 2014. He was named Ford’s chief operating officer in December 2012. He has been leading all of Ford’s global business operations and most skill teams, including product development, manufacturing, purchasing, and marketing, sales and service. Fields’ role as COO has included leading the company’s weekly Business Plan Review meeting, which Mulally established to track the progress of the One Ford plan and to monitor the global business and competitive environment. The Thursday meetings are credited with driving a reliable and transparent process for running Ford’s global operations and enabling Ford’s senior leadership to work closely together and act decisively on its plan. Before serving as COO, Fields served as executive vice president and president – The Americas since October 2005. There, he led the transformation of Ford’s North American business – turning it from record losses several years ago to record profits in each of the last four years. Earlier, Fields guided the product-led transformation of Ford’s European operations and formerly held European luxury brands, as well as the relaunch of Ford’s independent operations in Argentina and a major restructuring and product renaissance at Mazda.

Robert Shanks

Mr. Robert L. Shanks is a Chief Financial Officer and Executive Vice President of Ford Motor Company. He is no longer Vice President and Controller., effective April 1, 2012. Since joining Ford as an accounts receivable analyst in 1977, Shanks has held a variety of leadership positions including serving as Controller for The Americas, head of Operations Support, Finance and Strategy for Ford of Europe and Premier Automotive Group (PAG), chief financial officer for PAG and chief financial officer for Mazda Motor Corporation. In addition to other finance positions within Mazda, North America and South America, he led the finance function in Taiwan's Ford Lio Ho Motor Company and business development activities in Ford's Asia-Pacific operations. He holds a bachelor's degree in foreign service from Georgetown University and a master's degree in international management from the American Graduate School of International Management.

Raj Nair

Mr. Raj Nair is Executive Vice President – Product Development, Chief Technology Officer of Ford Motor Company. He was Group Vice President - Global Product Development of the company. Since joining Ford as a Body and Assembly launch engineer in 1987, Mr. Nair has held a variety of leadership positions in Europe, Asia Pacific Africa and The Americas, including vice president of Operations for Ford's Asia Pacific and Africa region, executive director of Commodity Business Planning, executive director, North American Product Development and director of New Model Programs for Advanced & Manufacturing Engineering. Mr. Nair holds a bachelor's degree in mechanical engineering with an automotive specialty from Kettering University in Flint, Mich., and was named the recipient of the 2007 Kettering Alumni Achievement Award in Engineering.

Stephen Odell

Mr. Stephen T. Odell is Executive Vice President - Global Marketing, Sales and Service of the Company., since January 1, 2015. Previously, Odell led the company’s Ford of Europe operations since 2010 and most recently served as executive vice president and president of Europe, Middle East and Africa, a position he was appointed to in December 2012. He served as group vice president, chairman and CEO, Ford of Europe since August 2010. Odell was instrumental in leading the development and implementation of Ford’s European transformation plan, with a focus on using the One Ford plan to achieve profitable growth through an unprecedented focus on new products, a strong brand and increased cost efficiency. He also was responsible for the strategic development of the company’s Middle East and Africa operations to take advantage of growth opportunities in the region. Prior to this, Odell was a Ford vice president and president and CEO of Volvo Car Corporation, a role he held from October 2008. Before, Odell was chief operating officer, Ford of Europe, responsible for Product Development, Manufacturing, Purchasing, and Marketing, Sales and Service operations. Between September 2005 and April 2008, Odell was Ford Motor Company vice president and vice president of Marketing, Sales and Service, Ford of Europe. Prior to this position, he was director and senior managing executive officer in charge of Marketing, Sales and Customer Services at Mazda Motor Corporation in Japan, where he was also a member of the board. Odell joined Ford Motor Company in 1980 as a graduate trainee for Ford of Britain. He worked in several management positions in sales and marketing in Britain and the U.S., before being appointed vice president, Marketing and Sales, Jaguar North America, in 1997. In January 2000, Odell joined Mazda Motor North America as a vice president Marketing and Sales.

James Farley

Mr. James D. Farley, Jr., is Executive Vice President and President, Europe, Middle East and Africa of the Company. In this new role, he will continue to lead and accelerate Ford’s transformation in Europe, executing the One Ford plan to achieve profitable growth through an unprecedented focus on new products, a strong brand and increased cost efficiency. He continues to report to Ford President and CEO Mark Fields. Previously, Farley served as executive vice president of Global Marketing, Sales & Service. In this role, Farley led the company’s drive to connect more closely with customers through integrated global marketing, advertising, digital communications, brand development and research. He also was instrumental in leading the ongoing transformation of Lincoln, setting it on a path for growth as a world-class luxury brand and customer experience. He was appointed to lead global marketing, sales and service in August 2010, and it marked the first time Ford had a single global leader for marketing, sales and service. He also held operating responsibility as the senior global leader for Lincoln from December 2012 to August 2014. Previously, Farley was group vice president, global marketing and Canada, Mexico and South America. He had added responsibility for Ford’s operations in Canada, Mexico and South America in September 2009. Farley joined Ford in November 2007. Since joining the company, he has led Ford’s drive to connect even more closely with customers through integrated global marketing, advertising, digital communications, brand development and research. He attended Georgetown University in Washington, D.C., where he earned a bachelor’s degree in economics and computer science, and the University of California, Los Angeles (UCLA), where he completed his MBA with a focus in finance.

Joseph Hinrichs

Mr. Joseph R. Hinrichs is Executive Vice President and President, The Americas of Ford Motor Company. He served as Group Vice President - Global Manufacturing and Labor Affairs of Ford Motor Company since January 2008. Mr. Hinrichs joined Ford in 2000 as plant manager of the Van Dyke Transmission Plant in Sterling Heights, Mich. Since then, he has served in a number of key leadership positions within Ford's manufacturing operations, including executive director of the company's Material Planning and Logistics organization, manufacturing director for Vehicle Operations, vice president of Vehicle Operations and vice president of North America Manufacturing. Mr. Hinrichs served as president and CEO of Ford Motor Company of Canada.

Marcy Klevorn

Ms. Marcy Klevorn is a Group Vice President - Information Technology, Chief Information Officer of the Company., since Jan. 1, 2017. She was Vice President, Chief Information Officer of the Company effective January 1, 2015. Previously, Klevorn served as Director, Office of the CIO, a position she was appointed to in September 2013. In this role, she was responsible for managing Ford’s global IT business applications, architecture, data centers, web-hosting requirements, engineering and infrastructure services. Klevorn has spent her entire career in IT with Ford, serving in a variety of positions in The Americas, Ford of Europe and Ford Credit. She began her career at Ford in 1983 in Telecommunications Services and worked at various positions within Ford IT and Ford Credit through August 2003. In late 2003, as consulting program manager for the purchasing business systems initiative eVEREST, Klevorn led the analysis and decision to migrate back to legacy systems. In 2005, she was appointed Product Lifecycle Management global director and implemented process changes in data and information management across product creation. In 2006, as Enterprise Defragmentation director, Klevorn led the strategy and implementation of infrastructure defragmentation, data center consolidation and overall systems management at Ford. From May 2006 through September 2011, she led Ford's IT Infrastructure organization. From September 2011 through September 2013, Klevorn served as IT Director for Ford of Europe, and was a member of the Ford of Europe Operating Committee (EOC). Klevorn, earned a bachelor's degree in business from the University of Michigan, Stephen M. Ross School of Business, Ann Arbor, Michigan.

Bradley Gayton

Mr. Bradley Michael Gayton is a Group Vice President, General Counsel of the Company., since Jan. 1, 2017. He was Vice President, General Counsel of Ford Motor Company. who is named general counsel and vice president of Ford Motor Company, and elected a Ford Motor Company officer. Gayton currently serves as corporate secretary and assistant general counsel, a position he has held since April 2012.

John Lawler

Mr. John T. Lawler is Vice President, Controller of the Company. Mr. Lawler has served as chairman and chief executive officer of Ford China since December 2012 with responsibility of all operations and business leadership. Prior to this role, Mr. Lawler served as the chief financial officer for Ford Asia Pacific and Africa, based in Shanghai, and was responsible for the financial strategy and analysis of the company's operations in the region. In addition to her broad exposure to Ford, she has experience in acquiring and developing talent, succession planning and leadership development. Fields actively participates in education and youth-oriented events in the community. She serves on the board of directors for the National Action Council for Minorities in Engineering and was named by Automotive News as a 2005 "Woman in the North American Automotive Industry. John Casesa

Mr. John A. Casesa is a Group Vice President – Global Strategy of the company. Prior to joining Ford, he was Senior Managing Director of Guggenheim Partners, where he led the firm’s automotive investment banking activities. In this role since 2010, he advised the auto industry’s leading companies and investors in connection with strategic transactions including mergers, acquisitions and capital raising. Casesa was one the industry’s leading auto analysts and investment banker for two decades. He served as managing director, Global Coordinator of Automotive Research at Merrill Lynch from 1999 to 2006 and as managing director of Schroders PLC from 1989 to 1999. Prior to Wall Street, he was a product planning analyst at General Motors Corporation. He also was co-founder and managing partner of advisory firm Casesa & Co., from 2006 to 2010. During this time, he was a co-owner of domestic and import dealerships in the U.S. northeast region. He holds a bachelor of science degree from St. John’s University and a master of business administration degree from the Tuck School of Business at Dartmouth College.

Mr. Ziad S. Ojakli is a Group Vice President - Government and Community Relations of Ford Motor Company. Mr. Ojakli was Principal Deputy for Legislative Affairs for President George W. Bush from December 2002 to 2003, and was Deputy Assistant to the President from 2001 to 2002. Prior to that, from 1998 to 2000, he was the Policy Director and Chief of Staff to the Senate Republican Conference Secretary.

Kimberly Pittel

Ms. Kimberly L. Pittel is Group Vice President - Sustainability, Environment and Safety Engineering of the Company., since Jan. 1, 2017. She is responsible for the continued development and implementation of the company's global environment and safety strategy, policy and performance, and Ford's Blueprint for Sustainability . She currently serves as vice president, Sustainability, Environment and Safety Engineering, and has been a Ford Motor Company officer since January 2015.

David Schoch

Mr. David L. Schoch is Group Vice President and President, Asia Pacific of Ford Motor Company. He has held senior leadership positions on four continents, most recently as chairman and CEO of Ford Motor China, a position to which he was named in November 2011. Mr. Schoch's global experience includes senior leadership roles in North America, South America, South Africa and Asia Pacific. This includes serving as controller, The Americas, as well as executive director, Ford Canada, Mexico and South America Operations. He also served as chief financial officer and vice president of Strategic Planning for Ford of Europe. Before that, Mr. Schoch was chief financial officer of Ford Asia Pacific Operations. He joined the company as a financial analyst in 1977.

Musa Tariq

Mr. Musa Tariq is Vice President, Chief Brand Officer of the Company., since 1 January 2017. In this new role, Tariq is responsible for further building and differentiating the company's Ford brand, one of the most valued in the world. He will work with Marketing, Communications and company leaders across the world to define, build and communicate the Ford primary brand and what it stands for with all stakeholders. His work will complement the successful vehicle nameplate brand marketing and communications work already in place. Tariq will report jointly to Stephen Odell, Ford executive vice president, Global Marketing, Sales and Service, and to Ray Day, Ford group vice president, Communications. Prior to joining Ford, Tariq was Apple's Global Marketing and Communication director for Retail. In this role, he launched several initiatives that enhanced the retail experience in more than 490 Apple stores and for more than 65,000 Apple Retail employees around the world. Prior to Apple, Tariq was the senior director of Social Media and Community at Nike, as well as the global head of Digital Marketing and later the first-ever director of Social Media at Burberry. Tariq started his career in marketing and advertising, serving in leadership roles at JWT and Saatchi & Saatchi Advertising.

Mr. James H. Hance, Jr., is an Independent Director of Ford Motor Company. Mr. Hance has been an operating executive with The Carlyle Group since 2005. Mr. Hance retired as Chief Financial Officer of Bank of America in 2005, after 18 years of service with the firm. He is also a former Vice Chairman and member of the board of Bank of America. Mr. Hance joined NCNB Corporation, a predecessor to Bank of America, in 1987 and held various executive positions including Chief Financial Officer. From August 1985 until December 1986, he was chairman and co-owner of Consolidated Coin Caterers Corp. A certified public accountant, Mr. Hance spent 17 years with Price Waterhouse, now PricewaterhouseCoopers. Mr. Hance is an emeritus trustee of Washington University in St. Louis, and Chairman of the Board of Trustees of Johnson & Wales University in Providence, Rhode Island. Mr. Hance was the non-executive Chairman of the Board of Sprint Nextel Corp.

Mr. Helman is a General Partner at Greylock Partners, a venture capital firm focused on early stage investments in technology, consumer Internet, and healthcare. He joined Greylock in 1984 and led the firm's investments in Millennium Pharmaceuticals, Hyperion, Vertex Pharmaceuticals, Zipcar, Inc., and UPromise, among others. William Kennard

Mr. William E. Kennard is Independent Director of Company., effective Jan. 1, 2015. Mr. Kennard is the Chairman and co-founder of Velocitas Partners LLC and a member of the Executive Board of Staple Street Capital since February 2014. Previously, Mr. Kennard served as chairman of the U.S. Federal Communications Commission (FCC) from 1997 to 2001 and served as the FCC's general counsel from 1993 to 1997. Dr. Lechleiter has served as President and Chief Executive Office of Eli Lilly and Company since April 1, 2008 and as Chairman of the Board of Directors since January 1, 2009. In 2005, he was named President and Chief Operating Officer and joined the Board of Directors. In 2004, Dr. Lechleiter became Eli Lilly's Executive Vice President for pharmaceutical operations. In 2001, Dr. Lechleiter was appointed Executive Vice President for pharmaceutical products and corporate development. Dr. Lechleiter became Senior Vice President of pharmaceutical products in 1998, was named Vice President for development and regulatory affairs in 1996, and was appointed Vice President of regulatory affairs in 1994. He was named Executive Director of pharmaceutical product development in 1991 and became a Vice President in 1993. Dr. Lechleiter is a member of the American Chemical Society and Business Roundtable. He also serves on the board of the Pharmaceutical Research and Manufacturers of America, as President of the International Federation of Pharmaceutical Manufacturers & Associations, as chairman of the U.S. — Japan Business Council, and on the boards of United Way Worldwide, Xavier University (Cincinnati, Ohio), Life Sciences Foundation, and the Central Indiana Corporate Partnership.

Ms. Ellen R. Marram is an Independent Director of Ford Motor Company. Ms. Marram serves as president of the Barnegat Group, LLC, a business advisory firm. She also is a Senior Managing Director at Brock Capital Group LLC. Gerald Shaheen

Mr. Gerald L. Shaheen is an Independent Director of Ford Motor Company. Mr. Shaheen retired as a Group President of Caterpillar in 2008, where he served in that capacity since November 1998. He joined Caterpillar in 1967 and held a variety of management positions in the United States and Europe. As Group President, Mr. Shaheen was responsible for the design, development, and production of the company's large construction and mining equipment, as well as marketing and sales operations in North America, Caterpillar's components business, and its research and development division. John Thornton

Mr. John Lawson Thornton is an Independent Director of Ford Motor Company. Mr. Thornton has served as Chairman of Barrick Gold Corporation since April 2014. He serves as non-executive Chairman of PineBridge Investments, Co-Chairman of the Board of Trustees of the Brookings Institution, and advisory board member of China Investment Corporation (CIC), and China Securities Regulatory Commission. He is Professor and Director of Global Leadership at Tsinghua University School of Economics and Management in Beijing, China.
