Name Description

William Ford

Mr. William Clay Ford, Jr., is an Executive Chairman of the Board of Ford Motor Company. He has held a number of management positions within Ford, including Vice President — Commercial Truck Vehicle Center. From 1995 until October 30, 2001, Mr. Ford was Chair of the Finance Committee. Effective January 1, 1999, he was elected Chairman of the Board of Directors and effective October 30, 2001, he was elected Chief Executive Officer of the Company. Mr. Ford became Executive Chairman of the Company on September 1, 2006 and is the current Chair of the Finance Committee. Mr. Ford also is Vice Chairman of The Detroit Lions, Inc., Chairman of the Detroit Economic Club, and trustee of The Henry Ford. He also is a member of the boards of Business Leaders for Michigan and the Henry Ford Health System.

Mark Fields

Mr. Mark Fields has been appointed as President, Chief Executive Officer, Director of Ford Motor Company, effective July 1, 2014. He was named Ford’s chief operating officer in December 2012. He has been leading all of Ford’s global business operations and most skill teams, including product development, manufacturing, purchasing, and marketing, sales and service. Fields’ role as COO has included leading the company’s weekly Business Plan Review meeting, which Mulally established to track the progress of the One Ford plan and to monitor the global business and competitive environment. The Thursday meetings are credited with driving a reliable and transparent process for running Ford’s global operations and enabling Ford’s senior leadership to work closely together and act decisively on its plan. Before serving as COO, Fields served as executive vice president and president – The Americas since October 2005. There, he led the transformation of Ford’s North American business – turning it from record losses several years ago to record profits in each of the last four years. Earlier, Fields guided the product-led transformation of Ford’s European operations and formerly held European luxury brands, as well as the relaunch of Ford’s independent operations in Argentina and a major restructuring and product renaissance at Mazda.

Robert Shanks

Mr. Robert (Bob) L. Shanks is Chief Financial Officer and Executive Vice President of Ford Motor Company. He is no longer Vice President and Controller effective April 1, 2012. Since joining Ford as an accounts receivable analyst in 1977, Shanks has held a variety of leadership positions including serving as Controller for The Americas, head of Operations Support, Finance and Strategy for Ford of Europe and Premier Automotive Group (PAG), chief financial officer for PAG and chief financial officer for Mazda Motor Corporation. In addition to other finance positions within Mazda, North America and South America, he led the finance function in Taiwan's Ford Lio Ho Motor Company and business development activities in Ford's Asia-Pacific operations. He holds a bachelor's degree in foreign service from Georgetown University and a master's degree in international management from the American Graduate School of International Management.

James Farley

Mr. James D. Farley, Jr., is Executive Vice President - Global Marketing, Sales and Service and Lincoln of Ford Motor Company. He joined Ford in November 2007. Farley has led Ford's drive to connect closely with customers through integrated global marketing, advertising, digital, brand development and research. Prior to joining Ford, Farley was group vice president and general manager of Lexus, responsible for sales, marketing and customer satisfaction activities for Toyota's Lexus luxury brand. Before Lexus, Farley served as group vice president of Toyota Division marketing and was responsible for all Toyota Division market planning, advertising, merchandising, sales promotion, incentives and Internet activities. He also was general manager of product management for Toyota Europe.

John Fleming

Mr. John Fleming is an Executive Vice President - Global Manufacturing and Labor Affairs of Ford Motor Company. He served as Executive Vice President of Ford Motor Company and has been appointed Chairman of Ford Europe and Volvo in November 2008. He was Chairman and Chief Executive Officer, Ford Europe. He was Group Vice President and President and CEO, Ford of Europe, in 2005. He joined Ford's manufacturing operations in the UK in 1967. During his career, Fleming has served in a variety of leadership positions in Ford's global Manufacturing operations, including managing four automotive assembly plants and three stamping and component plants.

Joseph Hinrichs

Mr. Joseph R. Hinrichs is an Executive Vice President and President, The Americas of Ford Motor Company. He served as Group Vice President - Global Manufacturing and Labor Affairs of Ford Motor Company since January 2008. Mr. Hinrichs joined Ford in 2000 as plant manager of the Van Dyke Transmission Plant in Sterling Heights, Mich. Since then, he has served in a number of key leadership positions within Ford's manufacturing operations, including executive director of the company's Material Planning and Logistics organization, manufacturing director for Vehicle Operations, vice president of Vehicle Operations and vice president of North America Manufacturing. Hinrichs served as president and CEO of Ford Motor Company of Canada.

Stephen Odell

Mr. Stephen T. Odell is Executive Vice President and President, Europe, Middle East and Africa of Ford Motor Co. He was appointed Ford group vice president, chairman and CEO of Ford of Europe in August 2010. Prior to this, Odell was president and CEO of Volvo Car Corporation; chief operating officer, Ford of Europe; vice president of Marketing, Sales and Service, Ford of Europe; director and senior managing executive officer in charge of Marketing, Sales and Customer Services at Mazda; and vice president, Marketing and Sales, Jaguar North America. Odell joined Ford Motor Company in 1980 as a graduate trainee for Ford of Britain.

Nick Smither

Mr. Nick Smither is Group Vice President, Chief Information Officer of Ford Motor Company. He joined Ford in 1980 as an engineer in Product Development for Ford of Europe. He moved to Information Technology in 1983 as a systems analyst and subsequently held a variety of management positions in Product Development, Finance and Marketing and Sales. In 1995, Smither relocated to the U.S. to lead Information Technology integration of South American locations as part of Ford 2000.

David Leitch

Mr. David G. Leitch is Group Vice President, General Counsel of Ford Motor Company. He served as Deputy Assistant and Deputy Counsel to President George W. Bush from December 2002 to March 2005. From June 2001 until December 2002, he served as Chief Counsel for the Federal Aviation Administration, overseeing a staff of 290 in Washington and the agency’s 11 regional offices. Prior to June 2001, Mr. Leitch was a partner at Hogan & Hartson LLP in Washington DC, where his practice focused on appellate litigation in state and federal court.

Stuart Rowley

Mr. Stuart Rowley is Vice President and Controller of Ford Motor Company. He joined Ford in 1990 as a financial analyst for Ford of Britain and has served as the CFO and Vice President Strategic Planning of Ford Europe since August 2010. Previously, he served as CFO and Senior Vice President of Volvo Car Corporation and as Vice President Finance Ford Australia in addition to finance management positions in the Philippines, North America and Europe.

Felicia Fields

Ms. Felicia Fields is Group Vice President - Human Resources and Corporate Services of Ford Motor Company. She joined Ford Motor Company in 1986 as a Ford College Graduate. In addition to her broad exposure to Ford, she has experience in acquiring and developing talent, succession planning and leadership development. Fields actively participates in education and youth-oriented events in the community. She serves on the board of directors for the National Action Council for Minorities in Engineering and was named by Automotive News as a 2005 "Woman in the North American Automotive Industry." Steven Armstrong

Mr. Steven Armstrong has bee appointed as Vice President; President, Ford South America of Ford Motor Company, effective January 1, 2014. For the past 18 months, Armstrong has been president, Ford of Brazil, leading all aspects of the company's largest business unit in South America. Prior to this, Armstrong served as chief operating officer, Volvo Cars. Throughout his more than 25-year career, Armstrong has held a variety of senior management and purchasing positions with Jaguar, Ford of Europe and Volvo.

Moray Callum

Mr. Moray S. Callum has bee appointed as Vice President - Design of Ford Motor Company, effective January 1, 2014. Callum will lead the design of all concept and production vehicles for the Ford and Lincoln brands globally. Since 2006, Callum has had overall responsibility for the design of all cars and trucks designed in Ford's North and South America studios and the new Lincoln products. His successes include the new Ford Fusion, Explorer, Mustang, EcoSport and Lincoln MKZ. Prior to that, Callum led Mazda's design transformation from 2001 to 2006, based in Japan.

Mr. Kumar Galhotra has been appointed as Vice President, President - Lincoln of the Company effective September 1, 2014. Mr. Galhotra had most recently led engineering for Ford and takes leadership of a Lincoln brand that auto-industry observers have long expected to either be expanded with a more global presence or be discontinued altogether. Ford's Mercury division was discontinued while Mr. Fields, who took Ford's helm from Alan Mulally earlier this month, headed the auto maker's North American operations.

Jim Holland

Mr. Jim Holland has been appointed as Vice President - Vehicle Component and Systems Engineering of the Company effective September 1, 2014. In this role, Holland is responsible for vehicle component and system engineering for Ford and Lincoln vehicles globally. His role is central to the company’s commitment to developing vehicles with top quality, fuel efficiency, safety, smart technology and value. Previously, Holland served as engineering director, Ford Asia Pacific based in Melbourne Australia. Named to his role in September 2011, Holland oversaw a team of more than 1,500 engineers in Australia, China, India and Taiwan responsible for designing, developing and launching vehicles within the Asia Pacific region and throughout the global markets. During his 30 years with Ford, Holland also has held positions as car and truck vehicle line director, Ford Asia Pacific, responsible for the Ford Transit, Ranger, Everest, Falcon and Territory vehicle lines; chief engineer for the Ford Explorer vehicle program, responsible for the all new Explorer launched in 2009; chief engineer for Global Hybrid Vehicle Strategy responsible for developing Ford’s global future hybrid vehicle plans; and chief program engineer for the Range Rover vehicle line within Land Rover, previously part of Ford Motor Company. He holds a bachelor of science in mechanical engineering from Lawrence Technology University and a masters of business administration from the University of Detroit. He has been an active member of Society of Automotive Engineers International for the past thirty years.

Raj Nair

Mr. Raj Nair is Group Vice President - Global Product Development of Ford Motor Company. Since joining Ford as a Body and Assembly launch engineer in 1987, Nair has held a variety of leadership positions in Europe, Asia Pacific Africa and The Americas, including vice president of Operations for Ford's Asia Pacific and Africa region, executive director of Commodity Business Planning, executive director, North American Product Development and director of New Model Programs for Advanced & Manufacturing Engineering. Nair holds a bachelor's degree in mechanical engineering with an automotive specialty from Kettering University in Flint, Mich., and was named the recipient of the 2007 Kettering Alumni Achievement Award in Engineering.

Ziad Ojakli

Mr. Ziad S. Ojakli is Group Vice President - Government and Community Relations of Ford Motor Company. Mr. Ojakli was Principal Deputy for Legislative Affairs for President George W. Bush from December 2002 to 2003, and was Deputy Assistant to the President from 2001 to 2002. Prior to that, from 1998 to 2000, he was the Policy Director and Chief of Staff to the Senate Republican Conference Secretary.

David Schoch

Mr. David L. Schoch is Group Vice President and President, Asia Pacific of Ford Motor Company. He has held senior leadership positions on four continents, most recently as chairman and CEO of Ford Motor China, a position to which he was named in November 2011. Schoch's global experience includes senior leadership roles in North America, South America, South Africa and Asia Pacific. This includes serving as controller, The Americas, as well as executive director, Ford Canada, Mexico and South America Operations. He also served as chief financial officer and vice president of Strategic Planning for Ford of Europe. Before that, Schoch was chief financial officer of Ford Asia Pacific Operations. He joined the company as a financial analyst in 1977.

Bernard Silverstone

Mr. Bernard B. Silverstone is Group Vice President of Ford Motor Company and Chairman and Chief Executive Officer of Ford Motor Credit Co, a subsidiary of Ford Motor Company. He has served at Ford Credit for 33 years and will continue Ford Credit's strategies to improve and expand its business and profitably support Ford's growth plans. Silverstone was named to his present position as chief operating officer of Ford Credit in January. He previously led Ford Credit's marketing and sales operations globally and the company's International Operations, which covers all Ford Credit business outside the U.S. and Canada. Before that, he served as chairman of Ford Credit Europe. Silverstone joined Ford Credit Britain in 1979 and has held a wide variety of staff, operations and leadership positions in the North American, European and Asia Pacific regions.

Dr. Ken Washington has been appointed as Vice President - Research and Advanced Engineering of the Company effective August 18, 2014. He most recently was vice president of the Space Technology Advanced Research & Development Laboratories at Lockheed Martin's Space Systems Company.

Edsel Ford

Mr. Edsel B. Ford, II, is Director of Ford Motor Company. Mr. Ford is a retired Vice President of Ford Motor Company and former President and Chief Operating Officer of Ford Motor Credit Company. He presently serves as a consultant to the Company. He is Director of International Speedway Corporation.

James Hackett

Mr. James P. Hackett is Director of Ford Motors Company, since September 11, 2013. He is Vice Chair of Steelcase Inc., the global leader in the office furniture industry. On March 1, 2014, Mr. Hackett retired as Chief Executive Officer of Steelcase Inc. He was named President and Chief Executive Officer of Steelcase in December 1994 overseeing all domestic and international operations. Previously, Mr. Hackett served as Executive Vice President and Chief Operating Officer of Steelcase North America, since August 1994. In April 1994, Mr. Hackett was named Executive Vice President of Steelcase Ventures and was responsible for the development of products for non-contract furniture customers and developing new company opportunities. In August 1993, he was named President of Turnstone, a Steelcase company created to meet the office furnishing needs of small businesses and home offices. In 1990, Mr. Hackett was named Steelcase's Senior Vice President of sales and marketing. Mr. Hackett also serves on the board of directors for Northwestern Mutual Life. He is a member of the executive committee of the Board of Directors for the National Center for Arts and Technology, as well as the Boards of Advisors to the Gerald R. Ford School of Public Policy and the Life Sciences Institute at the University of Michigan.

John Lechleiter

Dr. John C. Lechleiter, Ph.D., is Director of Ford Motor Company, effective October 1, 2013. Dr. Lechleiter has served as President and Chief Executive Office of Eli Lilly and Company since April 1, 2008 and as Chairman of the Board of Directors since January 1, 2009. In 2005, he was named President and Chief Operating Officer and joined the Board of Directors. In 2004, Dr. Lechleiter became Eli Lilly's Executive Vice President for pharmaceutical operations. In 2001, Dr. Lechleiter was appointed Executive Vice President for pharmaceutical products and corporate development. Dr. Lechleiter became Senior Vice President of pharmaceutical products in 1998, was named Vice President for development and regulatory affairs in 1996, and was appointed Vice President of regulatory affairs in 1994. He was named Executive Director of pharmaceutical product development in 1991 and became a Vice President in 1993. Dr. Lechleiter is a member of the American Chemical Society and Business Roundtable. He also serves on the board of the Pharmaceutical Research and Manufacturers of America, as President of the International Federation of Pharmaceutical Manufacturers & Associations, as chairman of the U.S. — Japan Business Council, and on the boards of United Way Worldwide, Xavier University (Cincinnati, Ohio), Life Sciences Foundation, and the Central Indiana Corporate Partnership.

Mr. Stephen G. Butler is an Independent Director of Ford Motor Company. He served as Chairman and CEO of KPMG, LLP from 1996 until his retirement on June 30, 2002. Mr. Butler held a variety of management positions, both in the United States and internationally, during his 33-year career at KPMG.

Kimberly Casiano

Ms. Kimberly A. Casiano is an Independent Director of Ford Motor Company. On January 1, 2010, Ms. Casiano established Kimberly Casiano & Associates, where she is President. The firm provides advisory services in marketing, recruiting, communications, advocacy, and diversity to target the U.S. Hispanic market, the Caribbean, and Latin America. From 1994 until December 31, 2009, Ms. Casiano was President and Chief Operating Officer of Casiano Communications, a publishing and direct marketing company. Anthony Earley

Mr. Anthony F. Earley, Jr., is an Independent Director of Ford Motor Company. Mr. Earley became Chairman, Chief Executive Officer and President of PG&E Corporation in September 2011. Previously, Mr. Earley was Executive Chairman of DTE Energy since October 2010. He had been Chairman and Chief Executive Officer of DTE Energy since 1998. Mr. Earley joined DTE Energy in 1994 as President and Chief Operating Officer. Prior to that time, Mr. Earley served as President and Chief Operating Officer of the Long Island Lighting Company, an electric and gas utility in New York. Mr. Earley is a director of the Nuclear Energy Institute, the Edison Electric Institute, and the Business Roundtable. Mr. Earley also has served on the boards of numerous charitable and civic organizations, including United Way of the Bay Area, the Bay Area Council, San Francisco Committee on Jobs, and the Exploratorium. Richard Gephardt

Mr. Richard A. Gephardt is an Independent Director of Ford Motor Company. Mr. Gephardt has been President and Chief Executive Officer since 2005 of Gephardt Group, LLC, a multi-disciplined consulting firm. He also served as Strategic Advisor for the Government Affairs practice group of DLA Piper, one of the world's legal services providers, and as a consultant to Goldman, Sachs & Co. Mr. Gephardt is the former Majority Leader of the U.S. House of Representatives and served 14 terms in Congress from 1976 until January 2005. While in Congress, he served on the Budget Committee and on the Ways and Means Committee. Mr. Gephardt was elected Chairman of the House Democratic Caucus in 1984; and he served as majority leader from 1989 to 1994. In 1994, he was elected House Democratic Leader, the top Democratic leadership position in the House. Mr. Gephardt also served as minority leader from 1995 to 2003. Within the past five years, Mr. Gephardt served on the board of Dana Holding Corporation.

James Hance

Mr. James H. Hance, Jr., is an Independent Director of Ford Motor Company. Mr. Hance is the former chief financial officer and former vice chairman and member of the Board of Bank of America, where he retired in 2005 after 18 years with the company. A certified public accountant, Mr. Hance spent 17 years with Price Waterhouse (now PricewaterhouseCoopers) in Philadelphia and Charlotte. From August 1985 until December 1986, he was chairman and co-owner of Consolidated Coin Caterers Corp. In March 1987, Mr. Hance joined NCNB, a predecessor to Bank of America. Mr. Hance also is a trustee of Washington University in St. Louis and Johnson & Wales University, based in Providence, R.I. Mr. Hance is the non-Executive Chairman of the Board of Sprint Nextel Corp. and an operating executive with the Carlyle Group. Within the past five years, Mr. Hance served on the boards of Rayonier, Inc.; Carlyle Capital Corporation; and Morgan Stanley Corp.

William Helman

Mr. William W. Helman, IV, is an Independent Director of Ford Motor Company. Mr. Helman joined Greylock Partners in 1984. Greylock is a venture capital firm focused on early stage investments in technology, consumer internet, and healthcare. Mr. Helman led Greylock's investments in Millennium Pharmaceuticals, Hyperion, Vertex Pharmaceuticals, and UPromise, among others, and today sits on the board of ZipCar, Inc. In addition, Mr. Helman serves on the Board of Trustees of Dartmouth College and on the Board of Harvard Management Company. He is on the Board of the Isabella Stewart Gardner Museum, the Steppingstone Foundation, the Dartmouth-Hitchcock Hospital, and is a member of the Harvard Medical School Board of Fellows.

Jon Huntsman

Governor Jon M. Huntsman, Jr., is an Independent Director of Ford Motor Company. Governor Huntsman was appointed Chairman of the Huntsman Cancer Foundation on January 26, 2012. He was U.S. Trade Ambassador and most recently Ambassador to China from August 2009 until April 2011. Prior to that, Gov. Huntsman was twice elected Governor of Utah from 2005 to 2009. He began his public service career as a White House staff assistant to President Ronald Reagan and has since included appointments as Deputy Assistant Secretary of Commerce for Asia, U.S. Ambassador to Singapore, and Deputy U.S. Trade Representative. Gov. Huntsman serves on the boards of the U.S. Naval Academy Foundation and the University of Pennsylvania. In addition he serves as a distinguished fellow at the Brookings Institute, a trustee of the Carnegie Endowment for International Peace, a trustee of the Reagan Presidential Foundation, and Chairman of the Board of the Atlantic Council of the United States.

Ellen Marram

Ms. Ellen R. Marram is an Independent Director of Ford Motor Company. She is President of the Barnegat Group, LLC, a business advisory firm. From September 2000 through December 2005, Ms. Marram was Managing Director of North Castle Partners, LLC, a private equity firm. Ms. Marram previously served as President and CEO of Tropicana Beverage Group from September 1997 until November 1998, and had previously served as President of the Group, as well as Executive Vice President of The Seagram Company Ltd. and Joseph E. Seagram & Sons, Inc. Before joining Seagram in 1993, she served as President and CEO of Nabisco Biscuit Company and Senior Vice President of the Nabisco Foods Group from June 1988 until April 1993. Ms. Marram is a member of the board of Newman's Own, Inc., a trustee of Wellesley College, an Advisor Emeritus to Deutsche Bank NA, and serves on a number of non-profit boards, including Institute for the Future, New York Presbyterian Hospital, and the Lincoln Center Theater.

Homer Neal

Dr. Homer A. Neal is an Independent Director of Ford Motor Company. Dr. Neal is Director, University of Michigan ATLAS Project, Samuel A. Goudsmit Distinguished Professor of Physics, Interim President Emeritus and Vice President for Research Emeritus at the University of Michigan. He joined the University as Chairman of its Physics Department in 1987 and in 1993 was named University Vice President of Research. Dr. Neal served as Interim President of the University of Michigan from July 1, 1996 to February 1, 1997. He has served as a member of the U.S. National Science Board, the Advisory Board of the Oak Ridge National Laboratory, as Trustee of the Center for Strategic and International Studies, as a member of the Board of Regents of the Smithsonian Institution and as a member of the Advisory Board for the Lawrence Berkeley National Laboratory. He has also been a member of the Board of Physics and Astronomy of the National Research Council and has served as Chair of the Physics Advisory Council of the National Science Foundation. Dr. Neal currently is a member of the Board of Trustees of the Richard Lounsbery Foundation and a member of the Council of the Smithsonian National Museum of African American History and Culture. His research area is high energy physics and he is presently involved in the ATLAS experiment at the European Organization for Nuclear Research in Geneva, Switzerland.

Gerald Shaheen

Mr. Gerald L. Shaheen is an Independent Director of Ford Motor Company. Mr. Shaheen was appointed Group President of Caterpillar in November 1998 and had responsibility for the design, development and production of the company's construction and mining equipment, as well as marketing and sales operations in North America, Caterpillar's components business, and its research and development division. Mr. Shaheen joined Caterpillar in 1967 and held a variety of management positions. He retired from Caterpillar effective February 1, 2008. Mr. Shaheen is a board member and past chairman of the U.S. Chamber of Commerce, a board member of the MS Society of Greater Illinois, Chairman of the Illinois Neurological Institute, and past chairman of the Board of Trustees of Bradley University. Within the past five years, Mr. Shaheen served on the board of National City Corporation.

John Thornton

Mr. John Lawson Thornton is an Independent Director of Ford Motor Company. Mr. Thornton retired as President and Co-Chief Operating Officer of The Goldman Sachs Group, Inc., on June 30, 2003. Mr. Thornton was appointed to that post in 1999 and formerly served as Chairman of Goldman Sachs — Asia from 1996 to 1998. He was previously Co-Chief Executive of Goldman Sachs International, the firm's business in Europe, the Middle East, and Africa. Mr. Thornton is non-executive Chairman of HSBC North America Holdings, Inc. and Co-Chairman of the Board of Directors of Barrick Gold Corporation. In addition, Mr. Thornton is the Chairman of the Board of Trustees of the Brookings Institution. Within the past five years, Mr. Thornton served on the Boards of Intel, Inc., Industrial Commercial Bank of China Limited, China Netcom Group Corporation (Hong Kong) Limited, and News Corporation.
