Name Description

William Ford

Mr. William Clay Ford, Jr., is Executive Chairman of the Board of the Company. Mr. Ford has held a number of management positions within Ford, including Vice President — Commercial Truck Vehicle Center. Mr. Ford was Chair of the Finance Committee from 1995 until October 2001 and was elected Chairman of the Board of Directors in January 1999. He served as Chief Executive Officer of the Company from October 2001 until September 2006 when he became Executive Chairman. Mr. Ford is also Vice Chairman of the Detroit Lions, Inc., Chairman of the Detroit Economic Club, and trustee of the Henry Ford Museum. He also is a member of the board of Business Leaders for Michigan.

James Hackett

Mr. James P. (Jim) Hackett is President, Chief Executive Officer, Director of the Company. He is Vice Chair of Steelcase Inc., the global leader in the office furniture industry. On March 1, 2014, Mr. Hackett retired as Chief Executive Officer of Steelcase Inc. He was named President and Chief Executive Officer of Steelcase in December 1994 overseeing all domestic and international operations. Previously, Mr. Hackett served as Executive Vice President and Chief Operating Officer of Steelcase North America, since August 1994. In April 1994, Mr. Hackett was named Executive Vice President of Steelcase Ventures and was responsible for the development of products for non-contract furniture customers and developing new company opportunities. In August 1993, he was named President of Turnstone, a Steelcase company created to meet the office furnishing needs of small businesses and home offices. In 1990, Mr. Hackett was named Steelcase's Senior Vice President of sales and marketing. Mr. Hackett also serves on the board of directors for Northwestern Mutual Life. He is a member of the executive committee of the Board of Directors for the National Center for Arts and Technology, as well as the Boards of Advisors to the Gerald R. Ford School of Public Policy and the Life Sciences Institute at the University of Michigan.

Robert Shanks

Mr. Robert L. Shanks is Chief Financial Officer and Executive Vice President of the Company. He is no longer Vice President and Controller., effective April 1, 2012. Since joining Ford as an accounts receivable analyst in 1977, Shanks has held a variety of leadership positions including serving as Controller for The Americas, head of Operations Support, Finance and Strategy for Ford of Europe and Premier Automotive Group (PAG), chief financial officer for PAG and chief financial officer for Mazda Motor Corporation. In addition to other finance positions within Mazda, North America and South America, he led the finance function in Taiwan's Ford Lio Ho Motor Company and business development activities in Ford's Asia-Pacific operations. He holds a bachelor's degree in foreign service from Georgetown University and a master's degree in international management from the American Graduate School of International Management.

Raj Nair

Mr. Raj Nair is Executive Vice President, President - North America of the Company. He previously served as executive vice president, Product Development, and chief technical officer, leading the company's global Product Development operations and playing a key role in the company's mobility efforts.

Stephen Odell

Mr. Stephen T. Odell is Executive Vice President - Global Marketing, Sales and Service of the Company. Mr. Odell led the company’s Ford of Europe operations since 2010 and most recently served as executive vice president and president of Europe, Middle East and Africa, a position he was appointed to in December 2012. He served as group vice president, chairman and CEO, Ford of Europe since August 2010. Odell was instrumental in leading the development and implementation of Ford’s European transformation plan, with a focus on using the One Ford plan to achieve profitable growth through an unprecedented focus on new products, a strong brand and increased cost efficiency. He also was responsible for the strategic development of the company’s Middle East and Africa operations to take advantage of growth opportunities in the region. Prior to this, Odell was a Ford vice president and president and CEO of Volvo Car Corporation, a role he held from October 2008. Before, Odell was chief operating officer, Ford of Europe, responsible for Product Development, Manufacturing, Purchasing, and Marketing, Sales and Service operations. Between September 2005 and April 2008, Odell was Ford Motor Company vice president and vice president of Marketing, Sales and Service, Ford of Europe. Prior to this position, he was director and senior managing executive officer in charge of Marketing, Sales and Customer Services at Mazda Motor Corporation in Japan, where he was also a member of the board. Odell joined Ford Motor Company in 1980 as a graduate trainee for Ford of Britain. He worked in several management positions in sales and marketing in Britain and the U.S., before being appointed vice president, Marketing and Sales, Jaguar North America, in 1997. In January 2000, Odell joined Mazda Motor North America as a vice president Marketing and Sales.

James Farley

Mr. James D. (Jim) Farley, Jr., is re designated as Executive Vice President and President - Global Markets of the Company effective June 1. 2017. In this new role, he will continue to lead and accelerate Ford’s transformation in Europe, executing the One Ford plan to achieve profitable growth through an unprecedented focus on new products, a strong brand and increased cost efficiency. He continues to report to Ford President and CEO Mark Fields. Previously, Farley served as executive vice president of Global Marketing, Sales & Service. In this role, Farley led the company’s drive to connect more closely with customers through integrated global marketing, advertising, digital communications, brand development and research. He also was instrumental in leading the ongoing transformation of Lincoln, setting it on a path for growth as a world-class luxury brand and customer experience. He was appointed to lead global marketing, sales and service in August 2010, and it marked the first time Ford had a single global leader for marketing, sales and service. He also held operating responsibility as the senior global leader for Lincoln from December 2012 to August 2014. Previously, Farley was group vice president, global marketing and Canada, Mexico and South America. He had added responsibility for Ford’s operations in Canada, Mexico and South America in September 2009. Farley joined Ford in November 2007. Since joining the company, he has led Ford’s drive to connect even more closely with customers through integrated global marketing, advertising, digital communications, brand development and research. He attended Georgetown University in Washington, D.C., where he earned a bachelor’s degree in economics and computer science, and the University of California, Los Angeles (UCLA), where he completed his MBA with a focus in finance.

Joseph Hinrichs

Mr. Joseph R. Hinrichs is re designated as Executive Vice President and President - Global Operations of the Company. He served as Group Vice President - Global Manufacturing and Labor Affairs of Ford Motor Company since January 2008. Mr. Hinrichs joined Ford in 2000 as plant manager of the Van Dyke Transmission Plant in Sterling Heights, Mich. Since then, he has served in a number of key leadership positions within Ford's manufacturing operations, including executive director of the company's Material Planning and Logistics organization, manufacturing director for Vehicle Operations, vice president of Vehicle Operations and vice president of North America Manufacturing. Mr. Hinrichs served as president and CEO of Ford Motor Company of Canada.

Marcy Klevorn

Ms. Marcy Klevorn is re-designated as Executive Vice President and President, Mobility of the Company effective June 1 2017. She was Vice President, Chief Information Officer of the Company effective January 1, 2015. Previously, Klevorn served as Director, Office of the CIO, a position she was appointed to in September 2013. In this role, she was responsible for managing Ford’s global IT business applications, architecture, data centers, web-hosting requirements, engineering and infrastructure services. Klevorn has spent her entire career in IT with Ford, serving in a variety of positions in The Americas, Ford of Europe and Ford Credit. She began her career at Ford in 1983 in Telecommunications Services and worked at various positions within Ford IT and Ford Credit through August 2003. In late 2003, as consulting program manager for the purchasing business systems initiative eVEREST, Klevorn led the analysis and decision to migrate back to legacy systems. In 2005, she was appointed Product Lifecycle Management global director and implemented process changes in data and information management across product creation. In 2006, as Enterprise Defragmentation director, Klevorn led the strategy and implementation of infrastructure defragmentation, data center consolidation and overall systems management at Ford. From May 2006 through September 2011, she led Ford's IT Infrastructure organization. From September 2011 through September 2013, Klevorn served as IT Director for Ford of Europe, and was a member of the Ford of Europe Operating Committee (EOC). Klevorn, earned a bachelor's degree in business from the University of Michigan, Stephen M. Ross School of Business, Ann Arbor, Michigan.

Bradley Gayton

Mr. Bradley Michael Gayton has been appointed as Chief Administrative Officer, Group Vice President, General Counsel of the Company., effective June 1, 2017. He currently serves as Group Vice President, General Counsel of the Company. Gayton leads the company's litigation, tax, corporate and intellectual property efforts, including the General Auditor's Office. In this expanded role, he is responsible for Ford Land and Corporate Services, which includes the company's security, and global travel and events operations. He previously served as group vice president and general counsel.

John Lawler

Mr. John T. Lawler is Vice President, Controller of the Company. Mr. Lawler has served as chairman and chief executive officer of Ford China since December 2012 with responsibility of all operations and business leadership. Prior to this role, Mr. Lawler served as the chief financial officer for Ford Asia Pacific and Africa, based in Shanghai, and was responsible for the financial strategy and analysis of the company's operations in the region. He joined the company in 1990.

Felicia Fields

Ms. Felicia J. Fields is Group Vice President - Human Resources and Corporate Services of the Company. She joined Ford Motor Company in 1986 as a Ford College Graduate. In addition to her broad exposure to Ford, she has experience in acquiring and developing talent, succession planning and leadership development. Fields actively participates in education and youth-oriented events in the community. She serves on the board of directors for the National Action Council for Minorities in Engineering and was named by Automotive News as a 2005 "Woman in the North American Automotive Industry. Ms. Fields received a bachelor of arts degree in psychology with high distinction for the University of Michigan and a master's degree in administration from Central Michigan University. She also has certifications in the fields of leadership development, personal effectiveness and Felicia Fields .

Paul Ballew

John Casesa

Mr. John A. Casesa is Group Vice President – Global Strategy of the Company. He was Senior Managing Director of Guggenheim Partners, where he led the firm’s automotive investment banking activities. In this role since 2010, he advised the auto industry’s leading companies and investors in connection with strategic transactions including mergers, acquisitions and capital raising. Casesa was one the industry’s leading auto analysts and investment banker for two decades. He served as managing director, Global Coordinator of Automotive Research at Merrill Lynch from 1999 to 2006 and as managing director of Schroders PLC from 1989 to 1999. Prior to Wall Street, he was a product planning analyst at General Motors Corporation. He also was co-founder and managing partner of advisory firm Casesa & Co., from 2006 to 2010. During this time, he was a co-owner of domestic and import dealerships in the U.S. northeast region. He holds a bachelor of science degree from St. John’s University and a master of business administration degree from the Tuck School of Business at Dartmouth College.

Bush from December 2002 to 2003, and was Deputy Assistant to the President from 2001 to 2002. Prior to that, from 1998 to 2000, he was the Policy Director and Chief of Staff to the Senate Republican Conference Secretary.

Kimberly Pittel

Ms. Kimberly L. Pittel is Group Vice President - Sustainability, Environment and Safety Engineering of the Company. She is responsible for the continued development and implementation of the company's global environment and safety strategy, policy and performance, and Ford's Blueprint for Sustainability . She currently serves as vice president, Sustainability, Environment and Safety Engineering, and has been a Ford Motor Company officer since January 2015.

David Schoch

Mr. David L. Schoch is no longer Group Vice President and President, Asia Pacific of the Company., effective August 1, 2017. He has led the company's Asia Pacific operations for the past five years during the biggest and most aggressive expansion within the region in Ford history. He has served in a variety of positions around the world, including controller, The Americas; executive director, Ford Canada, Mexico and South America; chief financial officer and vice president of Strategic Planning for Ford of Europe, and chief financial officer of Ford Asia-Pacific Operations.

Musa Tariq

Mr. Musa Tariq is Vice President, Chief Brand Officer of the Company., since 1 January 2017. In this new role, Tariq is responsible for further building and differentiating the company's Ford brand, one of the most valued in the world. He will work with Marketing, Communications and company leaders across the world to define, build and communicate the Ford primary brand and what it stands for with all stakeholders. His work will complement the successful vehicle nameplate brand marketing and communications work already in place. Tariq will report jointly to Stephen Odell, Ford executive vice president, Global Marketing, Sales and Service, and to Ray Day, Ford group vice president, Communications. Prior to joining Ford, Tariq was Apple's Global Marketing and Communication director for Retail. In this role, he launched several initiatives that enhanced the retail experience in more than 490 Apple stores and for more than 65,000 Apple Retail employees around the world. Prior to Apple, Tariq was the senior director of Social Media and Community at Nike, as well as the global head of Digital Marketing and later the first-ever director of Social Media at Burberry. Tariq started his career in marketing and advertising, serving in leadership roles at JWT and Saatchi & Saatchi Advertising.

Hau Thai-Tang

Mr. Hau Thai-Tang has been appointed as Executive Vice President - Product Development and Purchasing of the Company., effective June 1, 2017. Following more than 25 years in global Product Development, Thai-Tang, has advanced Ford's global Purchasing operations with numerous supplier-partner led innovations and delivered significant material cost savings. In this expanded role, both organizations now report to Thai-Tang.

Ellen Marram

Ms. Ellen R. Marram is Lead Independent Director of the Company. Ms. Marram serves as president of the Barnegat Group, LLC, a business advisory firm. She also is a Senior Managing Director at Brock Capital Group LLC. Ms. Marram previously served as the Managing Director of North Castle Partners, LLC from 2000 through 2005, President and Chief Executive Officer of Tropicana Beverage Group from 1997 through 1998, Group President of Tropicana Beverage Group from 1993 through 1997, and President and Chief Executive Officer of the Nabisco Biscuit Company from 1988 through 1993. Ms. Marram currently serves as a board member of New York-Presbyterian Hospital.

Edsel Ford

Mr. Edsel B. Ford, II, is Director of the Company. Mr. Ford serves as a consultant to Ford and has served in this capacity since 1999. Previously, Mr. Ford served as a Vice President of Ford Motor Company and as the former President and Chief Operating Officer of Ford Motor Credit Company.

Stephen Butler

Mr. Stephen G. Butler is Independent Director of the Company. Mr. Butler served as Chairman and Chief Executive Officer of KPMG, LLP from 1996 until he retired in 2002. Mr. Butler held a variety of management positions, both in the United States and internationally, during his 33-year career at KPMG.

Kimberly Casiano

Ms. Kimberly A. Casiano is Independent Director of the Company. Ms. Casiano has been the President of Kimberly Casiano & Associates since 2010. Her firm provides advisory services in marketing, recruiting, communications, advocacy, and diversity to target the U.S. Hispanic market, the Caribbean, and Latin America. Ms. Casiano served as President and Chief Operating Officer of Casiano Communications, Inc., a Hispanic publisher of magazines and direct marketing company, from 1994 through 2009. She joined the company in 1987 and held various management positions. Ms. Casiano is a member of the Board of Directors of Scotiabank of Puerto Rico, the Hispanic Scholarship Fund, and the Latino Corporate Directors Association.

Anthony Earley

Mr. Anthony F. Earley, Jr., is Independent Director of the Company. Mr. Earley is the Executive Chairman of PG&E Corporation. Since September 2011, he served as the Chairman, Chief Executive Officer, and President of PG&E Corporation. Before joining PG&E Corporation, Mr. Earley served in a number of executive leadership roles at DTE Energy including Executive Chairman, Chairman, Chief Executive Officer, President, and Chief Operating Officer. In addition, Mr. Earley served as President and Chief Operating Officer of Long Island Lighting Company. Mr. Earley also served as an officer in the United States Navy nuclear submarine program where he was qualified as a chief engineer officer.

William Helman

Mr. William W. Helman, IV., is Independent Director of the Company. Mr. Helman is a General Partner at Greylock Partners, a venture capital firm focused on early stage investments in technology, consumer Internet, and healthcare. He joined Greylock in 1984 and led the firm's investments in Millennium Pharmaceuticals, Hyperion, Vertex Pharmaceuticals, Zipcar, Inc., and UPromise, among others. Mr. Helman is Chairman of the Board of Trustees of Dartmouth College and is on the board of the Broad Institute.

Jon Huntsman

Gov. Jon M. Huntsman, Jr., is Independent Director of the Company. Governor Huntsman has been the Chairman of the Atlantic Council of the United States and Chairman of the Huntsman Cancer Foundation since 2012. He has previously served as U.S. Ambassador to China and as Deupty U.S. Trade Representative. Governor Huntsman was twice elected Governor of Utah and served from 2005 to 2009. He began his public service career as a White House staff assistant to President Ronald Reagan and has since served appointments as Deputy Assistant Secretary of Commerce for Asia, and U.S. Ambassador to Singapore. Governor Huntsman serves on the boards of the U.S. Naval Academy Foundation and the University of Pennsylvania. In addition, he serves as distinguished fellow at the Brookings Institute, a trustee of the Carnegie Endowment for International Peace, and a trustee of the Reagan Presidential Foundation.

William Kennard

Mr. William E. Kennard J.D., is Independent Director of the Company. Mr. Kennard is the Chairman and co-founder of Velocitas Partners LLC and a member of the Operating Executive Board of Staple Street Capital since February 2014. Previously, Mr. Kennard served as chairman of the U.S. Federal Communications Commission (FCC) from 1997 to 2001 and served as the FCC's general counsel from 1993 to 1997. As U.S. Ambassador to the European Union from 2009 to 2013, he worked to eliminate regulatory barriers to commerce and to promote transatlantic trade, investment, and job creation. In addition to his public service, Mr. Kennard was a managing director of The Carlyle Group from 2001 to 2009. He also serves as a trustee of Yale University.

John Lechleiter

Dr. John C. Lechleiter, Ph.D., is Independent Director of the Company. Dr. Lechleiter has been the Chairman of the Board of Directors of Eli Lilly and Company since January 2009. He previously served as President and Chief Executive Officer of Lilly from 2008 to 2016. Dr. Lechleiter joined Lilly in 1979 and served in several executive management positions throughout his tenure, including President and Chief Operating Officer, Executive Vice President for pharmaceutical operations, Executive Vice President for pharmaceutical products and corporate development, and several executive positions in product development and regulatory affairs. Dr. Lechleiter is a member of the American Chemical Society. He also serves as the Chairman of United Way Worldwide and a member emeritus of the board of the Central Indiana Corporate Partnership.

John Thornton

Mr. John Lawson Thornton is Independent Director of the Company. Mr. Thornton has served as Chairman of Barrick Gold Corporation since April 2014. He serves as Chairman of Silk Road Finance Corporation, an Asian investment firm, and as non-executive Chairman of PineBridge Investments, a global asset manager. He is also Co-Chairman of the Board of Trustees of the Brookings Institution and advisory board member of China Investment Corporation. He is Professor and Director of Global Leadership at Tsinghua University School of Economics and Management in Beijing, China. Mr. Thornton retired as President and Director of the Goldman Sachs Group, Inc. in 2003.

Lynn Vojvodich

Ms. Lynn M. Vojvodich is Independent Director of the Company. Ms. Vojvodich was Executive Vice President and Chief Marketing Officer of Salesforce.com, Inc. from September 2013 until February 2017. In this role, she led Salesforce's branding and positioning, public relations, digital marketing, content marketing, marketing campaigns, and strategic events. Before joining Salesforce, Ms. Vojvodich held marketing leadership roles at Microsoft and BEA Systems, and served as a partner with venture capital firm Andreessen Horowitz. She is the founder of Take3, a marketing strategy firm.

John Weinberg

Mr. John S. Weinberg is Independent Director of the Company. Mr. Weinberg became Chairman of the Board of Directors and Executive Chairman of Evercore Partners Inc. in November 2016. Previously, Mr. Weinberg served as Vice Chairman of the Goldman Sachs Group from June 2006 until October 2015. His career at Goldman Sachs spanned more than three decades, with the majority of his time spent in the banking division. Mr. Weinberg currently serves as a board member of New York-Presbyterian Hospital and Middlebury College. He also is an advisory committee member of The Steppingstone Foundation.
