Charles Ratner |
Mr. Charles A. Ratner is Chairman of the Board of Forest City Enterprises Inc., since June 10, 2011. Previously, Mr. Ratner served as president and chief executive officer of the Company from 1995 through June 2011, and served as president and chief operating officer from 1993 to 1995. He is also an officer and/or director of various subsidiaries of Forest City. Mr. Ratner is currently a board member of two additional publicly-traded companies, including American Greetings Corporation, a greeting card company, since 2000, and RPM, Inc., a specialty coatings and sealants company, since 2005. He is active with numerous community, charitable and professional organizations, including United Way, the Greater Cleveland Partnership, the Musical Arts Association, the Jewish Community Federation of Cleveland, the Cleveland Foundation and University Hospitals of Cleveland. |

Mr. David J. LaRue is President, Chief Executive Officer, Director of Forest City Enterprises Inc. He is director since June 2011. Mr. LaRue has been President and Chief Executive Officer since June 2011. He is also an officer of various subsidiaries of the Company. Kenneth Bacon |
Mr. Kenneth J. Bacon has been appointed as Independent Director of Forest City Enterprises, Inc. effective December 5, 2012. Bacon began his career with Kidder Peabody and later Morgan Stanley, where his focus was mortgage finance and related products. In 1990, he joined Resolution Trust Corporation as director of policy for the Oversight Board, and was later named director of securitization, positions that allowed him to interact directly with the chairmen of the Federal Reserve and FDIC, among others. Three years later, Bacon joined the Federal National Mortgage Association (Fannie Mae) as senior vice president, northeast region. In 1998, he was tapped to lead Fannie Mae's American Communities Fund, directing community development investing, including equity, mezzanine debt, and loan participations. In 2000, he became senior vice president (with promotion in 2005 to executive vice president) of the organization's multifamily division. Under Bacon's leadership, Fannie Mae's multifamily division grew from approximately $56 billion in assets to a $190 billion mortgage portfolio, making it the U.S. multifamily creditor, with guarantees for one-fifth of all multifamily mortgages in the country. He retired from Fannie Mae in 2012, and recently co-founded RailField Partners, a financial advisory and asset management firm based in Washington, D.C. A Comcast Corporation board member since 2002, and currently presiding director, Bacon serves on the Governance and Directors Nominating Committee. He is also a member of the Executive Leadership Council and a director of the Corporation for Supportive Housing. Bacon earned a bachelor's degree from Stanford University, where he received a prestigious Marshall Fellowship. He also has a master's degree in international relations from the London School of Economics and an MBA from Harvard Business School. |
Michael Esposito |
Mr. Michael P. Esposito, Jr., is Independent Director of Forest City Enterprises Inc., since 1995. Mr. Esposito has been the non-executive chairman of Syncora Holdings Ltd., a publicly-traded guarantee insurance company, since 2006, and non-executive chairman of Primus Guaranty Ltd., a publicly-traded seller of credit protection, since 2002. In 1995, Mr. Esposito retired from The Chase Manhattan Bank, N.A. as the executive vice president, chief control, compliance and administrative officer after serving 34 years with the company in various positions, including principal accounting officer, corporate controller and chief financial officer. In 2007, he retired as the non-executive chairman of XL Capital Ltd., an insurance company. Ms. Deborah L. Harmon is Independent Director of Forest City Enterprises Inc., since April 2008. Ms. Harmon has been co-founder and chief executive officer of Artemis Real Estate Partners, LLC, a real estate investment firm that manages institutional, third-party capital, since September 2009. Ms. Harmon served as president of Harmon & Co., a strategic and financial advisory services company, during 2007 and 2008. From 2001 through 2007, she was president and chief investment officer of the J.E. Robert Companies, Inc., a fully integrated real estate investment firm. Prior to joining the J.E. Roberts Companies, Ms. Harmon was a managing director at Bankers Trust Company working in both the corporate finance and real estate groups. From 1997 through March 2001, she was a member of the board of directors of Avis Group Holdings, Inc., chairing the special committee of independent directors. In June 2009, Ms. Harmon was appointed by President Barack Obama to serve as a commissioner for the White House Fellows program. |

Mr. Stan Ross is Independent Director of Forest City Enterprises Inc., since December 1999. He is a certified public accountant, holds multiple positions at the University of Southern California, including chairman of the board of the Lusk Center for Real Estate and distinguished fellow of the School of Policy, Planning & Development. He is the retired vice chairman of real estate industry services for Ernst & Young, where he was a member of the firm’s management committee. Mr. Ross is a life trustee and governor of the Urban Land Institute. He was also a member of the auditing standards board of the American Institute of Certified Public Accountants. Louis Stokes |
Mr. Louis Stokes is Independent Director of Forest City Enterprises Inc., since 1999. Mr. Stokes has been an attorney with Squire Sanders since 1999 and currently serves as senior counsel. In 1968 he became the first African American member of Congress from Ohio and was a tireless advocate for the people of the state and for the broader civil rights movement. During his 30-year tenure in Congress, he chaired several important committees, including the Ethics Committee and the House Appropriations Subcommittee on Veteran Affairs, Housing and Urban Development and Independent Agencies. Mr. Stokes is a distinguished visiting professor at The Mandel School of Applied Social Sciences at Case Western Reserve University in Cleveland, Ohio. Through the years, Mr. Stokes has received numerous awards and honors that recognize his national leadership and commitment to public service. Most recently, his commitment to diversity and inclusion was honored by the American Bar Association Commission on Racial and Ethnic Diversity with the 2011 Spirit of Excellence Award for his dedication to expanding opportunity in the legal profession to all minorities. |
