Name Description

K. Ivan Gothner

Mr. K. Ivan F. Gothner is Chairman of the Board, Chief Executive Officer of AgFeed Industries Inc. He resigned as Interim Chief Executive Officer of the company effective April 18, 2012. Mr. Gothner joined board of directors in December 2009. Mr. Gothner has been managing director and founder of Adirondack Partners, LLC, a private merchant-banking firm that focuses on serving small and mid-size growth companies, since 1993. He has been active as a merchant banker focusing on small and mid-size growth companies for his entire career. His work has focused on companies experiencing rapid growth as a result of introducing new technologies and products or by entering new markets. Prior to founding Adirondack Partners, Mr. Gothner was senior vice president of Barclays Bank from 1990 to 1992, responsible for establishing an investment banking unit to serve small and mid-sized companies. Mr. Gothner joined Kleinwort Benson Limited in 1986 and from 1987 to 1990, he served as a senior vice president of the firm and general manager of the KB Mezzanine Fund, L.P., a specialized fund which invested in the equity and junior capital of small and mid-sized businesses. Currently, Mr. Gothner serves on the board of directors of ArtID, LLC, a private company providing online exhibition space to artists, Covenant Group of China Inc., a publicly traded company engaged in the business of acquiring equity interests in private companies based and operating in China, Curaxis Pharmaceutical Corp., a pharmaceutical company specializing in the treatment of Alzheimer’s disease, and Buddies of Massachusetts. Mr. Gothner received a bachelor of arts degree in political science and economics from Columbia College and a M.I.A. from Columbia University’s School of International Affairs in international economic policy and finance. Mr. Gothner was a director of Global Maltrechs, Inc., a public company, which markets software applications and web and application development services until 2008.

Gerard Daignault

Mr. Gerard R. Daignault is Interim Chief Financial Officer of AgFeed Industries Inc., effective from August 17, 2012. Prior to joining AgFeed, Mr. Daignault has served as the Managing Director Strategic Initiatives of the Company since July 15, 2011. Prior to that, he had served as the Company’s Chief Operating Officer since August 2008. Prior to joining the Company, Mr. Daignault was a managing director and co-founder of Spectrum Agribusiness, a provider of consulting services to companies in the food and agriculture industry. Prior to founding Spectrum Agribusiness, Mr. Daignault served as chief financial officer and director of finance for PIC North America, Inc. Mr. Daignault has held a number of financial and managerial positions, including 18 years at the director and chief financial officer level for domestic and international agribusiness, including at Purina Mills LLC, PMAG Products (a subsidiary of Tate & Lyle, N.A.), and Newsham Hybrid Genetics.

Keith Maib

Mr. Keith A. Maib has been appointed as Chief Restructuring Officer of AgFeed Industries, Inc., effective May 7, 2013. He is currently a Senior Managing Director of Mackinac Partners LLC, where he has been employed for five years. Mr. Maib has over 25 years of diversified business experience, including serving as a partner in two international accounting firms. Most recently, Mr. Maib served as the interim Chief Executive Officer and Interim Chief Financial Officer for PlayPower Holdings, Inc., a manufacturer of commercial playground equipment and floating dock systems, from September 2010 to June 2012, where he continues to serve as a director. Mr. Maib previously served as the Interim Chief Operating and Marketing Officer for Sunterra Corporation, now known as Diamond Resorts International, a developer and marketer of vacation ownership interests. Mr. Maib has also served as the Chairman and Chief Executive Officer of Worldnet Communications/ WCI Cable, owners and operators of a telecommunications system, the Chief Restructuring Officer of RSL Communications, an international telecommunications company, and the Chief Operating Officer of Borland, a software publisher. Mr. Maib also previously served as Chief Executive Officer and Director of PennCorp Financial Group, a life insurance holding company, and as Chief Financial Officer and Director of Acordia, an insurance brokerage firm. Mr. Maib started his professional career with Price Waterhouse in 1981 and was admitted to its partnership in 1993 in the corporate recovery practice. Mr. Maib graduated from the University of Kansas in 1981 with a Bachelor’s degree in business administration and an emphasis in accounting.

Glenn McClelland

Mr. Glenn McClelland is Corporate Secretary of AgFeed Industries Inc. He resigned as Chief Operating Officer effective January 13, 2012. Mr. McClelland has served as corporate secretary and managing director – hog production since September 2010. Mr. McClelland has over 35 years of experience in agribusiness. He was a co-founder of Mariah Foods together with Mr. Stadler and served as Mariah’s CFO until 1995. Mr. McClelland is also a co-founder of M2P2 where he served as CFO until 2005 when he became M2P2’s Chief Executive Officer. He is a CPA and received his BA in Business Administration from Kansas State University.

Bruce Ginn

Mr. Bruce Ginn has been appointed as Director of AgFeed Industries, Inc., effective September 25, 2011. Mr. Ginn has experience in the agriculture and livestock industries. Mr. Ginn is currently a Partner at BMI Ag Services, an agriculture holding and consulting company that focuses on livestock production and sales and operates pork processing companies, and the Chief Executive Officer of the Kansas City Sausage Company, LLC. Previously, Mr. Ginn held a number of executive positions at Oscar Mayer/Kraft, ConAgra and Sparks Commodities Inc. Mr. Ginn has also served on the faculties of a number of universities, including Texas Tech University and Colorado State University. Mr. Ginn holds graduate and undergraduate degrees in agricultural economics.

H. David Sherman

Professor H. David Sherman has been appointed as Director of AgFeed Industries, Inc., effective February 14, 2012. Mr. Sherman is a tenured Full Professor of Accounting at Northeastern University’s College of Business Administration and is a CPA. He has served on the faculty of the Sloan School of Management at MIT and as a visiting faculty member at INSEAD, in Fontainebleau, France, and the Naval Postgraduate School, in Monterey, California. Mr. Sherman was the Academic Fellow in the Division of Corporate Finance of the Securities and Exchange Commission, in Washington, D.C., during the year ended July 2005. Mr. Sherman co-authored “The Audit Committee’s New Agenda,” which appeared in the Harvard Business Review (June 2009). He is also co-author of Profits You Can Trust: Spotting and Surviving Accounting Landmines, also published in a Chinese edition. Mr. Sherman has been an invited speaker on U.S. and international shareholder reporting issues at national professional and academic meetings in the United States, South America, Europe, China, and Japan. He has also served as a director and manager of several businesses, and has consulted on financial performance issues with major corporations, banks, and the Financial Accounting Standards Board. Mr. Sherman currently is a board member of China HGS Real Estate (Hanzhong, China), Kingold Jewelry Inc. (Wuhan, China) and D-Tree International (Boston). He holds an MBA and a Doctorate degree from Harvard Business School and an AB in Economics from Brandeis University.

Todd Zelek

Mr. Todd J. Zelek has been appointed as Director of AgFeed Industries, Inc., effective February 14, 2012. Mr. Zelek has served as the Chairman and Chief Executive Officer of Cavitation Technologies, Inc., an innovative leader in processing liquids, fluidic mixtures, emulsions and suspended solids, since June 14, 2011. From 2001 until joining Cavitation Technologies, Inc., he was retired from active executive management employment and was engaged in managing his own investment portfolio. Mr. Zelek was formerly a private investor and investment banker, and served as Managing Director, Internet Group Head and Co-Head of the Los Angeles investment banking office for Lehman Brothers, Inc. from 1995 through 2001. Prior to that, he was a Managing Director and head of the Thrift Industry practice at Salomon Brothers in Los Angeles and New York. Mr. Zelek began his career as an investment banker at Smith Barney in 1982. He earned a master's degree from the Sloan School of Management at MIT in 1982 and graduated with distinction from Cornell University in 1979.

Lixiang Zhang

Dr. Lixiang Zhang, Ph.D., is Independent Director of AgFeed Industries Inc., since May 2007. Dr. Zhang is in animal nutritional science and management consulting in China. Dr. Zhang is a professor of agricultural management and has served as the assistant dean of the College of Agricultural Development at Renmin University of China since July 2003. In 2006, Dr. Zhang was awarded the title of Excellent Teacher by Renmin University. In 2005, he was named a Top Ten Enterprise Strategist by the Chinese government. In 2004, Dr. Zhang was named a Top Ten Management Consulting by the Chinese Government. In 2002, he was awarded the top prize for Innovative Management Science by the Chinese Ministry of Commerce. Dr. Zhang has authored over 60 books and articles on the topics of agricultural science and management science. He has conducted management training programs for global companies including SONY, Panasonic, General Motors, Motorola, China Life Insurance, China Telecom among others. Dr. Zhang received a Ph.D. in Management Science from Renmin University in 2003.
