Name Description

Robert Latella

Mr. Robert N. Latella is Chairman of the Board, Lead Independent Director of Financial Institutions Inc. Mr. Latella is of counsel at the law firm of Hiscock and Barclay, LLP, and is the chief operating officer of Integrated Nano-Technologies, LLC, a Henrietta, N.Y.-based developer of field portable diagnostic systems for identification of viral and bacterial pathogens. He previously served as vice chairman of Financial Institutions, Inc. Mr. Latella has extensive legal and operational experience, as well as expertise in corporate governance strategy and planning. Mr. Latella's community involvement is extensive, with service in leadership positions at several not-for-profit institutions headquartered in Rochester, N.Y. and the surrounding Monroe County area, including service as chairman of the boards of Monroe Community College, Highland Hospital of Rochester, and the University of Rochester Medical Center.

John Benjamin

Mr. John E. Benjamin serves as an Independent Chairman of the Board of Financial Institutions Inc. He has served as Chairman of the Company’s and the Bank’s Board of Directors since May 2010 and in August 2012 was appointed to serve as the Company’s Interim CEO and he served in such capacity until March 2013. He has been President of Three Rivers Development Corporation, a not-for-profit business for the public and private economic development of businesses and government in the greater Corning, New York area, since 1981. Mr. Benjamin served as Vice Chairman of the Board from May 2009 to May 2010 and served as a Director of Bath National Bank until its merger with the Bank in 2005.

Martin Birmingham

Mr. Martin K. Birmingham is President, Chief Executive Officer and Director of Financial Institutions, Inc., and President, Chief Executive Officer of Five Star Bank, a subsidiary of the company. He is Director since July 24, 2013. Mr. Birmingham has over 20 years’ experience in the banking industry. He joined the Company as President and CEO of the National Bank of Geneva in March 2005 and, upon the Company’s consolidation of its subsidiary banks in December 2005, was appointed Senior Vice President and Regional President of Five Star Bank. Mr. Birmingham was promoted to Executive Vice President and Regional President/Commercial Banking Executive Officer in 2009 and to President and Chief of Community Banking in August 2012. Prior to joining the Company, Mr. Birmingham served as Rochester Market President for Bank of America Corporation from 2004 to 2005 and held corporate banking roles with Fleet Financial Group’s Rochester Division, including Regional President, from 1990 to 2004. Mr. Birmingham earned his Bachelor’s degree in Economics from St. Lawrence University, and is a MBA candidate at the University of Rochester’s Simon Graduate School of Business. He is active in the Western New York non-profit and business communities, serving in volunteer leadership roles with St. John Fisher College, the Rochester Business Alliance, the Catholic Diocese of Rochester, AAA of Western and Central New York, and the Monroe Community College Foundation.

Kevin Klotzbach

Mr. Kevin B. Klotzbach has been appointed as Chief Financial Officer, Executive Vice President, Treasurer of Financial Institutions Inc., effective April 15, 2013. He has served as Senior Vice President and Treasurer of FSB since 2001. Before joining FSB in 2001, Mr. Klotzbach was the Chief Investment Officer at Greater Buffalo Savings Bank from 1999 to 2001. Prior to 1999, he held various executive, portfolio management and risk management positions with Key Bank, Empire Federal Savings Bank and Merrill Lynch Asset Management. Mr. Klotzbach has a B.A. in Economics from Buffalo State College.

Richard Harrison

Mr. Richard J. Harrison serves as Chief Operating Officer, Executive Vice President of Financial Institutions Inc and Five Star Bank., a subsidiary of the Company. Mr. Harrison served as Executive Vice President and Senior Retail Lending Administrator of the Bank since 2009. Senior Vice President and Senior Retail Lending Administrator of the Bank since 2005.

Jeffrey Kenefick

Mr. Jeffrey P. Kenefick is Executive Vice President and Commercial Banking Executive of Financial Institutions Inc., and the Bank., since May 2013. He served as Senior Vice President, Commercial Banking Executive and Regional President of the Bank from February 2006 until May 2013.

Michael Grover

Mr. Michael D. Grover, CPA, has been appointed as Senior Vice President - Financial Reporting and Tax, Chief Accounting Officer of Financial Institutions, Inc., and Five Star Bank effective April 15, 2013. He was most recently senior vice president, Financial Reporting and Tax for Five Star Bank, which he joined in 1999 as a senior accountant. A longtime Western New York resident, he previously held public accounting positions with Battaglia, Andrews and Moag, which is now Freed Maxick, and KPMG. He earned his B.S. in Accounting from the State University of New York at Geneseo.

Paula Dolan

Before joining the Company, Ms. Dolan worked at Hillside Family of Agencies (“Hillside”), starting as a consultant in 2010, and most recently as Hillside’s Manager of Compensation and Human Resource Information Systems. Previously, she was a Senior Human Resources Consultant with First Niagara Consulting/Burke Group from 2007 to 2010. Prior to working at First Niagara, Ms. Dolan held human resources positions at Unity Health Systems, HR Works, Eastman Kodak Company, Rochester Community Savings Bank and Jones & Laughlin Steel Corporation.

William Kreienberg

Mr. William L. Kreienberg is Executive Vice President, Chief Risk Officer, General Counsel of the Company. Mr. Kreienberg currently serves as a Partner at Harter Secrest & Emery LLP, from which he will retire to take this position. He has extensive experience in mergers and acquisitions ("M&A") and related negotiations. In addition, he has represented both borrowers and banks over the last 30 years, gaining an intimate knowledge of the lending and workout process. He is a nationally recognized expert in the automotive industry, representing dealers on a variety of topics, including M&A activity. He is currently a member of the National Association of Dealer Counsel and is a former board member at Greater Rochester Enterprise. Mr. Kreienberg has a B.A. from Muskingum College and earned his law degree from Syracuse University. He currently resides in Rochester, N.Y. with his wife and children. Mr. Kreienberg will begin his retirement transition from Harter Secrest & Emery, LLC immediately.

R. Mitchell McLaughlin

Mr. R. Mitchell McLaughlin serves as Executive Vice President and Information/Physical Security and Facilities Director of the Bank, a subsidiary Company of Financial Institutions Inc., Since January 2014. He was Executive Vice President and Chief Information Officer of the Bank from 2009 to January 2014. Senior Vice President and Chief Information Officer of the Bank from 2006 to 2009.

Andrew Dorn

Mr. Andrew W. Dorn Jr., is Director of the company. Mr. Dorn is chairman of the board and chief financial officer of Demand Response Partners, Inc., a smart grid company and registered service provider for the PJM Interconnection, LLC, and the New York Independent System Operator. Previously, Mr. Dorn was the managing member of West Virginia-based Moundsville Power LLC, president and chief investment officer of Hunterview LLC, and the founder of Great Lakes Bancorp, the parent company of Greater Buffalo Savings Bank, where he served as president and chief executive officer. Mr. Dorn also founded Jamestown Savings Bank, serving as president and chief executive officer. He sits on numerous for-profit and non-profit boards in Western New York business and cultural communities.

He has practiced law since 1972 and also held the position of President and CEO of Bank of Avoca from 1981 to 2002. He has been a Director of the Company and Bank since 2006. He previously served as a Director of National Bank of Geneva and Bath National Bank until their merger with and into the Bank in 2005.

He is a Director of the New York ISO, Rand Capital Corporation, Allegany Co-op Insurance Company, and the Farash Corporation. Mr. Kailbourne was a member of the New York State Banking Department Board from 1999 until 2006 and served as Vice Chairman of the State University of New York System from 1995 to 2000.

James Robinson

Mr. James L. Robinson serves as an Independent Director of Financial Institutions Inc. He served as President, CEO and Treasurer of Olean Wholesale Grocery Cooperative, Inc., and its subsidiaries from 1977 to 2005. James Wyckoff
