Name Description

Christopher Lynch

Mr. Christopher S. Lynch is Non-Executive Independent Chairman of the Board of Federal Home Loan Mortgage Corporation. He joined the Board in December 2008. He also has the public company audit committee experience and risk management experience. Mr. Lynch’s experience in finance, accounting and risk management enables him to provide the guidance to the Board on complex accounting and risk management issues, including in his role as chairman of the audit committee. Mr. Lynch is an independent consultant providing a variety of services to financial intermediaries, including risk management, strategy, governance, financial and regulatory reporting and troubled-asset management. Prior to retiring from KPMG LLP in May 2007, Mr. Lynch held a variety of leadership positions at KPMG, including National Partner in Charge — Financial Services, the U.S. firm’s industry division. Mr. Lynch chaired KPMG’s Americas Financial Services Leadership team, was a member of the Global Financial Services Leadership and the U.S. Industries Leadership teams and led the Banking & Finance practice. Mr. Lynch also served as a partner in KPMG’s Department of Professional Practice and as a Practice Fellow at the Financial Accounting Standards Board. Mr. Lynch was the lead and audit signing partner for some of KPMG’s financial services clients. Mr. Lynch also is a director of American International Group, Inc., where he is the Chair of the Audit Committee and a member of the Finance and Risk Management Committee.

Donald Layton

Mr. Donald H. Layton is Chief Executive Officer, Director of Federal Home Loan Mortgage Corporation. He worked for nearly thirty years at JPMorgan Chase & Co. (JPMorgan Chase) and its predecessors, starting as a trainee and rising to vice chairman and a member of the company’s three-person Office of the Chairman, retiring in 2004. In his career at JPMorgan Chase, Layton’s responsibilities spanned capital markets and investment banking, consumer banking and operating services. From 2002 to 2004, he was responsible for the company’s Chase Financial Services unit. He was co-chief executive officer of J.P. Morgan, the investment bank of JPMorgan Chase, overseeing the entire range of the investment bank’s global activities, from 2000 to 2002. Prior to the merger of Chase Manhattan and J.P. Morgan in 2000, Layton was responsible for Chase’s worldwide capital markets and trading activities, including foreign exchange, risk management products, emerging markets, and fixed income, as well as its operating services businesses. He additionally supervised the bank’s investment portfolio for many years. He also served as a senior advisor to the Securities Industry and Financial Markets Association from 2006 to 2008 and is chairman of the board of the Partnership for the Homeless, a nonprofit dedicated to reducing homelessness in New York City. He received simultaneous Bachelor and Master of Science degrees in economics from the Massachusetts Institute of Technology and also a Master of Business Administration from Harvard Business School.

James Mackey

Mr. James G. Mackey has been appointed as Chief Financial Officer, Executive Vice President of Freddie Mac, (formally known as the Federal Home Loan Mortgage Corporation), effective November 11, 2013. Prior to joining Ally in 2009, Mackey served as CFO for the Corporate Investments, Corporate Treasury and Private Equity divisions at Bank of America. Earlier in his tenure at Bank of America, he held a variety of roles within the company, including serving as managing director within the Global Structured Products Group. Mackey began his career in 1992 at PricewaterhouseCoopers LLP, a Big Four audit, tax and advisory firm, including serving as a manager in the Financial Institutions Practice Group. Mackey holds a bachelor’s degree in business administration and a master’s degree in accounting from the University of North Carolina at Chapel Hill.

Jerry Weiss

Mr. Jerry Weiss is Executive Vice President, Chief Administrative Officer of Federal Home Loan Mortgage Corporation. n this role, Mr. Weiss manages the services and operations of Freddie Mac’s Strategy; External Relations, including Government and Industry Relations; Public Relations and Corporate Marketing; Internal Communications; Models, Mission and Research; Conservatorship and Corporate Initiatives; Enterprise Project Management; and Making Home Affordable — Compliance organizations. For a period subsequent to his appointment as Executive Vice President — Chief Administrative Officer, he also served as Chief Compliance Officer from August 2010 until June 2011. Prior to August 2010, Mr. Weiss served as Senior Vice President and Chief Compliance Officer and in various other senior management capacities since joining in October 2003. Prior to joining, Mr. Weiss worked from 1990 at Merrill Lynch Investment Managers, most recently as First Vice President and Global Head of Compliance. From 1982 to 1990, Mr. Weiss was with a national law practice in Washington, D.C., where he specialized in securities regulation and corporate finance matters.

William McDavid

Mr. William H. McDavid is Executive Vice President, General Counsel, Corporate Secretary of Federal Home Loan Mortgage Corporation. Previously, Mr. McDavid was Co-General Counsel of JPMorgan Chase from 2004 until his retirement in 2006, and was General Counsel of JPMorgan Chase from 2000 to 2004. Prior to that, he was General Counsel of various predecessors to JPMorgan Chase, including The Chase Manhattan Corporation from 1996 to 2000 and of Chemical Banking Corporation from 1988 to 1996. From 1981 to 1988, he was an Associate General Counsel at Bankers Trust Company, and from 1972 to 1981 he was an attorney with the law firm of Debevoise & Plimpton.

Paige Wisdom

Ms. Paige H. Wisdom is Executive Vice President, Chief Enterprise Risk Officer of Federal Home Loan Mortgage Corporation. Prior to this she served as the Senior Vice President, Chief Enterprise Risk Officer from April 2010 until October 2010. Prior to this appointment, she served as the Senior Vice President - Business Unit Chief Financial Officer from January 2008 through March 2010. From August 2004 until December 2007, Ms. Wisdom served as a Business Unit Chief Financial Officer at Bank of America for key businesses including Global Business and Financial Services; Business, Lending, and Global Technology; and Service and Fulfillment. Prior to joining Bank of America, Ms. Wisdom served at Bank One Corporation/JP Morgan from June 2000 until July 2004, most recently as the Chief Financial Officer, Corporate Bank. Prior to that she served in leadership positions with increasing responsibilities at UBS/Warburg Dillon Read, Citibank Salomon Smith Barney, and Swiss Bank Corporation/SBC Warburg Dillon Read.

Robert Lux

Mr. Robert Lux is Senior Vice President, Chief Information Officer of Federal Home Loan Mortgage Corporation. Prior to joining Freddie Mac, from 2008 to 2010, Mr. Lux served as a Principal at Towers Watson, a global professional services company, where he was responsible for teams on three continents in the delivery of commercial risk modeling applications for the insurance industry. From 2003 to 2008, Mr. Lux held a series of positions with increasing responsibilities, including service as the Chief Architect for GMAC Financial Services and Chief Technology Officer for GMAC Residential Capital. Prior to that, he held information technology leadership positions at Electronic Data Systems and Reuters Group PLC.

Carol Wambeke

Ms. Carol A. Wambeke is Senior Vice President, Chief Compliance Officer of Federal Home Loan Mortgage Corporation. She joined Freddie Mac in 1997 as a senior economist and served in various positions prior to 2004 with responsibility for financial and housing economics and regulatory capital management.

Devajyoti Ghose

Mr. Devajyoti Ghose is Senior Vice President - Investments and Capital Markets, Treasurer of Federal Home Loan Mortgage Corporation. Prior to this, he served as Vice President — Asset Liability Management and Deputy Treasurer from October 2010 until May 2011. From December 2008 until October 2010, he served as Vice President in charge of various units responsible for Debt and Liquidity Management, Debt Portfolio Management and Single-Family Pricing and Analytics. From February 2005 until December 2008, Mr. Ghose served as Vice President — Convexity Management. Before that, he held various senior positions at Freddie Mac in which he was responsible for evaluating the risks and returns of Freddie Mac’s guarantee fee business and developing valuation models for various fixed income securities including mortgage-related products, debentures and interest-rate derivatives. Prior to joining Freddie Mac in 1997, Mr. Ghose was an assistant professor in econometrics at the University of Arizona.

Dwight Robinson

Mr. Dwight P. Robinson is Senior Vice President - Human Resources, Diversity and Outreach, Chief Diversity Officer of Federal Home Loan Mortgage Corporation. Prior to joining Freddie Mac, from 1994 to 1998 Mr. Robinson served as the Deputy Secretary of HUD, functioning as Chief Operating Officer. Before assuming the position at HUD, from 1993 to 1994 Mr. Robinson served as the president of Ginnie Mae, where he was responsible for all policy decisions affecting Ginnie Mae issuers and purchasers worldwide.

David Brickman

Mr. David M. Brickman is Senior Vice President - Multifamily of Federal Home Loan Mortgage Corporation. In this role, he is responsible for overall management of Multifamily business line. From June 2011 until July 2011, he served as Senior Vice President — Multifamily Commercial Mortgage-Backed Security Capital Markets. From March 2004 until June 2011, he served as Vice President in charge of various units responsible for Multifamily Capital Markets. In his previous roles at Freddie Mac, Mr. Brickman led the multifamily pricing, costing and research teams, was responsible for the development and implementation of new quantitative pricing models and financial risk analysis frameworks for all multifamily programs, and designed several of Freddie Mac’s multifamily financing products, including the Capital Markets Execution and the K-Deal Securitization Program. Prior to joining Freddie Mac in 1999, Mr. Brickman co-led the Mortgage Finance and Credit Analysis group in the consulting practice at Pricewaterhouse Coopers LLP.

Michael Hutchins

Mr. Michael Hutchins is Senior Vice President - Investments and Capital Markets of Federal Home Loan Mortgage Corp. Most recently, he was co-founder and CEO of PrinceRidge. Prior to founding PrinceRidge, he was with UBS from 1996 – 2007, holding a variety of positions, including the Global Head of the Fixed Income, Rates & Currencies Group. Prior to UBS, Hutchins worked at Salomon Brothers from 1986 - 1996, and held a number of management positions, including Co-Head of Fixed Income Capital Markets. He holds a PhD in Economics from the University of North Carolina, and a BA in Economics and Mathematics from Washington University in St. Louis.

Timothy Kenny

Mr. Timothy F. Kenny is Senior Vice President, General Auditor of Federal Home Loan Mortgage Corporation. Prior to this appointment, Mr. Kenny served as Vice President and Interim General Auditor starting in May 2008. Before that, he served as Vice President — Assistant General Auditor from September 2007 to May 2008. From 2001 to 2007, Mr. Kenny was a Managing Director with BearingPoint, Inc. (formerly KPMG Consulting, Inc.) where he directed a team of financial professionals on a variety of financial risk management consulting projects with Ginnie Mae, the Federal Housing Administration, private sector mortgage bankers and other federal credit agencies. He joined KPMG LLP, the predecessor organization to KPMG Consulting, in 1986, was promoted to a KPMG Audit Partner in 1997, and served in that position until the separation of KPMG Consulting from KPMG LLP in February 2001. From 2004 until 2008, Mr. Kenny was a member of the board of directors of Farmer Mac, a government sponsored enterprise that has established a secondary market for agricultural loans.

Paul Mullings

Mr. Paul E. Mullings is Senior Vice President, Interim Head Single-Family Business of Federal Home Loan Mortgage Corporation. Prior to his May 2011 appointment, Mr. Mullings served as Senior Vice President — Single Family Sourcing since July 2005. Before joining, Mr. Mullings was Senior Vice President of JPMorgan Chase and Mortgage Finance Manager and Fair Lending Executive at Chase Home Finance. Prior to joining Chase Home Finance in 1997, Mr. Mullings was President and Chief Executive Officer of Mortgage Electronic Registration Systems, Inc. Mr. Mullings was also President and Chief Executive Officer of the residential mortgage division of First Interstate Bank, Los Angeles. Prior to First Interstate, he held a series of senior management positions with increasing responsibilities at Glendale Federal Bank, Glendale, California. He has served as Senior Vice President - Single Family Sourcing & Securitization from 2011 to 2012.

Robert Mailloux

Mr. Robert D. Mailloux is Senior Vice President, Corporate Controller & Principal Accounting Officer of Federal Home Loan Mortgage Corporation. Prior to holding his current position, Mr. Mailloux served as the Vice President - Acting Corporate Controller beginning in October 2008. Prior to that appointment, he served as Vice President - Corporate and Multifamily Business Segment Controller, from May 2008 until October 2008, and as Vice President - Corporate Financial Accounting from September 2004 until May 2008. Before that, Mr. Mailloux held the position of Director - Corporate Reporting and Analysis from March 2002 until September 2004. Before joining, Mr. Mailloux served for 12 years at an accounting firm, where he managed a variety of audit and consulting engagements in the financial services and real estate industries.

Thomas Goldstein

Thomas M. Goldstein is appointed as Director of the Company., effective October 30, 2014. He is an executive with extensive financial services, insurance, mortgage banking and risk management experience. From April 2011 to June 2014 Goldstein served as Senior Vice President, Chief Financial Officer, Protection Division of Allstate Insurance Company. From 2009 to 2011 he served as a consultant to the financial services industry and pursued community bank acquisitions with The GRG Group LLC. Prior to that, from 2007 to 2009, he served as Managing Director and Chief Financial Officer for Madison Dearborn Partners, a private equity firm in Chicago, Illinois. From 1998 to 2007, Mr. Goldstein served in a number of executive and finance positions for LaSalle Bank Corporation, including as Chairman, Chief Executive Officer, and President of ABN AMRO Mortgage Group from 2005 to 2007 and as Chief Financial Officer of LaSalle Bank Corporation from 2002 to 2004. He also worked for Morgan Stanley Dean Witter in a variety of positions from 1988 to 1998, including as Senior Vice President, Head of Risk Management and Financial Planning and Analysis, of Novus Financial, from 1997 to 1998 and as Vice President, Head of Finance, Risk Management, Model Development and Investor Relations, of SPS Transaction Services, from 1995 to 1997. Goldstein earned a bachelor’s degree from Union College and a master’s degree in business administration from the Wharton School at the University of Pennsylvania.

Richard Hartnack

Mr. Richard C. Hartnack has been appointed as Director of Federal Home Loan Mortgage Corporation effective May 20, 2013. Until his retirement in February 2013, Hartnack worked at U.S. Bancorp as the vice chairman and head of consumer and small business banking. Hartnack was responsible for management of more than 3,000 U.S. Bank, N.A. (U.S. Bank) branches in 25 states delivering services to more than eight million clients. U.S. Bank is a wholly owned subsidiary of U.S. Bancorp. Prior to joining U.S. Bancorp in 2005, Hartnack served as vice chairman, director and head of the community banking group at Union Bank of California, N.A. since 1991. Previously, he was executive vice president at First Chicago Corporation (a predecessor to JPMorgan Chase & Co.) where he was responsible for community banking. Earlier, he was in charge of corporate banking at First Interstate Bank of Oregon, where he began his banking career in 1971. Hartnack is a past director of the Federal Reserve Bank of San Francisco, MasterCard International (US Region), Union BanCalCorporation and U.S. Bank. He also previously served as chairman of the California Bankers Association, Bank Administration Institute and the Los Angeles Urban League.

Saiyid Naqvi

Mr. Saiyid T. Naqvi has been appointed as Director of Federal Home Loan Mortgage Corp., effective August 6, 2013. He has a national reputation as a seasoned financial executive with proven leadership experience and detailed knowledge of mortgage and consumer financial operations. Naqvi led PNC Mortgage Corporation of America as president and chief executive officer between 1995 and 2001, when PNC Financial Services Group, Inc. sold off its mortgage business. In 2009, Naqvi returned to supervise the bank’s integration of National City Mortgage Company and to head the newly constituted PNC Mortgage as president and chief executive officer. PNC Mortgage operates as a division of PNC Bank, National Association, which is a subsidiary of PNC Financial Services Group. Until his departure in April 2013, Naqvi was responsible for management of PNC Mortgage’s $121 billion portfolio and national network of 91 retail mortgage offices. Between 2001 and 2009, he held a number of leadership positions, including president of Harley-Davidson Financial Services, Inc., chief executive officer of DeepGreen Financial, Inc., and president and chief financial officer of Setara Corporation. Naqvi served on the board of Genworth Financial, Inc., an insurance holding company, from 2005-2009, where he was a member of the Audit Committee and the Public Affairs Committee. He was also a director of Hanover Capital Mortgage Holdings, Inc., a real estate investment trust, from 1998-2003. Naqvi has served on the corporate boards of Genworth Financial, Inc. and Hanover Capital Mortgage Holdings, Inc. He earned a bachelor’s degree in chemistry from the University of Missouri and a master’s degree in business administration from Southern Illinois University.

Sara Mathew

Mathew, age 58, is an executive with global financial, consumer and data management experience. From 2001 Mathew worked as an executive at The Dun & Bradstreet Corporation, a mid-cap information and analytics company, serving as Chairman and Chief Executive Officer from 2010 - October 2013. In 2007, she was appointed President and Chief Operating Officer prior to her appointment as CEO. Before joining Dun & Bradstreet, Mathew spent 18 years at Procter & Gamble Company in a variety of finance and management positions. Her last position was Vice President, Finance, Australia, Asia and India from 2000 – 2001. Since 2005, Mathew has been a director of Campbell Soup Company, Inc., a manufacturer and marketer of branded convenience food products, where she is chairman of the Audit Committee and a member of the Governance Committee. Mathew served as a director of Dun & Bradstreet from 2008 - 2013. Since 2013, Mathew has been on the International Advisory Council for Zurich Financial Services Group, a multi-line insurance provider. She earned a bachelor’s degree in physics, mathematics and chemistry from the Women’s Christian College, University of Madras, Chennai (India) and a master’s degree in business administration from Xavier University. She is Non-Executive Director of the Company.

Carolyn Byrd

Ms. Carolyn Hogan Byrd is Independent Director of Federal Home Loan Mortgage Corporation. Ms. Byrd has served as Chairman and Chief Executive Officer of GlobalTech Financial, LLC, a financial services company she founded, since 2000. From 1997 to 2000, Ms. Byrd was President of Coca-Cola Financial Corporation. From 1977 to 1997, Ms. Byrd held a variety of domestic and international positions with The Coca-Cola Company, including Chief of Internal Audits and Director of the Corporate Auditing Department. She is currently a director of AFC Enterprises, Inc., where she is a member of the Audit Committee and the Corporate Governance and Nominating Committee and of Regions Financial Corporation, where she is a member of the Audit Committee and the Risk Committee. Ms. Byrd is a former member of the board of directors and audit committee member of Circuit City Stores, Inc. and RARE Hospitality International, Inc., and she also served on the board of directors of St. Paul Travelers Companies, Inc.

Steven Kohlhagen

Mr. Steven W. Kohlhagen is Independent Director of Federal Home Loan Mortgage Corporation. He will bring to the Board a unique combination of senior executive leadership skills and a deep understanding of economics, modeling and complex financial instruments. Over the course of his career, Kohlhagen held senior executive positions at financial institutions. From 1992 to 2003 he worked at First Union National Bank (predecessor to Wachovia National Bank), last serving as managing director of the Fixed Income Division. Kohlhagen served in senior roles at AIG Financial Products from 1990 to 1992, Stamford Capital Group from 1987 to 1990, Bankers Trust Corporation from 1985 to 1987, and Lehman Brothers, Inc. from 1983 to 1985. Kohlhagen’s public sector experience encompasses consulting work for the Organization for Economic Cooperation and Development from 1980 to 1981, the United States Department of the Treasury from 1976 to 1977, and the Federal Reserve Board in 1976. He was also senior staff economist for the Council of Economic Advisors, White House Staff from 1978 to 1979. Since 2006, Kohlhagen has been a director of AMETEK Inc., a global manufacturer of electronic instruments and electromechanical devices, where he is a member of the Audit Committee. He is also a director of Abtech Holdings Inc., a developer and manufacturer of environmental technologies, where he is a member of the Audit Committee, and Reval Inc., a financial risk management consulting firm, where he is a member of the Governance and Nominating Committee. Kohlhagen served as a director of the IQ Mutual Funds, a family of Merrill Lynch registered, closed-end investment companies, from 2005-2010. Since 2001, Kohlhagen has been an Advisory Board member of the Stanford Institute for Economic Policy Research. He also served as a professor of international economics and finance at the University of California, Berkeley from 1973 to 1983.

Nicolas Retsinas

Mr. Nicolas P. Retsinas is Independent Director of Federal Home Loan Mortgage Corporation. He joined the Board in 2007. He is an experienced leader in the governmental and educational sectors, with knowledge of the mortgage lending and real estate industries. He also has represented consumer and community interests and has demonstrated a career commitment to the provision of housing for low-income households. Since 1998, Mr. Retsinas has been Director of Harvard University’s Joint Center for Housing Studies. He also is a lecturer in Housing Studies at the Graduate School of Design and the Harvard Kennedy School of Government, and is a lecturer in Real Estate at the Harvard Business School. Prior to his Harvard appointment, Mr. Retsinas served as Assistant Secretary for Housing— Federal Housing Commissioner at the United States Department of Housing and Urban Development from 1993 to 1998 and as Director of the Office of Thrift Supervision from 1996 to 1997. He served on the Board of the Federal Deposit Insurance Corporation from 1996 to 1997, the Federal Housing Finance Board from 1993 to 1998 and the Neighborhood Reinvestment Corporation from 1993 to 1998.

Eugene Shanks

Mr. Eugene B. Shanks, Jr., is Independent Director of Federal Home Loan Mortgage Corporation. He joined the Board in December 2008. He is an experienced finance executive with leadership and risk management experience. Mr. Shanks’ leadership and risk management experience enables him to provide the Board with the guidance on risk management issues and the strategic direction. Mr. Shanks is a Trustee of Vanderbilt University and a consultant to the board of directors of ACE Limited, a member of the Advisory Board of the Stanford Institute for Economic Policy Research, a director of NewPower Holdings, Inc., and a founding director at The Posse Foundation. From November 2007 until August 2008, Mr. Shanks was a senior consultant to Trinsum Group, Incorporated, a strategic consulting and asset management company. From 1997 until its sale in 2002, Mr. Shanks was President and Chief Executive Officer of NetRisk, Inc., a risk management software and advisory services company he founded. From 1973 to 1978 and from 1980 to 1995, Mr. Shanks held a variety of positions with Bankers Trust New York Corporation, including head of Global Markets from 1986 to 1992 and President and Director from 1992 to 1995. From 1978 to 1980, he was Treasurer of Commerce Union Bank in Nashville, Tennessee.

Anthony Williams

Mr. Anthony A. Williams is Independent Director of Federal Home Loan Mortgage Corporation. He joined the Board in December 2008. He is an experienced leader of state and local governments, with the knowledge concerning real estate and housing for low-income individuals. He also has the experience in financial matters and is an experienced academic focusing on public management issues. Mr. Williams’ leadership and operating experience in the public sector allows him to provide a unique perspective on state and local housing issues. Mr. Williams is the William H. Bloomberg Lecturer in Public Management at Harvard’s Kennedy School of Government. Since January 2010, he has served as Executive Director of the Government Practice at The Corporate Executive Board Company. Since May 2009, Mr. Williams has been affiliated with Arent Fox LLP, a law firm. Prior to this, Mr. Williams served as the Chief Executive Officer of Primum Public Realty Trust, beginning in January 2007. Mr. Williams served as the Mayor of Washington, D.C. from 1999 to January 2007, and as its Chief Financial Officer from 1995 to 1998. In 2005, Mr. Williams served as Vice Chair of the Metropolitan Washington Council of Governments, and in 2004, Mr. Williams served as President of the National League of Cities. From 1993 to 1995, Mr. Williams was the first Chief Financial Officer for the U.S. Department of Agriculture. From 1988 to 1989, Mr. Williams was an Assistant Director with the Boston Redevelopment Authority where he led the Department of Neighborhood Housing and Development, one of the Authority’s four primary divisions. Mr. Williams is a director and member of the Audit Committee and the Nominating and Corporate Governance Committee of Meruelo Maddox Properties, Inc. Mr. Williams is also a member of the Board of Trustees of the Calvert Sage Fund and of each fund comprising the Calvert Multiple Funds.
