Name Description

Thomas Tashjian

Mr. Thomas H. Tashjian has been re-designated as Independent Chairman of the Board of the Company., effective 15 April 2016. Mr. Tashjian is a private investor. Mr. Tashjian has served as a managing director and consumer group leader at Banc of America Montgomery Securities in San Francisco. Prior to that, Mr. Tashjian held similar positions at First Manhattan Company, Seidler Companies, and Prudential Securities. Mr. Tashjian’s earlier retail operating experience was in discount retailing at the Ayr-way Stores, which were acquired by Target, and in the restaurant business at Noble Roman’s. He is a graduate of the Director’s Consortium of the Stanford Graduate School of Business and is a member of the Society of Corporate Secretaries and Governance Professionals.

Michael Bloom

Mr. Michael K. Bloom serves as President, Chief Executive Officer, Director of the Company. He was Chief Operating Officer of the Company. Mike Bloom, who was appointed CEO of Fred's Pharmacy on August 29, 2016, brings to the Board more than 30 years of experience in small-box retail pharmacy, general merchandising, marketing, supply chain and store operations. Prior to joining Fred's, Bloom served as the President and Chief Operating Officer of Family Dollar Stores, Inc. and spent more than 20 years with CVS Caremark Corporation, holding a variety of positions with increasing responsibilities in merchandising, marketing, supply chain and store operations, and rising finally to Executive Vice President of Merchandising, Visual Merchandising, Marketing, Store Brand, Advertising and Supply Chain. Bloom has substantial acquisition and integration experience from his time at CVS Pharmacy, where he was involved in the acquisitions of Peoples Drug Stores, Revco, Eckerd Corp., Arbor Drugs and Longs. As CEO of Fred's, Bloom assembled a strong new leadership team that has led the development of the growth plan referred to as Optimize, Focus and Growth with Discipline. The key components include optimizing Fred's portfolio of stores, growing retail pharmacy scripts, expanding into healthcare services, expanding the specialty pharmacy portfolio of drugs and delivering leaner and more cost effective results in both pharmacy and front of store. Since Bloom became CEO, Fred's Pharmacy's has generated a 29% Shareholder Return. 2 Bloom played a vital role in Fred's being selected by Walgreen's Boots Alliance, Inc. as the acquirer of the previously announced transaction under which Fred's will acquire 865 divested stores, pending FTC approval. Since becoming CEO, Bloom has increased emphasis on both retail and specialty pharmacy growth as a priority, which have been catalysts for growth at Fred's.

Rick Hans

Mr. Rick J. Hans is Chief Financial Officer, Executive Vice President of the Company. Prior to joining Fred's, Hans enjoyed a 27-year career with Walgreen Co. in Deerfield, Illinois. Most recently, he served as Vice President of Investor Relations and Finance. Hans previously held the position of Director of Finance and Assistant Treasurer, where he promoted a sound capital structure that subsequently provided the basis for major strategic acquisitions. Hans also held roles as Real Estate Manager and Senior Real Estate Manager, where he was responsible for the development of more than 250 Walgreen drugstores. He joined Walgreens in 1987 as a financial analyst.

Mary Lou Gardner

Ms. Mary Lou Gardner serves as Executive Vice President, Chief Merchandising and Marketing Officer of the Company. Mary Lou brings a wealth of leadership experience to the Merchandising, Marketing, Pricing and Planning area. She joined Fred's at the beginning of 2016 as Senior Vice President/Strategy/Project Management. In this short time span, she has become an instrumental part of the Fred's team." Mary Lou was most recently an executive with CVS Health Corporation, serving in many capacities during her tenure, including Divisional Merchandising Manager for Beauty/Personal Care, Senior Director of Inventory Management, Senior Director of Merchandising General Merchandise/Consumables, Senior Director for Promotional Optimization, and Senior Director for Store Brand Innovation. She excels in the ability to lead and rally a team around a common purpose, which explains her many diverse roles at CVS, where she was called on several times to lead key strategic initiatives. Prior to her time at CVS, Gardner's unique experience spanned international business, from sourcing to strategy and organizational development across several industries including healthcare, banking and higher education.

Craig Barnes

Mr. Craig L. Barnes is the Executive Vice President - Supply Chain and Global and Domestic Logistics of the Company., since March 2015. He joined the Company in August 2014 as the Senior Vice President, Global Sourcing and Hardlines and was promoted to Executive Vice President - General Merchandise Manager in November 2014 and Executive Vice President - Supply Chain and Global and Domestic Logistics in March 2015. Mr. Barnes has more than 30 years of progressive retail merchandising/sourcing experience. Prior to joining Fred's, Barnes was Vice President for the Global Independent Aftermarket and OE Service for Delphi Products & Service Solution. Previously, he was the Senior Vice President, Merchandising, Pricing, Global Sourcing, Marketing, and Inventory Demand Planning for General Parts/CARQUEST. Barnes began his retail career at AutoZone with experience in merchandising and store operations.

Rick Chambers

Mr. Rick A. Chambers is Executive Vice President - Pharmacy Operations of Fred's Inc. Prior to this he held the position of Senior Vice President – Pharmacy operations from June 2004 to August 2006. Mr. Chambers joined the Company in July of 1992 and has served in various positions in Pharmacy Operations. Mr. Chambers earned a Doctor of Pharmacy Degree in 1992.

John Foley

Mr. John Foley is Executive Vice President - Store Operations of the Company., effective October 7, 2015. Foley brings to Fred's more than 30 years of experience in retail pharmacy chain experience. For the past nine years, he was Corporate Operations Vice President at Walgreen's, responsible for the Eastern Division, which in 2014 accounted for approximately $20 billion in revenue from more than 2,500 retail pharmacies, health care clinics, and specialty pharmacy units. Prior to this role with Walgreen's, Foley served as a District Manager for six years and was a Store Manager for 11 years.

Mark Dely

Mr. Mark C. Dely is Chief Legal Officer, Senior Vice President, General Counsel, Assistant Secretary of Fred's Inc. Prior to joining the Company, Mr. Dely was employed by the ServiceMaster Company as Divisional General Counsel of the Franchise Services Group where he had responsibility for all of the domestic and international legal operations for the group. From 2004 until 2007 Mr. Dely was employed as the first in-house counsel to Delta and Pine Land Company, a seed and agricultural biotechnology company traded on the New York Stock Exchange. From 1999 until 2004 Mr. Dely was an attorney with Fried Frank, LLP.

Kimberley Felice-Dooley

Ms. Kimberley Felice-Dooley is Senior Vice President - Merchandising - Consumables of the Company. Ms. Felice-Dooley has held various leadership positions with CVS from 2006 until 2016, including Director of Category Management Skincare & Fragrance and Director of Category Management Candy. Prior to joining CVS in 2006, Ms. Felice-Dooley served in varying capacities at Federated Department Stores, beginning in 1997. Ms. Felice-Dooley studied Textiles, Merchandising and Design at the University of Rhode Island and Interior Design at Mount Ida College.

Gregory Froton

Mr. Gregory Froton is Senior Vice President - Merchandising, General Merchandise of the Company. Mr. Froton brings over 30 years retail experience to Fred's Pharmacy. His merchandising expertise and knowledge spans over multiple retail channels including drug, mass, department and specialty formats. Mr. Froton worked for CVS Health for over 17 years holding the positions of Category Manager, Divisional Merchandising Manager, and most recently was Vice President General Merchandise and International Sourcing. Mr. Froton holds a Bachelor of Arts degree from Boston College.

Steve Wuebker

Mr. Steve Wuebker is Senior Vice President - Supply Chain of the Company. Mr. Wuebker most recently served as President and CEO of Prospect Brands. Prior, Mr. Wuebker held positions with Ralph Lauren Corporation from 2006 to 2015, including Senior Vice President, Global Supply Chain. Mr. Wuebker also has experience with Gap, Inc., Toys 'R Us, and PepsiCo. Mr. Wuebker holds a Bachelors of Arts degree from the University of Cincinnati and Masters degrees from George Washington University and Cranfield University.

Michael Holligan

Mr. Michael G. Holligan is Regional Vice President - Store Operations of the Company. He was Executive Vice President - Store Operations of the company., in March 2015. He was serving as Interim Executive Vice President - Store Operations beginning in September 2014. Mr. Holligan joined the Company in June of 2002 as a district manager and was promoted to Regional Vice President of Store Operations in September of 2004. Prior to joining Fred's, Mr. Holligan spent 18 years at Wal-Mart in various store operations leadership roles.

Peter Bocian

Mr. Peter J. Bocian serves as Director of the Company. Pete Bocian brings to the Board extensive executive expertise in the retail and technology sectors, with a track record of creating substantial value at a number of highly recognized global companies. He has significant financial, accounting and technology expertise. Bocian has served in C-suite or executive level finance and administrative roles at NCR, Starbucks, Hewlett-Packard, JPMorgan Chase and Safeway, where he most recently served as Executive Vice President and CFO until 2015. Bocian has extensive experience with leading retail companies, including CFO positions at Safeway and Starbucks, and a 24-year career at NCR, a company with significant focus on technology and POS systems for the retail, banking, airline and hospitality industries. Bocian helped deliver significant increases to shareholder value during his CFO tenure at NCR. Most recently, Bocian was the Chief Financial Officer of Safeway, where the company delivered strong returns during his approximately two year tenure. Bocian played a leadership role in rationalizing the portfolio to create more value and in the eventual sale and merger with Albertsons.

Christopher Bodine

Mr. Christopher W. Bodine serves as Director of the Company. He brings to the Board his experience and expertise of successful leadership at CVS Caremark Corporation and in other industries. During his 24-year tenure at CVS Caremark he helped build the company with its rapid and successful global growth, including leadership positions such as Executive Vice President and President, Health Care Services, where he was responsible for strategy, business development, trade relations, sales and account management, pharmacy merchandising, marketing, information technology and the MinuteClinic. Bodine drove the integration and growth efforts at CVS, including the merger of CVS and Caremark, and was tasked with leveraging the strengths of the combined company to accelerate the profitable growth of the retail and PBM businesses. Bodine is credited with incorporating elements of Caremark's healthcare services division and establishing CVS' culture company-wide. During his tenure at CVS, Bodine helped manage several of the Company's largest acquisitions and was known for giving personal attention to the integration of chains acquired by the company, including moving to Florida for six months following the purchase of approximately 1,260 Eckerd Corp. Bodine spearheaded CVS' purchase of MinuteClinic, pioneering the concept of immediate-care facilities within CVS stores, and was responsible for its integration into CVS. Bodine is active in the pharmaceutical industry, having served on numerous boards and committees, including the Healthcare Leadership Council, RI Quality Institute, National Retail Federation, National Association of Chain Drug Stores (NACDS), and the NACDS Pharmacy Affairs and Leadership Committees. Bodine has been recognized by numerous publications for his accomplishments.

Linda Longo-Kazanova

Ms. Linda Longo-Kazanova serves as Director of the Company. Ms. Longo-Kazanova brings to the Board her 16 years of experience as Chief Human Resources Officer with growing companies and businesses-in-transition, as well as significant expertise working with public company boards of directors on a variety of matters, including significant M&A and divestiture transactions. Most recently, Ms. Longo-Kazanova was Chief Human Resources Officer at Keurig Green Mountain, Inc., where she was responsible for all aspects of global human resources. While at Keurig, she contributed to the company's growth from $1.3 billion to $4.5 billion in revenue, supporting transformation in the board, management team and culture as the business expanded. Prior to working at Keurig, Ms. Longo-Kazanova served as Vice President, Human Resources and Medical at Burlington Northern Santa Fe Corporation (BNSF), and in a number of positions at Kraft Foods, Inc., including global Director, Management and Organization Development.

Timothy Barton

Mr. Timothy A. Barton is Independent Director of the Company. Mr. Barton founded Freightquote in 1998, and served as Chairman and CEO until the company’s sale to C.H. Robinson Worldwide in 2015. Prior to founding Freightquote, Mr. Barton was the Co-Founder and President of UWI Association Programs, which grew into Network Long Distance before being acquired by IXC Communications/Broadwing in 1998. Mr. Barton earned his B.A. in Business from the University of Kanas and an M.A. in Finance from Louisiana State University.

John Eisenman

Mr. John R. Eisenman is no longer Independent Director of Fred's, Inc., with effect from June 2017 (AGM). Mr. Tashjian is involved in real estate investment and development with REMAX Island Realty, Inc., located in Hilton Head Island, South Carolina. Mr. Eisenman has been engaged in commercial and industrial real estate brokerage and development since 1983. Previously, he founded and served as President of Sally’s, a chain of fast food restaurants from 1976 to 1983, and prior thereto held various management positions in manufacturing and in securities brokerage.

Steven Fitzpatrick

Mr. Steven R. Fitzpatrick is no longer Independent Director of Fred's, Inc., with effect from June 2017 (AGM). Mr. Fitzpatrick was the President of Accredo Health Group, Inc., Medco’s fast-growing specialty pharmacy organization, a position he held until he retired in June 2011. Mr. Fitzpatrick joined Accredo in 2001 as President of its subsidiary, Sunrise Health Management, Inc., and was named President of Accredo Therapeutics, Inc., in February 2002. With the acquisition of Accredo by Medco Health Solutions, Inc., in August 2005, Mr. Fitzpatrick assumed responsibility for both Accredo Therapeutics and Accredo Specialty Care Services (formerly Medco Specialty Solutions). In March 2006, he became Chief Operating Officer of Accredo Health Group and was named President in June 2008. Prior to joining Accredo, Mr. Fitzpatrick held senior management positions with Abbott Laboratories, Block Medical, PharmaThera and Nations Healthcare. Mr. Fitzpatrick has an MBA from Northwestern University and successfully passed the CMA and CPA accounting exams. Mr. Fitzpatrick’s brings extensive experience in the pharmaceutical industry, including specialty pharmacy services, as well as financial and management experience to the Board.

Michael McMillan

Mr. Michael T. McMillan is an Independent Director of Fred's Inc. He currently serves as Vice President Franchise Development for Pepsi-Cola North America, a Division of PepsiCo, where he has spent the last 28 years in various roles including marketing, sales, franchise development, and general management of its bottling operations.

B. Mary McNabb

Ms. B. Mary McNabb is an Independent Director of Fred's Inc. Ms. McNabb is currently the owner and operator of Tai Shan Farms, Inc. Previously, she served as Chief Executive Officer for Kid’s Outlet, California. Kid’s Outlet, California filed for bankruptcy on May 14, 2009. Prior to that, she served as Executive Vice President and a Director of The Mowbray Group from 2004-2005, a California-based retail consulting firm that specializes in problem-solving, cost reductions, importing, and retail management. She has served as a member of the Board of Directors of C-ME (Cyber Merchants Exchange). Ms. McNabb was formerly Executive Vice President of Merchandising and Marketing for Factory 2-U, Vice President of sourcing for S-Q of California, and West Coast Manager/Buyer for One Price Clothing, Inc.

Steven Rossi

Mr. Steven B. Rossi is Independent Director of the Company. Mr. Rossi is the Chief Executive Officer of Digital First Media. He previously served as Digital First Media’s Chief Operating Officer. Prior to joining Digital First Media, Mr. Rossi held several successive management positions over 19 years with Knight Ridder Inc., including Chief Financial Officer, Senior Vice President of Operations and President of the Newspaper Division. Mr. Rossi holds an MBA degree from The Wharton School of the University of Pennsylvania and a B.A. in Economics from Ursinus College.
