Name Description

D. Nolan Blades

Mr. D. Nolan Blades is an Independent Chairman of the Board of Freehold Royalties Ltd. Mr. Blades is President of Sunny Gables Holdings Ltd. (Calgary), a private investment company. He was President and Chief Executive Officer of Pursuit Resources Corp. from 1993 to 2000, prior to which he held senior executive positions with Chauvco Resources Ltd. and Oakwood Petroleums Limited. Mr. Blades has a Bachelor of Science degree in Mechanical Engineering and is a member of the Association of Professional Engineers and Geoscientists of Alberta (APEGA). Mr. Blades runs a private investing company. He has significant financial expertise and has directed numerous equity issues through the capital markets. He has spent 26 years as a senior executive in oil and gas companies and nine years as the Chief Executive Officer and major shareholder of a company he founded. He has dealt with compensation issues as an executive and distressed situations as a director, and has served as the chair of two boards.

Thomas Mullane

Mr. Thomas J. Mullane is the President, Chief Executive Officer and Director of Freehold Royalties Ltd. Mr. Mullane joined Rife and Freehold as Executive Vice-President and Chief Operating Officer on July 18, 2012 and was appointed President and Chief Executive Officer on May 17, 2013. Prior to that, he spent 12 years with Bonavista Energy Corporation in various roles including Senior Vice President from 2011 to 2012, Senior Vice President Engineering from 2009 to 2011, and Vice President, Engineering from 2003 to 2009. Mr. Mullane graduated from the University of Alberta in 1983 with a Bachelor of Science degree in Chemical Engineering and is a member of the Association of Professional Engineers and Geoscientists of Alberta (APEGA). Mr. Mullane has over 25 years of experience in the oil and gas industry with a broad background in exploitation and production engineering. He has both domestic and international experience. His roles have included responsibility and oversight of acquisitions, divestitures, exploitation and reservoir engineering management, with significant experience in horizontal drilling. As a member of the management committee at Bonavista Energy Corporation and the executive team at Freehold, he has been a key driver in planning and executing value creation opportunities.

Darren Gunderson

Mr. Darren G. Gunderson is Chief Financial Officer, Vice President - Finance of Freehold Royalties Ltd. Mr. Gunderson was appointed Vice-President, Finance and Chief Financial Officer of Freehold Resources Ltd. and Rife on August 13, 2008. He joined Rife in 1991 in the accounting department and became Controller in 1999. Mr. Gunderson has a Bachelor of Commerce degree from the University of Saskatchewan and is a Certified General Accountant.

Scott Hadley

Mr. Scott W. Hadley is Vice President - Exploration of Freehold Royalties Ltd. Mr. Hadley is also the Vice President - Exploration of Rife and has held such position since joining Rife on June 3, 2013. Mr. Hadley is a Professional Geologist with 25 years of experience working primarily in the Western Canada and Michigan Basins. Prior to joining Rife, Mr. Hadley was Vice-President, Exploration of Santonia Energy Inc. (previously Fairborne Energy Ltd.), where he has held positions of increasing responsibility since 2002. He is a member of the Association of Professional Engineers and Geoscientists of Alberta (APEGA), as well as a member of the Canadian Society of Petroleum Geologists (CSPG), the American Association of Petroleum Geologists (AAPG), and the Canadian Well Logging Society (CWLS). He has a Bachelor of Science (Honors) degree in Geology from the University of Western Ontario and a Master of Science degree in Geology from McMaster University.

Daniel Moore

Mr. Daniel R. Moore is Vice-President - Production of Freehold Royalties Ltd. and Rife since January 1, 2014. Mr. Moore is the Vice President - Production of Rife and has held such position since January 1, 2014. Mr. Moore joined Rife in 2011 as Manager, Engineering and was promoted to Chief Engineer in 2012. Prior to joining Rife he was Vice-President, Engineering of Stetson Oil and Gas Ltd. He has a Bachelor of Science degree in Mechanical Engineering from the University of Alberta and is a member of the Association of Professional Engineers and Geoscientists of Alberta (APEGA).

Michael Stone

Mr. Michael J. Stone is Vice President - Land of Freehold Royalties Ltd. Mr. Stone is Vice President - Land of Rife and has held such position since March 1, 2010. Mr. Stone joined Rife in January 2009 as Manager, Land Negotiations and Business Development. Prior to joining Rife, Mr. Stone was Vice-President, Land with Real Resources Ltd. Mr. Stone has a Bachelor of Commerce degree from the University of Calgary and is a member of the Canadian Association of Petroleum Landmen (CAPL).

Karen Taylor

Ms. Karen C. Taylor was Corporate Secretary of Freehold Royalties Ltd. Ms. Taylor was the Corporate Secretary, Manager - Investor Relations of Freehold Royalties Ltd. She joined Rife in February 1997 as Manager, Corporate Communications and held the position of Manager, Investor Relations from January 1999 to August 2013. Her appointment as Corporate Secretary of Freehold Resources Ltd. and Rife was effective February 27, 2008. Ms. Taylor is a member of the Canadian Society of Corporate Secretaries (CSCS).

Peter Harrison

Mr. Peter T. Harrison is Director of Freehold Royalties Ltd. Mr. Harrison is Manager, Oil and Gas Investments, of the CN Investment Division, which manages one of the largest corporate pension funds in Canada. Prior to joining the CN Investment Division in August 2009, he was Senior Vice-President of Montrusco Bolton Investments Inc. (Montreal). He is currently a director of Spyglass Resources Corp. Mr. Harrison has a Bachelor of Commerce degree from McGill University, an MBA from the University of Western Ontario, and is a Chartered Financial Analyst. Mr. Harrison has spent over 30 years analyzing business models and investing in public companies. Having managed multi-billion dollar equity portfolios and voted proxies for many years, he brings a deep understanding of investor concerns to the Board. He has been a director of several public and private companies and the chair of three audit committees.

Gary Bugeaud

Mr. Gary Bugeaud is an Independent Director of Freehold Royalties Ltd. Mr. Bugeaud is a Corporate Director. He recently retired (December 31, 2013) as Managing Partner of Burnet, Duckworth & Palmer LLP. He is a director of Raging River Exploration Inc., Trustee of Alberta Cancer Foundation and Member of the Dean's Advisory Committee of the College of Law of the University of Saskatchewan. Mr. Bugeaud has a Bachelor of Commerce (Finance) degree and a Bachelor of Laws degree from the University of Saskatchewan. Mr. Bugeaud holds the ICD.D designation from the Institute of Corporate Directors. Mr. Bugeaud is a Corporate Director and former corporate lawyer with over 23 years of legal experience focused on securities, corporate finance, mergers and acquisitions, and corporate governance matters. He has been a director or corporate secretary of approximately 20 publicly traded entities.

Harry Campbell

Mr. Harry S. Campbell, QC, has resigned as Independent Director of Freehold Royalties Ltd., effective 14 May 2015. Mr. Campbell is Chairman and past Managing Partner of the law firm Burnet, Duckworth & Palmer LLP (Calgary). He was admitted to the Alberta Bar in 1974 and has extensive experience with Canadian oil and gas transactions and international petroleum and natural gas matters. Mr. Campbell is a director of Delphi Energy Corp.

Arthur Korpach

Mr. Arthur N. Korpach is an Independent Director of Freehold Royalties Ltd. Mr. Korpach is a Corporate Director and prior to May 31, 2012, he was Vice-Chairman, Investment Banking at CIBC World Markets Inc. (Calgary). Mr. Korpach is a director of Canadian Oil Sands Limited and Canexus Corporation. He is Chair of the Board of the Heart and Stroke Foundation Alberta, past Chair of the United Way of Calgary and Area, past Chair of the Accounting Standards Board of the Canadian Institute of Chartered Accountants, and a past director of Mount Royal University and its Foundation. Mr. Korpach is a Fellow Chartered Accountant and a Chartered Business Valuator. He has a Bachelor of Commerce degree from the University of Saskatchewan and an MBA from Harvard Business School. In 2012, Mr. Korpach received the designation of ICD.D from the Institute of Corporate Directors. Mr. Korpach has four years of public company audit and 27 years of investment banking experience, with a focus on the energy sector. His experience includes providing advice on strategy, business plans, capital structure, credit strategy, financing, and mergers and acquisitions. He has advised clients on over 300 transactions. The skills and experience acquired by Mr. Korpach throughout his business career enable him to make decisions on the suitability of the Corporation's compensation policies and practices as a member of the Compensation Committee.

Susan MacKenzie

Ms. Susan M. MacKenzie is an Independent Director of Freehold Royalties Ltd. Ms. MacKenzie has been an independent consultant since September 2010. Prior thereto, Ms. MacKenzie served as Chief Operating Officer with Oilsands Quest Inc., from April 2010 to September 2010. Prior to that, Ms. MacKenzie was employed for 12 years at Petro-Canada, an integrated oil and gas company prior to its merger with Suncor Energy Inc. in 2009, where she held senior roles including Vice-President of Human Resources and Vice-President of In Situ Development & Operations. Ms. MacKenzie was also with Amoco Canada for 14 years in a variety of engineering and leadership roles in natural gas, conventional oil and heavy oil exploitation. Ms. MacKenzie holds a Bachelor of Engineering (Mechanical) degree from McGill University, an MBA from the University of Calgary and is a member of the Association of Professional Engineers and Geoscientists of Alberta (APEGA). Ms. MacKenzie also holds the ICD.D designation from the Institute of Corporate Directors. Ms. MacKenzie is a Corporate Director, independent consultant and former oil and gas industry executive with over 25 years of energy sector experience in operations and service support areas. She has a proven track record in the areas of governance, strategy development, organizational alignment, operational execution and project management, and she has demonstrated success in corporation-wide policy development and implementation.

Marvin Romanow

Mr. Marvin F. Romanow is an Independent Director of Freehold Royalties Ltd. Mr. Romanow is a Corporate Director, and since 2012, Executive in Residence at the University of Saskatchewan. Prior thereto he was the President and Chief Executive Officer of Nexen Inc. Mr. Romanow has over 30 years of experience in the oil and gas industry, and has held senior positions in engineering, operations, finance and planning with Wascana Energy Inc., Amoco Canada Petroleum Company Ltd., and Dome Petroleum Ltd. Mr. Romanow is a graduate of Harvard's Program for Management Development and in October 2007 he completed INSEAD's Advance Management Programme. In April of 2007 he was awarded Canada's "CFO of the Year" award and in September of the same year he received the Petroleum Economist award for "Energy Executive of the Year 2008". He is currently a director of the Bank of Tokyo Mitsubishi Canada, a director of Emergex Capital Partners, Commissioner with the Alberta Petroleum Marketing Commission, and serves on the Board of Trustees of the Southern Alberta Cancer Research Institute. Mr. Romanow has a Masters of Business Administration and a Bachelor of Engineering, with Great Distinction, from the University of Saskatchewan. Mr. Romanow holds the ICD.D designation from the Institute of Corporate Directors. Mr. Romanow is a Corporate Director, Executive in Residence at the University of Saskatchewan, and former oil and gas industry executive with over 30 years of energy sector experience. He has a proven track record in the areas of operating, financial and strategic leadership. His executive roles provided direct engagement with shareholders and directors at two major public corporations over the past 20 years.

David. Sandmeyer

Mr. David. J. Sandmeyer is an Independent Director of Freehold Royalties Ltd. Mr. Sandmeyer is an engineer with a career in oil and gas spanning over 45 years. He is the former President and Chief Executive Officer of Freehold and Rife, and brings strategic insight as well as significant financial and human capital management experience to the Board. The skills and experience acquired by Mr. Sandmeyer throughout his business career enable him to make decisions on the suitability of the Corporation's compensation policies and practices. In particular, the Board believes that Mr. Sandmeyer's long involvement with Rife, Canpar and Freehold give him unique insights into the human resource needs of such entities that enable him to make compensation decisions that serve Freehold's short and long-term best interests.

Rodger Tourigny

Mr. Rodger A. Tourigny has resigned as Independent Director of Freehold Royalties Ltd., effective 14 May 2015. Mr. Tourigny is President of Tourigny Management Ltd. (Calgary), a private consulting company providing services to the oil and gas, financial services and real estate sectors since 1979. He has extensive financial experience in the oil and gas industry. He has a Bachelor of Commerce degree from the University of Saskatchewan and is a Chartered Accountant. Mr. Tourigny is a director of Bonterra Energy Corp. and LED Medical Diagnostics Inc. Mr. Tourigny has a Bachelor of Commerce degree from the University of Saskatchewan and is a Chartered Accountant.

Aidan Walsh

Mr. Aidan M. Walsh is an Independent Director of Freehold Royalties Ltd. Mr. Walsh is President and Chief Executive Officer of Baccalieu Energy Inc. (Calgary), a private junior oil and gas company that he co-founded in 2008. He was President and Chief Executive Officer of Burmis Energy Inc. from 2003 to 2008, and President and Chief Executive Officer of Elk Point Resources Inc. from 1993 to 2003. He is currently a director of Baccalieu Energy Inc., Legacy Oil + Gas Inc., and a director and former Chair of the Explorers and Producers Association of Canada (EPAC). Mr. Walsh has a Bachelor of Engineering degree in Mechanical Engineering from Memorial University of Newfoundland and an MBA from the University of Calgary. He is a member of the Association of Professional Engineers and Geoscientists of Alberta (APEGA). Mr. Walsh also holds the ICD.D designation from the Institute of Corporate Directors. Mr. Walsh is an executive with 38 years of oil and gas experience in production, marketing, transportation, acquisitions, finance, facility engineering, and construction. He is a proven negotiator and a strategic thinker with strong leadership and analytical skills. He provided leadership and direction to Elk Point Resources and Burmis Energy maximizing shareholder value after overseeing the growth of both companies from start-up to successful sale. He has experience interacting with industry partners as well as regulators and federal and provincial government representatives on issues affecting the Canadian oil and gas industry.
