Name Description

Stephane Richard

Mr. Stephane Richard has been Chairman of the Board, Chief Executive Officer and Member of Executive Committee at France Telecom SA since March 1, 2011. He is Member of the Company's Executive Committee as of April 6, 2010 and a Director as of June 9, 2010. He is also the Chairman of the Company's Strategic Committee. Previously, he was Deputy Chief Executive Officer-Operations France between October 5, 2009 and January 1, 2010, when he was appointed CEO Delegate. He was also Member of the Board of Directors of the Company from February 25, 2003 till May 23, 2007. Mr. Richard graduated from Hautes Etudes Commerciales and from Ecole Nationale d'Administration (ENA). When he left the ENA, he was assigned to the French Inspectorate of Public Finances, where he spent four years from 1987 to 1991. In 1991, he was appointed as technical advisor for the electronics and IT industries in the cabinet of Mr. Dominique Strauss-Kahn, the Minister for Industry and Foreign Trade. In 1992, he joined Compagnie Generale des Eaux, first as deputy to the group’s Chief Financial Officer, before being appointed Chief Executive Officer of Compagnie Immobiliere Phenix in 1994. In 1997, he became Chairman of Compagnie Generale d’Immobilier et de Services (CGIS), now Nexity, which groups together all of Vivendi’s predominantly real estate subsidiaries. In January 2003, Mr. Richard was appointed as Executive Vice President of Veolia Environnement and Chief Executive Officer of Veolia Transport. From May 2007 to June 2009, he was Chief of Staff for the French Minister for the Economy, Industry and Employment. Mr. Richard has been awarded the Legion of Honour and the National Order of Merit. He is also a Member of the Board of Directors of L'Opera National de Paris and Manager of SCI Carre Gabriel, among other positions.

Ramon Fernandez

Mr. Ramon Fernandez has been appointed Member of the Executive Committee, Deputy Chief Executive Officer, Chief Financial Officer at Orange SA effective September 1, 2014. He is a high-ranking civil servant currently serving as Director General of the French Treasury. He worked as Senior Economic Adviser to the French Presidency between June 2007 and April 2008, before taking on a role as Chief of Staff for Xavier Bertrand, French Minister for Labor, Labor Relations, the Family and Solidarity from April 2008 to January 2009. Ramon Fernandez has also worked in various capacities at the IMF (International Monetary Fund), and from May 2002 to October 2003 he was Technical Staff Adviser to the French Minister for the Economy, Finance and Industry under Francis Mer. He had also previously held a number of positions within the French Treasury office. Laurent Paillassot

Mr. Laurent Paillassot has been appointed Deputy Chief Executive Officer, Senior Executive Vice-President of Customer Experience and Mobile Banking, Member of Executive Committee at Orange SA effective September 1, 2014. He has acted as CEO Delegate of LCL since May 2011 after serving as Deputy CEO from 2007 to 2011. He began his career in 1989 at Compagnie Bancaire (Paribas Group) before moving to the Mitchell Madison Group, an American consulting firm specializing in financial strategy, in 1997. In 2000, he took a position with the Caisse d'Epargne Group as Director of Distribution and then served as Managing Director of Caisse d'Epargne Financement. From 2005 to 2007, he was also Chairman of GE Money Bank in France, a subsidiary of General Electric Consumer Finance. Laurent Paillassot holds an engineering degree from Ponts et Chaussées (1989) and an MBA from INSEAD (1996).

Bruno Mettling

Mr. Bruno Mettling is Deputy Chief Executive Officer for Group Human Resources and Internal Communication andMember of the Executive Committee at France Telecom SA as of May 1, 2013. He served as Executive Vice President and Member of the Executive Committee of France Telecom SA from April 2010 and was on assignment to the Chief Executive Officer, in charge of medium-term job and skills outlook and a preliminary mission related to the "Orange Campus" initiative. In October 2010, he was appointed as Executive Vice President and Group Human Resources Director of the Company. He was previously a Deputy Chief Executive Officer in charge of Human Resources and of Commercial Development of Banque Populaire from July 1, 2006 till 2009. He graduated from the Law Faculty of Aix en Provence and from Institut d'Etudes Politiques de Paris. He is a Chevalier de la Legion d’Honneur and Chevalier de l’Ordre National du Merite.

Vivek Badrinath

Mr. Vivek Badrinath is Deputy Chief Executive Officer for Innovation, Technology and Client Experience as well as Member of the Executive Committee of France Telecom SA as of May 1, 2013. He is a graduate of the Ecole Polytechnique and the Ecole Nationale Superieure des Telecommunications (ENST). He has 20 years' experience in Information and Communication Technologies (ICT) and launched his career at the Ministry of Industry. He joined the Group in 1996, taking up a technical position in the Long-Distance Networks Division before moving to Thomson India in 2000 as Chief Executive Officer. He returned to the Group in 2004 as Technical Director of mobile businesses and was made Director of the Networks and Carriers Division on 2009.

Delphine Ernotte Cunci

Ms. Delphine Ernotte Cunci serves as Deputy Chief Executive Officer in charge of Orange France and Member of the Executive Committee of France Telecom SA as of November 1, 2011. She previously served as Executive Vice President of Orange France and Member of the Executive Committee of the Company from April 6, 2010. Prior to that, she was the Sales Director France from May 2008 and from July 2009, became the Director of France Consumers. Ms. Ernotte joined the Company as a Financial Analyst and then worked as an Economic Engineer in the research and development division. She then occupied several positions in Commercial Management, Director of Agency Distribution, Regional Director of Center Val de Loire and Director of Communication and of Sponsoring France. Pierre Louette

Mr. Pierre Louette has been Deputy Chief Executive Officer in charge of France Carriers Division, Group Sourcing, Supply Chain and the Chrysalid Program; Group General Secretary, and Member of the Executive Committee at France Telecom SA since Novemebr 1, 2011. In October 2011, he was appointed Chairman of Buyin, the procurement joint venture created by France Telecom – Orange and Deutsche Telekom. He joined France Telecom in April 2010 as Senior Executive Vice President, Group General Secretary in charge of the France Carriers Division and a Member of the Executive Committee. In July 2011, his responsibilities were extended to Group Sourcing and Supply Chain. In April 2011, he became a member of the French National Digital Council. Luc Bretones

Mr. Luc Bretones has been appointed Director of Technocentre at Orange SA on July 11, 2013. He joined the group in January 1997 as Accounts Commercial Engineer and has held the following positions: Strategic Consultant in the enterprises branch, Head of Canal Client Web Accounts. He specializes in IT and online communication. Moreover, he has knowledge in the area of new technologies. He graduated from Ecole Centrale Marseille and l'ESSEC Business School.

Christine Albanel

Ms. Christine Albanel is Senior Executive Vice President - Events, Cultural and Institutional Partnerships, Philanthropy and Social Responsibility and Member of the Executive Committee as of May 1, 2013. Ms. Albanel has a degree in modern literature. Speechwriter for Mr. Jacques Chirac for many years, including authoring the famous Vel d’Hiv speech, she was Advisor to the French President on Education and Culture before joining the French State Council. Appointed Chairperson of the Etablissement Public de Versailles in July 2003, she was Minister of Culture and Communications from May 2007 to June 2009. Once this portfolio was handed to Mr. Frederic Mitterrand, she turned down a government appointment at the Villa Medici, preferring the France Telecom-Orange Group. She joined the Group in 2010. She is an Officier de la Legion d’Honneur.

Thierry Bonhomme

Mr. Thierry Bonhomme serves as Senior Executive Vice President for Orange Business Services and Member of the Executive Committee at France Telecom SA as of May 1, 2013. He was in charge of the Research and Development department from 2006 after which he took over the responsibility of Director of technical operations in North Paris, Regional Director at Grenoble and then at Marseille. Elie Girard

Mr. Elie Girard has served as Executive Vice President in charge of Group Strategy & Development and Member of the Executive Committee of France Telecom SA since September 1, 2010. Mr. Girard joined the France Telecom-Orange Group in 2007 and was appointed Chief of Staff for the Chairman and Chief Executive Officer, Didier Lombard. Beatrice Mandine

Ms. Beatrice Mandine is Executive Vice President in charge of Communication and the Brand as well as Member of the Executive Committee of France Telecom SA as of May 1, 2013. She joined the Company in May 2007 and has held a number of roles related to extenal communication. She started her career in 1988 as a journalist at Le Figaro, Marie-Claire and on the French Channel 5. At the end of 1990 she joined Alcatel, and in 1992 she became press attache for Alcatel Radio Space & Defense. In 1998 she became Media Director in Alcatel's Consumer Division, and in 2000 she was appointed Directoe of Press and Public Relations for Alcatel's mobile phone division. In 2004 she joined Faurecia. She is a graduate of l’Ecole superieure de journalisme (ESJ) et de l’Institut des hautes etudes internationales (IHEI).

Gervais Pellissier

Mr. Gervais Pellissier has been appointed Executive Vice President - Operations in Europe (excluding France), Member of the Executive Committee effective September 1, 2014. Until that time, he would be Chief Executive Officer Delegate for Finance, Information Systems, the United Kingdom JV (Everything Everywhere) as well as Member of the Executive Committee, the positions he was appointed to on November 1, 2011. Until April 6, 2010, he was Member of the Management Committee of the Company. He was Deputy CEO - Finance and Group Informations Systems from March 2, 2009 until April 6, 2010. He previously served as Senior Executive Vice President of Finance and Spain for France Telecom SA from January 30, 2006 until March 2, 2009. He joined the Company in October 2005 to supervise the integration of France Telecom's businesses in Spain and advise on geographic integration within the Group. Mr. Pellissier was previously Managing Director and Deputy CEO of Groupe Bull, where he held different positions between 1983 and 2005, including Chief Financial Officer from 1998 to 2000, Deputy CEO from April 2004 until February 2005, and then Vice Chairman of the Board until mid-2008. Mr. Pellissier is a graduate of Hautes Etudes Commerciales, the University of Berkeley and the University of Cologne. He currently holds various mandates, including Director of Everything Everywhere Ltd, FT Espana SA, Medi Telecom SA and Sonaecom SGPS.

Marc Rennard

Mr. Marc Rennard has been the Executive Vice President in charge of Operations in Africa, Middle East and in Asia as well as Member of the Executive Committee of France Telecom SA since June 2010. He is Chairman and/or member of the Board of several international fixed-line, mobile and internet subsidiaries, including Mobinil, Sonatel, Jordan Telecom, Cote d’Ivoire Telecom and Orange Cote d’Ivoire. He was previously Vice President of International Operations in charge of EMEA (from 2006 to 2010). He was also Chairman and Chief Executive Officer of UNI2, a telecommunications operator and subsidiary of France Telecom in Spain (2003-2004) and then took charge of international operations. Mr. Rennard was Deputy Managing Director of TDF (1996-2001), Chairman of TDF Video Service (1996-2002), Chairman of TDF Cable (from1992 to 1996 and from 2001 to 2003), Commercial Director of TDF (from 1992 to 1996). He was Managing Director of Societe des Montagnes de l'Arc, part of the Caisse des Depots group (1989-1992), Managing Director (1986-1989), Agency Director (1984-1985) and Consultant (1982-1983) of CEREP Communication, and Surveys Manager at ISEOR (1979-1981). He is a graduate of EM Lyon with a postgraduate diploma in Management Science. He is a Knight of the French Legion d'Honneur.

Pierre-Yves Panis

Mr. Pierre-Yves Panis has been Director of Design and User Experience at France Telecom SA since November 6, 2012. He is a graduate of ENSCI (Ecole nationale superieure de creation industrielle). He was Manager of a non-governmental organization (NGO) called Design Co. Operation before becoming Head Designer at Moen. He was also Director of Design and part of the artistic management at Legarnd.

Caroline Angeli

Ghislaine Coinaud

Ms. Ghislaine Coinaud has served as an Employee Representative on the Board of Directors of France Telecom SA since December 3, 2009. She is also a Member of the Company's Strategic Committee. She works for the support department. Until December 2009, she was deputy central trade union delegate for the CGT. She was previously a member of the CGT federal management board. From 1995 to 2005, Ms. Coinaud was a member of the conseil superieur de la fonction publique (French superior council for public service). She joined France Telecom in 1977 as a facilities operating agent at the central operating center of La Courneuve.

Pierre Graff

Mr. Pierre Graff has served as a Representative of the French State on the Board of Directors of France Telecom SA since December 14, 2010. He is also a Member of the Company's Strategic Committee. He is an Ecole Polytechnique graduate and a senior Ponts et Chaussees engineer. Daniel Guillot

Mr. Daniel Guillot has served as an Employee Representative on the Board of Directors at France Telecom SA since December 3, 2009. He is also a Member of the Company's Audit Committee. Henri Serres

He is a Member of the Company's Governance an Corporate Social Responsibility Committee. Bernard Dufau

Mr. Bernard Dufau has served as an Independent Director at France Telecom SA since February 25, 2003. He is also the Chairman of the Company's Audit Committee. He joined IBM France as an engineer in 1966 and served in various positions in marketing and management throughout France until 1981. Jose-Luis Duran

Mr. Jose-Luis Duran has served as an Independent Director at France Telecom SA since February 5, 2008. He is also a Member of the Company's Audit Committee. He started his career in 1987 at Arthur Andersen. Mr. Charles-Henri Filippi serves as an Independent Director at France Telecom SA since February 5, 2008. He is also Member of the Company's Audit Committee. He joined HSBC France in 1987 after having served in French Administration and Ministry Cabinets for a few years. Claudie Haignere

Ms. Claudie Haignere has served as an Independent Director of France Telecom SA since May 21, 2007. She is also Member of the Company's Strategic Committee. Since February 2010, she has been the Chairman of Universcience ( a public body created following the merger between Palais de la decouverte and Cite des Sciences et de l'Industrie). She was trained as a Medical Doctor and rheumatologist, specialized in aeronautics medicine and Doctor of Science, and was an astronaut for the CNES then for the ESA. She was also Minister of European Affairs from March 2004 to May 2005 after having served as Minister of Research and New Technologies from June 2002 to March 2004. From November 2005 until 2009, she was an Advisor to the General Manager of the European Space Agency (ESA). Ms. Haignere is also involved with a number of health associations, such as the Alliance of rare diseases within the Groupama Foundation, Kourir and the Courtin-Arthritis Foundation. She is also Director of Fondation C-Genial, Academie des Technologies, Fondation de France, Fondation d'Entreprise L'Oreal, ENS Paris and PRES Hesam. Ms. Haignere is also Member of the Technology Academy, the Sports Academy, the Academy of Sciences and Technlogies of Belgium, and the International Academy of Astronautics. In 2006, she received the Louise Weiss award for her European activities. She is also sponsoring the Cite de l’Espace in Toulouse, the myology institute at Pitie Salpetriere Hospital and a number of schools and student graduating classes. Ms. Haignere is a Commander of the French Legion of Honor. She also holds other mandates, including Director of Sanofi-Aventis.

Helle Kristoffersen

Ms. Helle Kristoffersen has been an Independent Director of France Telecom SA since June 7, 2011. From 1994, she held various positions within the Alcatel group, now Alcatel Lucent. She was Vice-President, Corporate Strategy between 2005 and 2008 and Senior Vice-President of Solution and Marketing, and Vertical Markets, from January 2009 until December 2010. She is currently Director of Strategy and Business Intelligence at Total as of January 2012, having previously served as Deputy Director of the same division from January 2011. Ms. Kristoffersen is also a Director of Valeo. She is a graduate of Ecole Normale Superieure and ENSAE and is a Knight of the French Legion d'Honneur.

Muriel Penicaud

Ms. Muriel Penicaud has been an Independent Director of France Telecom SA since June 7, 2011. She is also the Chairman of the Company’s Governance and Corporate Social Responsibility Committee. She has been the Vice President Human Resources of Danone, member of the Executive Committee and in charge of societal innovation of the Danone group since 2008. She is also the Chairman of the Board of Fonds Danone Ecosysteme. She started her career in 1976 as a territorial administrator and then founded and managed two associations. In 1985, she joined the Ministry for Labour, Employment and Professional Training and held various roles, including Advisor to the Minister for Labour. She then held various international roles in the human resources department of Danone from 1993 to 2002. In 2002 she became Executive Vice President of Dassault Systemes, in charge of organization, human resources and sustainable development, before returning to Danone in 2008. She also held various public positions, including Chairman of the Board of Institut National du Travail, de l’Emploi et de la Formation professionnelle. She is co-author of the report presented to the French Prime Minister on “wellbeing and efficiency at work” (2010). She is also the co-founder and Vice Chairman of web TV channel, Droit et Management des Affaires. She graduated in Psychology, History and Education Sciences and is also a graduate of INSEAD. She is a Knight of the French Legion d'Honneur.

Jean-Michel Severino

Mr. Jean-Michel Severino has been an Independent Director of France Telecom SA since June 7, 2011. He is also a Member of the Company's Governance and Corporate Social Responsibility Committee. He is currently a manager of Inestisseur et Partenaire Conseil, a fund management company specialized in investments in SMEs in sub-Saharan Africa. He is also a Member of Academie des technologies. He was Managing Director of the French Development Agency (Agence Francaise de Developpement, AFD) until April 2010, and prior to that served as the Vice Chairman of the World Bank for Asia. Mr. Severino is a Public Finance Auditor and a graduate of Ecole Nationale d’Administration. He was appointed as a director of Danone at the company's shareholders' meeting on 28 April 2011.
