Name Description

Douglas Whitehead

Mr. Douglas W.G. Whitehead is Non-Independent Chairman of the Board of Finning International Inc. Mr. Whitehead is a Corporate Director. From 2000 to May 2008 he was the President and Chief Executive Officer of Finning. Prior to joining Finning, Mr. Whitehead held a number of senior executive positions with Fletcher Challenge Canada including President and Chief Executive Officer, Senior Vice President and Chief Operating Officer and Vice President of the Crown Packaging Division. Mr. Whitehead is a director of Inmet Mining Corporation, International Forest Products Ltd., Kal Tire and Belkorp Industries. He is also a member of the Board of Directors of the Vancouver General Hospital and University of British Columbia Hospital Foundation. Mr. Whitehead holds a Bachelor of Applied Sciences (Civil Engineering) from the University of British Columbia and an MBA from the University of Western Ontario.

L. Scott Thomson

Mr. L. Scott Thomson serves as President, Chief Executive Officer, Director of Finning International Inc., with effective June 17, 2013. Mr. Thomson joined Finning International Inc. as President and Chief Executive Officer in June of 2013. Prior to joining Finning, Mr. Thomson was Chief Financial Officer of Talisman Energy Inc. with responsibility for finance, tax, treasury, investor relations, marketing, business development and strategy, planning and performance management from 2008 to 2013. Prior to Talisman, Mr. Thomson held several executive positions with Bell Canada Enterprises, including Executive Vice President, Corporate Development; Vice President, Head of Mergers and Acquisitions; and Vice President, Corporate Strategy from 2003 to 2008. Prior to Bell, Mr. Thomson was a Vice President at Goldman, Sachs and Co. from 1998 to 2002. Mr. Thomson currently serves as a director of International Forest Products Ltd. Mr. David W. Cummings is Senior Vice President, Chief Information Officer of Finning International Inc. As CIO of Univar, a global industrial chemical distributor, Mr. Cummings had executive responsibility for all aspects of information technology and initiated the company’s move to one globally integrated set of processes and software solutions. Prior to Univar, Mr. Cummings spent 23 years with ConocoPhillips beginning his career in engineering and subsequently holding leadership positions around the world in engineering, operations, commercial and IT. Mr. Cummings was educated in the Executive Program at The University of United Kingdom and earned an Associate’s degree in Electro Miechigan Business Schoolanical Engineering, a BS (Honors) in Business Administration and an MBA in Strategic Business Management.

John Reid

Mr. John M. Reid is Lead Independent Director of Finning International Inc. Mr. Reid is a Corporate Director. From November 1997 to November 2005 he was President and Chief Executive Officer of Terasen Inc. (formerly BC Gas Inc.). Mr. Reid joined Terasen Inc. in May 1995 as Executive Vice President, Finance and Chief Financial Officer. Jacynthe Cote

Jacynthe Cote has been appointed as Director of Finning International Inc., effective Sept. 9, 2014. Ms. Côté was president and chief executive officer of Rio Tinto Alcan from 2009 until June 2014 and served in an advisory role until her retirement on September 1, 2014. Prior to that, Ms. Côté was president and chief executive officer of Rio Tinto Alcan's Primary Metal business group where she was responsible for all primary metal facilities and power generation installations worldwide. She was previously president and chief executive officer of Alcan's Bauxite & Alumina business unit. Ms. Côté originally joined Alcan Inc. in 1988 and over the course of her 26-year career with Alcan she held senior management roles in business planning, human resources, environment, health and safety in Quebec and England. Ms. Côté has a Bachelor's degree in Chemistry from Laval University in Québec and was awarded an honorary doctorate from Université du Québec à Chicoutimi in 2011. She has been a member of the Advisory Board of the Montreal Neurological Institute since 2010 and a member of the Hautes Études Commerciales Board since 2009.

Ricardo Bacarreza

Mr. Ricardo Bacarreza is Independent Director of Finning International Inc. Mr. Bacarreza is currently the President of Proinvest S.A., a financial services company based in Santiago, Chile. In his career, Mr. Bacarreza has been an Economist at the World Bank (Washington, D.C.), Vice President of Banco Unido De Fomento (Chile) and Chief Executive Officer of Banco Del Trabajo (Chile), La Chilena Consolidada Insurance Company (Chile), Banco Sudamericano (Chile) and Banco BHIF (Chile). Mr. Bacarreza has been on the Board of Directors of a number of companies and has served as director and Chairman of the Chilean Management Institute. Mr. Bacarreza currently serves on the Board of Directors for Sociedad de Rentas Palo Alto SA. Mr. Bacarreza holds a Civil Engineering degree from Catholic University of Chile and an M.A., M.Sc. and Ph.D. from Stanford University and is fluent in Spanish.

James Carter

Mr. James Edward Clarke Carter is Independent Director of Finning International Inc. Mr. Carter retired from Syncrude Canada Ltd. in 2007 after twenty-eight years, including 10 years as President and 18 years as Operations Chief. He currently serves on the Boards of Directors of EPCOR Utilities Inc., Clark Builders, the Climate Change Emissions Management Corporation, Alberta Treasury Branch Financial, CAREERS: The Next Generation and the Edmonton Symphony Orchestra. He is a former director and Chair of the Mining Association of Canada where he championed development of the Toward Sustainable Mining initiative, which is designed to help improve the mining industry’s environmental and social performance. Mr. Carter was also a member, director and executive member of the Alberta Chamber of Resources. Mr. Carter is a registered professional engineer in the Province of Alberta and a Fellow of the Canadian Academy of Engineering. He holds a Bachelor of Engineering Degree in Mining Engineering, Technical University of Nova Scotia (now Dalhousie Engineering), and is a graduate of the Advanced Management Program at Harvard Graduate School of Business Administration. Mr. Carter has also been awarded honorary doctorates by three Canadian universities.

Kevin Neveu

Mr. Kevin A. Neveu serves as Independent Director of Finning International Inc. Mr. Neveu is currently chief executive officer of Precision Drilling Corporation, a Calgary-based service provider to the oil and gas industry. Under Mr. Neveu's leadership, Precision has grown to become one of the largest oil field service providers in North America, as well as expanded and diversified its operating presence into growth markets internationally. Previously, he held senior management roles with National Oilwell Varco and its predecessor companies in London, Moscow, Houston, Edmonton and Calgary. Mr. Neveu is a Professional Engineer as designated by the Association of Professional Engineers, Geologists and Geophysicists of Alberta. He received a Bachelor of Science Degree in Mechanical Engineering from the University of Alberta and attended the Advanced Management Program at the Harvard Business School in 2002.

Kathleen O'Neill

Ms. Kathleen M. O'Neill is Independent Director of Finning International Inc. Prior to 2005, Ms. O’Neill was an Executive Vice-President at BMO Financial Group where her most recent position was Executive Vice-President, Personal & Commercial Development and Head of Small Business Banking. Prior to joining BMO Financial Group in 1994, Ms. O’Neill was with PriceWaterhouseCoopers LLP for 19 years including eight years as a tax partner. Ms. O’Neill currently serves on the Board of Directors of ARC Resources Limited, Invesco Canada Funds (Invesco Canada Fund Inc. and Invesco Corporate Class Inc. boards, and Invesco Canada Funds Advisory Board and Independent Review Committee) and Cadillac Fairview Corporation Ltd. Ms. O’Neill is past Chair of St. Joseph’s Health Centre and St. Joseph’s Health Centre Foundation and past director of the University of St. Michael’s College in Toronto. In 2005, Ms. O’Neill was accredited through the Institute of Corporate Directors / Rotman School of Management Director’s Education Program. She is on the Ontario Advisory Council for the Institute of Corporate Directors (ICD) and is a frequent examiner/executive in residence for the ICD. She holds a Bachelor of Commerce Degree (with Honours) from the University of Toronto and is a Fellow of the Ontario Institute of Chartered Accountants. Ms. O’Neill was on the Steering Committee on Enhancing Audit Quality jointly sponsored by the Canadian Institute of Chartered Accountants and by the Canadian Public Accountability Board.

Christopher Patterson

Mr. Christopher W. Patterson is Independent Director of Finning International Inc. From April 2005 until his retirement in June 2009, he was President and Chief Executive Officer of Daimler Trucks North America LLC. Prior to 2005, he held progressively senior executive positions with Freightliner LLC, predecessor to Daimler Trucks North America, including Senior Vice President, Service and Parts and was Executive Vice President, Sales and Marketing of Volvo Trucks North America. Mr. Patterson is a director of Gates Corporation and Modine Manufacturing Company. Mr. Patterson holds a BA degree in economics and a MBA from the University of Western Ontario.

Andrew Simon

Mr. Andrew Henry Simon, OBE, is Independent Director of Finning International Inc. Mr. Simon serves on the Boards of Directors of a number of companies including Exova Group plc, SGL Carbon SE Supervisory Board, Travis Perkins plc, Management Consulting Group plc, Icon Infrastructure Management Ltd., Icon 1A GP Limited and BCA Osprey 1 Ltd. For most of his career, Mr. Simon worked for the Evode Group, an international specialty chemicals and materials company. At Evode, he held various positions including Managing Director and Chairman and Chief Executive Officer. Mr. Simon holds a Bachelor of Science degree from Southampton University and an MBA from the Wharton School of Finance.

Michael Wilson

Mr. Michael M. Wilson serves as Independent Director of Finning International Inc. Mr. Wilson is President and Chief Executive Officer of Agrium Inc. He joined Agrium as Executive Vice President and Chief Operating Officer in August 2000. Prior to joining Agrium, Mr. Wilson was a senior executive at Methanex Corporation, global producer of methanol, headquartered in Vancouver, B.C., where he was Executive Vice President, and President, Methanol. In addition, he held various senior positions in North America and Asia during his 18 years with Dow Chemical. Mr. Wilson brings over 30 years of international and executive management experience in the chemical industry. Mr. Wilson currently serves as a director of Agrium Inc. and is currently Chair of Canpotex Limited and a director of the International Plant Nutrition Institute, The Fertilizer Institute, Alberta Economic Development Authority, Celestica Inc. and Chair of the Calgary Prostate Cancer Foundation. Mr. Wilson is a graduate of the University of Waterloo, Ontario where he earned his degree in Chemical Engineering.
