Name Description

Steven Fishman

Mr. Steven E. Fishman is Chairman of the Board of Genesis HealthCare, Inc. Mr. Fishman is Co-Founder, President and Co-Chairman of Formation Capital. Since Formation’s inception in 1999, Mr. Fishman has invested over $5 billion, comprising over 55,000 seniors housing beds, in senior housing and healthcare services companies. As President, Mr. Fishman leads Formation’s deal origination and fundraising efforts. In April 2011, Mr. Fishman led the sale of the real estate assets of Genesis HealthCare to Health Care REIT for $2.4 billion. He currently sits on the board of Genesis. Mr. Fishman has been active in the healthcare and real estate industries for over 30 years. Prior to founding Formation Capital, Mr. Fishman spent 20 years as a CPA serving the health care and real estate industries.

George Hager

Mr. George V. Hager, Jr., is Chief Executive Officer, Director of Genesis HealthCare, Inc. Prior to becoming CEO, George was Executive Vice President and Chief Financial Officer and was responsible for corporate finance, information services, reimbursement and risk management. He joined Genesis in 1992 as Vice President and Chief Financial Officer and was named Senior Vice President and Chief Financial Officer in 1994. George has over 25 years experience in the health care industry. George spent the first 13 years of his professional career at KPMG, LLP. From 1989 to 1992, he was the partner in charge of the health care practice group for the Philadelphia Region. George holds a Bachelor of Arts in Economics from Dickinson College and a Master in Business Administration from Rutgers Graduate School of Management. He is a certified public accountant; board member of Dickinson College; member of the board of the Delaware Valley Chapter of the Alzheimer's Association; member of the board of the Schwartz Center for Compassionate Care; former member of the board and audit committee chair of REACH Medical Holdings, Inc., a medical transportation company; former board member and audit committee chair of Adolor Corporation, a biopharmaceutical company; and former member of the board of trustees, finance committee and audit committee chair of The University of the Sciences in Philadelphia.

Thomas DiVittorio

Mr. Thomas DiVittorio is Chief Financial Officer, Treasurer, Assistant Secretary of Genesis HealthCare, Inc. Tom was named Senior Vice President and Chief Financial Officer in October 2008. Tom has served in various Corporate Finance positions since joining the Company in 1996. Most recently, Tom served as Vice President, Corporate Controller and Chief Accounting Officer and was responsible for the Company's accounting policy, financial reporting and budgeting. Prior to joining Genesis, Tom was employed by KPMG, LLP. He holds a Bachelor of Science degree from Rowan University. Tom is a Certified Public Accountant, and a member of the American Institute of CPAs and Pennsylvania Institute of CPAs.

Daniel Hirschfeld

Mr. Daniel Allen Hirschfeld is a President - Genesis Rehab Services of Genesis HealthCare, Inc. Dan joined Genesis in 2005 as Senior Vice President of Rehab Services. Dan has an extensive background in a variety of healthcare settings, ranging from acquisitions and business development roles to management of an ancillary services business. Prior to joining Genesis, Dan held President and CEO/COO positions with several privately held and publicly held companies with operations throughout the United States. He is a national presenter and panelist for the healthcare industry and for national investment conferences, and has been an industry representative to various state and national government bodies. Dan serves on the Board of Directors for The National Association for the Support of Long Term Care (NASL) and Allied Health Research Institute (AHRI). Dan holds a Bachelor of Arts degree with a concentration in accounting from Duke University, and both Master's of Business Administration and Masters of Finance degrees from Loyola College of Maryland.

Robert Reitz

Robert A. Reitz is President and Chief Operating Officer - Genesis Administrative Services of Company. Mr. Reitz has served as Executive Vice President and Chief Operating Officer of Genesis HealthCare LLC since 2003. He has served in multiple operating positions since joining Genesis HealthCare in 1992. Prior to joining Genesis HealthCare, Mr. Reitz served in various positions in the long-term care field, including in day to day operations and as an Administrator, Regional Director, Corporate Director of Human Resources, Vice President of Operations and Vice President of Administration and Product Development. Mr. Reitz has also had significant involvement in the Alzheimer’s Association of Greater Maryland, where he has served as a Board member and Chapter President. Mike holds a Bachelor of Science degree from Murray State University and has done graduate coursework at Loyola University in Baltimore and the University of Baltimore.

Jeanne Phillips

Ms. Jeanne Phillips is a Chief Human Resource Officer of Genesis HealthCare, Inc. Jeanne joined Genesis HealthCare in 2004 as VP, Risk Management, serving as VP, Risk Management and Employee Development. Since being named Chief Human Resources Officer, she has assumed oversight responsibilities for all risk management and safety programs, employee relations, talent acquisition, management and development, compensation and benefits, labor relations, employee communications and engagement, and other HR initiatives. Previously, Jeanne worked in executive management with Integrated Health Services. She has international experience in government program development and management, primarily in the healthcare sector. She holds BPS and MPA degrees from the University of Memphis.

David Almquist

Mr. David C. Almquist is a Executive Vice President, President West Division of Genesis HealthCare, Inc. He is responsibility for long-term care and assisted living centers and operations in AZ, CA, CO, ID, MT, NM, UT, WA and behavioral health facilities in CA. Prior to his current position in the West Division, Dave served as Executive Vice President/President in the East Division for 20 years, overseeing centers in DE, KY, MD, NJ, PA, TN, VA, and WV. Dave also founded and oversaw Genesis Physician Services until his transfer to the West Division. He has over 35 years of health care experience, including having been a licensed nursing home administrator in Maryland and Pennsylvania, and has worked as a Regional Director, Vice President, and Senior Vice President of Operations. Dave holds a Bachelor of Science degree from West Chester University.

Paul Bach

Mr. Paul D. Bach is a Executive Vice President, President of the Mid-Atlantic/Southeast Division of Genesis HealthCare, Inc., a total of 127 nursing centers and assisted living facilities located throughout Eastern Pennsylvania, New Jersey, Ohio, Indiana, Florida, Alabama and Georgia. Prior to the recent seven years in his current role, Paul served as the Senior Vice President for the Capitol Region of Genesis HealthCare, a position he held since 1997. Paul was responsible for the daily operations of 70 skilled nursing and assisted living facilities in Maryland, Delaware, Virginia, North Carolina and West Virginia. Paul also had corporate responsibilities for the company’s staffing services and private duty nursing operations. During his 32-year career with Genesis, Paul has also held the positions of Regional Vice President, Regional Director and Nursing Home Administrator. Paul formerly held the position of Vice Chairman of the Health Facilities Association of Maryland, and recently completed a six year term as a Director on the Towson University Alumni Association Board of Directors. Paul earned a B.S. in Business Administration from the Towson University in 1982. Paul is also active with American Heart Association, Philadelphia Chapter and the Alzheimer's Association of the Delaware Valley.

Richard Blinn

Mr. Richard P. Blinn is a Executive Vice President, President Northeast Division of Genesis HealthCare, Inc. He is responsibility for operations in CT, NH, MA, ME, RI and VT. Dick also has responsibility for renovations of, and investment in, Genesis Centers. Since 1998, he has been responsible for the Northeast Area, overseeing daily operations of more than 100 skilled nursing centers and assisted living communities. He has over 30 years experience in the health care and previously as a social worker, administrator, district manager, and vice president of operations. Dick is a past Chairman of the Massachusetts Senior Care Association, is Vice President of the Board of Directors of the Connecticut Association of Health Care Facilities, past President of the Massachusetts Long Term Care Foundation, and serves on the Advisory Team of the Massachusetts Alzheimer's Association. He holds a Bachelor of Science from Westfield State College and a Masters from the University of Southern New Hampshire.

Raymond Thivierge

Mr. Raymond L. Thivierge is a Executive Vice President - West Division of Genesis HealthCare, Inc. Previously, Ray was the Executive Vice President of the West Division for Genesis HealthCare. Ray was responsible for overseeing 63 facilities across eight western states. Previously, Ray was the Chief Development Officer for Sun Healthcare Group from January 2011 through their acquisition by Genesis HealthCare in December 2012. Prior to that, he had served as Senior Vice President of Operations for the Northeast Division for SunBridge, a Sun Healthcare subsidiary, from 2009 to 2011. Ray had previously been with Genesis HealthCare from 2002 to 2009 as Senior Vice President of Operations in the Northeast, and from 1998 to 2002 as Vice President for Genesis Network Development. Ray holds a BA in Biology-Chemistry from Skidmore College and an MBA degree in Health Care Administration and Marketing from Boston University.

Richard Castor

Mr. Richard L. Castor is a Senior Vice President, Chief Information Officer of Genesis HealthCare, Inc. He is responsible for the Company's information systems, key system initiatives, and related services. He has over 30 years of information technology experience with health care companies including Genesis HealthCare, NeighborCare, Aetna, U.S. Healthcare and GlaxoSmithKline. Rich holds a Bachelor of Science degree in Computer Science from Denison University.

Michael Sherman

Mr. Michael Sherman is a Senior Vice President, General Counsel of Genesis HealthCare, Inc. In addition to managing the legal affairs of the Company, Mike manages the Company's development and acquisition activity. Mike has over a decade of experience with Genesis, first as Assistant General Counsel (1997-1999), then as Vice President & Deputy General Counsel, Strategic Development (1999-2004). After a short stint away from Genesis, Mike returned in 2006 as Senior Vice President, Mergers and Acquisitions. Prior to joining Genesis, Mike was an associate at Pelino & Lentz, PC, in Philadelphia, from 1993-1997, specializing in health care and corporate law. He also served as a law clerk to the Honorable Ronald L. Buckwalter, District Court, Eastern District of PA, from 1992-1993. Mike is a member of the Pennsylvania Bar Association and the American Health Lawyers Association, and serves on the Board of the Genesis Employee Foundation. Mike holds a BSE (emphasis in Finance) from the Wharton School of the University of Pennsylvania, and is a graduate of the Duke University School of Law.

Jason Feuerman

Mr. Jason H. Feuerman is a Senior Vice President - Strategic Development and Managed Care of Genesis HealthCare, Inc. He is responsible for leading strategic development efforts at Genesis that provide innovative, effective solutions to the challenges presented in the constantly evolving healthcare industry today. With twenty-year’s in the healthcare industry, Mr. Feuerman most recently served as Senior Vice President and President, Public Sector and Health Plan Division of ValueOptions, Inc. Prior to joining ValueOptions, Mr. Feuerman served as President of Bravo Health, a subsidiary of Cigna, Inc, and as President of Senior Care Centers of America, a leading provider of adult day health services. He holds a Bachelor of Science in Finance and Economics from the University of Maryland.

JoAnne Reifsnyder

Dr. JoAnne Reifsnyder, Ph.D., ACHPN, is a Senior Vice President - Clinical Operations, Chief Nursing Officer of Genesis HealthCare, Inc. Dr. Reifsnyder is President of the Board of Directors for the Hospice and Palliative Nurses Association, and serves on the Boards of Hospice Foundation of America, Pennsylvania Hospice Network, and LifeChoice Hospice. She is a member of American Organization of Nurse Executives (AONE), the National Gerontological Nurses Association (NGNA) and Sigma Theta Tau International, the Honor Society of Nursing. She is certified as an advanced practice nurse in hospice and palliative care. Dr. Reifsnyder completed a postdoctoral fellowship in psychosocial oncology at the University of Pennsylvania School of Nursing, and holds a PhD in nursing from the University of Maryland, a Master’s Degree in nursing from Thomas Jefferson University, and a BSN from Holy Family College.

James Tabak

Mr. James W. Tabak Esq., is a Senior Vice President - Administration & Government Affairs of Genesis HealthCare, Inc. In this role, Jim works with senior Genesis staff to ensure that state and national legislators are aware of and supporting the best interests of the long term care industry. Jim also oversees the labor union function at Genesis. Prior to this role, Jim served as a benefit consultant with Charon Planning and as the Senior Vice President of Human Resources for Genesis. Jim earned his Bachelor of Science in Political Science from the University of Pennsylvania and a law degree from The Boston University School of Law and is currently licensed to practice law in Pennsylvania, New York and New Jersey.

Stephen Young

Mr. Stephen Young is Vice President, Controller of Company. He has served as Vice President, Corporate Controller and Principal Accounting Officer of Genesis HealthCare LLC since 2008. He has served in various positions in finance since joining Genesis HealthCare in 1994. Before becoming Vice President, Corporate Controller and Principal Accounting Officer, Mr. Young served as the Director of Financial Reporting with primary responsibility for consolidated reporting and accounting research.

Robert Fish

Mr. Robert H. Fish is Director Genesis HealthCare, Inc. When he joined Skilled Healthcare as its Chief Executive Officer. During his career, Mr. Fish has served as Chairman, President or CEO of a number of healthcare companies. From 2012 until he joined Skilled Healthcare in 2013, Mr. Fish served as Managing Partner of Sonoma-Seacrest, LLC, a California health care firm specializing in strategic planning, performance improvement and merger and acquisition issues. From 2008 to 2012 he served as Chairman of REACH Medical Holdings, a regional air medical transport company, from 2005 to 2006 he served as Executive Chairman of Coram, Inc., a large home infusion provider, from 2003 to 2007 he served as Lead Director of Genesis HealthCare and from 2002 to 2003 he served as Chairman and Chief Executive Officer of Genesis Health Ventures, Inc., a long-term care and institutional pharmacy company and predecessor in interest to Genesis Healthcare Corporation. Since 2013, Mr. Fish has served as a member of the board of directors of the non-profit St. Helena Hospital Foundation in Northern California. Mr. Fish has also served as President and Chief Executive Officer of St. Joseph Health System—Sonoma County and Valleycare Health System, both of which are regional hospital systems in Northern California.

Robert Hartman

Mr. Robert Hartman is Director of Genesis HealthCare, Inc. Mr. Hartman has been the Chairman of NuCare Services Corp. since 1984, which provides business and financial consulting services to the long term care industry. Mr. Hartman has over 35 years of development and operational experience in providing senior services ranging from assisted living to post-acute care. He has been involved with the start-up and creation of over 30 businesses primarily related to the healthcare and real estate fields. He sits on the boards of Genesis, Consulate Healthcare and Formation Development Group. Additionally, Mr. Hartman is Principal and Founder of Midway Capital Partners, a private equity fund that invests in real estate, hospitality and healthcare development opportunities. Mr. Hartman’s civic responsibilities include serving as co-President of the Illinois Council on Long Term Care, a statewide trade association. He served for six years as a Trustee of Northeastern Illinois University and for 18 years as the Chairman of the Board of Trustees of Keshet, an educational, camping and social service organization for individuals with special needs.

James McKeon

James V. McKeon, III., is Director of Genesis HealthCare, Inc. Mr. McKeon is currently the President of Valentine Associates LLC (“Valentine Associates”), a position he has held since January 2009. Valentine Associates is a Pennsylvania-based consulting firm specializing in finance, strategic planning, performance improvement and merger and acquisition issues. Valentine Associates has performed consulting services for both Skilled Healthcare and Genesis HealthCare. Mr. McKeon also serves as a consultant to and officer of Tech Pharmacy Services, Inc., which services five Genesis HealthCare facilities for pharmacy and related supplies, positions he has held since January 2009, respectively. From November 2008 to April 2011, Mr. McKeon was the co-owner and Chief Financial Officer of Primo Sport, Inc., a start-up sports technology firm. From December 2003 to October 2008, Mr. McKeon served as Executive Vice President and Chief Financial Officer for Genesis HealthCare. From June 1994 to December 2003, he held various positions at Genesis Health Ventures—he was Senior Vice President and Corporate Controller from November 2000 to December 2003, Vice President and Corporate Controller from April 1997 to November 2000 and Director, Finance and Investor Relations from June 1994 to November 1995. Mr. McKeon started his career at KPMG Peat Marwick (“KPMG”), a professional services company, where he worked from September 1986 until June 1994; he held a variety of positions at KPMG during his tenure and was a senior manager upon departure. Mr. McKeon also serves as a director for Educational Credit Management Corporation (“ECMC”), a not-for-profit focused on ensuring adequate liquidity to finance secondary education, a position he has held since January 2009. Mr. McKeon also serves as Chairman of the Audit Committee for ECMC, a position he has held since May 2011.

David Reis

Mr. David A. Reis is Director of Genesis HealthCare, Inc. Mr. Reis has been the Chief Executive Officer of Senior Care Development, LLC, a company that specializes in the development and turnaround of distressed continuing care retirement communities. Senior Care Development also has over 25 years of experience in developing and owning standalone skilled nursing facilities and assisted living communities. Mr. Reis is also the Chief Executive Officer of Falcon Investors, LLC (“Falcon Investors”), a position he has held since 2004. Falcon Investors specializes in the development and turnaround of unique assets, and is the managing member and an owner of the company that developed the St. Regis Deer Valley ski in/ski out resort, as well as managing the successful turnaround of MetroSouth Hospital in Blue Island, Chicago.

Arnold Whitman

Mr. Arnold Whitman is Director of Genesis HealthCare Inc. Mr. Whitman is Co-Founder and Chairman of Formation Capital. He has over 25 years’ experience in the seniors housing and healthcare industry. In 1999, Mr. Whitman created Formation Capital as an advisory and equity investment firm for seniors housing and healthcare. Since founding the company, Mr. Whitman has overseen the investment of over $5 billion in seniors housing assets managed by Formation Capital. Prior to Formation Capital, Mr. Whitman founded Health Care Capital Finance (“HCCF”), a private debt provider, where he developed a successful securitization program for seniors housing assets. Following the merger of HCCF into PRN Mortgage Capital, Mr. Whitman continued to oversee over $2 billion of debt investments into seniors housing and care. Mr. Whitman began his career in healthcare in 1985 as a Director of Acquisitions for MediPlex and then as a Vice President of Meditrust in 1986. Mr. Whitman sits on the board of Genesis, is a current board member and Chairman Emeritus of the National Investment Center for Seniors Housing and Care Industries and also serves on the executive board of the American Seniors Housing Association. His other interests in the industry include being a partner in Aging 2.0, a principal in Prime Care Properties, LLC and a board member of Care Institute Group, Inc..

James Bloem

Mr. James H. Bloem is the Independent Director of Genesis HealthCare Inc. Jim Bloem retired on December 31, 2013, after 13 years as Senior Vice President, Chief Financial Officer, and Treasurer of Humana Inc. (NYSE: HUM). In that capacity, in addition to being responsible for all accounting, actuarial, financial, tax, risk management, treasury, and investor relations activities, he also helped develop business growth strategies, including the integrated care delivery model, with a focus on industry-leading primary care, pharmacy, health and wellness, and the application of new technology to health benefits and care. During his tenure at Humana, Mr. Bloem was consistently recognized as a leading CFO by both the Wall Street Journal and Institutional Investor. Prior to Humana, Mr. Bloem worked as an independent financial and business consultant based in Grand Rapids, Michigan, serving national and international clients (two years). Prior to that, Mr. Bloem served as Executive Vice President, then as President of the Personal Care Division of Perrigo Company, (NASDAQ: PRGO) the nation’s largest manufacturer of over-the-counter pharmaceuticals, personal care, and nutritional products for of Herman Miller, Inc. (NASDAQ: MLHR), an international manufacturer of office furniture and furniture systems (seven years). Before that, Mr. Bloem served as Vice President and General Counsel of Herman Miller, Inc. (two years). Prior to his corporate career, Jim was a partner specializing in taxation and corporate practice in the Grand Rapids law firm of Law, Weathers (seven years), and before that as a tax accountant with BDO Seidman (two years), also in Grand Rapids. Mr. Bloem holds a law degree from Vanderbilt University and a Master of Business Administration degree from Harvard Business School. His undergraduate degree is from Calvin College. He also is a Certified Public Accountant.

John DePodesta

Mr. John F. DePodesta is the Independent Director of Genesis HealthCare, Inc. Mr. DePodesta co-founded Primus Telecommunications Group, Inc. (“Primus”) in 1994, and served as the company’s Director, Executive Vice President, Chief Legal Officer, Chief Corporate Development Officer and Secretary from 1994 to 2010. Primus was listed as a Fortune 1000 company during its fifth year of operation. From 1994 to 2002, Mr. DePodesta served as the Chairman of the Board of Iron Road Railways, Inc., which he also co-founded. He served as Senior Vice President, Law and Public Policy, of Genesis Health Ventures from 1996 to 1998. Additionally, from 1994 to 1999, he served as “of counsel” to the law firm of Pepper Hamilton LLP, where he was previously a partner since 1979. Before Joining Pepper Hamilton LLP, Mr. DePodesta served as General Counsel of Consolidated Rail Corporation and General Counsel—Reorganization for the Penn Central Trustees during the period from 1970 to 1979. Since 1994, he has served as a director of Educational Credit Management Corporation, where he is currently Chairman of the Board, Chairman of the Governance and Compensation Committee and Chairman of the Board of Educational Credit Management Corporation’s for-profit and non-profit subsidiaries. Mr. DePodesta also served as a director of Genesis HealthCare from 2003 until 2007; where he was a member of the Audit Committee and the Special Committee. Since August 2011, Mr. DePodesta has served as a director of Sutron Corporation and is currently Chairman of the Governance and Compensation Committee and a member of the Audit Committee. Since April 2010, Mr. DePodesta has served as Managing Director of Dolomite Group, LLC, which provides advisory services to senior executives and public and private governing bodies. Mr. DePodesta has extensive experience in law and regulation, corporate governance, corporate management, mergers and acquisitions, equity and debt financing, restructuring and working with healthcare and high growth technology companies.

Joshua Hausman

Mr. Joshua Hausman is the Independent Director of Genesis HealthCare, Inc. Mr. Hausman is a Managing Director of Onex Corporation and is actively involved in Onex Corporation’s healthcare investment activities. Mr. Hausman has been with Onex Corporation since 2004 and has served in his current role as Managing Director since January 2013. Prior to joining Onex Corporation, Mr. Hausman worked in the investment banking division of Banc of America Securities LLC as part of the healthcare group. Mr. Hausman holds a Bachelor of Arts from Harvard College. He has previously served as a director and Chairman of the Audit Committee for the Center for Diagnostic Imaging.

Glenn Schafer

Mr. Glenn S. Schafer, CPA, is a Director of Genesis HealthCare Inc. Mr. Schafer has served as a member of the Board of Directors since April 2006 and as Chairman of the Board of Directors (non-executive) since November 2013. Since December 2007, Mr. Schafer has served on the board of directors of Janus Capital Group, a NYSE-listed asset manager. He also served on the board of directors of Beckman Coulter, Inc., a NYSE-listed diagnostics and medical device company, from 2002 until the company’s sale in 2011, including as Lead Independent Director beginning in February 2010 and Non-executive Chairman beginning in September 2010. Mr. Schafer serves on the board of directors of the Michigan State University Foundation, a non-profit entity that supports the university’s strategic needs, as well as on the board of directors of GeoOptics, Inc., an environmental earth observation company. Previously, Mr. Schafer held various positions at Pacific Life Insurance Company (“Pacific Life”), a provider of life insurance products, annuities and mutual funds, having served as Vice Chairman from April 2005 until his retirement on December 31, 2005, President and a director since 1995, Executive Vice President and Chief Financial Officer from 1991 to 1995, Senior Vice President and Chief Financial Officer from 1987 to 1991 and Vice President, Corporate Finance from 1986 to 1987. Mr. Schafer also served as a director of Scottish Re Group Limited, a publicly traded (OTC) global life reinsurance specialist, from 2001 to 2005 and 2007 to 2008.
