Name Description

Theodore Solso

Mr. Theodore M. Solso has been appointed as Non-Executive Independent Chairman of the Board of General Motors Co., Effective January 15, 2014. Mr. Solso served as Chairman and Chief Executive Officer of Cummins, Inc. (“Cummins”), a global company that manufactures diesel and natural gas engines and engine-related component products, from 2000 until his retirement in December 2011. He is a director of Ball Corporation, a manufacturer of metal packing products and aerospace systems and technologies. Mr. Solso also served as a director of Ashland Inc. (1999 to 2012).

Daniel Ammann

Mr. Daniel Ammann is President of General Motors Company. Mr. Ammann will assume responsibility for managing the company’s regional operations around the world. The global Chevrolet and Cadillac brand organizations and GM Financial will also report to Ammann. Ammann joined GM in 2010 where his first assignment was to manage GM’s initial public offering. As CFO, he has led a transformation of GM’s finance operations into a world-class organization. He also led the strategy to rebuild the company’s captive finance capability through the successful establishment and growth of GM Financial. He holds a Bachelor of Management Studies (First Class Honours) from the University of Waikato in New Zealand. Daniel Ammann to be President of the Company, effective January 15, 2014.

Mary Barra

Ms. Mary T. Barra is Chief Executive Officer, Director of General Motors Company. Mary Barra was named Senior Vice President, Global Product Development effective February 1, 2011, responsible for the design, engineering, program management and quality of General Motors vehicles around the world. On August 1, 2013, she assumed responsibility for GM’s Global Purchasing and Supply Chain organization. She is a member of the GM Executive Operations Committee and serves on the Adam Opel AG Supervisory Board. Barra had previously been Vice President, Global Human Resources. She has also served as GM Vice President, Global Manufacturing Engineering; Plant Manager, Detroit Hamtramck Assembly; Executive Director of Competitive Operations Engineering; and has held several engineering and staff positions. In 1990, Barra graduated with a Masters in Business Administration from the Stanford Graduate School of Business after receiving a GM fellowship in 1988. Barra began her career with GM in 1980 as a General Motors Institute (Kettering University) co-op student at the Pontiac Motor Division. She graduated with a Bachelor of Science degree in electrical engineering. She serves on the General Dynamics and Barbara Ann Karmanos Cancer Institute Board of Directors. Barra is also a member of the Kettering University Board of Trustees and is GM’s Key Executive for Stanford University and University of California-Berkeley.

Charles Stevens

Mr. Charles K. Stevens, III, is Chief Financial Officer, Executive Vice President of General Motors Company. Mr. Stevens became CFO of GM North America in January, 2010. In this position, he led GM's financial operations for U.S. sales, service and marketing, GM Canada, GM Mexico, North America manufacturing, customer care and after sales, and global connected consumer. He was also interim CFO of GM South America from December, 2011, to January, 2013.

Karl-Thomas Neumann

Dr. Karl-Thomas Neumann is Executive Vice President & President, GM Europe & Chairman of the Management Board of Adam Opel AG, the subsidiary of General Motors Co. He serves as CEO, Adam Opel AG & President, GM Europe (2013) Volkswagen Group China - Chief Executive Officer and President (2010) Volkswagen Group - Executive Vice President, Electromobility (2009) Continental AG - Chief Executive Officer & Chief Technology Officer, Division Powertrain and President, Division Chassis & Safety (2008).

Matthew Tsien

Mr. Matthew Tsien is Executive Vice President & President, GM China, Inc., the subsidiary of General Motors Co. He serves as GM Consolidated International Operations Vice President, Planning, Program Management, & Strategic Alliances China (2012) Executive Vice President, SAIC GM Wuling (2009).

Michael Millikin

Mr. Michael P. Millikin is Executive Vice President, General Counsel of General Motors Co. He has been employed by the Company or its predecessor since 1977. He was appointed Senior Vice President and General Counsel in February 2011. He was Vice President and General Counsel from July 2009 to January 2011 and Associate General Counsel from June 2005 to July 2009. Mr. Millikin was intermittently a member of the Adam Opel AG Supervisory Board from 1998 to November 2012.

Alan Batey

Mr. Alan Batey is Executive Vice President, President, GM North America of General Motors Co. He had been vice president, U.S. Sales, Service and Marketing and interim global chief marketing officer. Batey began his career with General Motors in 1979 as a mechanical engineering apprentice for Vauxhall in the United Kingdom. He has held senior management positions in the U.K., Switzerland, Middle East, Netherlands, Germany, Korea and Australia. Prior to joining Chevrolet in the U.S. in 2010, Batey served as chairman and managing director, GM Holden Ltd. Operations, in Australia and New Zealand. Batey completed the General Motors’ Senior Executive Program at Harvard University and holds a City and Guilds Parts 1, 2 & 3 degree in Mechanical Engineering.

James DeLuca

Mr. James B. DeLuca is Executive Vice President - Global Manufacturing of General Motors Co. In his new role, leading more than 200,000 employees at 171 facilities in 31 countries. A 35-year GM veteran, he has experience in global manufacturing, quality, labor relations and product launches. In his current job, DeLuca managed the launch of 19 new vehicles in China and across the international operations region.

Stefan Jacoby

Mr. Stefan Jacoby is Executive Vice President - Consolidated International Operations of General Motors Company. He leads the company’s operations in more than 100 countries and territories in Africa, Asia Pacific, Europe and the Middle East. Jacoby most recently served as global chief executive officer (CEO) and president at Volvo Car Corporation. He brings nine years of CEO experience, including management of turnaround and transformation as the CEO of Mitsubishi Motors in Europe, as CEO of Volkswagen in the U.S. and as the global CEO for Volvo Cars. With nearly 30 years of broad international experience in the automotive industry, Jacoby has wide knowledge in customer experience and retail structures. His experience in finance, sales and marketing has given him a deep understanding of the impact of both areas in profitability and market growth. Jacoby worked at Volkswagen AG from 1985 to 2001 in a variety of finance and leadership roles. He then joined Mitsubishi in 2001 as CEO and president of Mitsubishi Motors Europe. Jacoby returned to Volkswagen AG in 2004 as executive vice president of Group Marketing and Sales. In 2007, Jacoby was appointed CEO and president of Volkswagen Group of America, and in 2010 he joined Volvo Car Corporation as global CEO and president. Jacoby received his master’s in business administration from the University of Cologne, Germany.

Mark Reuss

Mr. Mark L. Reuss is Executive Vice President - Global Product Development, Purchasing and Supply Chain of General Motors Co. He has been employed by the Company or its predecessor since 1983. He was named Vice President and President, North America in December 2009. Before this appointment he served briefly as Vice President of Engineering. He managed the operations in Australia and New Zealand as the President and Managing Director of GM Holden, Ltd. from February 2008 to July 2009.

Antonio Cervone

Mr. Tony Cervone is Senior Vice President - GM Global Communications of the Company. Cervone has held top communications positions in the automotive and aviation industries. Prior to Volkswagen, he was senior vice president for communications for United Airlines and was a key part of the team that oversaw the carrier’s merger with Continental Airlines. He joined United from GM where he served as vice president of global communications strategy and operations. His 10-year career at GM also included leading GM’s international communications operations in Europe. Cervone originally joined GM from Chrysler Group where he was vice president for communications and held various communications positions during a 14-year career at the Auburn Hills, Mich.-based automaker.

Thomas Timko

Mr. Thomas S. Timko is GM Chief Accounting Officer, Vice President, Controller of General Motors Co. Since March 2010, Mr. Timko has been Vice President, Corporate Controller and Chief Accounting Officer at Applied Materials, Inc., an equipment supplier to the semiconductor, liquid crystal display, and solar photovoltaic industries. He previously served as Chief Accounting Officer and Controller at Delphi Corporation, an automotive supplier, from June 2006 to March 2010.

Niharika Ramdev

Ms. Niharika Taskar Ramdev has been appointed as GM Vice President - Finance, Treasurer of the Company effective April 1, 2014. After joining GM in 1996, Taskar Ramdev held a variety of leadership roles including assistant treasurer from 2008 to 2011 and regional treasurer for GM International Operations from 2006 to 2008.

Ms. Patricia F. Russo serves as Lead Independent Director of General Motors Co. She has been a member of Board of Directors since July 2009 and has been Lead Director of Board of Directors since March 2010. She served as Chief Executive Officer of Alcatel-Lucent from 2006 to 2008. Prior to the merger of Alcatel and Lucent in 2006, she served as Chairman and Chief Executive Officer of Lucent Technologies, Inc. (“Lucent”) from February 2003 to 2006 and President and Chief Executive Officer from 2002 to 2003. Ms. Russo is currently a director of Alcoa Inc., Hewlett-Packard Company, KKR Management LLC (the managing partner of KKR & Co. L.P.), and Merck & Co. Inc (“Merck”). Ms. Russo also served as a director of Schering-Plough Corporation from 1995 to its merger with Merck in 2009.

Stephen Girsky

Mr. Stephen J. Girsky has been appointed as Director of General Motors Company, effective April 2014. Under the terms of a stockholders agreement among GM’s stockholders, Mr. Girsky was designated for nomination to the GM Board by the UAW Retiree Medical Benefits Trust (the “VEBA Trust”). At GM, Mr. Girsky has been Vice Chairman of Corporate Strategy, Business Development, Global Product Planning, and Global Purchasing and Supply Chain since February 2011. He had been Vice Chairman of Corporate Strategy and Business Development since March 2010. He served as Interim President of GM Europe from July 2012 to February 2013. Mr. Girsky has served as Chairman of the Adam Opel AG Supervisory Board, a GM subsidiary, since November 2011, and a member of that board since January 2010. He has been a member of the GM Ventures LLC board of directors, a GM subsidiary, since May 2010, and in October 2010, he joined the board of directors of GM Financial Company, Inc., a GM subsidiary. Mr. Girsky served as Senior Advisor to the Office of the Chairman at GM from December 2009 to February 2010. He was President of S. J. Girsky & Company, an advisory firm, from January 2009 to March 2010. He served as President of Centerbridge Industrial Partners, LLC (“Centerbridge”), an affiliate of Centerbridge Partners, L.P., a private investment firm from 2006 to 2009. From November 2008 to June 2009, Mr. Girsky provided advisory services to the International Union, United Automobile, Aerospace and Agricultural Implement Workers of America (the “UAW”). Prior to joining Centerbridge, Mr. Girsky was a special advisor to the Chief Executive Officer and the Chief Financial Officer of General Motors Corporation from 2005 to 2006.

Erroll Davis

Mr. Erroll B. Davis, Jr., serves as an Independent Director of General Motors Co. He was also a member of the Board of General Motors Corporation from 2007 to 2009. Mr. Davis has served as the Superintendent of Atlanta Public Schools since July 2011. From 2006 until his retirement in June 2011, he served as Chancellor of the University System of Georgia, the governing and management authority of public higher education in Georgia. From 2000 to 2006, Mr. Davis served as Chairman of Alliant Energy Corporation, and he held the offices of President and Chief Executive Officer from 1998 to 2005. He is a director of Union Pacific Corporation. Mr. Davis also served as a director of BP p.l.c. (1998 to 2010).

E. Isdell

Mr. E. Neville Isdell serves as an Independent Director of General Motors Co. He was also a member of the Board of General Motors Corporation from 2008 to 2009. Mr. Isdell served as Chairman of The Coca-Cola Company from 2004 to 2009 and Chief Executive Officer from 2004 to 2008. From 2002 to 2004, he was an International Consultant to The Coca-Cola Company and headed his investment company, Collines Investments. Mr. Isdell served as Chief Executive Officer of Coca-Cola Hellenic Bottling Company from 2000 to May 2001 and Vice Chairman from May 2001 to December 2001. He was Chairman and Chief Executive Officer of Coca-Cola Beverages plc from 1998 to September 2000. Mr. Isdell also served as a director of SunTrust Banks, Inc. (2004 to 2008).

Kathryn Marinello

Ms. Kathryn V. Marinello serves as an Independent Director of General Motors Co. She was also a member of the Board of General Motors Corporation from 2007 to 2009. Ms. Marinello has been Chairman and Chief Executive Officer of Stream Global Services, Inc., a premium business process outsource service provider specializing in customer relationship management for Fortune 1,000 companies, since August 2010. Ms. Marinello served as senior advisor and consultant at Providence Equity Partners LLC, a private equity firm, and Ares Capital Corporation, a specialty finance company, from June to August 2010. She served as Chairman and Chief Executive Officer of Ceridian Corporation, a human resources outsourcing company, from December 2007 to January 2010 and President and Chief Executive Officer from 2006 to 2007. Prior to joining Ceridian, Ms. Marinello spent 10 years at General Electric Company (“GE”), and served in a variety of senior roles, including President and Chief Executive Officer of GE Fleet Services, a division of GE, from 2002 to 2006.

Michael Mullen

Admiral (Retired) Michael Mullen serves as an Independent Director of General Motors Co. Admiral Mullen served as the 17th Chairman of the Joint Chiefs of Staff from October 2007 until his retirement in September 2011. Previously, Admiral Mullen served as the 28th Chief of Naval Operations (“CNO”) from July 2005 to 2007. CNO was one of four different four-star assignments Admiral Mullen held, which also included Commander, U.S. Naval Forces Europe and Commander, Allied Joint Force Command, and the 32nd Vice Chief of Naval Operations. Since 2012, Admiral Mullen has served as President of MGM Consulting LLC and is the Charles and Marie Robertson Visiting Professor at the Woodrow Wilson School of Public and International Affairs at Princeton University.

James Mulva

Mr. James J. Mulva serves as an Independent Director of General Motors Co. Mr. Mulva served as Chairman and Chief Executive Officer of ConocoPhillips, an international, integrated oil and gas company from 2004 until his retirement in May 2012. He served as Chairman, President and Chief Executive Officer of ConocoPhillips from 2004 to 2008. He served as President and Chief Executive Officer from 2002 to 2004. Mr. Mulva is also a director of General Electric Company.

Thomas Schoewe

Mr. Thomas M. Schoewe serves as an Independent Director of General Motors Co. Mr. Schoewe served as Executive Vice President and Chief Financial Officer of Wal-Mart Stores, Inc. (“Wal-Mart”) from 2000 to 2011. Prior to joining Wal-Mart, Mr. Schoewe worked for Black & Decker Corporation from 1986 to 1999, most recently serving as Senior Vice President and Chief Financial Officer. From 1974 to 1986, Mr. Schoewe worked for Beatrice Companies, Inc., where he was Chief Financial Officer and Controller for Beatrice Consumer Durables, Inc. Mr. Schoewe is a director of KKR Management LLC and Northrop Grumman Corporation. He served as a director of PulteGroup, Inc. (2009 to 2012) and Centex Corporation from 2001 to its 2009 merger with Pulte Homes, Inc. (now doing business as PulteGroup, Inc.).

Carol Stephenson

Ms. Carol M. Stephenson serves as an Independent Director of General Motors Co. She has been Dean of the Richard Ivey School of Business at The University of Western Ontario (“Ivey”) since 2003. Prior to joining Ivey, Ms. Stephenson served as President and Chief Executive Officer of Lucent Technologies Canada from 1999 to 2003. Ms. Stephenson is a director of Ballard Power Systems, Inc., a manufacturer of fuel cell products, Intact Financial Corporation (formerly ING Canada), an insurance provider in Canada, and Manitoba Telecom Services Inc., a communications provider in Canada. She was a member of the Advisory Board of General Motors of Canada, Limited (“GM Canada”), a GM subsidiary, from 2005 to 2009. Ms. Stephenson was invested as an Officer into the Order of Canada in 2009.
