Name Description

Theodore Leonsis

Mr. Theodore J. Leonsis has been appointed as Chairman of the Board of Groupon Inc., effective August 5, 2013. Theodore J. Leonsis has served on the Company Board since June 2009 and as Vice Chairman since April 2011, and has served in the Office of the Chief Executive since February 28, 2013. Since 1999, Mr. Leonsis has served as the Chairman and Chief Executive Officer of Monumental Sports & Entertainment, LLC, a sports and entertainment company that owns the NBAƒs Washington Wizards, the Washington Capitals, Washington Mystics, the Verizon Center in Washington, D.C. and the Baltimore-Washington Ticketmaster franchise. Mr. Leonsis also has served as a Vice Chairman Emeritus of AOL LLC, a global Web company, since December 2006. Mr. Leonsis held a number of other executive positions with AOL from September 1994 to December 2006, most recently as Vice Chairman and President, AOL Audience Business. Mr. Leonsis co-founded Revolution Growth Fund II, a private investment firm, and has served as a partner of the fund since that time. Mr. Leonsis has served as a director of American Express Co. (NYSE: AXP) since July 2010, a director of Rosetta Stone Ltd. (NYSE: RST) since December 2009 and was a director of NutriSystem, Inc. (NASDAQ: NTRI) from December 2008 through June 2012. Mr. Leonsis also serves on the board of directors of several private Internet and technology companies.

Eric Lefkofsky

Mr. Eric P. Lefkofsky serves as Chief Executive Officer, Director of Groupon Inc. He resigned as Executive Chairman of the Board, Interim Chief Executive Officer on August 5, 2013. Eric P. Lefkofsky is a co-founder of the Company, has served as the Company's Executive Chairman since its inception, and has served in the Office of the Chief Executive since February 28, 2013. Mr. Lefkofsky is a co-founder of Echo Global Logistics, Inc. (NASDAQ: ECHO) and served on its board of directors from February 2005 to December 2012. Mr. Lefkofsky is the co-founder of InnerWorkings, Inc. (NASDAQ: INWK) and served on its board of directors from August 2008 to October 2012. In 2008, Mr. Lefkofsky co-founded Lightbank LLC, a private investment firm specializing in information technology companies, and has served as a manager since that time. In April 2006, Mr. Lefkofsky co-founded MediaBank LLC, an electronic exchange and database that automates the procurement and administration of advertising media, and has served as a director or manager since that time. Bradley Keywell

Mr. Bradley A. Keywell is Co-Founder and Independent Director of Groupon Inc. Mr. Keywell is a co-founder of Echo Global Logistics, Inc. (NASDAQ: ECHO) and has served on its board of directors since its inception in February 2005. In 2008, Mr. Keywell co-founded Lightbank LLC, a private investment firm specializing in information technology companies, and has served as a manager since that time. In April 2006, Mr. Keywell co-founded MediaBank, LLC, an electronic exchange and database that automates the procurement and administration of advertising media, and has served as a director or manager since that time. Mr. Keywell also serves as a trustee of Equity Residential (NYSE: EQR), a real estate investment trust. Jason Child

Mr. Jason E. Child is Chief Financial Officer of Groupon Inc., since December 20, 2010. From March 1999 through December 2010, Mr. Child held several positions with Amazon.com, Inc. (NASDAQ: AMZN), including Vice President of Finance, International from April 2007 to December 2010, Vice President of Finance, Asia from July 2006 to July 2007, Director of Finance, Amazon Germany from April 2004 to July 2006, Director of Investor Relations from April 2003 to April 2004, Director of Finance, Worldwide Application Software from November 2001 to April 2003, Director of Finance, Marketing and Business Development from November 2000 to November 2001 and Global Controller from October 1999 to November 2000. Kal Raman

Mr. Kal Raman (also known as Kalyanaraman Srinivasan) is Chief Operating Officer, Chief Executive Officer - APAC Region of Groupon, Inc. Raman joined the company in April 2012. He was previously Senior Vice President, Global Sales and Operations. Raman is a 20-year veteran in technology and retail businesses. Most recently, Raman worked as Vice President of Global Fulfillment at eBay. Before that, he served as CEO of GlobalScholar, a in enterprise software to K-12 public schools. Prior to GlobalScholar, he was Senior Vice President at Amazon, responsible for driving its global non-media business for retailers and sellers. In addition, he led Amazon's retail technology and marketing units. Before joining Amazon, Raman was CEO of drugstore.com where he joined as CIO. He also held numerous management roles at Wal-Mart. He is a graduate of the College of Engineering, Guindy, Chennai, and remains dedicated to improving the quality of education for underprivileged children in his native India.

Dane Drobny

Mr. Dane A. Drobny has been appointed as Senior Vice President, General Counsel, Corporate Secretary of the Company, effective July 7, 2014. From May 2010 until June 2014, Mr. Drobny served as Senior Vice President, General Counsel and Corporate Secretary at Sears Holdings Corporation, a leading integrated retailer with more than 2,350 stores in the United States and Canada. Previously, he practiced law with the law firm of Winston & Strawn LLP, most recently as Capital Partner, from September 1993 until May 2010. Mr. Drobny has a B.A. degree from Colgate University and earned a J.D. from Washington University School of Law.

Parker Barrile

Mr. Parker Barrile is Senior Vice President - Product of the Company. Barrile joins Groupon from LinkedIn where he was VP of Product Management and led teams for several of the company's core monetization products including Talent Solutions, Premium Subscriptions and the Payments Platform. During his five years at LinkedIn, Barrile was instrumental in building consumer and enterprise products that today generate more than $1 billion in annual revenue. Prior to LinkedIn, Barrile founded and served as the CEO of Predictify, a community-based prediction platform where members could make and vote on predictions regarding current events. He has also held roles at Google and Bain & Company.

Robbie Schwietzer

Mr. Robbie Schwietzer is Senior Vice President - Operations of Groupon Inc. Previously, he spent 10 years at Amazon and most recently held the position of Vice President of Amazon Prime. During his tenure at Amazon, he also served as Director of International Retail, Director of Videogames and Software, Germany, and Senior Finance Manager. Prior to Amazon, Schwietzer worked at McKinsey & Company as an Associate Consultant. He holds an undergraduate degree from the University of California, Los Angeles, and a MBA from the Massachusetts Institute of Technology, Sloan School of Management.

Brian Stevens

Mr. Brian C. Stevens has been Chief Accounting Officer of Groupon Inc. Mr. Stevens spent 16 years with KPMG LLP, most recently as an audit partner from October 2007 through August 2012. Mr. Stevens spent five years in KPMG's Department of Professional Practice (April 2003 to June 2006 and July 2008 to June 2010) and was a practice fellow at the Financial Accounting Standards Board from July 2006 through June 2008. Mr. Stevens received his Bachelor of Science from the University of Illinois at Urbana-Champaign.

Jeffrey Housenbold

Mr. Jeffrey T. Housenbold is Director of Groupon Inc. Mr. Housenbold has served as President, Chief Executive Officer and a director of Shutterfly, Inc. (“Shutterfly”) (NASDAQ: SFLY) since January 2005. Prior to joining Shutterfly, Mr. Housenbold worked at eBay, serving in a variety of senior roles, including Vice President of Business Development and Internet Marketing, Vice President & General Manager, Business-to-Consumer Group and Vice President, Mergers & Acquisitions. Mr. Housenbold serves on the Board of Directors of Caesars Entertainment Corporation (NASDAQ:CZR), the world's largest casino entertainment company, and Chegg, the online student hub. Ann Ziegler

Ms. Ann E. Ziegler is Director of the Company. Since April 2008, Ms. Ziegler has served as Senior Vice President and Chief Financial Officer of CDW Corp. (“CDW”). Prior to joining CDW, Ms. Ziegler spent 15 years at Sara Lee Corporation (“Sara Lee”), a global consumer goods company, in a number of executive roles including finance, mergers and acquisitions, strategy and general management positions in both U.S. and international businesses. Most recently, from 2005 until April 2008, Ms. Ziegler served as Chief Financial Officer and Senior Vice President of Administration for Sara Lee Food and Beverage. Prior to joining Sara Lee, Ms. Ziegler was a corporate attorney at Skadden, Arps, Slate, Meagher & Flom. Ms. Ziegler serves on the board of directors of Hanesbrands, Inc. Peter Barris

Mr. Peter J. Barris is Independent Director of Groupon Inc., since January 2008. Mr. Barris has served on the board of directors of Echo Global Logistics, Inc. (NASDAQ: ECHO), InnerWorkings, Inc. (NASDAQ: INWK), Vonage Holdings Corp. (NYSE: VG) and Inteliquent (NASDAQ: IQNT) (formerly known as Neutral Tandem, Inc. (NASDAQ: TNDM)). Robert Bass

Mr. Robert J. Bass is Independent Director of Groupon Inc., since June 2012. He served as a vice chairman of Deloitte LLP from 2006 through June 2012, and was a partner in Deloitte from 1982 through June 2012, where he specialized in e-commerce, mergers and acquisitions, SEC filings and related issues. At Deloitte, Mr. Bass was responsible for all services provided to Forstmann Little and its portfolio companies and was the advisory partner for Blackstone, DIRECTV, 24 Hour Fitness, McKesson, IMG and CSC. Mr. Bass has also served on the board of directors and as chairman of the audit committee of NewPage Corporation since January 2013. In addition, he has been an advisory partner for RR Donnelley, Automatic Data Processing, Community Health Systems, and Avis Budget. Daniel Henry

Mr. Daniel T. Henry has been Independent Director of Groupon, Inc., since June 2012. Mr. Henry has been the Chief Financial Officer of American Express Company since October 2007 and its Executive Vice President since February 25, 2007. He was Acting Chief Financial Officer of American Express Company from February 2007 until October 2007. Mr. Henry is responsible for American Express Company’s Finance organization and representing American Express to investors, lenders and rating agencies. Mr. Henry joined American Express in 1990 and served in a variety of senior finance roles including Comptroller. Prior to joining American Express, Mr. Henry was a Partner with Ernst & Young LLP. Mr. Henry graduated from Iona College and received his Masters of Business Administration from Hofstra University.

Mellody Hobson

Ms. Mellody Hobson is Independent Director of Groupon Inc., since June 2011. Ms. Hobson has served as the president and a director of Ariel Investments, LLC, a Chicago-based investment management firm, since 2000, as the chairman since 2006, and as a trustee of the mutual funds it manages since 1993. She previously served as senior vice president and director of marketing at Ariel Capital Management, Inc. from 1994 to 2000, and as vice president of marketing at Ariel Capital Management, Inc. from 1991 to 1994. Ms. Hobson has served as a director of Starbucks, Inc. (NASDAQ: SBUX) since February 2005, DreamWorks Animation SKG, Inc.
