Biographies

Name Description

Gerard Mestrallet

Mr. Gerard Mestrallet has served as Chairman of the Board and Chief Executive Officer, as well as Member of the Management Committee and Executive Committee of GDF Suez SA since July 22, 2008. He joined Compagnie de Suez in 1984 as Vice-President of Special Projects. In 1986, he was appointed Executive Vice-President Industry and then in February 1991, Chief Executive Officer and Chairman of the Management Committee of Societe Generale de Belgique. In 1995, he became Chairman and Chief Executive Officer of Compagnie de Suez and then, in June 1997, Chairman of the SUEZ Lyonnaise des Eaux Management Board. On May 4, 2001, Mr. Mestrallet was appointed Chairman and Chief Executive Officer of SUEZ. He is also the Chairman of Paris EUROPLACE and a Member of the Board of Institut Francais des Administrateurs (French Institute of Corporate Directors). He holds various other positions, including Chairman of the Board of Directors of SUEZ Environment Company and Electrabel, and Vice Chairman of Aguas de Barcelona.

Jean-Francois Cirelli

Mr. Jean-Francois Cirelli has served as Vice Chairman of the Board, President in charge of the Energy Europe business line as well as Member of the Management Committee and Executive Committee of GDF Suez SA since July 22, 2008. He was previously Chairman of the Board, Chief Executive Officer (CEO) and Member of the Executive Committee of Gaz de France. From 1985 to 1995 he worked for the Ministry of the Economy and Finance, before becoming Technical Advisor (1995-1997) and then Economic Advisor (1997-2002) to the President of the Republic. In 2002, he became Deputy Director of the Prime Minister's Cabinet, Jean-Pierre Raffarin, where he was responsible for economic, industrial and social issues. He is a graduate of the Institut d'Etudes Politiques de Paris and Ecole Nationale d'Administration and holds a degree in Law. Mr. Cirelli holds a number of other positions, including Chairman of GDF Suez Trading SAS and Eurogas.

Albert Frere

Mr. Albert Frere has been Independent Vice Chairman of the Board of Directors of GDF Suez SA since December 17, 2008. He is a former Director and Vice Chairman of Suez. After holding a number of positions in his family company and acquiring knowledge of the iron and steel industry in the Charleroi basin, Mr. Albert Frere founded the company Pargesa Holding in 1981 in Geneva, in association with several other businessmen. In 1982, this company acquired an interest in Groupe Bruxelles Lambert. He also holds various other positions, including Honorary Regent of the National Bank of Belgium, Chairman of the Board of Directors and Chief Executive Officer of Groupe Bruxelles Lambert (Belgium), and Chairman of the Board of Directors of Frere-Bourgeois, ERBE, Financiere de la Sambre and Stichting Administratiekantoor Frere-Bourgeois.

Isabelle Kocher

Ms. Isabelle Kocher has served as Executive Vice President, Chief Financial Officer, Member of the Management Committee and Executive Committee of GDF Suez SA since October 1, 2011. She is a graduate of the Ecole Normale Superieure and an Engineer of the Corps des Mines. She also holds DEA (postgraduate degree) in quantum optics and aggregation in Physics. She previously served as Managing Director of Lyonnaise des Eaux, in charge of the development of activities in Europe from 2009 to 2011; Executive Vice President of Lyonnaise des Eaux from 2007 to 2009; Senior Vice President in charge of performance and reorganization programs of the Suez Group from 2005 to 2007; and in charge of the strategic overview of the Suez Group and the strategic monitoring of Suez Environnement from 2002 to 2005. Prior to that, she also served as Industrial Affairs Advisor to the Prime Minister of France from 1999 to 2002; Manager of the postal and telecommunications budgets, followed by the defense budget at the Budget Department of France from 1997 to 1998; and Manager of the industrial inspection and certification department at the DRIRE for the Ile-de-France region of France from 1994 to 1997. Between 1992 and 1993, she worked in the merger and acquisitions department at the Compagnie Financiere Edmond de Rothschild' and from 1991 to 1992, she was a Project manager for the optimization and restructuring of production workshops at the Societe Europeenne de Propulsion.

Valery Perrier

Mr. Valery Perrier is Deputy Chief Financial Officer of GDF SUEZ SA effective February 1, 2014. He is also in charge of Investor Relations. As the holder of an MBA in Strategy & Controlling from Paris Dauphine University (Universite Paris IX Dauphine), Mr. Perrier joined the Group in 1994 as a Controller before taking the role of Chief Financial Officer (CFO) of ELYO South East Asia in Singapore. In 1999, he was appointed CFO of Trigen Energy Corporation (Elyo) in New York. He rejoined Suez Corporate in 2002, as the Group Corporate Controller in charge of the Energy division. In 2006, he was appointed CEO of Elyo Iberica, and in 2009 he joined Electrabel as Head of Finance, Controlling, Information, Quality and Strategy for the Generation division. Since January 2012, he has held the roles of Chief Financial Officer and Executive Vice President for Belgium & Luxembourg.

Valerie Bernis

Ms. Valerie Bernis has served as the Executive Vice President in charge of Communications and Marketing, Member of the Management Committee and Executive Committee of GDF Suez SA since May 1, 2011. She previously served as Director of Communications, Financial Communications and Public Affairs of GDF Suez SA from July 22, 2008. She was Special Press Advisor in the French Ministry of Economics, Finance and Privatization from 1986 until 1988. In 1988, she took up the position of Senior Vice President of Communications at Cerus. From 1993 until 1995, she was in charge of communications and press for the Prime Minister. In December 1995, she was appointed Senior Vice President of Communications of Compagnie de Suez. In June 1997, she became Senior Vice President Communication and Special Advisor to the President of the Executive Board of SUEZ Lyonnaise des Eaux. She was also Chairwoman of Paris Premiere Television Channel (1999-2004). Since 2001, she had been Executive Vice-President of Suez, in charge of Communications and Sustainable Development and Member of the Executive Committee. She was appointed Member of the Board of Directors of SUEZ-Tractebel, Societe Monegasque d'Electricite et de Gaz (SMEG), SUEZ Environnement, and SUEZ Energy Resources NA (SERNA), as well as Member of the Supervisory Board of Euro Disney and Member of the Board of BULL. Ms. Bernis is a graduate of the School of Economic Sciences of Universite de Limoges and Institut Superieur de Gestion.

Henri Ducre

Mr. Henri Ducre has been Executive Vice President of Human Resources and a Member of the Management Committee and Executive Committee of GDF Suez SA since February 1, 2013. He also oversees the Information Systems Division and the Health, Safety and Management Systems Division. He previously served as the Executive Vice President of the Energy France Business Line and Member of the Executive Committee of GDF Suez SA from 2011 and was a Member of the Management Committee of the Company until January 1, 2012. Prior to that, he was the Director of the Energy France Business Line and Member of the Executive Committee from July 22, 2008 until 2011. In 1979, he joined the Distribution Division for EDF and Gaz de France. He held various responsibilities within EDF GDF Services, the joint distribution division for the two companies, particularly as Director of the Pyrenees Gascogne Center and as Director of the Group Mediterranean Centers. In 2001 He became General Manager of Edenor (an EDF subsidiary in Argentina). In 2002, he was Director of Distribution and Sales of EDF's Americas Division and in 2004, Director of EDF Gaz de France Distribution. From 2007, he was Vice-President of the Gaz de France Energy France Branch. Mr. Ducre is a graduate of Ecole Nationale Superieure des Arts et Metiers.

Dirk Achiel Beeuwsaert

Mr. Dirk Beeuwsaert has served as Executive Vice-President in charge of the Energy International Business Line, Member of the Management Committee and Member of the Executive Committee at GDF Suez SA since December 31, 2011. Prior to that he was Executive Vice-President in charge of Energy Europe and International Business Line and a Member of the Company's Management Committee and Executive Committee as of March 5, 2009. He pursued his career within the Electrabel group, after joining Intercom in 1971. In May 2000, he became Member of the former General Management Committee of Tractebel in charge of Electricity and Gas International and Chief Executive Officer of Tractebel Electricity and Gas International. He graduated in Mechanical Egineering and Eectricity from Universiteit Gent in 1971 and completed a general management program at INSEAD in 1987.

Jean-Louis Chaussade

Mr. Jean-Louis Chaussade has served as Executive Vice President of the Environment Business Line as well as Member of the Management and Executive Committees of GDF Suez SA since May 1, 2011. He previously held the title of Director and Chief Executive Officer of SUEZ Environnement from July 22, 2008. He joined Degremont in 1978. In 1989, he became Chief Executive Officer of Degremont Spain, and in 1992, Special Adviser of Dumez Copisa (Spain). In 1997, he was appointed Group Delegate for South America and became Managing Director of Degremont in 2000. He served as Chairman of Degremont from 2004. From 2004, he was Executive Vice-President of Suez in charge of Suez Environnement and Member of the Suez Executive Committee. He is also Member of the Board of Directors of Aguas de Barcelona, United Water, Lyonnaise des Eaux, Degremont, Terralys, Societe des Eaux de Marseille and SITA France. Mr. Chaussade holds an Engineering degree from ESTP (1976) and a degree in Economics from Paris Sorbonne University (1976). He also graduated from Institut d’Etudes Politiques de Paris (1980) and completed the Advanced Management Program of the Harvard Business School of Harvard University in 1988.

Jean-Marie Dauger

Mr. Jean-Marie Dauger serves as Executive Vice President in charge of the Global Gas & GNL Business Line as well as Member of the Management and Executive Committees of GDF Suez SA since July 22, 2008. He was previously Appointed Managing Director, Director of the Global Gas and GNL Branch and Member of the Executive Committee of Gaz de France SA since December 2004. He began his career at Pechiney, at Trad Bank (Lebanon) and in the Finance Department of EDF, and then joined Gaz de France in 1978. His first position was in the gas-dispatching centre at the Production and Transmission Division. In 1985, he joined the Gas Supply Division, where he held the position of Manager from 1991 to 1995. He conducted negotiations with gas producers and operators, notably in Norway, Russia, Algeria, Nigeria and Europe. Appointed Executive Vice President of Corporate Planning and Control in 1995, he was responsible for prospective studies, strategic analysis, management control and relations with French and European government bodies. Mr. Dauger was appointed Executive Vice President in 2000. He graduated from Ecole des Hautes Etudes Commerciales.

Jean-Claude Depail

Mr. Jean-Claude Depail has served as Executive Vice President of the Infrastructures Business Line and Member of the Management Committee of GDF Suez SA since 2011. He is also a Member of the Company's Executive Committee and previously served as Director of the Infrastructures Business Line from March 4, 2010. In 1973 he joined the Economics Research Department of the Economic and Commercial Division of Gaz de France, where he worked till 1978. Between 1978 and 1983, he served at the Transportation Production Division of Gaz de France and from 1983 to 1986 he was Head of the Research Department in charge of designing the transportation network. From 1986 till 1990 Mr. Depail served as Regional Delegate to Angouleme for the Compagnie Francaise du Methane, a subsidiary of Elf, Total SA and Gaz de France. In 1990 he became Head of the Normandy Region of the Transportation Production Division of Gaz de France. He held various other position within this company, including Head of Key Accounts (1999-2000). In 2000, he joined France Negoce as Head of Sales and Marketing. Between 2003 and 2007 he served as Head of France Negoce in charge of gas supplies, responsible for optimizing natural gas management and for sales to major clients in Europe. Mr. Depail served as Chief Operating Officer of the Global Gas & LNG Business Line. He holds a degree in Engineering from Ecole Superieure d'Electricite et de Mecanique. He also holds a Masters degree in Physical Sciences and Economics.

Jerome Tolot

Mr. Jerome Tolot has served as the Executive Vice President of the Energy Services Business Line and Member of the Management Committee of GDF Suez SA as of May 1, 2011. He is also a Member of the Company's Executive Committee and became the Director of the Energy Services Business Line in July 22, 2008. In 1982, he joined Lyonnaise des Eaux after working as a consultant with McKinsey. He successively served as Senior Vice President of Degremont, Senior Executive Vice President of GTM Group, then Vinci, and Chairman and CEO of SITA. In 2002, he became Executive Vice President of SUEZ and in 2005, he was appointed Executive Vice-President of SUEZ Energy Services. He has also been Member of the Board of Directors of Societe Monegasque d’Electricite et de Gaz (SMEG), Suez Environnement, GDF SUEZ University, GTI, Ineo, Axima Services and Fabricom. Mr. Tolot is a graduate of INSEAD and Institut d'Etudes Politiques de Paris and holds Postgraduate degree in Economics.

Veronique Durand-Charlot

Ms. Veronique Durand-Charlot has been the Information Systems Director and Member of the Executive Committee of GDF Suez SA since May 1, 2011. She is a graduate of Ecole Polytechnique and Ecole Superieure d'Electricite. In 2002, she joined the Gaz de France Group and was appointed Director of Information Systems in 2004. Prior to that, she served as Quality Management representative at EDF GDF Services from 1999 and Head of the Asnieres Distribution Center of EDF from 1995. In 1980, she joined EDF and held various management positions in the distribution sector.

Didier Retali

Mr. Didier Retali has been Member of the Executive Committee and Director of Audit and Risk at GDF Suez SA since March 1, 2012. He started his career at Lyonnaise des Eaux Group in 1989. He became Chief Executive Officer of Societe des Eaux de Macao. From 1993 to 2000 he held a number of positions at Lyonnaise des Eaux (renamed Suez Lyonnaise des Eaux), including that of Chief Financial Officer. In 200 he became Plan, Controlling and Accounts Director of Suez and in 2010 he was appointed Technical Advisor to the GDF Suez Chairman and Chief Executive Officer.

Marc Florette

Mr. Marc Florette has served as the Director of Research and Innovation and a Member of the Executive Committee of GDF Suez SA as of May 1, 2011. He is a graduate of Ecole Polytechnique and holds a Master of Science in Physics Engineering from University of California. He is also a Certified Public Accountant graduated from HEC. From 2003, he served as Senior Vice-President of the Research Division of Gaz de France, and then of the Research & Innovation Division of GDF Suez. Prior to that, he was the Chair of the Cogeneration division within the service business line of Gaz de France and Chair of the CCGT construction project from 2000, Deputy Director of the Research Division of Gaz de France from 1999, Director of EDF GDF SERVICES Seine et Marne from 1995, and Deputy Director of EDF GDF SERVICES Grand Toulouse from 1990. In 1979, he joined the Research department of Gaz de France and then the Distribution department of EDF and Gaz de France.

Jean-Louis Blanc

Mr. Jean-Louis Blanc has served the Director of the Group Sales and Marketing Department and a Member of the Executive Committee of GDF Suez SA since May 1, 2011. He holds an Agronomy Engineering degree obtained in Paris and is a graduate of Institut d’Etudes Politiques de Paris and Ecole Nationale d’Administration. He previously served as a Civil Administrator at the Ministry of Agriculture, Head of wine board, from 1976; from 1980, he was a Representative to the office of the Minister for Foreign Trade and then Chief of Staff to Secretary General for the Government; from 1985, he became Chairman of the Management Board of Domaine Cordier (Bordeaux wine production and trading); from 1992, he was the Chairman of the Management Board of the Compagnie nationale d’amenagement de la Region du Bas-Rhone et du Languedoc; in 1997, he then became Chairman of the Societe d’etudes et de promotion pour l’Aqueduc Languedoc-Roussillon-Catalogne; in 1999, he was appointed as Director of Water Resources at Suez, and from 2003, he was Commercial Director for France of Suez.

Ms. Claire Brabec-Lagrange has served as Director of Purchasing and a Member of the Executive Committee of GDF Suez SA as of May 1, 2011. Alain Chaigneau

Mr. Alain Chaigneau has been General Secretary and Member of the Executive Committee at GDF Suez SA since May 1, 2011. Prior to that he worked as Director of Business Strategy and Sustainable Development and Member of the Executive Committee of the Compay since July 2, 2008. He worked at the Treasury Department of the Ministry of Economy and Finance as recording Secretary and then Deputy General Secretary for the Committee for Improving Industrial Structures and the French Industrial Restructuring Authority (CIASI/CIRI). He joined Compagnie de Suez in 1984 as Vice President. Over the course of his career within the group, he served as Senior Vice President for Strategy and Planning at Compagnie de Suez, Finance Director at Societe Generale de Belgique, Executive Vice President for Finance and Administration at Ondeo Services, and as Chief Executive Officer for North and South America within SUEZ ENVIRONNEMENT. Since 2007, he had been Executive Vice-President in charge of Business Strategy of Suez. Mr. Chaigneau holds a DESS degree in Company Administration and Management from IAE (Institut d’Administration des Entreprises) in Paris, and a Master’s Degree in Economics from the Universite de Poitiers.

Philippe Jeunet

Mr. Philippe Jeunet has served as Advisor to the Chairman and Chief Executive Officer and Member of the Executive Committee of GDF Suez SA since 2012. He was Chief Financial Officer of Gaz de France SA from May 2000 to 2007 and then served as Advisor to the Chairman and CEO of Gaz de France. He first managed two venture capital firms, Avenir Tourisme and Promotour Investissement, and pursued the greater part of his career in the Credit d'Equipement des Petites et Moyennes Entreprises (CEPME) Group, where he held different positions of authority in corporate finance for companies in the manufacturing and tourism industries. From 1984 to 1986, he was a recording secretary of the French Government’s Interministerial Committee on Industrial Restructuring and the Industrial Financing Office of the French Treasury Department. He joined Gaz de France SA in 1991 as Deputy Director of the Financial and Legal Division in charge of subsidiaries and holdings. Within the Group, he successively held the post of Head of Gas Supplies and Projects (1995-1998) and Director of International Development until 2000. Mr. Jeunet is a graduate of the Institut d'Etudes Politiques de Paris and has a Masters degree in Law.

Paul Rorive

Mr. Paul Rorive has served as the Director of Nuclear Development and a Member of the Executive Committee of GDF Suez SA since May 1, 2011. He is a Civil Engineer (mechanical and electrical), graduated from the Universite Libre de Bruxelles, and is also a graduate of CEDEP. In 2006, he joined SUEZ Corporate to create the Nuclear Activities Department and prior to that, he served as the Chief Executive Officer of Tractebel Engineering from 2002. In 1983, he joined the Nuclear Power Plant of Tihange, where he held a number of operational posts and was appointed Director of the Plant in 1997. In 1978, he joined Intercom (one of the three companies from which Electrabel was created) and heldvarious posts in the traditional thermal power plants of Ruien and Marchienne-au-Pont. Mr. Rorive was appointed Director of GDF SUEZ Energy Services, LABORELEC, SYNATOM, Belgian Nuclear Forum, BELGONUCLEAIRE and Foratom, Executive Director of the Nuclear New Build Development Company, and President of the Tihange 1 Participation Association.

Edouard Sauvage

Mr. Edouard Sauvage has been Director of Strategy and Member of the Executive Committee of GDF Suez SA since February 11, 2013. From 2004, he was the Director of Gas Supplies at Gaz de France, then at GDF Suez, first within the Global Gas & LNG Business Line, and then, since 2012, within the Energy Europe Business Line. He worked at the French Delegation for National Development and Regional Action (DATAR) between 1993 and 1995, and then as a Technical Advisor to the Prime Minister in 1995. He joined EDF GDF Services in 1997, where he held various positions. In 2002, he was appointed as the Representative for Strategy and Europe at Gaz de France’s Strategy Division, and then, in 2003, as Deputy Director of the International Division.

Denis Simonneau

Mr. Denis Simonneau has served as Director of European and International Relations and a Member of the Executive Committee of GDF Suez SA since May 1, 2011. He is a graduate of Institut d'Etudes Politiques de Paris and Ecole Nationale d'Administration. Prior to that, he was a Diplomatic Adviser at GDF Suez SA from 2009. From 2007 to 2008, he was the Chief of Staff of the Minister for European Affairs; from 2005 to 2007, he was a Deputy spokesperson for the Department of Foreign Affairs of the French Government; between 2001 to 2005, he was a Consul General and Head of the French Trade Economic Mission in Houston, Texas; from 1997 to 2001, he was a Counsellor at the French Permanent Representation to the European Union in Brussels; and from 1996 to 1997, he was an Adviser to the Minister of European Affairs. Mr. Simonneau was appointed Vice-President of Europanova.

Willem Van Twembeke

Mr. Willem Van Twembeke is the CEO of International Power (Energy International Business Line) and a Member of the Executive Committee of GDF Suez SA, effective as of April 1, 2013. He has spent his entire career with the Group. Since 1991, he has worked in the engineering sector, in project management of power plant construction and managed the Group’s subsidiaries in Peru and in Chile. He was also responsible for trading and portfolio management in Belgium. Since 2011, he had been the Asia Regional Manager within the Energy International Business Line.

Alain Beullier

Mr. Alain Beullier has served as Employee Representative on the Board of Directors of GDF Suez SA since December 18, 2008. He joined EDF-GDF in 1984, occupying various roles in customer service, notably Sales Advisor in various EDF-GDF centers in the Paris region. He is currently employed by Elengy in charge of environmental regulation monitoring.

Olivier Bourges

Mr. Olivier Bourges has been a State Representative on the Board of Directors GDF Suez SA since October 5, 2009. He is also Member of the Company's Nominating and Remuneration Committee, Strategy and Investment Committee and Audit Committee. He served as Deputy Head of the National Banking Agency at French Treasury between June 1992 and June 1996 and Alternative Executive Director at World Bank between July 1996 and June 1998, as well as Head of the Housing Finance Agency at French Treasury between July 1998 and April 2000. Mr. Bourges was also Director of Financial Relations (2000-2002) and Director of Vehicle Profitability (2003-2005) at Renault and Vice President of Corporate Planning and Program Management Office at Nissan North America (2006-2007), as well as Senior Vice President of Group Management Control at Renault (2008-2009). Since September 2009, he has been Deputy Chief Executive Officer at the French Agency for State Holdings. Mr. Bourges graduated from Institut d'etudes Politiques de Paris and l’Ecole Nationale d’Administration. Currently, he also serves as Director at Dexia, La Poste and Thales, amongst others.

Ramon Fernandez

Mr. Ramon Fernandez has served as a State Representative on the Board of Directors of GDF Suez SA since March 27, 2009. He was also a Member of the Company's Nominating Committee from May 4, 2009. From 1993 to 1994, he served as Assistant to the Head of Energy, Transportation and Urban Planning, and then, until 1997, as Assistant to the Head of Financial Markets at the French Treasury. Seconded to Washington from 1997 to 1999, he was an Alternative Executive Director of the International Monetary Fund. He returned to the Treasury Department and was Head of the 'Energy, telecommunications and raw materials department' there until 2001, then Head of the 'Savings and financial markets department.' From May 2002 until October 2003, he was Technical Advisor to the Minister of Finance and Industry. He then served as Deputy Director of International Financial Affairs, Development and Economic Policy at the Treasury Department until June 2007. From June 2007 to April 2008, he was Technical Advisor to the French President, then Chief of Staff to the Minister of labor, corporate relations, family and solidarity until January 2009. He served as Head of the Economic Finance Department between February and March 2009, and has served as Executive Director of the French Treasury at the Department of Finance and Industry since March 2009. Mr. Fernandez graduated from Institut d'Etudes Politiques de Paris and Ecole Nationale d'Administration.

Pierre Mongin

Mr. Pierre Mongin has served as State Representative on the Board of Directors of GDF Suez SA since November 9, 2009. He is a Member of the Company's Strategy and Investments Committee. He is Chairman and CEO of RATP (Paris Transport Authority) since July 2, 2006 and has devoted much of his career to prefectural administration and ministerial offices. He is also Member of the Board of TRANSDEV Financial and TRANSDEV. He served as Assistant Prefect three times from 1980 to 1984 in the French departments of Ain, Ariege and Yvelines. In 1984, he joined the Ministry of the Interior as a Technical Advisor for the National Police. In 1986, he was appointed as an Advisor to the Minister of the Interior for local authorities and Deputy Chief of Staff for the Ministry of Local Authorities. He spent the next five years with the Prefecture de Police (Police Headquarters) in Paris, in charge of administrative and financial affairs and relations with the Council of Paris. In 1993, he became Chief of Staff for Prime Minister Edouard Balladur and Advisor for French Overseas Departments and Territories. He was appointed Prefect in April 1993 and subsequently served in two departments, Eure-et-Loir and Vaucluse, from 1995 to 1999. He served as Prefect of the Auvergne and Prefect of the Puy-de-Dome regions from 2002 to 2004. In 2004, he was appointed Chief of Staff for the Minister of the Interior, then Chief of Staff for Prime Minister Dominique de Villepin in 2005. He left the French State to go back to RATP in July 2006. Mr. Mongin holds a Master of Science in Economics from Universite Paris I Pantheon Sorbonne and is also a graduate from Institut d'Etudes Politiques de Paris and Ecole Nationale d'Administration.

Anne-Marie Mourer

Ms. Anne-Marie Mourer has served as Employee Representative on the Board of Directors of GDF Suez SA since January 21, 2009. She is also a Member of the Audit Committee of the Company. She previously served as an Employee Representative on the Board of Directors of Gaz de France from January 7, 2007 until July 22, 2008. In 1982, she joined EDF GDF Services, where she has successively held various management positions within the sales departments of the Grand Velay, Indre en Berry and Loire centers. In 1992, Ms. Mourer joined the commercial support and assistance group in Lyon to conduct appraisal activities as an in-house marketing consultant. From 1996 to 2001, she was responsible for Energie Direct, a direct marketing pilot unit within the Gas Sales Department. In the Gaz de France Sales Department, she was responsible for directing the marketing entity for the southeast region from 2002 to the end of 2003. Early in 2004, she joined the new Gestionnaire de Reseaux Gaz where she performed support and direction duties for the Development area in the Rhone-Alpes Bourgogne region. In view of the deregulation of the consumer market, she was appointed in 2007 as Project Manager to assist the change for GrDF, the new gas distribution subsidiary. Ms. Mourer holds a Masters degree in Economic Sciences and a diploma in Advanced Marketing studies.

Stephane Pallez

Ms. Stephane Pallez has been a State Representative on the Board of Directors of GDF Suez SA since 2012. She is a graduate of Institut d’Etudes Politiques de Paris and Ecole Nationale d’Administration. Since 2011, she has been the Chairwoman and Chief Executive Officer of French re-insurance company, Caisse Centrale de Reassurance. Prior to that, she was the Executive Finance Director of France Telecomfrom 2004 and she worked within the Ministry of the Economy, Finance and Industry (Treasury Department) between 1984 and 2004. Ms. Pallez is also a Director of CNP Assurances, and Director of Credit Agricole Corporate and Investment Bank and PlaNet Finance.

Patrick Petitjean

Mr. Patrick Petitjean has served as Employee Representative on the Board of Directors of GDF Suez SA since December 18, 2008. He started his career in the printing industry and joined Gaz de France in 1977, working for the Transport Division of GGRP (Groupe Gazier de la Region Parisienne). From 1983 to 1990, he held various roles within the technical and operating division of Gennevillers. He was a Trade Union Representative from 1990 to 1994 and then worked as a Technical Agent. Since 2000, he has been a Manager of internal equipment (real estate, vehicles, IT and transmission) for the Val-de-Seine area of GRTgaz.

Gabrielle Prunet

Ms. Gabrielle Prunet has served as Representative of Employee Shareholders on the Board of Directors of GDF Suez SA since Mary 4, 2009. She joined Lyonnaise des Eaux de Biarritz 34 years ago. For 20 years she managed the IT department of the Customer Billing and Collection Division. She currently works in the Reporting Department. She is also Chairman of the Supervisory Board of the SPRING funds.

Ann-Kristin Achleitner

Prof. Dr. Ann-Kristin Achleitner has been an Independent Director of GDF Suez SA since September 19, 2012. She is a Member of the Company's Audit Committee and Ethics, Environment and Sustainable Development Committee. She holds Doctorates in business administration and law, and has an accreditation to supervise research at the Universite de St. Gall. She was a consultant at MS Management Service AG in St. Gall (1991-1992), then a senior lecturer in finance and external auditing at the Universite de St. Gall (1992-1994). She has been a teacher of business administration (finance and accounting) at the Universite de St. Gall since 1994. In 1994 she became a consultant with McKinsey & Company Inc, then a chair in banking and finance and was Chairperson of the Board of the Institut fur Finanzmanagement, European Business School at the international University Schloss Reichartshausen in Oestrich-Winkel, Germany. Since 2001, she has held the Chair in business finace at Munich Technical University, where she became Scientific Director at the Center for Business and Financial Studies in 2003. In 2009 she became Associate Professor of business finance at the Universite de St. Gall. She holds a number of other positions, including Member of the Supervisory Board of Linde AG and Metro AG.

Edmond Alphandery

Mr. Edmond Alphandery has served as an Independent Member of the Board of Directors of GDF Suez SA since July 16, 2008. He is also Chairman of the Company's Ethics, Environment and Sustainable Development Committee, as well as Member of the Audit Committee. He is a former Director of Suez. He is Professor Emeritus at the Universite de Paris II. He was Mayor of Longue-Jumelles and Departmental Councilor of Maine and Loire until 2008. He was Minister of the Economy from March 1993 to May 1995. He chaired the Supervisory Board of CNP Assurances from 1988 to 1993 and was Chairman of Electricite de France from 1995 to 1998. From July 1998 until July 2012 , he again served as Chairman of the Board of CNP Assurances. He is a graduate of the Institut d'Etudes Politiques de Paris and has a Ph.D. in economics. Mr. Alphandery holds various other positions, including Chairman of the Centre des Professions Financieres, and Director of Credit Agricole CIB and Neovacs.

Jean-Louis Beffa

Mr. Jean-Louis Beffa has served as an Independent Director of GDF Suez SA since July 16, 2008. He served as a Member of the Board of Directors Gaz de France SA from November 20, 2004. He is also Chairman of the Company's Nominating and Remuneration Committee. He joined Compagnie de Saint-Gobain in 1974 as Director of Planning and became Chief Executive Officer (CEO) in 1982. He served as Chairman and CEO of Saint-Gobain from 1986 until June 2007. From June 2007 until June 2010 he was the Chairman of the Board of Saint-Gobain, before becoming the company's honorary Chairman. He graduated from Institut d'Etudes Politiques de Paris, Ecole Polytechnique and Ecole Nationale Superieure du Petrole. Mr. Beffa holds a number of other positions, including Chairman of Claude Bernard Participations SAS and JL2B Conseil.

Aldo Cardoso

Mr. Aldo Cardoso has served as an Independent Director of GDF Suez SA since July 16, 2008. He is also Chairman of the Company’s Audit Committee and a Member of the Strategy and Investment Committee. He served as a Member of the Board of Directors Gaz de France SA from November 20, 2004. From 1979 to 2003 he occupied various posts at Arthur Andersen: Consultant, Partner (1989), Chairman of the French Division (1994), Member of the Board of Directors of Andersen Worldwide (1998), Non-executive Chairman of the Board of Directors of Andersen Worldwide (2000), and Chief Executive Officer of Andersen Worldwide (2002-2003). He has an MBA from Ecole Superieure de Commerce de Paris, holds a Masters degree in Business Law and is a Certified Accountant. Currently, Mr. Cardoso is also Director of a number of companies, including Bureau Veritas, Imerys and GE Corporate Finance Bank SAS.

Thierry De Rudder

Mr. Thierry de Rudder served as an Independent Director of GDF Suez SA from July 16, 2008 until April 23, 2012. He was also a Member of the Company's Audit Committee and Chairman of the Strategy and Investments Committee. He is a former Director of Suez. He began his career in the United States, joining Citibank in 1975 and carrying out various functions in New York and Europe. He joined Group Bruxelles Lambert in 1986 where he is now Managing Director. He has a degree in Mathematics from the Universite de Geneve and the Universite Libre de Bruxelles, and holds an MBA from the Wharton School of Business in Philadelphia, part of University of Pennsylvania.

Paul Desmarais

Mr. Paul Desmarais Jr. has served as Independent Director of GDF Suez SA since July 16, 2008. He is also Member of the Company's Nominating and Remuneration Committee. He is a former Director of Suez. In 1984, he was named Vice-Chairman of Power Financial Corporation, a company that he helped set up. He became Chairman of that company in 1990, Chairman of the Executive Committee in May 2005 and Co-Chairman in May 2008. Mr. Desmarais was named Chairman of the Board and Co-Chief Executive Officer of Power Corporation of Canada in 1996. He holds a Masters degree in Administration. He studied at McGill University in Montreal and obtained and MBA from INSEAD in Fontainebleau. Mr. Desmarais also holds various other positions, including Vice Chairman of Pargesa Holding SA and Groupe Bruxelles Lambert.

Francoise Malrieu

Ms. Francoise Malrieu has been an Independent Director of GDF Suez SA since May 2, 2011. She is a Member of the Company's Audit Committee, Nominating and Remuneration Committee and is Chairperson of the Ethics, Environment and Sustainable Development Committee. A graduate of HEC School of Management, Ms. Malrieu began her career in 1968 at BNP. In 1979, she became Assistant to the Director of the Financial Analysis Department, before becoming Director of this department in 1983. She joined Lazard Freres et Cie in 1987 as Director of Financial Affairs. She was later appointed Manager in 1993, and then Managing Partner. In 2001, she joined Deutsche Bank France as Managing Director. She was appointed Chief Executive Officer of the Societe Financiere de Grenelle in 2004. From 2006 to 2009, she was Senior Advisor at Aforge Finance, an independent consultancy active in mergers, acquisitions and restructuring. At the end of 2008, she helped to create the Societe de Financement de l’Economie Francaise, where she is currently Chairperson of the Board of Directors and of the Audit Committee. She also performs a variety of roles in the non-profit sector and is notably a Director of Ares and Chairman of Arescoop.

Simon of Highbury

Lord Simon of Highbury has served as Independent Director of GDF Suez SA since July 16, 2008. He is also a Member of the Company's Nominating and Remuneration Committee. He is a former Director of Suez. He joined British Petroleum in 1961, where he held managerial positions before being appointed Chairman in 1995. From May 1997, he occupied various ministerial roles within the British government and became Advisor to the Prime Minister for the modernization of the government. He was also Advisor to the President of the European Commission, Mr. Prodi, regarding the reform of the European Union. He was appointed to the House of Lords in 1997. He holds a Masters degree from Cambridge University and an MBA from INSEAD in Fontainebleau, France. He holds several other positions, including Senior Advisor to Morgan Stanley International and Director of the Institute of Government.
