R. Jeffrey Orr

Mr. R. Jeffrey Orr serves as Independent Chairman of the Board Great-West Lifeco Inc. Mr. Orr has been Chairman of the Board of Lifeco, Great-West, London Life and Canada Life since May, 2013 and of Great-West Financial since July, 2013. Mr. Orr is also President and Chief Executive Officer of Power Financial Corporation, a position he has held since May, 2005. He was previously President and Chief Executive Officer of IGM Financial Inc.

Paul Mahon

Mr. Paul A. Mahon serves as President, Chief Executive Officer, Director of Lifeco, Great-West, London Life and Canada Life, a position he has held since May, 2013. Prior to that he was President and Chief Operating Officer, Canada of Lifeco, Great- West, London Life and Canada Life.

Garry MacNicholas

Mr. Garry MacNicholas serves as Executive Vice-President, Chief Financial Officer of Lifeco, Great-West, London Life and Canada Life. He has been Executive Vice-President, Actuarial and Risk Life of the Company. Mr. MacNicholas, who earned his Bachelor of Mathematics degree at the University of Waterloo, is a Fellow of the Society of Actuaries and Canadian Institute of Actuaries. Mr. Arshil Jamal serves as President, Chief Operating Officer, Europe of Lifeco, Great-West, London Life and Canada Life, subsidiary Companies of Great-West Lifeco Inc. He served as Executive Vice President - Capital Management of the Company. He also serves as Executive Vice-President and Chief Actuary of Great-West, London Life, CLFC and Canada Life.

Stefan Kristjanson

Mr. Stefan Kristjanson is appointed as President and Chief Operating Officer, Canada of the company. effective Aug. 6, 2016. He has been associated with the Great-West Lifeco organization for 26 years. He has held a wide variety of roles with increasing responsibility, including leadership of the group insurance business in Canada and the integration of the Irish Life business in Ireland. Most recently, Mr. Kristjanson has led the strategy and transformation of the business in Canada.

David Musto

Mr. David L. Musto is President of Great-West Investments of the company. He previously served as CEO of J.P. Morgan Retirement Plan Services. Musto joined J.P. Morgan in 2007 as the head of Defined Contribution Investment Solutions for asset management. In this role, he led the firm's efforts to serve the investment and support needs of plan sponsor clients, retirement platforms and intermediary partners. A veteran leader with more than 25 years of experience in the benefits, retirement and investment industries, Musto was formerly, a senior vice president at Prudential Retirement where he was responsible for the full-service retirement offering in the emerging corporate market, including product development, distribution and service models. He has also held senior management positions in CIGNA's retirement business, at Prudential Financial and at Kamoon, a startup financial software company. Musto holds an undergraduate degree from the College of William & Mary and an MBA from New York University. He will be based at Great-West's headquarters in Greenwood Village, Colorado.

Grace Palombo

Ms. Grace M. Palombo serves as Executive Vice-President, Chief Human Resources Officer of Lifeco, Great-West, London Life and Canada Life, positions that she has held since November, 2014. Prior to joining Lifeco Ms. Palombo served in senior human resources capacities with TD Bank Group (or its affiliates) and with CanWest Global Communications.

Paul Desmarais

Mr. Paul Desmarais, Jr., O.C., O.Q., serves as an Independent Director of Great-West Lifeco Inc. Mr. Desmarais is Chairman and Co-Chief Executive Officer of Power and Co-Chairman of Power Financial. Prior to joining Power in 1981, he was with S.G. Warburg & Co. in London, England, and with Standard Brands Incorporated in New York. He was Chairman of the Board of Power Financial from 1990 to 2005, Vice-Chairman of Power Financial from 1989 to 1990 and President and Chief Operating Officer of Power Financial from 1986 to 1989. He was named to his present position with Power in 1996. He is a Director of many Power group companies in North America, including Power, Power Financial, Great-West, London Life, CLFC, Canada Life, Great-West Financial, Putnam, IGM Financial Inc., Investors Group Inc. and Mackenzie Inc. In Europe, he is also Vice-Chairman of the Board and Executive Director of Pargesa Holding SA, Vice-Chairman and Director of Groupe Bruxelles Lambert, and Director of GDF Suez, Total SA and Lafarge SA. He was Vice-Chairman of the Board and a Director of Imerys until 2008. Claude Genereux

Mr. Claude Genereux serves as Independent Director of the Company, since May 7, 2015. Mr. Genereux joined Power Financial Corporation and Power Corporation of Canada as an Executive Vice-President in 2015. He was previously a Director of McKinsey & Company.

She was President and Chief Executive Officer of the Institute until her retirement in 2012. Ms. Hošek is a Professor at the School of Public Policy & Governance at the University of Toronto. From 1993 to 2000 she was Senior Policy Advisor to the Prime Minister and Director of Policy and Research, Prime Minister’s Office. She served as Senior Policy Advisor to the Leader of the Liberal Party of Canada from 1990 to 1993 and prior to that as MPP - Oakwood and Minister of Housing, Government of Ontario, and as a Member of the Policy and Priorities Board of the Cabinet of Ontario. She has been a member of The Economic Council of Canada. Ms. Hošek is a Director of Great-West, London Life, CLFC and Canada Life. She previously served as a Director of Maple Leaf Foods Inc. and Inco Ltd., and serves as a director and trustee for a number of non-profit organizations. She was named an Officer of the Order of Canada in 2006.

J. David Jackson

Mr. J. David Jackson serves as Independent Director of Great-West Lifeco Inc., with effect from May 2, 2013. Mr. Jackson retired as a Partner in the law firm Blake, Cassels & Graydon LLP in 2012 and currently serves as Senior Counsel to the Firm. He was the Chairman of Blakes from 1995 to 2001.

He was President and Chief Executive Officer of la Caisse de dépôt et placement du Québec from May, 2005 until May, 2008 and Chairman and Chief Executive Officer from September, 2002 until April, 2005. He was President and Chief Executive Officer of Laurentian Bank of Canada from 1994 until 2002 and prior to that held senior offices with Boréal Assurances Inc. and the National Bank of Canada. Mr. Rousseau was an economics professor at Université Laval from 1975 until 1986 and at Université du Québec à Montréal from 1973 until 1975. He is a Director of Great-West, London Life, CLFC, Canada Life, Great-West Financial and Putnam. He is also a Director of IGM Financial Inc. Investors Group Inc. and Mackenzie Inc. He is a Director of GFMA (Global Financial Markets Association). Raymond Royer

Mr. Raymond Royer, O.C., O.Q., FCPA, FCA, serves as an Independent Director of Great-West Lifeco Inc. Mr. Royer is a Company Director. He was President and Chief Executive Officer and a Director of Domtar Inc. from 1996 until December, 2008. He was previously President and Chief Operating Officer of Bombardier Inc. Mr. Royer is a Director of Great-West, London Life, CLFC, Canada Life, Great-West Financial and Putnam. Mr. Royer is also a Director of Power Financial. He was Director of Shell Canada Limited until 2007. T. Timothy Ryan

Mr. T. Timothy (Tim) Ryan, Jr., serves as Independent Director of Great-West Lifeco Inc., Mr. Ryan is President and Chief Executive Officer of Securities Industry and Financial Markets Association, the industry trade association representing 680 global financial market participants. Mr. Ryan is a graduate of Villanova University and American University Law School.Mr. Ryan’s principal occupation is that of a Corporate Director. He served as Vice-Chairman of Regulatory Affairs at JPMorgan Chase from 2013 to 2014 and prior to that he was President and Chief Executive Officer of the Securities and Financial Markets Association from 2008 to 2013.

Jerome Selitto

Mr. Jerome J. (Jerry) Selitto serves as an Independent Director of Great-West Lifeco Inc. Mr. Selitto served as a Director and as the President and Chief Executive Officer of PHH Corporation (“PHH”), a outsource provider of mortgage and fleet management services, from October 26, 2009 to January 4, 2012. Prior to joining PHH, Mr. Selitto most recently worked at Ellie Mae, Inc., a provider of enterprise solutions, including an online network, software and services for the residential mortgage industry. While at Ellie Mae, Mr. Selitto initially served as a senior consultant beginning in 2007 and, later in 2007 through 2009, as Executive Vice-President, Lender Division. In 2000, Mr. Selitto founded and served as Chief Executive Officer of DeepGreen Financial, a privately-held, innovative web-based federal savings bank and mortgage company that grew to become one of the nation’s most online home equity lenders. From 1992 to 1999, he served as co-founder and Vice Chairman of Amerin Guaranty Corporation (now Radian Guaranty), a mortgage insurance company. Mr. Selitto previously served as a Managing Director at First Chicago Corporation and PaineWebber Inc., and as a senior executive at Kidder, Peabody & Co., William R. Hough & Company, and the Florida Federal Savings and Loan Association. Mr. Selitto is a Director of Great-West, London Life, CLFC, Canada Life and Great-West Financial.

James Singh

Mr. James M. Singh, CPA, CMA, serves as an Independent Director of Great-West Lifeco Inc. Mr. Singh was the Executive Vice-President and Chief Financial Officer of Nestlé S.A. until his retirement in 2012. He was previously Senior Vice-President, Acquisitions and Business Development of Nestlé S.A. from 2000 until 2007 and Executive Vice-President and Chief Financial Officer of Nestlé Canada Inc. from 1995 until 2000. Mr. Singh is a Director of Great-West, London Life, CLFC and Canada Life. He holds a Bachelor of Social Science from the University of Guyana and Bachelor of Commerce (Hon) and Master Business Administration for the University of Windsor. Mr. Singh is a Fellow of the Chartered Institute of Management Accountants, United Kingdom. He is a Director of the RTL Group in Luxembourg and is also a Director of the American Skin Association. Emoke Szathmary

Dr. Emoke J. E. Szathmary, C.M., O.M., Ph.D., serves as an Independent Director of Great-West Lifeco Inc. Dr. Szathmáry is President Emeritus of the University of Manitoba and a Professor in the Department of Anthropology and in the Department of Biochemistry and Medical Genetics. She was previously Provost and Vice-President (Academic) of McMaster University in Hamilton, and prior to that Dean of the Faculty of Social Science of the University of Western Ontario in London (now Western University). Dr. Szathmáry is a Director of Great-West, London Life, CLFC and Canada Life. She is also a Director of Power Financial and Power. She also serves on the Boards of Directors of several provincial, national and international educational, research, and philanthropic not-for-profit organizations. She has received five honorary doctorates and the Lieutenant Governor’s Medal for Excellence in Public Administration in Manitoba. Dr. Szathmáry is a Fellow of the Royal Society of Canada. She is a member of the Order of Canada and the Order of Manitoba.

Gregory Tretiak

Mr. Gregory D. Tretiak, FCPA, FCA, serves as an Independent Director of Great-West Lifeco Inc. Mr. Tretiak is Executive Vice-President and Chief Financial Officer of Power and Power Financial. Mr. Tretiak joined Investors Group Inc. in 1988, and from 1990 until 2012 served as Executive Vice-President and Chief Financial Officer of IGM Financial Inc. Mr. Tretiak is a Director of Great-West, London Life, CLFC and Canada Life. Mr. Tretiak also serves on the Board of Directors of Great-West Financial, Putnam and PanAgora Asset Management, Inc. He is also a Director of IGM Financial Inc., Investors Group Inc. and Mackenzie Inc. Siim Vanaselja

Mr. Siim A. Vanaselja, CPA, CA, serves as an Independent Director of the Company, since May 8, 2014. He has been Executive Vice-President and Chief Financial Officer of BCE Inc., Canada’s largest communications company, and Bell Canada, a telecommunications and media company and one of BCE Inc.’s main assets, positions that he has held since 2001. From 1994 to 2001 he held other senior positions with BCE Inc. and its affiliates.

Brian Walsh

Mr. Brian E. Walsh serves as an Independent Director of Great-West Lifeco Inc. Mr. Walsh is Chairman and Chief Investment Officer of Saguenay Strathmore Capital, LLC, a money management and investment advisory company, a position that he held since September, 2011. He was previously Managing Partner of Saguenay Capital, LLC from January, 2001 to September, 2011. Mr. Walsh has over 30 years of investment banking, international capital markets and investment management experience. He had a long career at Bankers Trust culminating in his appointment as Co-head of Global Investment Banking and as a member of the Management Committee.
