Name Description

Stuart James

Mr. Stuart Bruce James is Non-Executive Chairman of the Board of Greencross Ltd., since February 6, 2014. Mr. James is an experienced executive within the financial and healthcare sectors. Following a 25 year career with Shell both in Australia and internationally, Mr. James became Managing Director of Australian Financial Services for Colonial and Managing Director of Colonial State Bank (formerly the State Bank of N.S.W). Mr. James’ also held an executive role as CEO of the Mayne Group from January 2002 to January 2005. Prior to that Mr James was Mayne’s Chief Operating Officer from July 2000 to January 2002. Mr. James is the Chair of Prime Financial Group Limited, Pulse Health Limited and Affinity Education Group Limited. He is Member of the Remuneration and Nomination Committee.

Martin Nicholas

Mr. Martin Lee Nicholas is Chief Executive Officer, Managing Director, Director of Greencross Ltd. Prior to joining Greencross, Martin most recently held the position of Chief Financial Officer of Sterling Early Education, which successfully executed a roll up strategy in the Australian childcare sector. He previously held the role of Chief Financial Officer at Study Group International, a private equity owned education business, and served as Group Finance Director for Rentokil Initial PLC, a multinational services business listed on the London Stock Exchange. Martin also spent over 20 years in FMCG with Unilever in the United Kingdom, Asia and Australia.

Warwick Thresher

Mr. Warwick Thresher is Chief Financial Officer of the Company. Warwick is a chartered accountant with over 18 years of finance experience. Warwick joined Greencross in 2014, and as General Manager, Finance has been responsible for all financial planning and analysis and controllership across the Group. Before joining Greencross, Warwick was Group Financial Controller of Study Group International, a private equity owned education business and has previously held senior finance positions with InterContinental Hotels Group (a FTSE 100 company), MITIE Group (a FTSE 250 company) and GE Capital Solutions UK.

Vincent Pollaers

Mr. Vincent Pollaers is Chief Human Resource Officer, General Counsel, Company Secretary of the company. Since 2 April 2014. Vincent joined Mammoth Pet Holdings Pty Limited in 2008. Prior to joining Mammoth he held positions as a weapons electrical engineering officer in the Royal Australian Navy, management consultant with Price Waterhouse in Hong Kong, corporate lawyer with Freshfields in London and Allens Arthur Robinson in Sydney, General Counsel, Company Secretary and Strategy Executive for IBM Australia / New Zealand, and Asia Pacific Managing Director for McKinney Rogers, a boutique strategy consultancy firm. Vincent is also an Honorary Fellow of the Faculty of Medicine at the University of Melbourne, Chairman of the Australian Twin Registry (a medical research enabling facility funded by the federal government), and a special advisor to the National Breast Cancer Foundation. Vincent holds both Bachelor of Science and Bachelor of Electrical Engineering degrees from the University of New South Wales, completed his Common Professional Examination and Law Society Final examination at the College of Law, London, and earned a Post Graduate Diploma in Counselling and Applied Psychotherapy at the Jansen Newman Institute.

Paul Kennedy

Mr. Paul Kennedy is Chief Information Officer of the Company. aul has over 20 years of IT experience, specialising in the retail and consumer discretionary sectors and specifically ecommerce. Paul has held a number of CIO roles with an explicit focus on development of an omni channel distribution model. Paul previously worked for The Apparel Group, a fashion retailer with over 400 stores, where he led IT and digital operations and oversaw the development of an omni channel distribution model.

Dr. Ian Kadish is Chief Operating Officer - Veterinary Services of the Company. Ian has over 25 years experience working in the coporate healthcare industry across locations in Australia, the United Kingdom, USA and Africa. Most recently, prior to joining Greencross, Ian was the CEO of Laverty Pathology, a division of ASX Listed Primary Healthcare. Ian is also the former Managing Director of ASX Listed Pulse Healthcare. Ian commenced his career at McKinsey and Company where he specialised in advising on the healthcare industry.

Christina Boyce

Ms. Christina Boyce is Non-Executive Director of the company. Ms. Boyce has over 20 years strategic consulting and management experience. Ms. Boyce is currently a director of Port Jackson Partners, a consulting firm providing strategic advice to Boards, CEOs and senior management. Prior to this, Ms. Boyce worked at McKinsey & Co for 14 years, where she was a Partner. Ms. Boyce has worked extensively with companies on growth, strategy development and business restructuring across a range of industries including retail and consumer services in Australia and overseas. Andrew Geddes

Mr. Andrew William Geddes is Non-Executive Director of Greencross Ltd., Mr. Geddes specialises in professional service firm management and development. This involvement led to his position as Non-Executive Director with Count Financial Limited since its listing on ASX in 2001, a company which offered financial services through a national network of accounting firms. Mr. Geddes has conducted management development programs for veterinarians in Australia and has gained valuable insight into Australian veterinary businesses through 25 years of consulting work with them. Mr. Geddes was past Chairman of Greencross Limited. He is Member of Audit and Risk Committee.

Rebekah Horne

Ms. Rebekah Horne is Non-Executive Director of the Company. Rebekah has 20 years’ experience in digital, telecommunications, mobile and media companies and is currently the Chief Digital Officer of Network Ten. Prior to joining Network Ten, Rebekah was the Chief Executive Officer of LA based start-up Topfloor.com, a Google and POLARIS Ventures backed e-commerce business. Between 2006 and 2011, Rebekah was responsible for the internationalisation of News Corp’s digital business, Fox Interactive Media. As MD of EMEA and Asia Pacific, she managed 26 territories. Prior to joining News Corp, Rebekah held a senior content and commerce position at SingtelOptus. Rebekah also has experience as a Non-Executive Director, sitting on the board of a range of subsidiary companies for Network Ten.

Christopher Knoblanche

Mr. Christopher Knoblanche is Non-Executive Director of the company. Mr. Knoblanche was Managing Director and Head of Citigroup Corporate and Investment Banking Australia & New Zealand from 2005 to 2012. Mr. Knoblanche was previously CEO of Andersen Australia, CEO of Andersen Business Consulting Asia Pacific and Regional Managing Director of Deloitte Management Solutions – Asia. Prior to Citigroup, Mr. Knoblanche was a Partner in the boutique Investment bank, Caliburn Partnership (now Greenhill Caliburn). Glen Richards

Dr. Glen Frank Richards is Non-Executive Director of the Company. He was Managing Director - Veterinary Services, Executive Director of Greencross Ltd. He was appointed Chief Executive Officer, Managing Director and Director on May 11, 2007. He has practiced companion Animal medicine and surgery in Brisbane, Townsville and London before commencing practice ownership and establishing Greencross Vets in Townsville in 1994. He established the Shanghai PAW veterinary surgery in China in 2001. He has also been a Member of The Australian Veterinary Association since 1988, with interest groups in Small Animals and Practice Management. He graduated from University of Queensland in 1988, and completed his Post Graduate Research Masters (1990-1992) at James Cook University researching production and reproduction parameters in Bos Indicus Cattle.

Paul Wilson

Mr. Paul David Wilson is Non-Executive Director of the company. He was Executive Director, Chief Commercial Officer of the company. He was a co-founder, director and shareholder of Mammoth Pet Holdings Pty Ltd prior to its acquision by Greencross Limited and served as its Managing Director from inception in 2005. Paul holds a Bachelor of Business and a Masters of Business Administration from the University of Southern Queensland. Prior to Mammoth, Paul was the Chief Operating Officer of ShopFast, Australia’s largest online grocery retailer (sold to Coles in 2003). Paul has worked in the retail industry for 26 years. He was with Caltex Australia from 1987 to 1999, in a number of roles including, National Fuels Pricing and Planning Manager, Retail Sales Manager for convenience retailing (500 locations), and General Manager of Caltex/Boral JV, Vitalgas. In addition, Paul is a director of the Petbarn Foundation and is a Director of Animates New Zealand Holdings Pty Ltd.
