Biographies

Name Description

Mario Gobbo

Mr. Mario Gobbo has been appointed as Chairman of the Board of Helix BioPharma Corp effective January 24, 2013. He is an independent consultant, formerly Managing Director for Health Care Capital Markets and Advisory with Natixis Bleichroeder. During his tenure with Natixis Bleichroeder, he secured initial public offerings for Jazz Pharmaceuticals and Biodel, and follow-on transactions for Natus, Biodel, Orexigen and Vanda, a PIPE for RXi and obtained two sell-side and one buy-side advisory mandates. He has over thirty years of banking and finance experience, which primarily spans pharmaceuticals and biotechnology and energy. He also was the acting Chief Operating Officer and served on the board of a U.S. diagnostic health care start-up founded by Johns Hopkins professors and has personally invested in several biotech companies.Mr. Gobbo also worked with Lazard Brothers in London where he created and managed their Central and Eastern European operations. Among others, he was retained by Pliva for their initial public offering, and Lek and Krka on acquisition opportunities. Previously, as a banker in London with Swiss Bank Corporation International Ltd., he was mandated by Serono, subsequently acquired by Merck KGaA, on their initial public offering. Mr. Gobbo currently sits on the board a private America-Brazilian stem cell company and was previously on the board of Lazard Brothers and of Ocimum Biosolutions, an Indian contract research firm. He holds a BA with a major in Organic Chemistry from Harvard College, an MSc in Biochemistry from the University of Colorado and a MBA, a Master of Business Economics and a PhD from the Wharton School of the University of Pennsylvania.

John Docherty

Mr. John M. Docherty, M.Sc., is President, Chief Operating Officer of Helix BioPharma Corp. He has multi-disciplinary experience in the pharmaceutical and bio-technology industries. Mr. Docherty joined the Company in 1999, in the position of Pharmaceutical Development Manager. After he was appointed Vice President of Corporate Development in June 2002, he liaised with strategic partners and sought and developed new opportunities for in-licensing and out-licensing of technology. Since his appointment as President in November 2007, his business functions included enhancing the Company’s public profile, overseeing advancing clinical programs, and managing the Company’s day-to-day operations. He holds a B.Sc. in Toxicology and a M.Sc. in Pharmacology from the University of Toronto. Prior to joining the Company, he was a corporate and operational strategy consultant with PricewaterhouseCoopers Pharmaceutical Consulting Group, from 1998 to 1999.

Robert Verhagen

Mr. Robert Verhagen is Chief Executive Officer, Non-Independent Director of Helix BioPharma Corp. He has more than 20 years of business development experience in the pharmaceutical and diagnostics industries, including experience working with small-cap biotechnology companies as well as multinational corporations. He has knowledge of corporate development and business planning including licensing arrangements, strategic alliances, partnerships, mergers and acquisitions, and subsidiary structuring as well as strategic planning experience in areas including pharmaceutical and medical devices product development, capital equipment and reagent markets and life sciences service lines. Most recently, Mr. Verhagen was the Vice President, Business Development of Spectral Diagnostics Inc., a company focused on the development and commercialization of key diagnostics in several disease areas, with particular emphasis on the combination of diagnostics and therapeutics in disease management, where he is responsible licensing and corporate strategic alliances, as well as Co-Chair of the Clinical Operations Committee, tasked with running a multi-national pivotal trial in Sepsis. Between 2000 and 2006 he was Senior Director, Corporate Development of MDS Inc. He has also held a senior position at SYNSORB Biotech, and founded and developed INH Technologies Inc., a life sciences company focused on drug discovery technologies, overseeing all aspects of growth, including financing, operations, management and business development, and ultimately negotiated the acquisition of the company by a multi-divisional life sciences company, providing premium shareholder value for investors. Mr. Verhagen holds an MBA and B.Sc. (Spec), both from the University of Alberta.

Photios Michalargias

Mr. Photios Michalargias, CA, is Chief Financial Officer of Helix BioPharma Corp. He possesses over 20 years of senior management experience in both public and private industry; and is experienced in transition and growth management, strategic planning and the raising of debt and equity financing. From 2004 to mid-2005, he was Chief Financial Officer of AP Plasman Corporation, a tier one North American automotive parts supplier controlled by Schroder Ventures International. From 2002 through to mid-2004, he was Senior Finance Director for CFM Corporation, a public company listed on the TSX. Mr. Michalargias’ previous tenures include senior financial roles with Trailmobile Corporation, Huhtamaki Oyi and Unilever. He holds a Commerce and Economics degree from the University of Toronto and is a Chartered Accountant. Mr. Michalargias’ business functions, as Chief Financial Officer, include financial administration; responsibility for accounting and financial statements; liaising with auditors, the financial community and shareholders; and coordination of expenses/tax activities of the Company.

Heman Chao

Dr. Heman Chao, Ph.D., is Chief Scientific Officer of Helix BioPharma Corp. He is a biochemist with experience in proteomics technologies. He has been President of Sensium Technologies Inc., a Company subsidiary, since November 2004 until it was wound up into the Company in April 2008. From 1999 to June 2002, he was Manager of Sensium Technologies Inc. From June 2002 to 2004, he was Vice President of Technology for the Company; his title was changed from Vice President of Technology to Vice President of Research for the Company in late 2004. Prior to joining the Company, he was a research fellow in the federally funded Protein Engineering Network of Centres of Excellence coordinating multi-center research.

William Chick

Mr. William Chick is Vice President - Product Distribution of Helix BioPharma Corp. He became the Vice President Product Distribution for the Company after the legal amalgamation of Rivex Pharma Inc. and Helix BioPharma Corp. He joined Rivex Pharma Inc. in 1997 as Vice President Sales and Marketing. From 1985 to 1997, Mr. Chick worked in the sales and marketing departments and was director of marketing for Allergan Canada, an international pharmaceutical company that specializes in eye care. From 1977 to 1985, he held various sales and marketing positions at Hydron Canada, a soft contact lens manufacturer. Mr. Chick holds a B.Sc. in Biology from the University of Toronto.

Slawomir Majewski

Professor Slawomir Majewski serves as Independent Director of Helix BioPharma Corp. He joined the board as an observer in April 2012, to provide input and guidance. Professor Majewski is Head of the Department of Dermatology and Venereology and Deputy Rector for Science and International Relations at the Medical University of Warsaw, Coordinator of the Polish Center of Preclinical Studies and Technology and a member of the scientific advisory board at the Polish Ministry of Health. He is also a former member of the Company’s Board of Directors, having served from 2008 to 2009.

Marek Orlowski

Mr. Marek Orlowski serves as Independent Director of Helix Biopharma Corp. He is currently a consultant for Sanofi-Aventis for portfolio development and globalisation of brands. Mr. Orlowski is the co-founder of the Polish pharmaceutical company, Nepentes S.A., which was acquired by Sanofi-Aventis in 2010. Mr. Orlowski’s experience at Nepentes S.A., from the time he co-founded it in 1991 until it was acquired by Sanofi-Aventis in 2010, includes experience in all aspects of marketing, supervision of sales, creation of the company’s portfolio and development strategy. His responsibilities included the supervision of strategy of product placement on the market and research and development, the sale of a number of brands, creation of new products, and involvement in clinical trials of products. He negotiated distribution contracts and coordinated product launches in Eastern Europe, from Russia through to Poland to Romania. He was also a member of the Management Board of Nepentes S.A. until 2010, where he was responsible for marketing, sales, portfolio creation, strategic development and research and development. His experience in this role at Nepentes S.A. included the listing of Nepentes S.A. onto the Warsaw Stock Exchange and negotiating its subsequent acquisition by Sanofi-Aventis. Mr. Orlowski established and co-owned a direct marketing company, Pelargos Sp. z o.o., as well as a pharmaceutical company Mexigem Polska Sp. z o.o., which were both later acquired. He is a board member and Chief Executive Officer of Airway Medix Sp. z o.o., a Polish-Israeli company that produces ventilation assistance devices for intensive care units. Mr. Orlowski holds a MD (Medical Director) degree from the Medical Academy of Warsaw.
