Mr. Douglas J. Flint, CBE, is Executive Group Chairman of the Board of HSBC Holdings Plc. Mr. Phillip David Ameen has been appointed as an Independent Non-Executive Director of the Company., effective January 1, 2015. He was formerly Vice President, Comptroller and Principal Accounting Officer of General Electric Corp (GE). A Certified Public Accountant, Mr Ameen started his career at Peat Marwick Mitchell & Co (now KPMG) rising to be a technical audit partner in the firm's Executive Office. He left the firm in 1985 to join GE, initially at GE Capital in Stamford. Latterly he moved to GE's headquarters staff in Fairfield, ultimately becoming Comptroller, where until 2008 he led a team of approximately 2,000 accountants responsible for all of GE's accounting and external reporting. He retired from GE in 2009. Mr Ameen has extensive experience in accounting standards setting and reporting. He served on the International Financial Reporting Interpretations Committee of the International Accounting Standards Board, the Accounting Standards Executive Committee of the American Institute of Certified Public Accountants, was the longest- serving member of the Financial Accounting Standards Board Emerging Issues Task Force and was Chair of the Committee on Corporate Reporting of Financial Executives International. He has also served as Trustee of the Financial Accounting Foundation Inc. Mr Ameen joined the Board of HSBC North America Holdings Inc. (HNAH) in April 2012 and chairs its Audit Committee and serves on its Risk Committee. Henri de Castries

Mr. Henri de Castries has been appointed as Non-Executive Independent Director of the Company, with effect from 1 March 2016. He has more than 25 years of international experience in the finance industry. Henri has been Chairman and Chief Executive Officer of AXA, one of the world's leading global insurance and asset management companies since April 2010 after having served as Chairman of the AXA Management Board from May 2000. Henri is also Chairman of the French leading think-tank Institut Montaigne and of AXA Hearts in Action, AXA's volunteer community outreach programme. He also serves as a non-executive director of Nestlé S.A. and of the French National Foundation for Political Science (FNSP), and is a member of the Advisory Board of Tsinghua University School of Economics and Management. Janis Lomax

Ms. Janis Rachel Lomax is Independent Non-Executive Director of HSBC Holdings PLC. She has Experience in both the public and private sectors and a deep knowledge of the operation of the UK government and financial system.She is the Chairman of the International Regulatory Strategy Group and a director of TheCityUK since 1 January 2013; non-executive director of The Scottish American Investment Company PLC, Arcus European Infrastructure Fund GP LLP and Heathrow Airport Holdings Limited (formerly BAA Limited); member of the Council of Imperial College, London; and President of the Institute of Fiscal Studies.She was a Deputy Governor, Monetary Stability, at the Bank of England and member of the Monetary Policy Committee; Permanent Secretary at the UK Government Departments for Transport and Work and Pensions and the Welsh Office; and Vice President and Chief of Staff to the President of the World Bank. Ceased to be a non-executive director of Reinsurance Group of America Inc. on 15 May 2013.

Heidi Miller

Dr. Heidi G. Miller Ph.D., has been appointed as Independent Non-Executive Director of HSBC Holdings plc., with effective 1 September 2014. Heidi was President of International at JPMorgan Chase & Co. from 2010 to 2012, with responsibility for leading the bank's global expansion and international business strategy across the Investment Bank, Asset Management, and Treasury & Securities Services divisions. Prior to this, she ran the Treasury & Securities Services division of JPMorgan Chase & Co. for six years. Other former roles include Executive Vice President and Chief Financial Officer of Bank One Corporation (2002-2004), Senior Executive Vice President of Priceline.com Inc. (2000-2001) and Executive Vice President and Chief Financial Officer of Citigroup Inc. (1998-2000).

David Nish

Mr. David T. Nish has been appointed as Independent Non-Executive Director of the Company, with effect from 1 May 2016. He most recently served as chief executive officer of Standard Life plc, acting in that role for six years between 2010 and 2015, having originally joined as its group finance director in 2006. Under his tenure as chief executive officer, Standard Life was successfully re-positioned to concentrate on its investment management and distribution businesses. David led the investment in technology, the complementary acquisitions and the disposal of the group’s Canadian operations which enabled both the transformation of the business as well as a substantial return of capital to shareholders. Prior to joining Standard Life, David was the group finance director of Scottish Power plc. David is a qualified chartered accountant and spent 16 years at Price Waterhouse, the last five as a partner in the audit and transaction practice. David is currently non-executive director of Vodafone plc, London Stock Exchange Group plc, UK Green Investment Bank plc and, subject to shareholder approval from 31 March 2016, Zurich Insurance Group. Previous non-executive positions include HDFC Life (India), Northern Foods plc, Thus plc and Royal Scottish National Orchestra.

Jonathan Symonds

Mr. Jonathan Richard Symonds, CBE, has been appointed as an Independent Non-Executive Director of the Company effective April 14, 2014. He is a non-executive Director of Genomics England Limited and an advisor to Mesoblast Limited and Proteus Digital Health Inc. Jonathan will also be appointed as Chairman of HSBC Bank plc, HSBC's European subsidiary which offers UK and Continental Europe Retail Banking, Commercial Banking, Global Banking and Markets and Global Private Banking services. Jonathan was Chief Financial Officer of Novartis AG from 2009 to 2013. Prior to joining Novartis, Jonathan was a Partner and Managing Director of Goldman Sachs (2007-2009), Chief Financial Officer of AstraZeneca plc (1997-2007) and a Partner of KPMG (1992-1997). Jonathan's governance experience includes serving as a non-executive Director and chair of the audit committees of Diageo plc and Qinetiq plc. A Fellow of the Institute of Chartered Accountants in England & Wales. He holds a BA, First Class Honours, in Business Finance from the University of Hertfordshire.

Pauline van der Meer Mohr

Ms. Pauline F. M. van der Meer Mohr has been appointed as an Independent Non-Executive Director of the Company effective September 1, 2015. She is currently president of the Executive Board of Erasmus University Rotterdam, a role which she has held since 2010. Pauline began her career in the legal profession and held several legal and management positions with the Royal Dutch Shell Group from 1989 to 2004, rising to become HR Director, Information Technology. In 2004, she was appointed group human resources director at TNT NV before moving to become senior executive vice president and head of group human resources at ABN AMRO Bank NV in 2006. Pauline began her own human capital consulting firm in 2008 and served as a member of the Dutch Banking Code Monitoring Commission in Holland from 2010 to 2013. Additionally, Pauline is a member of the supervisory boards of Royal DSM NV and ASML Holding NV.

Paul Walsh

Mr. Paul Steven Walsh has been appointed as Non-Executive Independent Director of the Company, with effect from 1 January 2016. He was Group CEO of Diageo plc between 2000 and 2013. Under his leadership, Diageo was refocused from a diversified food, beverage and hotels conglomerate into one of the world's leading global alcoholic beverage businesses. In building this position, Paul took Diageo from a largely European and US business into emerging markets and to global leadership through the acquisition of many of the world's leading brands. Paul originally joined the Board of Grand Metropolitan plc (GrandMet) (the business that merged with Guinness in 1997 to form Diageo) in 1995. Prior to that, between 1982 and 1988, he held a number of finance roles in GrandMet's brewing division, Watney Mann and Truman, followed by chief financial officer roles in the group's Food Division and at InterContinental Hotels. Between 1992 and 2000, Paul was CEO of Pillsbury in the US, a business he later sold along with Burger King to allow Diageo to concentrate on its spirits business. Paul is currently chairman of Compass Group PLC and Avanti Communications Group Plc and is a non-executive director of FedEx Corporation. He was formerly a non-executive director of Centrica plc and Unilever plc.

Guy Lewis
