Name Description

Richard Marriott

Mr. Richard E. Marriott is Chairman of the Board of Host Hotels & Resorts Inc. He is Chairman of the Board of First Media Corporation and the Polynesian Cultural Center. He is the Chairman and a director of the J. Willard Marriott and Alice S. Marriott Foundation and a director of the Richard E. and Nancy P. Marriott Foundation. Mr. Marriott also serves on the Federal City Council and the National Advisory Council of Brigham Young University. He previously served on the Board of Marriott International, Inc. and is a past President of the National Restaurant Association. In addition, Mr. Marriott is the President and a Trustee of the Marriott Foundation for People with Disabilities. Mr. Marriott has comprehensive knowledge of the Company and provides unique perspective and insight into the hospitality industry based on a 46 year history with the Company and Marriott International. During his tenure, Mr. Marriott has served in various executive capacities, was elected to the Board of Directors in 1979, and has served as Chairman since 1993.

W. Walter

Mr. W. Edward Walter is President, Chief Executive Officer, Director of Host Hotels & Resorts Inc. He joined Company in 1996 as Senior Vice President for Acquisitions, and has since held a variety of positions, including Chief Operating Officer and Chief Financial Officer. He became President and Chief Executive Officer in October 2007. Prior to joining Company, Mr. Walter was a partner with Trammell Crow Residential Company and the President of Bailey Capital Corporation. He serves on the Board of Directors of AvalonBay Communities, Inc. where he is a member of the audit committee and investment and finance committee. He is also on the board of the Friendship Public Charter School, the charter school system in the District of Columbia, serves as Chairman of the Board of the National Kidney Foundation, and serves as First Vice-Chair of the Board of Governors of the National Association of Real Estate Investment Trusts. Mr. Walter has experience in finance, capital markets, real estate and the hospitality industry. He has knowledge of the Company as a member of senior management for over 15 years, serving in various roles within the Company, including acquisitions, finance, and culminating in his current service as Chief Executive Officer. Mr. Walter also brings an understanding of construction, law and financial reporting and compliance aspects of industry and business.

Gregory Larson

Mr. Gregory J. Larson is Chief Financial Officer, Executive Vice President of Host Hotels & Resorts Inc. He joined the company in October 1993. In 1998, Mr. Larson joined the Treasury group as Vice President of Corporate Finance. He assumed leadership of the Investor Relations department in 2000, was promoted to Senior Vice President in 2002, and was elected Treasurer in 2005. In November 2007, Mr. Larson was selected to lead the company corporate strategy business and elected to Executive Vice President.

Struan Robertson

Mr. Struan B. Robertson is Executive Vice President, Chief Investment Officer of Host Hotels & resorts Inc. Mr. Robertson brings more than 23 years of real estate investment banking experience to Host. Most recently, he was co-head of global real estate investment banking at Morgan Stanley where he co-managed global teams across as many as 14 offices in 13 countries. He was also involved with a variety of hotel sector deals in the United States, Europe, the Middle East and Asia. Prior to this position, he was in various roles at Morgan Stanley including head of European principal investment and investment banking and prior to that head of Asian real estate investment banking based in Tokyo, Japan. Additionally, Mr. Robertson is a founding member and former board member of the European Public Real Estate Association, a trustee of the Urban Land Institute, and a special advisor to the World Economic Forum for Real Estate.

Elizabeth Abdoo

Ms. Elizabeth A. Abdoo is Executive Vice President, General Counsel, Secretary of Host Hotels & Resorts Inc. She joined the company in June 2001 as Senior Vice President and General Counsel and became Executive Vice President in February 2003. She was elected Secretary in August 2001.

James Risoleo

Mr. James F. Risoleo is Executive Vice President & Managing Director, Europe of Host Hotels & Resorts, Inc., since January 1, 2012. He joined the company in 1996 as Senior Vice President for Acquisitions, and was elected Executive Vice President and Chief Investment Officer in 2000. In January 2012, he became managing director of the Company’s European business activities.

Joanne Hamilton

Ms. Joanne G. Hamilton is Executive Vice President - Human Resources of Host Hotels & Resorts, Inc., since January 2010. Prior to joining the company, she was the Chief Human Resource Officer for Beers & Cutler, an accounting and consulting firm based in Vienna, Virginia from 2007 to 2010. Prior to joining Beers & Cutler, Ms. Hamilton served as Senior Vice President of Human Resources for Spirent PLC, a global telecommunications company, from 2002 to 2007.

Minaz Abji

Mr. Minaz B. Abji is Executive Vice President - Asset Management of Host Hotels & Resorts Inc., since 2003. He joined the company in 2003 as Executive Vice President, Asset Management. Prior to joining the company, Mr. Abji was President of Canadian Hotel Income Properties REIT, a Canadian REIT located in Vancouver, British Columbia where he worked since 1998.

Brian Macnamara

Mr. Brian G. Macnamara is Senior Vice President, Corporate Controller of Host Hotels & Resorts Inc., since September 1, 2007. He joined the company in February 1996, was promoted to Vice President, Assistant Corporate Controller in February 2007, and was elected Senior Vice President, Corporate Controller in September 2007. Prior to serving as Assistant Corporate Controller, Mr. Macnamara served as Vice President, Financial Reporting and Corporate Real Estate.

Mary Baglivo

Ms. Mary L. Baglivo is an Independent Director of Host Hotels & Resorts, Inc. Ms. Baglivo is currently a partner with Brand Value Advisors, a strategic brand and digital marketing advisory firm. She previously served as chair and chief executive officer, the Americas at Saatchi & Saatchi Worldwide from 2008 to April 2013, and chief executive officer, New York from 2004 to 2008. Prior to joining Saatchi & Saatchi, she was president, Arnold Worldwide from 2002-2004 and chief executive officer of Panoramic Communications from 2001 until 2002. She currently serves on the board of directors of PVH Corp and is a member of its compensation committee. In addition, she is a trustee of Northwestern University, a director of the American Advertising Federation and a director of The Kids Corporation.

Sheila Bair

Ms. Sheila C. Bair has been appointed as an Independent Director of Host Hotels and Resorts, Inc. effective October 31, 2012. Ms. Bair is the former Chair of the Federal Deposit Insurance Corporation, where she served in that capacity from 2006 to 2011. From 2002 to 2006 she was the Dean’s Professor of Financial Regulatory Policy for the Isenberg School of Management at the University of Massachusetts-Amherst. She also served as Assistant Secretary for Financial Institutions at the U.S. Department of the Treasury (2001 to 2002), Senior Vice President for Government Relations of the New York Stock Exchange (1995 to 2000), Commissioner of the Commodity Futures Trading Commission (1991 to 1995), and as counsel to Kansas Republican Senate Majority Leader Bob Dole (1981 to 1988). She continues her work on financial policy issues as a senior advisor to the Pew Charitable Trusts and as chair of the Systemic Risk Council, a public interest group which monitors progress on the implementation of financial reforms. She is also an accomplished author and has written several books on financial issues, including educational writings on money and finance for children. She also serves on the boards of the Atlantic Council and Holton-Arms School for Girls.

Terence Golden

Mr. Terence C. Golden is an Independent Director of Host Hotels & Resorts, Inc. Mr. Golden served as President and Chief Executive Officer from 1995 until his retirement in May 2000. He is the Chairman of Bailey Capital Corporation. He is a director of Pepco Holdings, Inc., a member of the Federal City Council and chairman of KIPP-DC. In past years, Mr. Golden served as Chief Financial Officer of The Oliver Carr Company, as a member of the G2 Satellite Solutions Advisory Committee, a trustee of the Washington Real Estate Investment Trust and was also co-founder and national managing partner of Trammell Crow Residential Companies. He served as Administrator of the General Services Administration from 1985 to 1988 and was Assistant Secretary of the Treasury from 1984 to 1985.

Ann Korologos

Ms. Ann McLaughlin Korologos is an Independent Director of Host Hotels & Resorts, Inc. Ms. Korologos served as the Chair of the Board of Trustees of the RAND Corporation, an international public policy research organization from April 2004 to April 2009. From October 1996 to December 2005 she served as Senior Advisor to Benedetto, Gartland & Company, Inc., a private investment banking firm in New York. She formerly served as President of the Federal City Council from 1990 until 1995 and as Chairman of the Aspen Institute from 1996 until August 2000. Ms. Korologos has served in several United States Administrations in such positions as Secretary of Labor and Under Secretary of the Department of the Interior. She also serves as a Director of Kellogg Company, Harman International Industries, Inc., and Vulcan Materials Company. She previously served on the boards of Microsoft Corporation and Fannie Mae. While Ms. Korologos is also a director of AMR Corporation (and its subsidiary, American Airlines), she will be retiring from the board of AMR Corporation and American Airlines when the transaction with U.S. Airways Group, Inc. is consummated, which is expected to occur in the third quarter of 2013.

John Morse

Mr. John B. Morse, Jr., is an Independent Director of Host Hotels & Resorts, Inc. Mr. Morse served as Vice President, Finance and Chief Financial Officer of The Washington Post Company from November 1989 until his retirement in December 2008. He also served as President of Washington Post Telecommunications, Inc. and Washington Post Productions Inc., both subsidiaries of The Washington Post Company. Prior to joining The Washington Post Company, Mr. Morse was a partner at PricewaterhouseCoopers. Mr. Morse is a Director of AES Corporation, where he is on the financial investment committee and the financial audit committee, and HSN, Inc., where he is chairman of the audit committee and a member of the compensation committee. He is also a trustee of the College Foundation of the University of Virginia.

Walter Rakowich

Mr. Walter C. Rakowich has been an Independent Director of Host Hotels & Resorts, Inc. Mr. Rakowich is the retired chief executive officer of Prologis, where he also served as a director of its board upon completion of the merger with AMB Property Corporation in 2011, and prior to that merger, as a trustee of the board since 2004. At Prologis, Mr. Rakowich served as co-chief executive officer from June 2011 to December 2012; chief executive officer from November 2008 to June 2011; president and chief operating officer from 2005 to 2008, and was a managing director and chief financial officer from 1998 to 2005. Prior to joining Prologis, Mr. Rakowich was a partner with real estate provider Trammell Crow Company, where he worked for nine years; before that he was a senior audit and tax consultant for PriceWaterhouse.

Gordon Smith

Senator Gordon H. Smith is an Independent Director of Host Hotels & Resorts, Inc. Senator Smith is President and CEO of the National Association of Broadcasters. From March to October 2009 he was a senior advisor and resident at the Washington, D.C. office of Covington & Burling LLP as a member of the Government Affairs and International Trade practice groups. In 2008, Senator Smith completed his second term as a United States Senator from the State of Oregon, where he served on the Commerce, Science and Transportation Committee; the Energy and Natural Resources Committee; the Finance Committee; and the Indian Affairs Committee. In addition, he was a ranking member of the Senate Finance Subcommittee on International Trade and Global Competitiveness and for six years chaired the Senate Foreign Relations Subcommittee on European Affairs. Prior to his election to the United States Senate, he directed the operations of Smith Frozen Foods, his family’s frozen food processing business and is currently Chairman of the Board of Smith Frozen Foods, which is privately held. In 1992, he was elected to the Oregon State Senate, of which he became president in 1995. He also previously practiced law in the states of New Mexico and Arizona.
