Name Description

Nir Gilad

Mr. Nir Gilad has served as Chairman of the Board of Directors of ICL Israel Chemicals Ltd since May 28, 2007. He also serves as Member of the Boards of Directors with various Company subsidiaries, and President and Chief Executive Officer of Israel Corporation, the principal shareholder of the Company. Previously, he was Deputy Chief Executive Officer of Strategy and Business Development of Israel Corporation, Accountant-General of Israel's Ministry of Finance, Deputy Chief Executive Officer of Migdal Insurance and Financial Holdings Ltd, Chief Executive Officer of Migdal Investments Management 2001 Ltd, and Chairman of the Board of Directors of Migdal Capital Markets Ltd. Mr. Gilad also held senior positions with Israel's Ministry of Finance. Mr. Gilad received his Bachelor of Arts degree in Agricultural Science from The Hebrew University of Jerusalem, and his Masters of Business Administration degree from Bar Ilan University.

Mr. Shmuel Daniel has been appointed Internal Auditor at ICL-Israel Chemicals Ltd. effective August 1, 2014. Prior to this role, he served as Chief Financial Officer at the Company's subsidiary, ICL Industrial Products, for two years and nine months, and prior to that as Internal Auditor at the same subsidiary for seven years and nine months. Mr. Daniel holds a Bachelors degree in Accounting and Economics and a Masters degree in Industrial Management, both from Ben Gurion University. He is a Certified Chartered Accountant and a Certified Internal Auditor.

Haim Erez

Mr. Haim Erez has served as Member of the Board of Directors of ICL Israel Chemicals Ltd since February 1, 1996. Mr. Erez is also Member of the Boards of Directors with various Company subsidiaries, and also with Africa-Israel Investments Ltd, Israel Salt Industries Ltd, Anglo Israel Control Systems, and Consultant with Kroosh Technologies Ltd. Between 1988 and 1995, Mr. Erez was Chief Executive Officer, President of ICL Israel Chemicals Ltd, and Member of the Boards of Directors with various companies, such as Vulcan. Mr. Yaacov Dior has served as External Director of ICL Israel Chemicals Limited since October 5, 2011. He also serves as Member of the Board of Directors with the Company’s several subsidiaries. Mr. Dior’s resume also includes Chief Executive Officer of IDT Carmel Inc, Israel Credit Cards Ltd and United Mizrahi Bank, Chairman of the Board of Directors of Diners Club Israel and Interactive Dialogue Ltd, Member of the Board of Directors of Israel Corporation and other companies. Mr. Dior founded, and between 1996 and 2000, was Chief Executive Officer of, Alphacard Ltd. He also held numerous positions with Bank Leumi, for 17 years. Mr. Dior received his Bachelor of Arts degree in Economics and Political Science from The Hebrew University of Jerusalem, and his Masters of Business Administration degree from Tel Aviv University.

Ovadia Eli

Mr. Ovadia Eli has served as External Director of ICL Israel Chemicals Ltd on August 16, 2011. He is Chairman of the Boards of Directors of Israel Airports Authority and ICPI, and Member of the Board of Directors of Zim Integrated Shipping Lines. Mr. Eli also serves as Member with the Boards of Directors of The Jewish Agency for Israel, Yad Ben Zvi Institute, and Amidar Housing Company. Between 1984 and 1996, he was Member and Deputy Speaker of the Knesset, Israel’s Parliament, and between 1991 and 1992, he was Israel's Deputy Defense Minister. Miriam Haran

Dr. Miriam Haran has served as External Director of ICL Israel Chemicals Ltd since July, 2009. Dr. Haran also serves as Head of Ono Academic College’s MBA/ Environmental Management Program, and Chief Scientist of Tamarix Ventures. Previously, she was Director General of Israel’s Ministry of the Environment. Dr. Haran received her Bachelor of Science degree in Chemistry from The Hebrew University of Jerusalem, and her Doctorate of Science degree in Organic Chemistry from Brandeis University.

Yair Orgler

Prof. Yair Orgler has served as External Director of ICL Israel Chemicals Ltd since September 5, 2006. Prof. Orgler serves also as Member with the Boards of Directors of the Company’s several subsidiaries, and with Atidim, and he also is External Director with Bank Hapoalim, Itamar Medical Ltd, Gazit-Globe Ltd, and Ceragon Networks. Current Professor Emeritus of Tel Aviv University and the university’s Management Committee Member, between 1985 and 1990, Prof. Orgler was the university’s Vice Rector, and between 1981 and 1985, the Dean of the Graduate School of Business Administration. He taught at the Kellogg School of Management of Northwestern University, in the United States, and was Visiting Financial Economist with the Board of Governors of the US Federal Reserve, and with the US Federal Deposit Insurance Corporation. Prof. Orgler penned numerous books, academic and professional articles. Between 1996 and 2006, he chaired Tel Aviv Stock Exchange He also served with the Audit Committee of Bank of Israel, and last but not least, founded and chaired Maalot, the Israeli Standard & Poor’s rating agency. Prof. Orgler received his Bachelor of Science degree in Industrial Engineering from Technion - Israel Institute of Technology, in Haifa, his Masters degree in Industrial Engineering from Carnegie Mellon University, his Master of Science degree in Industrial Engineering from University of Southern California, and his Doctorate in Philosophy degree in Management from Carnegie Mellon University.
