Name Description

Laurence Vaughan

Mr. Laurence Edward William Vaughan has been appointed as Non-Executive Chairman of the Board of Idox plc., effective 1 August 2015. He began his career with PricewaterhouseCoopers in audit and consulting before joining a client as its Financial Director. In 1993 he joined Sytner Group Ltd ("Sytner") where, as Chief Executive Officer, he led the team that grew the company from a single BMW dealership to a group with revenues of approximately £1 billion by 1997 when it was listed on the London Stock Exchange. Sytner was bought by US-based Penske Group in 2002 and Laurence joined the main Board before becoming Sytner's non-Executive Chairman. In 2006 Laurence was appointed Chairman of Civica plc ("Civica"), which he helped float on AIM. He stepped down from its Board in late 2008 following Civica's acquisition by Cornwall BidCo Limited (a company backed by 3i plc) and the decision to cancel the trading of Civica shares on AIM. Laurence is also Chairman of Catapult Venture Managers Limited and r2c Online Holdings Limited, a Catapult portfolio company specialising in compliance and invoicing systems for truck, coach and haulage operators. Laurence was also Executive Chairman of Anglian Home Improvements Limited from September 2013 to April 2015. Laurence holds a BA from Durham University and is a chartered accountant. He is currently Chairman of Catapult Venture Managers Limited and founding partner of Opus Ventures LLP, a private equity business which he established in 2003.

Richard Kellett-Clarke

Mr. Richard Graham Quinton Kellett-Clarke is Chief Executive Officer and Executive Director of IDOX Plc. Richard Kellett-Clarke has 31 years of directorial experience. He joined Idox first as CFO in 2006, then COO in 2007. He was appointed CEO in November 2007. Before this he has held a number of CFO appointments with Brady plc, Pickwick Group plc, and in subsidiaries of Pearson plc and Invensys plc. In addition, he was a founder and Managing Director of AFX NEWS Ltd, now part of Thomson Reuters, IT Director of Financial Times Information, and Founding Director of Sealed Media Ltd, an Internet start up. In 2011 he joined the board of dotDigital Group plc as a Non–Executive Director.

Jane Mackie

Ms. Jane Mackie is a Chief Financial Officer, Executive Director, Company Secretary of IDOX Plc. Jane Mackie first joined the finance team of Idox in 2005 and was appointed as Group Financial Controller and Company Secretary in 2009. Jane was appointed as Chief Financial Officer in February 2014. Prior to this Jane was an assistant audit manager at Grant Thornton in Glasgow where she qualified as a Chartered Accountant in 2004. Jane has a first class degree in Accounting from the University of Strathclyde, where she graduated in 2001.

Andrew Riley

Mr. Andrew John Riley is Chief Operating Officer, Director of the Company. He has been the Managing Director of Idox's Public Sector Software Division since 2011, having been promoted from Sales & Marketing Director. Prior to joining Idox in 2000, Andrew gained a broad experience in the public sector having been commissioned as an officer into the RAF in 1990, and then holding teaching and training roles, before finally working as an IT manager for a local UK council. Andrew is a graduate of the University of Wales. He is Director of The following companies are Idox plc subsidiaries: J4B Netherland B.V., Netherlands; Interactive Dialogues N.V, Belgium; Currency Connect B.V., Netherlands; Digital Spirit GmbH, Germany.

Barbara Moorhouse

Ms. Barbara Moorhouse serves as Non-Executive Director of the Company. Barbara has more than 25 years of senior UK and international management experience in operating and financial roles, across the private and public sectors. Her recent executive roles include Chief Operating Officer of Westminster City Council and Director General at the Ministry of Justice and subsequently the UK Department of Transport. Prior to 2005, she held a variety of senior strategic and commercial roles at listed companies in Europe and the UK, including acting as Chief Finance Officer of technology companies Kewill Systems plc and Scala International NV. Barbara is currently a Non-Executive Director at Agility Trains and at the Lending Standards Board. She is Trustee and Chair of Audit Committee at Guy's and St Thomas' Charity. She also sits on the Board of the West Hampshire Clinical Commissioning Group.

Peter Lilley

The Right Honourable Peter Lilley, MP, is Senior Non-Executive Independent Director of IDOX Plc. Peter Lilley, MP for Hitchin and Harpenden, was Parliamentary Private Secretary to Ministers for Local Government and after a period at the Treasury served as Secretary of State for Trade and Industry and Secretary of State for Social Security until 1997. He serves on the Advisory Board of YiMei Capital. He is the senior independent Non-Executive Director of Idox and chairs the Nominations Committee.

Jeremy Millard

Mr. Jeremy Millard has been appointed as Independent Non-Executive Director of Idox PLC., effective June 11, 2013. Jeremy Millard is a partner of Smith Square Partners LLP, where he provides corporate finance advice to companies primarily in the Technology sector. Prior to this, he spent five years at Rothschild, based in their London office, advising clients on all aspects of corporate finance, including on a number of major crossborder transactions encompassing Europe, North America and the Middle East. Between 2001 and 2007, Jeremy worked at Hawkpoint Partners, where he had a strong focus on advising mid-market UK listed companies. He has also worked for the UK Ministry of Defence and Mars Snack Foods, qualified as a chartered accountant in 1999, and holds an M.Eng from Cambridge University. He is the Chairman of the Audit Committee.
