Manoel Felix Cintra

Mr. Manoel Felix Cintra Neto has served as the Chairman of the Board of Directors of Banco Indusval SA since May 6, 2011. Previously, he acted as Chief Executive Officer, Vice Chairman of the Board of Directors and Member of the Executive Board of the Bank since 2003 until May 6, 2011. Moreover, he is Member of the Bank's Compensation and Benefits Committee. He worked at Banco Bozano, Simonsen, where he began his career in 1970 as Trainee, working until 1984, when he was General Manager for Sao Paulo region; at Banco Multiplic, from 1985 to 1995, where he was Executive Officer and Chief Executive Officer, and at Multiplic Corretora de Valores Mobiliarios, between 1997 and 1999, where he was Partner and CEO. From December 1999 to April 2003, he was appointed CEO and Partner of Banco Multistock, Multistock SA Corretora de Cambio e Valores, Maxima Promotora de Vendas Ltda. and Maxima Financeira Credito Financiamento e Investimento SA. He also served as Director, from 1987 to 1990, and President, from 1990 to 1992, of ANBID; Executive Officer of FEBRABAN from 1989 to 1995; Vice Chairman of the Board of Directors of CBLC from 1999 to 2003; Vice Chairman of the Board of Directors of the BM&F from 1994 to 1997, and Chairman of BM&F from 1997 to May 2008. Previously, he served as Co-Chief Executive Officer, Member of the Executive Board, and a Member of the Board of Directors of the Bank from May 6, 2011 to 2012, as well as Chairman of the Board, Managing Director, and a Member of the Executive Board of the Bank from 2003 to May 6, 2011. From 1998 to 2003 he was Chief Executive Officer, Member of the Executive Board of the Company. He has been Member of the Bank's Executive Board since 1998. Moreover, he is Member of the Bank's Compensation and Benefits Committee. He became Secretary of the Bank's Board in 2012. He began his career with Indusval Corretora de Titulos e Valores Mobiliarios in 1971. He was appointed Officer in 1973 and, in 1988, he was elected Chief Executive Officer, serving until May 2008. He was Member of the Board of Directors of the Sao Paulo Stock Exchange - BOVESPA in the period from 1980 to 1981 and from 1987 to 1992. He was also Chairman of the Board of the Mercantile and Futures Exchange - BM&F from 1986 to 1991, and Member of its Board of Directors from 1998 to 2003. He was Chief Executive Officer of Banco Indusval SA in the period from 1998 until 2003, by the time of the merger with Banco Multistock. Jair Ribeiro da Silva

Mr. Jair Ribeiro da Silva Neto has served as Co-Chief Executive Officer, a Member of the Executive Board, and a Member of the Board of Directors of Banco Indusval SA since May 6, 2011. Moreover, he is Member of the Bank's Compensation and Benefits Committee. He started his career in 1979, as lawyer of the law firm Pinheiro Neto Advogados, working in the mergers and acquisitions area. He was co-Founder and CEO of Banco Patrimonio, in joint-venture with Salomon Brothers. In 1999, he leaded the sale of Banco Patrimonio to Chase Manhattan, then acting as Managing Director in the Brazilian subsidiary. After the acquisition of JP Morgan by Chase, he moved to New York, where he headed the international equities team covering Europe, Asia, South Africa, Latin America and Australia from 2001 to 2003. He was also Co-Founder of CPM Braxis SA and is currently its Vice-Chairman. Additionally, he is Managing Shareholder of Sertrading SA, Vice-Chairman of Brascom (National Association of IT Companies) and Member of the Board of Directors of Vale Fertilizantes SA. He is the Founder and the CEI of Casa do Saber and General-Coordinator of Educations Partners Association. He holds a Bachelor's in Economics from Fundacao Armando Alvares Penteado (FAAP), a Bachelor's in Law from Universidade de Sao Paulo and a Master's in Law from University of California, Berkeley.

Carlos Ciampolini

Mr. Carlos Ciampolini has served as the Vice Chairman of the Board of Directors of Banco Indusval SA since 2012. Previously, he acted as Vice Chairman of the Board and Secretary of the Board of the Bank from May 6, 2011 to 2012. He has been Member of the Executive Board, Secretary of the Board, and a Member of the Board of Directors between March 26, 2008, and May 5, 2011. He was a Member of the Executive Board of the Company from 1991 to March 26, 2008. He started his career at Indusval SA Corretora de Titulos e Valores Mobiliarios, working in several areas, such as portfolio management, investment clubs management, Stock and Mercantile Exchange trader (Bovespa and BM&F), developing experience, contributing and participating in the structuring of projects in these areas. In 1980, he was elected Member of the Executive Board, being responsible for the development, implementation and management of several activities of the brokerage house. In 1991, when Banco Indusval SA started its operations, he was named Member of the Executive Board. He is also part of the Company's controlling shareholders group. He graduated in Economics from Mackenzie Presbyterian University in 1973.

Gilberto Barshad Faiwichow

Mr. Gilberto Barshad Faiwichow has served as the Vice President, Investor Relations Officer, and a Member of the Executive Board of Banco Indusval SA since December 6, 2011. Previously, he acted as Executive Vice President of the Bank since May 6, 2011, until December 6, 2011. He has been Member of the Bank's Executive Board since May 6, 2011. Mr. Claudio Roberto Cusin has served as a Member of the Executive Board of Banco Indusval SA since August 8, 2011. He initiated his career in the sector of financial markets in 1988 at BankBoston where he held various positions in the credit area between 1994 and 1997. He also acted as Credit Executive Director at ING Bank NV Sao Paulo from 1997 to 2002. From 2003 to 2005, he acted in the financial administration sector. He joined WestLB as a Credit Director and held this position between 2005 and 2006. From 2007 to 2009, he acted as Risk Officer for Brazil and Latin America at Banco Standard de Investimentos. He was also Head of Corporate Finance of Banco KdB do Brasil from May 2010 to June 2011. He is a Mechanical Engineer and an Economist by profession.

Jair da Costa Balma

Mr. Jair da Costa Balma has served as a Member of the Executive Board of Banco Indusval SA since August 8, 2011. He acted as Manager of the Resouce Capture at Fundacao Cosipa de Seguridade Social - FEMCO from 1980 to 1983. He also worked in a number of other institutions including: Banco Multiplic SA from 1988 to 1990 and from 1995 to 1997; Banco BCN Barclays SA between 1990 and 1995; Multiplic SA CTVM from 1997 to 1999; Stock Maxima SA CTVM between 1999 and 2003; and Banco Indusval SA as from 2003. He is Business Administrator and gained a post graduate degree in Capital Markets.

Antonio da Rocha

Mr. Antonio Geraldo da Rocha has served as a Member of the Board of Directors of Banco Indusval SA since March 26, 2008. He began his career at Marcelo Leite Barbosa Corretora and, in 1973, he became Partner of Vetor Corretora. In 1975, he founded Stock Corretora de Cambio e Valores, being its Chief Executive Officer and major Shareholder. He also founded Stock Distribuidora de Valores Mobiliarios converted, in 1989, into Banco Stock SA which was later merged to Maxima Corretora and Multiplic Corretora, becoming in Banco Multistock SA. In 2003, Banco Multistock SA merged with Banco Indusval SA and was named Banco Indusval Multistock, when he took office as Executive Officer and was elected Member of Board of Directors in 2008. In 2006, he founded Stock Asset Management Adm Gestao de Recursos Ltda, where he is Director to the present. He studied Economy for three years at Faculdades Integradas Benett, after which he fully dedicated himself to the financial market where he has operated since 1972. His education was complemented through participation in trading courses at IBMEC and Fundacao Getulio Vargas (FGV).

Alain Juan Pablo Belda

Mr. Alain Juan Pablo Belda serves as an Independent Member of the Board of Directors of Banco Indusval SA. Moreover, he is Member of the Bank's Compensation and Benefits Committee. He worked for four decades at Alcoa Group, from 1969 when he was hired by the Brazilian subsidiary. He took diverse positions in the Financial and Planning areas before being nominated CEO of Alcoa Aluminio in 1979, Vice-CEO for Latin America from 1982 to 1991 and CEO from 1991 to 1994, when he became Vice-CEO for Alcoa Inc. He was the main executive of Alcoa Inc. from May 1999 to May 2008, when he was nominated Chairman of the Board of Directors. Currently, he is Independent Member of the Board of Directors of Renault SA, Citigroup Inc. and International Business Machines Corp (IBM), additionally to participating and managing a series of associations and institutions, in Brazil and abroad, tied to education and philanthropy. He is CEO of Warburg Pincus LLC and heads the investments of this private equity fund in Latin America since 2009. He holds a degree in Business Management from Universidade Presbiteriana Mackenzie.

Alfredo de Goeye

Mr. Alfredo de Goeye Jr. serves as an Independent Member of the Board of Directors of Banco Indusval SA. He worked in the financial market and in the equipment and machinery industry from 1969 to 1979. In November 1979 he started his period at Cotia Trading. He headed the business of the Nigerian Market for eight years. He worked for Cotia during 21 years holding various posts in Brazil and abroad. From 1994 to April 2000, he was Vice President of Sales of Cotia. In the second half of 2000, he co-founded Sertrading SA and, in 2002, Serlac Trading SA. In 2006, he co-founded Braxis SA, where he currently acts as Board Member. He is CEO of Sertrading Group, as well as Member of CONEX and he Brazilian Foreign Trade Chamber that is tied to the Federal Government by means of the Ministry of Development, Industry and Foreign Trade (MDIC). He acts also as officer at the Brazil-China Entrepreneurial Council. He obtained a degree in Business Management from Fundacao Getulio Vargas (FGV) in 1974.

Guilherme Affonso Ferreira

Mr. Guilherme Affonso Ferreira serves as an Independent Member of the Board of Directors of Banco Indusval SA. He started his career as an investment analyst at Banco Nordeste. At Bahema SA he acted in diverse areas from 1976, from Financial Manager to CEO and, currently, he is CEO of Bahema Participacoes SA. In the past, he was a Member of the Board of Directors of Unibanco, Unibanco Holding, Submarino, B2W, Santista Textil and Avipal, from 1998 to 2010. He is Board Member of Sulamerica Seguros, Pao de Acucar, Tavex, Eternit and Arezzo, as well as he has been Member of the Consulting Board of Signatura Lazard and Rio Bravo Investimentos since 2006. He obtained a degree in Production Engineering from Escola Politecnica at Universidade de Sao Paulo (USP) in 1975, a degree in Economics and Political Science from Macalester College and attended specialization courses at James Cook University in 1976.

Walter Iorio

Mr. Walter Iorio serves as an Independent Member of the Board of Directors of Banco Indusval SA. From 1966 to 2005, he worked at KPMG Brasil and was partner of the Executive Committee, the Financial Services practice and partner responsible for the Human Resources. He is Member of the Taskforce on financial institutions of the Institute of Independent Auditors of Brazil (IBRACON). He was coordinator of the Chamber of In-house Control at the Regional Accounting Council of Sao Paulo (CRC-SP) for 2006/2007. He has been Chairman of the Audit Counsel at Tokio Marine Brasil Seguradora SA and Tokio Marine Seguradora SA, as well as Member of the Audit Counsel at Sul America Companhia Nacional de Seguros and Sul America Seguros de Vida e Previdencia SA and Superintendent Director at KPMG PREV - Sociedade de Previdencia Privada. He obtained a Bachelor's in Accounting from Fundacao Armando Alvares Penteado (FAAP) in 1969.
