Richard Kruger

Mr. Richard Michael Kruger has been appointed as Chairman of the Board, President, Chief Executive Officer of Imperial Oil Ltd., effective March 1, 2013. Mr. Kruger, currently president of ExxonMobil Production Company, succeeds B.H. (Bruce) March, who has been appointed senior vice president of global operations for ExxonMobil Chemical Company.

Brian Livingston

Mr. Brian W. Livingston serves as Vice President, General Counsel, Corporate Secretary of Imperial Oil Ltd. Mr. Livingston is a graduate of Queens University with a degree in mechanical engineering. In 1976, he worked as an engineer in the upstream business in Calgary, Alta., before continuing his education at the University of Toronto where he earned a bachelor of law degree. In 1981, Mr. Livingston took a two-year assignment with the federal government in Ottawa, Ont., and was called to the bar in 1982. Mr. Livingston also spent several years working with two law firms in Toronto. In 1985, Mr. Livingston joined Imperial Oil as a counsel in the law department. He was transferred to the treasurers department as a financial analyst in 1989 and later became manager of credit. In 1994, he commenced a three-year secondment with Exxon Corporation in Dallas, Texas, and returned to Imperial in 1997 as director of corporate tax. In 2002, he was appointed vice-president and general counsel.

Phil Dranse

Mr. Phil Dranse serves as Treasurer of Imperial Oil Ltd. He was appointed Treasurer in August 2012. Mr. Dranse earned a Bachelor of Science degree in Chemical Engineering from Loughborough University. He worked for Exxon Corporation at their Fawley refinery in Southern England from 1976 to 1979 and subsequently joined Imperial Oil Limited in the Chemicals business in Alberta in 1982. He held a variety of technical and business positions in Chemicals before transferring to Corporate Treasurers in 1992 as a senior financial analyst. In 1995, Mr. Dranse commenced an assignment with Exxon Corporation in Treasurers in Dallas, Texas, managing their US pension and employee funds. In 1998, he returned to Imperial Oil Limited in Toronto as assistant treasurer, pension. He then held several assistant treasurer roles with increasing responsibility in the areas of pension, risk management, corporate finance, cash operations, and credit before becoming Imperial’s overall assistant treasurer in 2008.

Ms. Krystyna T. Hoeg is an Independent Director of Imperial Oil Ltd. Ms. Hoeg was the president and chief executive officer of Corby Distilleries Limited from 1996 until her retirement in February 2007. She previously held several positions in the finance and controllers functions of Allied Domecq PLC and Hiram Walker & Sons Limited. Prior to that, she spent five years in public practice as a chartered accountant with the accounting firm of Touche Ross. She is currently a director of Sun Life Financial Inc., Shoppers Drug Mart Corporation, Canadian Pacific Railway Limited and Canadian Pacific Railway Company, and is also a director of Ganong Brothers Limited and Samuel, Son & Co. Limited, both of which are privately owned corporations. Ms. Hoeg sits on the board of the Toronto East General Hospital.

Jack Mintz

Dr. Jack M. Mintz, Ph.D., is an Independent Director of Imperial Oil Ltd. Dr. Mintz is currently the Palmer Chair in Public Policy for the University of Calgary. Prior to that he was a professor at the Joseph L. Rotman School of Management at the University of Toronto from 1989. Dr. Mintz is a director of Brookfield Asset Management, Morneau Shepell Inc. and the Royal Ontario Museum. Dr. Mintz has published widely in the fields of public economics and fiscal federalism and has frequently published articles in national newspapers and magazines.

David Sutherland

Mr. David S. Sutherland is an Independent Director of Imperial Oil Ltd. In July 2007, Mr. Sutherland retired as president and chief executive officer of the former IPSCO, Inc. after spending 30 years with the company and more than five years as president and chief executive officer. Mr. Sutherland is a director of GATX Corporation, United States Steel Corporation and a member of the Board of Governors of the University of Saskatchewan. Mr. Sutherland is a former chairman of the American Iron and Steel Institute and served as a member of the board of directors of the Steel Manufacturers Association, the International Iron and Steel Institute, the Canadian Steel Producers Association and the National Association of Manufacturers.

Sheelagh Whittaker

Ms. Sheelagh D. Whittaker is an Independent Director of Imperial Oil Ltd. Ms. Whittaker spent much of her early business career as director and partner with The Canada Consulting Group, now Boston Consulting Group. From 1989 she was president and chief executive officer of Canadian Satellite Communications (Cancom). In 1993, Ms. Whittaker joined Electronic Data Systems of Plano, Texas, then one of the world’s foremost providers of information technology services. Initially spending several years as president and chief executive officer of EDS Canada, Ms. Whittaker then undertook other key leadership roles globally, ultimately serving the company as managing director, United Kingdom, Middle East and Africa, until her retirement from EDS in November 2005. Ms. Whittaker is also a non-executive director of Standard Life plc.

Victor Young

Mr. Victor Leyland Young, O.C. is an Independent Director of Imperial Oil Ltd. From November 1984 until May 2001, Mr. Young served as chairman and chief executive officer of Fishery Products International Limited, a frozen seafood products company. He is a director of Royal Bank of Canada and McCain Foods Limited. Mr. Young was appointed an Officer of the Order of Canada in 1996, and is currently vice chair of the capital campaign for Memorial University.
