Name Description

Giampiero Pesenti

Eng. Giampiero Pesenti has served as Chairman of the Board of Directors of Italcementi Fabbriche Riunite Cemento SpA Bergamo since 2004. From 1983 to 1984, he served as General Manager and from 1984 until 2004, he was Executive Director of the Company. He also serves as Member of the Executive Committee of the Company. He also serves as Chairman of the Board and Chief Executive Officer of Italmobiliare SpA. After graduating, in 1958 he began his career at Italcementi, the family company established in 1864. His first position was in the Central Technical Division. After holding important posts in and outside Italy, in 1983 he was appointed Chief Operating Officer and in 1984 Chief Executive Officer of Italcementi. In May 2004 he was appointed Chairman of Italcementi SpA. In 1984 he took the post of Chairman and Chief Executive Officer of the Italmobiliare Holding, which controls Italcementi. In addition to his posts in the Italmobiliare Group, he is Member of various Board of Directors such as Mittel SpA, Compagnie Monegasque de Banque, Finter Bank Zurich and others. He is also a Member of the voting trusts of Mediobanca and RCS MediaGroup of which he is Chairman. He is a Member of the Executive Committee of Confindustria, of which he was Deputy Chairman from 1992 to 1996. He is Deputy Chairman of the Italcementi Cav. Lav. Carlo Pesenti Foundation and since 2010 Member of the Board of the Italy China Foundation. He was appointed Grand Officer of the Order of Merit of the Italian Republic in 1977 and Knight of the Order of Labor Merit in 1989. In July 2004 he was named a Knight of the Legion d’Honneur by the President of the French Republic. In 2009 he was named Knight of the Grand Cross of the Order of Merit of the Italian Republic. He graduated in Mechanical Engineering from Politecnico di Milano.

Carlo Pesenti

Mr. Carlo Pesenti has served as Chief Executive Officer, Director, Head of Internal Audit of Italcementi Fabbriche Riunite Cemento SpA Bergamo since April 17, 2013. He has served as Chief Executive Officer and Director of Italcementi Fabbriche Riunite Cemento SpA Bergamo since May 2004. Prior to that, he was Joint Chief Operating Officer of the Company. He also serves as Member of the Executive Committee of the Company. In addition to his duties at the Company he is Chief Operating Officer of the Italmobiliare SpA holding company. Following graduation and a period of study and work abroad, he entered Italcementi, gaining experience in a number of areas. His career commenced with training in several production units of the Group, first in the technical services area, then at Italcementi Ingegneria, where he worked as a Project Engineer and Project Manager on projects in Italy and abroad. He also completed a period of training in the corporate Finance, Administration and Control division. He has been Deputy Chairman of Ciments Francais since April 2007. In addition to his positions in the Italmobiliare group, he is Member of the Boards of Directors of several other companies, including UniCredit SpA, Mediobanca SpA, Ambienta SGR and RCS MediaGroup SpA. In 2003 he was appointed to the Executive Committee of Confindustria. In the period 2006-2008, he was Co-Chairman of the Italian-Egyptian Business Council. He is Member of the Italy-India Chief Executive Officer Forum. He graduated in Mechanical Engineering from Politecnico di Milano and holds a Masters degree in Economics and Management from Universita Commerciale Luigi Bocconi.

Pierfranco Barabani

Mr. Pierfranco Barabani serves as Executive Vice Chairman of the Board of Italcementi Fabbriche Riunite Cemento SpA Bergamo. He also serves as Member of the Executive Committee of the Company. In 1993 he was appointed Chief Operating Officer of the Company and held the post until September 1999. He is also Director at Ciments Francais SA. In 1978 he moved to a managerial post in the Montedison Group, acquiring management control experience with the Group’s overseas subsidiaries over a three-year period. In November 1980 he began his career in the KPMG Network: he became a partner in 1984 and Head of KPMG Network operations in Milan in 1994. He was appointed Chairman of KPMG SpA and Chairman of the KPMG Italian Network in 1997, a post he held for 13 years until January 2010, when he reached the statutory limit for the post. In May 2012 he was appointed Chairman of 035 Investimenti SpA.

Giovanni Ferrario

Dr. Giovanni Battista Ferrario has served as General Manager and Chief Operating Officer of Italcementi Fabbriche Riunite Cemento SpA Bergamo since June 9, 2008. Since January 2010 he has been General Manager of Ciments Francais. He was Senior Advisor at Morgan Stanley for industry and worked with a number of Private Equity funds. In February 2005, he was appointed Chairman and Chief Executive Officer of Olivetti Tecnost until he joined the Italcementi Group. In 2001, he was appointed Chief Executive Officer and Chief Operating Officer of Pirelli & C. Carlo Secchi

Prof. Carlo Secchi has served as Independent Director of Italcementi Fabbriche Riunite Cemento SpA Bergamo since April 18, 2007. He also serves as Member of Company's Internal Control and Risks Committee and as Member of the Committee for Dealings with Related Parties. He has been Director at Allianz SpA, Expo 2015 SpA, Parmalat SpA, Pirelli & C. SpA and La Centrale Finanziaria Generale SpA. Ms. Elena Zambon has served as Independent Director of Italcementi Fabbriche Riunite Cemento SpA Bergamo since April 16, 2010.
