Name Description

Dominik Hunek

Mr. Dominik Hunek has been Independent Chairman of the Supervisory Board of KGHM Polska Miedz Spolka Akcyjna since February 3, 2016. Prior to that, he was Independent Member of the Supervisory Board of the Company from January 18, 2016. He is Member of the Audit Committee and the Compensation Committee at the Company. He completed law studies under the Faculty of Law and Administration of the Uniwersytet Wroclawski. In 2007 he passed his attorney exam. He has worked for an international consulting firm, first in the Wroclaw branch, then in the Warsaw branch. Following acceptance for attorney apprenticeship, was a co-founder of the Wroclaw branch of a Lower Silesian law firm. In 2003 he was accepted by the Walbrzych-Jelenia Gora Bar Association, and since 2005 has been Member of the Bar Association in Wroclaw. After passing his law exam in 2007, he commenced attorney practice with the Wroclaw law firm of Budnik, Posnow i Partnerzy as a Partner. He currently pursues his profession as a partner in Lis i Partnerzy. He serves as Member of the Supervisory Board of Polskie Linie Lotnicze LOT SA representing the Ministry of the State Treasury.

Krzysztof Skora

Mr. Krzysztof Skora has been Chairman of the Management Board of KGHM Polska Miedz Spolka Akcyjna since February 3, 2016. He was Chairman of the Management Board of the Company from February 24, 2006 to January 17, 2008. He stared his professional career in 1982 when he became Head of the Finance and Economics Departament in Polskie Koleje Panstwowe in Legnica. Radoslaw Barszcz

Mr. Radoslaw Barszcz has been Vice Chairman of the Supervisory Board of KGHM Polska Miedz Spolka Akcyjna since February 3, 2016. Prior to that, he was Member of the Supervisory Board of the Company from January 18, 2016. He is Member of the Audit Committee and Chairman of the Compensation Committee at the Company. He graduated from Politechnika Warszawska, Institute of Management Organisation (major: Organization and Management in Industry) as well as completed postgraduate studies in administration under the Faculty of Law and Administration of Uniwersytet Warszawski. Since 1998 he has served at the Ministry of the State Treasury, where he was head of the Ownership Supervision Department and the Indirect Privatization Department, in the years 2006 to 2010 he was Deputy Director of the Ownership Supervision Department; and currently he is Counsel to the Minister. Moreover, he was equity investments specialist in the Restructurisation and Privatization Department of Polski Bank Rozwoju S.A. as well as coordinator of the Research and Development Center project in the Strategic Management Team of Telekomunikacja Polska S.A.

Stefan Swiatkowski

Mr. Stefan Swiatkowski has served as Vice Chairman of the Management Board for Finance of KGHM Polska Miedz Spolka Akcyjna since February 23, 2016. In 1990 he obtained Masters degree in Mathematics from Politechnika Lodzka and in 1991 he graduated with Master of Science in Mathematics from the University of Leeds. In 1995 he obtained an MBA from INSTEAD, Fontainebleau. From 2014 to 2016 he was Co-founder and Member of the Management Board of Bizon Capital sp. z o.o. Prior to that, he served at FM Bank/Polski Bank Przedsiebiorczosci as Vice President of the Management Board and head of the Risk Division, and at Powszechna Kasa Oszczednosci Bank Polski S.A. as Vice President of the Management Board. Moreover, he was Finance Director of Europejski Fundusz Leasingowy S.A. (Credit Agricole group), Director of the Asset and Liability Management and Risk Control Department at Lukas Bank S.A. (Credit Agricole group), Wroclaw, and held a number of posts related to risk management at Bank Handlowy w Warszawie S.A./Citibank Handlowy. He was also consultant at McKinsey & Company Poland sp. z o.o., and Assistant at Lodz University of Technology.

Miroslaw Bilinski

Mr. Miroslaw Stanislaw Bilinski has been Vice Chairman of the Management Board for Development of KGHM Polska Miedz Spolka Akcyjna since February 3, 2016. He holds an MBA from Uniwersytet Ekonomiczny we Wroclawiu (1996) and Master of Science degree in mining from Politechnika Wroclawska (1985). He began his professional career in 1985 in KGHM Polska Miedz S.A., advancing up the career ladder from Underground Mining Engineer, through Chief Ventilation Officer to Production- Director and First Deputy Managing Director of the Polkowice Mine. Next he was appointed as the Production-Director and First Deputy Managing Director of the Rudna mine, then as the Director of the Ore Enrichment Plants in organisation and Executive Director for Ore Enrichment. He was also Managing Director of the Polkowice-Sieroszowice Mine and Managing Director of the Tailings Management Division. In the years 2003 – 2005 he served as the Executive Vice President and Chief Development Officer (CDO) of the Management Board of Remy Sp. z o.o., which is involved among others in the assembly and maintenance of installations for metallurgical and processing plants. He also worked as Managing Director and Proxy to the Management Board for Export in DFM Zanam–Legmet Sp. z o.o., a company of the KGHM Polska Miedz S.A. Group, the primary business of which is the production of machines and equipment for mining. From 2012 he worked for Mawarid Mining LLC in Oman as General Manager, followed by 3 years as Chief Operating Officer (COO). In addition, he served as a lecturer in the field of mining and as a consultant. He has previously served as Chairman of the Supervisory Board of KGHM CBJ Sp. z o.o. and Chairman of the Supervisory Board of Fadroma Serwis – Remonty sp. z o.o. In the years 2001/2002 and 2006 he was a Non-Executive Director of KGHM Polish Copper Limited in London. In the years 1999-2001 and 2006 he was the Vice President of the Management Board of KGHM Polska Miedz S.A. (Production).

Jacek Rawecki

Mr. Jacek Rawecki has been First Vice Chairman of the Management Board at KGHM Polska Miedz Spolka Akcyjna since May 17, 2016. Piotr Walczak

Mr. Piotr Walczak has been Vice Chairman of the Management Board for Production of KGHM Polska Miedz Spolka Akcyjna since March 15, 2016. He completed postgraduate studies in Finance Management at Uniwersytet Ekonomiczny we Wroclawiu in 1997 and obtained engineering degree and Master of Science degree in mining from the Institute of Mining (specialization: Underground Deposit Mining Methodology) at Politechnika Wroclawska (1985). Since 1987, he has held the following positions in KGHM Polska Miedz S.A.: 2010-2016 Mine-Smelter Emergency Rescue Division – Executive Director– Professional Mine Rescuer; 2008–2010 and 2006-2007 Rudna Mine Division – Director, Proxy to the Management Board, Manager of Mining Plant Operations; 2007-2008 Mine-Smelter Emergency Rescue Division – Director of Division – Professional Mine Rescuer; 1987-2006 Polkowice-Sieroszowice Mine Division – he climbed the entire career ladder, from the position of Head Miner, through Foreman, Senior Foreman, Manager of Mining Works, Salt Chief Engineer, Chief Engineer to Technical Director. In years 1985-1987, he was a trainee in the Walbrzych Coal Mine (Kopalnia Wegla Kamiennego Walbrzych). Since 2011 he has been Member of the Convention of the Copper Belt Technical College in Lubin (Konwent Uczelni Zawodowej Zaglebia Miedziowego).

Boguslaw Szarek

Mr. Boguslaw Szarek has been Secretary of the Supervisory Board and Employee Representative at KGHM Polska Miedz SA since July 15, 2014. Prior to that, he served as Member of the Supervisory Board and Employee Representative at the Company from November 21, 2012. He is Member of the Strategy Committee and the Audit Committee at the Company. In his career, since 1982 he has served at KGHM Polska Miedz SA’s Sieroszowice branch as locksmith of machinery and mining equipment. Since 1992 he is Chairman of Solidarity Committee at Sieroszowice and since 1996 at Polkowice-Sieroszowice. He is also Vice Chairman of the National Section of Copper Ore Mining Solidarity, among others. He completed Technical High School.

Michal Czarnik

Mr. Michal Czarnik has been Independent Member of the Supervisory Board of KGHM Polska Miedz Spolka Akcyjna since January 18, 2016. He is Chairman of the Audit Committee and Member of the Strategy Committee at the Company. He holds a degree in Law from Uniwersytet Warszawski. He is legal counsel and tax advisor. He serves at Czarnik i Wspolnicy Spolka Partnerska Radcow Prawnych. Moreover, he has run his own business activity MMO Services. Jozef Czyczerski

Mr. Jozef Czyczerski has been Member of the Supervisory Board and Employee Representative at KGHM Polska Miedz SA since June 23, 2014. Prior to this, he served as Member of the Supervisory Board and Employee Representative at the Company SA from June 1999 until June 15, 2011. He is Member of the Company's Compensation Committee and Strategy Committees. He has worked as a mechanical electrician for mining machinery and equipment in ZG Rudna of KGHM Polska Miedz SA since 1979. He is Chairman of the State Section of Copper Mining NSZZ Solidarnosc z/s in ZG Rudna.

Cezary Godziuk

Mr. Cezary Godziuk has been Member of the Supervisory Board of KGHM Polska Miedz Spolka Akcyjna since January 18, 2016. He is Member of the Audit Committee and the Strategy Committee. He is a graduate of the Faculty of Mathematics, Physics and Chemistry at Uniwersytet Gdanski (1989); completed doctoral studies under the Faculty of Economics at Uniwersytet Gdanski in 2013 and in 2016 he obtained a degree of doctor of economic studies. He is Member of the Management Board of ASK Invest S.a.r.l. and Aplitt S.A. He served at Ideapress sp. z o.o., Zaklady Graficzne Atext S.A., Synergia Gdansk and Storem Gdansk.

Leszek Hajdacki

Mr. Leszek Hajdacki has been Member of the Supervisory Board and Employee Representative at KGHM Polska Miedz Spolka Akcyjna since June 23, 2014. Prior to this, he served as Member of the Supervisory Board and Employee Representative at the Company from June 26, 2002 until June 15, 2011. He is also Member of the Compensation Committee, the Audit Committee and the Strategy Committee at the Company. He has been an employee of KGHM Polska Miedz SA since 1972, in the position of wireman, senior specialist for the settlement of electrical energy costs, currently senior inspector for standardization - deputy for the chief engineer. He has served as the Chairman of the trade union Zwiazek Zawodowy Przemyslu Miedziowego in the Rudna min. He graduated from Uniwersytet Zielonogorski in Strategic Management and Finance. In addition, he graduated from the Polish Open University in Warsaw (Wyzsza Szkola Zarzadzania), with a major in Business Management. He completed also postgraduate studies of Uniwersytet Wroclawski at Department of Law, Administration and Economics, Economic and Commercial Law. He completed exam for candidates for membership on supervisory boards of State Treasury Companies.

Milosz Stanislawski

Mr. Milosz Stanislawski has been Member of the Supervisory Board of KGHM Polska Miedz Spolka Akcyjna since January 18, 2016. He is Member of the Audit Committee, the Compensation Committee and the Strategy Committee at the Company. He holds a degree of doctor of economics studies in the discipline of economics from Uniwersytet Ekonomiczny w Katowicach, Masters degree in Management from Wyzsza Szkola Przedsiebiorczosci i Zarzadzania w Lodzi, Master of Public Administration degree from Clark University, Engineering degree in mining and geology from Politechnika Wroclawska and Bachelors degree in Management and Marketing from Wyzsza Szkola Przedsiebiorczosci i Zarzadzania w Lodzi. He has run his own business M.S. Consulting Milosz Stanislawski since 2015. He has served as President of the Management Board of Stowarzyszenie na Rzecz Rozwoju Polskiego Gornictwa (Association for the Advancement of Polish Mining) since 2009, and since 2010 has served as a councilman in the capital city of Warsaw Targowek District. From 2014 to 2016 he was an advisor to the Management Board of Archikonfraternia Literacka Niepokalanego Poczecia NMP w Warszawie, among others.

Jaroslaw Witkowski

Mr. Jaroslaw Witkowski has been Independent Member of the Supervisory Board of KGHM Polska Miedz Spolka Akcyjna since January 18, 2016. He is Member of the Audit Committee and Chairman of the Strategy Committee at the Company. In 1986 he obtained Masters degree in Economics at Uniwersytet Ekonomiczny w Katowicach, and in 1991 he obtained Doctorate degree in economic studies at the same university. In 1996 he became doctor habilitatus of economic studies at Uniwersytet Ekonomiczny we Wroclawiu and an since 2004 he has been titular professor of economic studies and doctor habilitatus of economic studies. He has been Professor in the Logistics Faculty of the University of Zielona Gora and head of the Strategic Management and Logistics Department in the Economics, Management and Tourism Faculty in Jelenia Gora, Wroclaw University of Economics. He was vice dean for foreign cooperation in Wroclaw University of Economics; assistant, then adjunct in the Institute of Production Economics (later the Faculty of Strategic Industrial Development) in Academy of Economics in Wroc;aw; trainee in the company Przedsiebiorstwo Spedycji Miedzynarodowej C. Hartwig in Katowice; and assistant in the Institute of Transport Economics in the Academy of Economics in Katowice.
