Name Description

Xavier de Sarrau

Mr. Xavier de Sarrau has served as Chairman and Independent Member of the Supervisory Board of Lagardere SCA since April 27, 2010. He is also Chairman of the Company's Audit Committee. He was appointed as Independent Member of the Supervisory Board of the Company on March 10, 2010. Mr. de Sarrau is a Lawyer. He graduated from HEC and also holds a Doctorate degree in Fiscal Law. He spent part of his career with Arthur Andersen (from 1978 to 2002), notably as Managing Partner France, Managing Partner EMEIA, Managing Partner Worldwide Global Management Services. He currently works as well as Member of the Supervisory Board of JC Decaux and Board Member of Thala SA, Dombes SA, IRR SA, EFTC and 16 West Halkin.

Arnaud Lagardere

Mr. Arnaud Lagardere serves at Lagardere SCA as General and Managing Partner - Representative of Arjil Commanditee-Arco, Chief Executive Officer and Member of the Executive Committee since March 26, 2003. He is Chairman of the Board and Chief Executive Officer of Arjil Commanditee-ARCO. He controls and manages Lagardere Capital & Management. Gerard Adsuar

Mr. Gerard Adsuar serves as Deputy Chief Financial Officer of Lagardere SCA since January 25, 2011. He is also Member of Lagardere Media's Operations Committee. Mr. Adsuar is in particular in charge of Controlling, Accounting and Taxes at the Corporate level for the Company. He was Corporate Executive Finance & Treasury of EADS and spent 10 years working abroad in Germany. Prior to this position, Mr. Adsuar was Chief Financial Officer of the Telecommunication satellites business of Astrium. Dominique D'Hinnin

Mr. Dominique D'Hinnin serves at Lagardere SCA as Financial Director, Co-Managing Partner - Representative of Arjil Commanditee-ARCO and Member of the Executive Committee since March 10, 2010. He has been the Company's Financial Director and Member of the Executive Committee since 1998. Mr. D'Hinnin serves as Chief Operating Officer of Arjil Commandite-ARCO. He joined the Company in 1990. Anthony Mellor

Mr. Anthony Mellor has been Chief of Investor Relations of Lagardere SCA since December 2010. He began his career with AGF Asset Management in 1996, before joining Air Liquide's Financial Communication department in 1999. He was previously the Company's General Secretary since 1993. He is Arjil Commanditee-Arco's Vice Chairman and Deputy Chief Executive Officer. After graduating from Ecole Superieure de Commerce in Reims and graduating in Law, Mr. Leroy passed a graduate entrance exam and joined Matra as Finance Officer before becoming General Secretary of Subsidiaries and then Director of the General Secretariat. At the same time, he worked within the supervisory organizations of the Matra and Hachette groups. Following the merger of Matra and Hachette, he was appointed General Secretary of Lagardere in 1993. He currently also holds several other posts, including Chairman of Desirade, Director of Lagardere Active Broadcast and Director of Hachette Livre, among others.

Nathalie Andrieux

Ms. Nathalie Andrieux is Independent Member of the Supervisory Board of Lagardere SCA as of May 3, 2012. She is also Member of the Company's Audit Committee. She graduated from Ecole Superieure d'Informatique de Paris (SUPINFO) in 1988 and began her career in banking with the Banques Populaires Group, where she was involved in information systems development projects. In 1997, she joined La Poste as Manager of the Corporate Information Systems Department. In late 2001, she became Head of Strategic Marketing within the Strategy Division and, in 2003, was appointed Head of La Poste's Innovation and e-Services Department. She was appointed Chief Executive Officer of Mediapost in 2004. Ms. Andrieux is responsible for Mediapost's 2010-2013 strategic plan, she created and became Chairman of the Mediapost Group in September 2011 as well as Chairman of its various entities. She was appointed as Deputy Chief Executive Officer - Digital of La Poste in October 2012 and currently holds various other mandates, including Chairwoman of Mediapost Holding, Mediapost, Mediapost Publicite, Matching, Media Prisme and SMP, among others.

Antoine Arnault

Mr. Antoine Arnault is Independent Member of the Supervisory Board of Lagardere SCA as of May 3, 2012. He is a graduate of HEC Montreal and holds an MBA degree from INSEAD. In 2000, he set up a dot.com company involved in domain name registration. In 2002, he sold his interest in the company and joined Louis Vuitton Malletier, where he was successively: Head of Marketing; Head of Louis Vuitton France's regional network, where he was in charge of the twelve Louis Vuitton stores; and Head of Communications for Louis Vuitton as of 2007, responsible for advertising, print, digital development and media buying. In 2011, he was appointed Chief Executive Officer of Berluti. He is still special adviser on communications to Louis Vuitton. Mr. Arnault currently also serves as Director of LVMH Moet Hennessy - Louis Vuitton SA, Chairman of the Management Board of Berluti SA, Member of the Supervisory Board of Les Echos SAS and Director of Comite Colbert.

Martine Chene

Ms. Martine Chene has served as Independent Member of the Supervisory Board of Lagardere SCA since April 29, 2008. He held the post of Member of the Board of Directors of EADS, Chairman of ICISA - International Credit Insurance & Surety Association and was European Advisor of CITYGROUP. Mr. David is a graduate of Institut d'Etudes Politiques de Paris and holds a Bachelors degree in Sociology. He also graduated from Ecole Nationale d'Administration. Pierre Lescure

Mr. Pierre Lescure has served as Independent Member of the Supervisory Board of Lagardere SCA since March 22, 2000. He is also Member of the Nominating and Remuneration Committee of the Company. Jean-Claude Magendie

Mr. Jean-Claude Magendie has served as Independent Member of the Supervisory Board of Lagardere SCA since May 1, 2010. He started his career as instruction judge (from 1970 to 1975) before becoming Deputy General Secretary to the First President of the Paris Court of Cassation, referendary at the same court, President of the Chamber at Rouen Court of Appeal, then Versailles Court of Appeal, President of the Creteil magistrate's court then the Paris magistrate's court (tribunal de grande instance de Paris), and finally First President of the Paris Court of Appeal. Mr. Magendie was Secretary General for the study commission on Europe and the legal professions. He was also Member of the Commission for analysis on prevention of conflicts of interest in public life. He currently works as well as Member of the Scientific Committee of Institut National des Hautes Etudes de la securite et de la justice and Member of the Board of Directors at Lextenso.

Helene Molinari

Ms. Helene Molinari is Independent Member of the Supervisory Board of Lagardere SCA as of May 3, 2012. She graduated from Ecole Polytechnique Feminine and began her career in 1985 as a consultant with Cap Gemini and in 1987 joined the Robeco Group to create Robeco France, where she was responsible for developing institutional sales. In 1991, she joined the Axa Group when Axa Asset Managers was created, where she was responsible for institutional sales. In 2000, she was appointed Head of Marketing and E-business at Axa Investment Managers and in 2004 became Member of the Management Committee as Head of Communications and Brand. In 2005, she joined Medef as Head of Communications. The following year, she took over responsibility for the regional network and then became deputy Chief Executive in charge of community involvement and development projects, whilst supervising a number of support functions including the Corporate Secretary's department. In 2011, she was appointed Chief Operating Officer in charge of community involvement committees and special operations. Ms. Molinari currently works also as Director of NQT (Nos quartiers ont des talents), Director of EPA (Entreprendre pour Apprendre) and Member of the Office of JDE (Journees de l'Entrepreneur).

Javier Monzon de Caceres

Mr. Javier Monzon de Caceres has served as Independent Member of the Supervisory Board of Lagardere SCA since April 29, 2008. He holds a degree in Economics and started his career as Director of Bank Affairs at Caja Madrid, then he held the post of Finance Director and later of General Director and President of Telefonica International. He was an Associate of Arthur Andersen. He served also as Chairman of the Board of Directors of Europraxis Atlante, SL and was Permanent Representative of Indra Sistemas on the Board of Directors of Inversis Networks, SA and Marco Polo Investments S.C.R.S.A. Amelie Oudea-Castera

Ms. Amelie Oudea-Castera has served as Member of the Supervisory Board of Lagardere SCA since December 2, 2009 and is also Member of the Company's Audit Committee. She joined AXA Group in 2008 and was appointed as Director of Projects Finance, Strategy and Operations. She graduated from Institut d'Etudes Politiques de Paris and Ecole Superieure des Sciences Economiques et Commerciales, and holds a Masters degree in Law. She also studied at Ecole Nationale d'Administration. Ms. Oudea-Castera currently also serves as Legal Councillor at the Court of Auditors.

Didier Pineau-Valencienne

Mr. Didier Pineau-Valencienne has served as Independent Member of the Supervisory Board of Lagardere SCA since May 19, 1998 and is also Member of the Company's Audit Committee. Mr. Pineau-Valencienne was Chairman of the Board and Chief Executive Officer of Schneider SA and served also as Member of the Board of Directors of Pernod-Ricard, Axa, Vivarte and Wendel Investissements, among others. He graduated from Ecole des Hautes Etudes Commerciales, Tuck School of Business Administration (Darmouth College) and from Harvard Business School. Francois Roussely

Mr. Francois Roussely has served as Independent Member of the Supervisory Board of Lagardere SCA since May 11, 2004. He is a graduate of Institut d'Etudes Politiques de Paris, Universite Pantheon-Assas (Paris II), and Ecole Nationale d'Administration. Mr. Roussely is Honorary Conseiller Maitre at the French National Audit Office. Ms. Susan M. Tolson has served as Independent Member of the Supervisory Board at Lagardere SCA since July 1, 2011. She graduated from Smith College in 1984 before obtaining an MBA degree from the Harvard University in 1988. Mr. Patrick Valroff has served as Independent Member of the Supervisory Board of Lagardere SCA since April 27, 2010 and is also Member of the Company's Audit Committee. He graduated from Institut d'Etudes Politiques de Paris and from Ecole Nationale d'Administration and also holds a Bachelors degree in Law. Mr. Valroff began his career in the French civil service. In 1991, he joined the specialist consumer credit company Sofinco as Deputy Chief Executive Officer. In 2003, he was appointed Head of Specialised Financial Services at Credit Agricole SA Group, which comprises Sofinco, Finaref, Credit Agricole Leasing and Eurofactor, and subsequently served as Chairman of the Board and Chief Executive Officer of Sofinco. From May 2008 to December 2010, Mr. Valroff was Chief Executive Officer of Credit Agricole Corporate and Investment Bank.
