Name Description

Joseph Sullivan

Mr. Joseph A. Sullivan is the Chairman of the Board, President, Chief Executive Officer of Legg Mason, Inc. Before being appointed as President and Chief Executive Officer, Mr. Sullivan served as Interim Chief Executive Officer of the company from October 1, 2012 to February 11, 2013. Prior to that, Mr. Sullivan oversaw the global distribution operations of the company. He was elected Senior Executive Vice President of the company in September 2008 and until January 2011 was responsible for overseeing administrative functions as Chief Administrative Officer. From December 2005 to September 2008, he was responsible for overseeing the fixed income capital markets operations of Stifel Nicolaus, a broker-dealer. From 1993 to December 2005, he oversaw the fixed income capital markets operations of Legg Mason Wood Walker, the company’s broker-dealer subsidiary that was sold in December 2005.

Peter Nachtwey

Mr. Peter H. Nachtwey is Chief Financial Officer, Senior Executive Vice President of Legg Mason Inc., since January 2011. From July 2007 through December 2010, Mr. Nachtwey served as Chief Financial Officer of The Carlyle Group, an alternative investment management firm, where he had responsibility for all of the financial and a number of the operational functions at the firm. Prior to The Carlyle Group, Mr. Nachtwey spent more than 25 years at Deloitte & Touche, LLP, an accounting firm, most recently as Managing Partner of the Investment Management practice.

Jennifer Murphy

Ms. Jennifer V. Murphy is Executive Vice President, Chief Administrative Officer of Legg Mason, Inc. She has since held diverse business and investment roles for LMCM, including serving as CFO and then manager of LMCM's research team, risk management and new product initiatives. Since 1999, she has been a Director of the Legg Mason Capital Management Opportunity Trust. In addition, from 1995-1998, she worked directly for Raymond (Chip) Mason at Legg Mason, Inc. on strategic analysis and acquisitions. She earned a B.A. in Economics from Brown University and an M.B.A. with distinction from the Wharton School at the University of Pennsylvania, where she was a Palmer Scholar. She received the CFA designation in 1989. She is a Trustee of the Board at the Walters Art Museum and at the Glenelg Country School, and was also appointed to the Brown Women's Leadership Council in 2010.

Thomas Merchant

Mr. Thomas C. Merchant is Executive Vice President, General Counsel, Corporate Secretary of Legg Mason Inc. He was appointed General Counsel in March 2013 and elected Executive Vice President in April 2013. Mr. Merchant continues to serve as Corporate Secretary, a position he has held since 2008. Mr. Merchant oversees Legg Mason's legal and compliance departments. Mr. Merchant previously served as Corporate General Counsel and Deputy General Counsel. Mr. Merchant joined Legg Mason as Associate General Counsel in 1998.

Thomas Hoops

Mr. Thomas K. Hoops is the Executive Vice President, Head of Business and Product Development of Legg Mason Inc. From March 2000 through January 2014, Mr. Hoops held a variety of positions at Wells Fargo Corporation and its predecessors, most recently as Head of Affiliated Managers at Wells Fargo Asset Management. Prior to joining Wells Fargo / Wachovia, he was a Managing Director at a boutique investment bank which specialized in M&A advisory for emerging growth and middle-market companies and their owners. He began his career as a credit analyst at First Union National Bank in Charlotte.

Terence Johnson

Mr. Terence Johnson is Executive Vice President, Head - Global Distribution of Legg Mason, Inc. He is Head - Global Distribution since March 2013 and elected Executive Vice President in April 2013. Since October 2012, he had been serving as interim Head of Global Distribution, overseeing U.S. Distribution, International Distribution, Global Product Development, Marketing, and Administration and Operations of the division. Prior to that, Mr. Johnson headed International Distribution at Legg Mason. Mr. Johnson joined Legg Mason in December 2005 from Citigroup Asset Management following its acquisition by Legg Mason.

John Murphy

Mr. John V. Murphy is Lead Independent Director of Company. John V. Murphy has been a director of Legg Mason since June 2013 and is currently engaged in private investment activities. Mr. Murphy was employed by Korn/Ferry International, an executive search firm, from 2010 to 2012. From 2000 to 2009, Mr. Murphy was employed in various senior positions with OppenheimerFunds Inc., an asset management firm, including Chairman, President and Chief Executive Officer. Dennis Kass

Mr. Dennis M. Kass serves as Director of Company. He was Non-Executive Chairman of the Board of Legg Mason, Inc. Mr. Kass retired in 2012 as Chairman and Chief Executive Officer of Jennison Associates, an asset management company wholly-owned by Prudential Financial, Inc., having served in that position since 2003. Previously, he had spent more than a decade with JP Morgan’s investment management unit, culminating in the position of Vice Chairman of JP Morgan Fleming Asset Management. Mr. Kass served in the Reagan Administration from 1985 to 1987 as the Assistant Secretary of Labor for Pension and Welfare Benefits and was a Special Assistant to the President for Policy Development from 1981 to 1982. Mr. Kass is the Vice Chairman and a Senior Advisor at Ridgeway Partners, an executive search firm. He is a past trustee and vice chairman of the Financial Accounting Foundation and currently serves on the Advisory Board for Finance and the Global Executive Board for M.I.T.’s Sloan School of Management.

Robert Angelica

Mr. Robert E. Angelica is an Independent Director of Legg Mason Inc., since February 2007. He is currently engaged in private investment activities. From 1999 through December 2006, Mr. Angelica served as the Chairman and Chief Executive Officer of AT&T Investment Management Corporation (“ATTIMCO”), an asset management subsidiary of AT&T Inc.

Carol Davidson

Mr. Carol Anthony Davidson is an Independent Director of Legg Mason Inc, since May 1, 2014. Mr. Davidson served as Senior Vice President, Controller and Chief Accounting Officer for Tyco International from 2004 until his retirement in September 2012. He joined Tyco to lead the cleanup of its accounting function following their financial reporting scandal and to help restore the Company’s reputation. After leading Tyco through Sarbanes-Oxley compliance, he played a significant role in turning around the Company’s fortunes as evidenced by its stock price and restoration of credibility with investors and the SEC. Mr. Davidson helped the company spin off two of its largest divisions in 2007: Covidien, the health care business and Tyco Electronics. Afterward, he joined the transition team in a follow-on transaction to merge Tyco’s Flow Control business with filter and pump manufacturer Pentair in a $10 billion deal. Upon closing, the new company retained the name Pentair Ltd., and Mr. Davidson joined the board as a director. He also serves on the board of DaVita Healthcare Partners Inc., a provider of kidney dialysis and managed care services. Previously, Mr. Davidson spent seven years at Dell Inc., in positions of increasing responsibility in internal audit, culminating as Vice President, Audit, Risk and Compliance. He spent sixteen years at the Eastman Kodak Company in positions across accounting and auditing and was an accountant at the Schlegel Corporation from 1979 to 1981, after beginning his career at Arthur Anderson & Company. Mr. Davidson holds an accounting degree from St John Fisher College and an MBA from the University of Rochester.

Barry Huff

Mr. Barry W. Huff is an Independent Director of Legg Mason Inc., since June 2009. He is currently engaged in private consulting. Since his retirement in May 2008 from Deloitte & Touche USA LLP (“Deloitte”), an accounting firm, until March 2009, Mr. Huff provided consulting services to Deloitte. From 1995 to May 2008, Mr. Huff served as Vice Chairman, Office of the Chief Executive Officer at Deloitte.

John Myers

Mr. John H. Myers is Independent Director of Legg Mason, Inc., since June 5, 2013. Mr. Myers has been a senior advisor to Angelo, Gordon & Co., an investment advisor, since 2006. In 2006, he retired from his role as President and Chief Executive Officer of GE Asset Management, an institutional asset management subsidiary of General Electric Company, after spending almost a decade in that role and a total of almost 40 years in various management positions at the General Electric Company.

Nelson Peltz

Mr. Nelson Peltz is an Independent Director of Legg Mason, Inc., since October 27, 2009. Mr. Peltz has served as the Chief Executive Officer and a founding partner of Trian Fund Management, L.P. (“Trian”), a management company for various investment funds and accounts, since its formation in 2005. From April 1993 through June 2007, Mr. Peltz served as Chairman and Chief Executive Officer of Triarc Companies, Inc., which, during that period, owned Arby’s Restaurant Group, Inc. and Snapple Beverage Group, as well as other consumer and industrial businesses. Mr. Peltz has served as the non-executive Chairman of The Wendy’s Company, Inc. since June 2007 and as a director of Ingersoll-Rand plc since August 2012 and Mondelez International, Inc. since January 2014. Mr. Peltz previously served as a director of H.J. Heinz Company from September 2006 to June 2013 and Trian Acquisition I Corp. from October 2007 to January 2010.
