Name Description

W. Allen Reed

 Mr. W. Allen Reed has been appointed as Non-Executive Chairman of the Board of Legg Mason, Inc., effective October 1, 2012. He has been a director of Legg Mason since 2006. He previously served as Chairman, President and CEO of General Motors Asset Management Corporation and Chairman and CEO of General Motors Trust Bank, N.A. Mr. Reed has more than 35 years of experience in the asset management industry, having served as the financial officer responsible for employee benefit fund investments at General Motors, Delta Air Lines and Hughes Electronics.

Joseph Sullivan

 Mr. Joseph A. Sullivan is the President, Chief Executive Officer, Director Legg Mason, Inc. Before being appointed as President and Chief Executive Officer, Mr. Sullivan served as Interim Chief Executive Officer of the Company from October 1, 2012 to present. Prior to that, Mr. Sullivan oversaw the global distribution operations of the Company. He was elected Senior Executive Vice President of the Company in September 2008 and until January 2011 was responsible for overseeing administrative functions as Chief Administrative Officer. From December 2005 to September 2008, he was responsible for overseeing the fixed income capital markets operations of Stifel Nicolaus, a broker-dealer. From 1993 to December 2005, he oversaw the fixed income capital markets operations of Legg Mason Wood Walker, the Company's broker-dealer subsidiary that was sold in December 2005. Mr. Sullivan holds a Bachelor of Arts degree in Economics from St. John's University (MN) and is a graduate of the Securities Industry Institute at the Wharton School of Business at the University of Pennsylvania.

Peter Nachtwey

 Mr. Peter H. Nachtwey is Chief Financial Officer, Senior Executive Vice President of Legg Mason Inc., since January 2011. From July 2007 through December 2010, Mr. Nachtwey served as Chief Financial Officer of The Carlyle Group, an alternative investment management firm, where he had responsibility for all of the financial and a number of the operational functions at the firm. Prior to The Carlyle Group, Mr. Nachtwey spent 25 years at Deloitte and Touche, LLP, an accounting firm, as Managing Partner of the Investment Management practice.

Jeffrey Nattans

 Mr. Jeffrey A. Nattans is an Executive Vice President of Legg Mason Inc. He was elected Senior Vice President of Legg Mason in March 2009 and Executive Vice President in July 2009, previously was responsible for overseeing Specialized Asset Managers and oversees acquisition and business development activities. Mr. Nattans has been in corporate strategy, strategic initiatives, including acquisitions and financings, and the development of Legg Mason's international equity asset management businesses since joining the Company in 2006. From 1996 to 2006, he served as an investment banker at Goldman, Sachs & Co., a broker-dealer and investment banking firm.

Jennifer Murphy

 Ms. Jennifer Murphy has been appointed as Chief Administrative Officer of Legg Mason Inc., effective April 2, 2013. She joined the firm in 1986, when she was hired as a Securities Analyst. Jennifer has worked for Legg Mason for over two decades and has had diverse business and investment roles for Legg Mason Capital Management, most recently as President and CEO, and previously, serving as CFO, manager of LMCM’s research team, risk management and new product initiatives. Since 1999, Jennifer has been a Director of the Legg Mason Opportunity Trust. In addition, from 1995-1998, Jennifer worked directly for Raymond (Chip) Mason at Legg Mason, Inc. on strategic analysis and acquisitions. Jennifer left Legg Mason in 1990 to return to school in order to obtain her MBA and re- joined Legg Mason after working as a strategy consultant at Corporate Decisions, Inc. in Boston, Massachusetts. Jennifer earned a B.A. in Economics from Brown University and an M.B.A. with distinction from the Wharton School at the University of Pennsylvania, where she was a Palmer Scholar. Jennifer received the CFA designation in 1989 and is a member of the Baltimore Security Analysts Society.

Thomas Merchant

 Mr. Thomas Merchant has been appointed as General Counsel, Corporate Secretary of Legg Mason Inc., effective April 2, 2013. Tom joined Legg Mason in 1998 as Associate General Counsel. He progressed in his roles to include Vice President, General Counsel, and Corporate Secretary. Prior to joining Legg Mason, Tom was a Corporate Associate at Shearman & Sterling from 1993-1998. He earned his B.S. in Economics from Penn State graduating with high distinction. Tom received his JD from New York University School of Law.

Harold Adams

 Mr. Harold L. Adams is an Independent Director of Legg Mason Inc., since January 1988. He has been the Chairman Emeritus of RTKL Associates, Inc., an international architecture, engineering and planning firm, since April 2003. He has served as a director of Lincoln Electric Holdings, Inc. since 2002 and Commercial Metals Company since 2004. Mr. Adams has served as a on U.S. business advisory councils with Korea and China and the Services Policy Advisory Board to the U.S. Trade Negotiator and is Chairman of the Governor’s International Advisory Council for the State of Maryland. In these roles, Mr. Adams worked in many international markets in a myriad of economic climates and cultures. He has served as the Lead Independent Director of Lincoln Electric Holdings, Inc. since December 2004.

Robert Angelica

 Mr. Robert E. Angelica is an Independent Director of Legg Mason Inc., since February 2007. He is engaged in private investment activities. From 1999 through December 2006, Mr. Angelica served as the Chairman and Chief Executive Officer of AT&T Investment Management Corporation (“ATTIMCO”), an asset management subsidiary of AT&T Inc. Mr. Angelica’s diverse experience includes the development of asset allocation policies and strategies, risk management, selection of external investment managers and trustees, in-house asset management, regulatory compliance and accounting and financial reporting. He was awarded the Chartered Financial Analyst designation.

Dennis Beresford

 Mr. Dennis R. Beresford is an Independent Director of Legg Mason Inc., since September 2002. He is a professor at the University of Georgia, a position he has held since 1997. Mr. Beresford served as a director of the Federal National Mortgage Association from May 2006 through February 2012. Mr. Beresford served as a director of Kimberly-Clark Corporation from November 2002 through April 2011. Mr. Beresford was appointed to the Securities and Exchange Commission Advisory Committee on Improvements to Financial Reporting, served as the Chairman of the Financial Accounting Standards Board for ten years and served as the National Director of Accounting Standards for Ernst & Young LLP. He has served as a Director of the National Association of Corporate Directors since January 2009.

John Cahill

 Mr. John T. Cahill is an Independent Director of Legg Mason, Inc., since February 2010. Mr. Cahill has been Executive Chairman of Kraft Foods North America (“Kraft”) since January 2012. He was an Industrial Partner at Ripplewood Holdings LLC, a private equity firm, from 2008 through 2011. From 2002-2007, Mr. Cahill was the Chairman of The Pepsi Bottling Group, Inc. (“PBG”), a bottler of Pepsi-Cola beverages, and served as its Chief Executive Officer from 2001-2006; Chief Operating Officer from 2000-2001 and Chief Financial Officer and Head of International Operations from 1998-2000. Mr. Cahill has served as a director of Colgate-Palmolive Company (“Colgate”) since November 2005.

Barry Huff

 Mr. Barry W. Huff is an Independent Director of Legg Mason Inc., since June 2009. He is engaged in private consulting. Since his retirement in May 2008 from Deloitte & Touche USA LLP (“Deloitte”), an accounting firm, until March 2009, Mr. Huff provided consulting services to Deloitte. From 1995 to May 2008, Mr. Huff served as Vice Chairman, Office of the Chief Executive Officer at Deloitte. Dennis Kass

 Mr. Dennis M. Kass has been appointed as the Independent Director of Legg Mason, Inc., effective April 1, 2013. Mr. Kass retired in 2012 as CEO of Jennison Associates, an asset management company wholly-owned by Prudential Financial, Inc., having served in this position since 2003. Previously, he had spent more than a decade with JP Morgan's Investment Management unit, culminating in the position of Vice Chairman of JP Morgan Fleming Asset Management. Mr. Kass served in the Reagan Administration from 1985 to 1987 as the Assistant Secretary of Labor for Pension and Welfare Benefits and was a Special Assistant to the President for Policy Development from 1981 to 1982. His early private sector roles included spending three years with Goldman Sachs as a Vice President in investment banking and pension advisory services. Mr. Kass holds a MS degree in Management from the Massachusetts Institute of Technology and a BA degree in History from Principia College. He is a trustee of the Financial Accounting Foundation, serves on the Advisory Board for Finance and the Global Executive Board for M.I.T.'s Sloan School of Management, and is on the board of the not-for-profit buildOn.

John Koerner

 Mr. John E. Koerner is an Independent Director of Legg Mason Inc., since October 1990. Since 1995, he has been the managing member of Koerner Capital, LLC, a private investment company, or the President of its predecessor, Koerner Capital Corporation. Mr. Koerner has been a director of Lamar Advertising Company since 2007 and in February 2012, joined the Board of Directors for IBERIABANK Corporation. Mr. Koerner’s experience includes service as a member of a number of civic boards.

Cheryl Krongard

Nelson Peltz

 Mr. Nelson Peltz is an Independent Director of Legg Mason, Inc., since October 27, 2009. Mr. Peltz has served as the Chief Executive Officer and a founding partner of Trian Fund Management, L.P. (“Trian”), a management company for various investment funds and accounts, since its formation in 2005. From April 1993 through June 2007, Mr. Peltz served as Chairman and Chief Executive Officer of Triarc Companies, Inc., which, during that period, owned Arby’s Restaurant Group, Inc. and Snapple Beverage Group, as well as other consumer and industrial businesses. Mr. Peltz has served as the non-executive Chairman of The Wendy’s Company, Inc. since June 2007 and as a director of H.J. Heinz Company since September 2006. Mr. Peltz served as a director of Trian Acquisition I Corp. from October 2007 to January 2010 and of Deerfield Capital Corp. (predecessor to CIFC Corp.) from December 2004 to December 2007. Mr. Peltz was nominated to serve on the Board pursuant to an agreement with Trian, funds managed by Trian and certain of its affiliates (the “Trian Agreement”).

Margaret Richardson

 Ms. Margaret Milner Richardson is an Independent Director of Legg Mason Inc., since November 2003. She is engaged in private consulting and investment activities. Ms. Richardson served as a director of Jackson Hewitt Tax Service Inc. from June 2004 through August 2011. Ms. Richardson served as U.S. Commissioner of Internal Revenue. She has been an attorney for 40 years and practiced tax law with Sutherland, Asbill and Brennan in Washington, D.C. Kurt Schmoke

 Mr. Kurt L. Schmoke is an Independent Director of Legg Mason Inc., since January 2002. Mr. Schmoke has been Dean of the School of Law at Howard University since January 2003. He has been a director of The McGraw-Hill Companies, Inc. since 2003. Mr. Schmoke gained his experience serving as the Dean of the Law School at Howard University, partner at the law firm of Wilmer Cutler & Pickering, Mayor of Baltimore, the State’s Attorney for Baltimore, a member of the Council on Foreign Relations and a member of President Jimmy Carter’s domestic policy staff.

Nicholas St. George

 Mr. Nicholas J. St. George is an Independent Director of Legg Mason Inc. He is engaged in private investment activities. Mr. St. George, a lawyer, also has a long-standing history on the Board, serving at times during tenure, as Lead Independent Director and Chairman of the Audit Committee, Compensation Committee and Nominating & Corporate Governance Committee.
