Name Description

Jean-Francois Henin

Mr. Jean-Francois Henin has served as the Chairman of the Board and Chief Executive Officer of Etablissements Maurel et Prom SA as of May 20, 2010. He previously served as Chairman since June 14, 2007 and prior to that he served as Chairman of the Management Board of the Company from December 28, 2004. He previously served as Director of Treasury and Foreign Exchange of the Lyonnaise de Depots company, Treasurer of THOMSON CSF, Chief Executive Officer of Altus Finance, Vice-Chairman of the supervisory board of Altus Finance, and Chairman and Chief Executive Officer of Electricite et Eaux de Madagascar (EEM) from 1994 until 2000. Within the Company, he also holds other mandates, including Chairman and CEO of Maurel & Prom Congo, President of Maurel & Prom West Africa and Maurel & Prom Assistance Technique, Managing Director of Maurel & Prom Latin America BV, and Member of the Board of Directors of Zetah Noumbi Ltd, Panther Eureka ARL and Seplat Petroleum Development Company Ltd, among others. Outside the Company, he also holds other mandates, including Chairman of the Management Board of Pacifico SA. He graduated from Institut d'Administration des Entreprises de Paris in Economic Sciences.

Gerard Andreck

Mr. Gerard Andreck has served as Independent Vice Chairman of the Board of Directors of Etablissements Maurel et Prom SA since June 14, 2007. Before this he served as Chairman of the Supervisory Board of the Company from November 7, 2005 until June 2007 and Permanent Representative of MACIF on the Supervisory Board from June 29, 2005 until November 7, 2005. Michel Hochard

Mr. Michel Hochard serves as Chief Financial Officer of Etablissements Maurel et Prom SA. He was appointed on September 5, 2007. A graduate of Institut Commercial de Nancy and a Certified Chartered Accountant, he joined the Finance Department of the Elf Aquitaine Group as an internal auditor in 1980 after gaining experience with an accounting firm. He joined the Exploration & Production division of Elf Gabon in 1982 and in 1988 became Head of Finance, Africa & the Middle East, where he was responsible for coordinating and controlling financial functions for the group’s subsidiaries in the region. He was appointed Finance Director at SNEAP and then at Elf Aquitaine Production (after its privatization) and finally at Elf E&P after the restructuring of the group’s Exploration & Production activities. He was appointed Deputy Human Resources Director of Elf E&P in 1997. In 2001, he joined PricewaterhouseCoopers BPO as Operations Director, Outsourcing France. In 2003, he became a Member of the Executive Committee in charge of Legal Matters, Finance and Administration and was involved in developing international activities within the GEOS group, specializing in risk prevention and management.

Jean Bie

Mr. Jean Bie has served as the Exploration Director of Etablissements Maurel et Prom SA since Jaunary 3, 2011. Mr. Bie is a graduate of the Ecole Nationale Superieure des Mines de Paris. He joined the Elf Group, which later became Total, as a geophysicist engineer in October 1974. He spent his entire career with the group, including 26 years in Exploration and Production Department. In 2000 Mr. Bie became Chief Executive Officer of Total Exploration-Production Nederland, and then Chief Executive Officer of Total Gabon in 2004. On September 1, 2008, he was appointed Vice President, Purshasing of the Total Group in Paris.

Philippe Corlay

Mr. Philippe Corlay was appointed Production Director of Etablissements Maurel et Prom SA in August 2007. He graduated from Ecole Nationale des Petroles et des Moteurs and from Ecole des Hautes Etudes Industrielles. He began his career as an Engineer with Beicip-Franlab in 1982. He joined the French Petroleum Institute (IFP) in 1986 and he was appointed Project Leader of the EOR group in 1989. He is the co-author of numerous international papers. In 1996 he joined COPAREX as Principal Reservoir Engineer. In 1998, he was appointed Technical Manager. He was involved in the development of the Isis field in Tunisia and he was appointed General Manager of the company owning the FPSO. In 2003, he joined Etablissements Maurel & Prom SA and was responsible for the reservoir development of the M’Boundi field (Congo).

Michel Perret

Mr. Michel Perret has served as Director of Drilling of Etablissements Maurel et Prom SA since October 2001. He was Engineer at Forex, Forex Neptune and ELF Aquitaine, served as independent consultant for Shell, ELF, ENI, BHP Petroleum. He also participated in the creation of BHP Petroleum in Australia and of Joint Oil in Libya. He also took part in the transformation of Maurel & Prom. He graduated from Institut Francais du Petrole (IFP).

Emmanuel de Marion de Glatigny

Mr. Emmanuel de Marion de Glatigny has been a Director of Etablissements Maurel et Prom SA since June 14, 2007. Prior to that, he served as Vice Chairman and Member of the Supervisory Board of the Company from June 19, 2001. He previously worked as Manager of an insurance company. Carole Delorme d'Armaille

Ms. Carole Delorme d'Armaille was appointed Director of Etablissements Maurel et Prom SA on March 27, 2013. She began her career in 1984 at Pechiney (now Alcan). She then joined Batif, the merchant bank for Thomson CSF (now Thales) in 1987, and went from there to J.P. Morgan Paris in 1992. In 1995 she returned to the packaging sector at Crown Cork & Seal (formerly CarnaudMetalbox), where she was international treasurer for five years before moving to l’Association Francaise des Tresoriers d’Entreprise (AFTE) in 2000 as managing director. Between 2004 and 2009, she also worked on the editorial board of Echanges, a review published by DFCG, the French national association of financial directors and management controllers. She has spoken at numerous conferences sponsored by SIMI, AFTE, AGEFI and Europlace, in particular on Islamic finance. From 2003 to September 2012, she was director of investor communications and relations at Paris Europlace, an organisation tasked with promoting the Paris financial market, including, in particular, a role on the Finance Law Committee chaired by Michel Prada and participation in various events arranged abroad in more than 10 countries every year (North America, South-East Asia, Japan and the Middle East). Since September 2012, she has been Advisor - Corporate Finance at Aurel BGC (a subsidiary of BGC Partners).

Roman Gozalo

Mr. Roman A. Gozalo has served as a Director of Etablissements Maurel et Prom SA since June 12, 2008. He was Member of the Management Board and Chief Executive Officer of the Company from October 24, 2005 until June 14, 2007. He then served as Chief Executive Officer from August 30, 2007 until May 19, 2008. He is a graduate of Grenoble's Ecole Nationale Superieure d’Electronique and holds a Masters of Business Administration from INSEAD. Mr Gozalo started his career at Merlin Gerin and joined the Elf Aquitaine group in 1977. He has worked in various capacities in Great Britain, Norway and Gabon. Mr Gozalo was Chief Executive Officer of Elf Aquitaine Tunisie, then of Elf Aquitaine Angola, before being appointed Administrative Director of Elf in 1995. In 1999, he returned to Norway as Managing Director of Total Norge AS.

Xavier Blandin

Mr. Xavier Blandin has been an Independent Director of Etablissements Maurel et Prom SA since June 29, 2011. He is a graduate of HEC and Ecole Nationale d’Administration. Mr. Blandin spent the early part of his career (1978-1991) in the French civil service, notably with the Treasury Department. During this time, he was Deputy Director for France with the International Monetary Fund in Washington and financial attache at the French Embassy in the United States (1983-1985), head of the Banks and Banking Regulation office at the Treasury Department (1985-1986), technical advisor to the Cabinets of Mr. Cabana and subsequently Mr. Balladur (1986-1988), head of the public enterprise office (1988-1989) and Assistant Director of the Treasury Department (1989-1991). From 1991 until the end of December 2010, Mr. Blandin worked in the banking sector, first for Banque Paribas (1991-1999) and then for BNP Paribas, where he was a member of the Executive Committee of the Corporate Finance Department before becoming Senior Banker.

Nathalie Delapalme

Ms. Nathalie Delapalme has been an Independent Director of Etablissements Maurel et Prom SA since May 20, 2010. She graduated from Institut d'Etudes Politiques de Paris. She began her career in the French Senate, serving between 1984 and 1985 and then between 1997 and 2002, mainly as an administrator and then as an advisor to the National Finance, Budget and Accounts Commission. She was also a Deputy Director serving under the Minister for Development Cooperation between 1995 and 1997, and then became Africa advisor to the Foreign Minister from 2002 to 2007. After her role as Inspector General in the Finance Department (Inspectorate General of Finance, IGF) between 2007 and 2010, she joined the Mo Ibrahim Foundation in June 2010 as Director of Research and Public Policy.

Alexandre Vilgrain

Mr. Alexandre Vilgrain is an Independent Director of Etablissements Maurel et Prom SA as of June 14, 2007. Prior to that, he had served as Member of the Supervisory Board of the Company since August 18, 2005. He studied Law at Universite Paris II Pantheon-Assas and began his career in 1979 in the family company Jean-Louis Vilgrain, where he held several positions of responsibility in the company’s subsidiaries in Africa, the Indian Ocean, Asia and France. In 1985, Mr. Vilgrain took up the presidency of Delifrance Asia Ltd; under his management the company listed on the Singapore stock exchange in 1996. Since 1995, Mr. Vilgrain has succeeded to his father as Chief Executive Officer and Chairman of the Board of Somdiaa. He has also developed the company strategically in Africa in the milling and sugar industries. Mr. Vilgrain holds several other mandates within the boards of Somdiaa subsidiaries and is the Permanent Representative of Somdiaa on the Board of Directors of Sominfor. He also holds other mandates, including Director of Secria Care France and MP Nigeria, Chairman of the Board of Fromentiers de France, and CEO and Chairman of the Board of Conetrage and Alexandre Vilgrain Holding.
